SCHEDULE A a C �.Y OF LUBBOCI� TEMPERATURE CONTROL SYSTEM MAINTENANCE Honeywell will maintain the Temperature Control System described in the attached List of Maintained Equipment and/or on the following system drawings: All Related H.V.A.C. Controls. Control No. 987-74009 (1 — 17) Preventive Maintenance Each preventive maintenance call will be scheduled by a computer -prepared service report detailing exactly what tasks to perform, time of performance, skill levels required. and special tools and instrumentation needed to maintain the systems at optimum comfort and efficiency levels. Maintenance intervals will be determined by equipment run time, application, location, and Honeywell's computer data bank of maintenance experience and manufacturers' specifications. -Component Replacements Honeywell will replace worn, failed, or doubtful components and parts. Replacements will be of like or current design to minimize system depreciation and obsolescence. Emergency Service Every activity performed under this agreement is designed to minimize the incidence of emergency situations. Client will provide reasonable means of access to all equipment covered by this schedule. Honeywell will be free to start and stop all primary equipment incidental to the operation of the mechanical systems) as arranged with client's representative. This schedule of the Agreement will commence on the date indicated for a term of one year and shall continue from year to year until terminated (unless otherwise specified). Either party may terminate this agreement by giving written notice thirty (30) days prior to the anniversary date. .' In the event the system is altered, modified, changed, or moved, this schedule is immediately terminable at Honeywell's option. Charges In addition to the price set forth, client will be liable for the amount of any present and future taxes or any other governmental charges now or hereafter imposed by existing or future laws with the respect to the transfer, use, owner- ship or possession of the equipment to which this schedule relates. The agreement price may be adjusted yearly based on prevailing labor and material costs. Limitation of Liability Honeywell will not be liable for any delay in furnishing or failure to furnish service due to fire, flood, strike, lockout, dispute with workmen, inability to obtain material, commotion, war, act of God, or any cause beyond reasonable control. Our responsibility for injury to persons or property that may be caused by or arise through the maintenance, service, functioning, or use of the system(s) shall be limited to injury caused directly by our negligence in performing our obligations under this schedule, and in no event shall we be liable for speculative, indirect, or consequential damages. Honeywell will not be required to make safety tests or to install new attachments, additional controls, or equipment as recommended or directed by any insurance company, laboratory or governmental authority, or to make replacements mentioned herein with parts or devices of a different design for any reason. This schedule assumes the systems covered to be in maintainable condition. If repairs are found necessary upon initial inspection osatop, repair charges will be submitted for approval) x=m xddxdx-such charges not to exceed $4000.00. See Schedule R. It is understood that the repair, replacement and emergency service provisions apply only to the systems and equipment covered by this schedule. Repair or replacement of nonmaintainable parts of the system such as ductwork, boiler shell and tubes, unit cabinets, boiler refractory material, electrical wiring, hydronic and pneumatic piping, structural supports, etc. is not included under the agreement. Valve and damper maintenance and repair is included in this schedule. The labor required for their removal and re- installation is not included. Honeywell will not make repairs or replacements necessitated by reason of negligence or misuse of the equipment by others or caused by lightning or electrical storm or by any other cause beyond our control except ordinary wear and tear. For Honeywell Date SCHEDULE 6 CITY OF LUBBOCK ::7, r:_ ENVIRONMENTAL MECHANICAL SYSTEMS MAINTENANCE Honeywell will maintain the environmental mechanical systems described in the equipment inventory attached. Preventive Maintenance Each preventive maintenance call will be scheduled by a computer -prepared service report detailing exactly what tasks to perform, time of performance, skill levels required and special tools and instrumentation needed to maintain the systems at optimum comfort and efficiency levels. Maintenance intervals will be determined by equipment run time, application, location, and Honeywell's computer data bank of maintenance experience and manufacturers' specifications. Systems analysis, including instrumented trend analysis, will be performed to detect early signs of deteriorating performance. After each service call is signed off, details from the completed service report will be re-entered in the data bank to assure closed-loop performance control and continuous program updating. Component Replacements Honeywell will replace worn, failed or doubtful components and parts. These replacements will be of like or current design to minimize system depreciation and obsolescence. Where statistical data on similar equipment indicates that the failure point is approaching for any component, such component may be repaired or replaced in advance to prevent a system failure Emergency Service Every activity performed under this agreement is designed to minimize the incidence of emergency situations. Service shall commence on February 2, 1981. Honeywell hereby agrees to initially restore and repair the systems to be covered under this agreement, such restoration to include: Providing labor and material for an in-depth inspection of the mechanical equipment and replacement of the components necessary to restore the equipment to good operating order. These repairs related only to equipment specifically covered per terms and conditions of the above said agreement. Charges for these repairs shall be billed and invoiced to the City of Lubbock; provided, however that such initial restoration charges shall not exceed Four Thousand and N0/100 ($4,000.00) Dollars.
