IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and di-
'ected to execute for and on behalf of the City of Lubbock a Contract between
[cGraw-Edison and the City of Lubbock for purchase of two (2) 15/20/25 MVA
ubstation transformers with voltage ratings of 115KV/69KV/12470, attached
.erewith which shall be spread upon the minutes of the Council and as spread
pon the minutes of this Council shall constitute and be apart of this Reso-
ution as if fully copied herein in detail.

Canonsburg' PA 15317 STANDARD TERMS AND CONDITIONS OF SALE
Quotation Constitutes Seller's Offer: This quotation, including the within terms and conditions of sale, constitutes Seller's offer to sell solely in
accordance with the exact terms set forth. Any order for the equipment described in the quotation or directions to Proceedwith engineering,
procurement, manufacture or shipment shall constitute assent to the within terms and conditions of sale and a representation that the Purchaser is
f solvent. Any additional or different conditions set forth in any communication from the Purchaser are hereby objected to by Seller and shall not be
effective unless assented to in writing by an authorized representative of Seller.
Supersedes Previous Agreements: This quotation supersedes all previous written or oral quotations and/or agreements.
Waiver: The waiver by Seller of any term, provision or condition hereunder shall not be construed to be a waiver of any other term, condition or
provision hereof, nor shall such waiver be deemed a waiver of a subsequent breach of the same condition or provision.
Discrepancies in Take -offs: This quotation may be based on Seller's interpretation of plans and specifications submitted to Seller by Purchaser. Seller
recommends that Purchaser check this quotation both as to quantities and specifications of the material listed. Any discrepancies should be called to
Seller's attention immediately, so any change, if necessary, can be made.
Acceptance: Quotations are void unless accepted in writing within thirty (30) days from date of quotation. Prices quoted may be withdrawn or changed
by Seller at any time prior to receipt of acceptance by Seller.
All acceptances to this quotation are received subject to Federal Regulations and/or Government Priorities, if any, and are subject to final approval and
acceptance by Seller at its Home Office, and any contract resulting therefrom shall be construed under the laws of the Commonwealth of Pennsylvania.
Corrections After Acceptance: After acceptance quotations are subject to change for correction of stenographic or clerical errors. Should Seller exercise
its right n make such changes it shall ice of such notify Purchaser of the changes made. Purchaser may thereafter revoke his acceptance of the quotation
within ten of S days of receipt of notice of such changes. Failure of Purchaser to revoke its acceptance within such period shall be deemed to constitute
acceptance of Seller's changes.
Changes in Specifications: Changes or revisions desired by Purchaser from specifications upon which the quotation had been made, shall be charged and
paid for by Purchaser at Seller's applicable rates therefor, and the time for performance on the part of Seller shall be extended to cover time lost and/or
additional work involved and time required for making any such requested changes and/or revisions.
Terms of Payment: Net — Thirty (30) days from date of invoice. All accounts are payable in U.S.A. funds, at par.
If shipment is delayed by any cause for which the Seller is not responsible, the date of completion of the equipment, or any part thereof, shall be
regarded as the date of shipment thereof, and an invoice will be issued accordingly. Equipment held for the Purchaser shall be at the risk and expense of
the Purchaser.
Acceptance of orders and shipments and deliveries shall be subject to approval of Seller's Credit Department. If, in the judgment of Seller, the financial
condition of the Purchaser, at any time, does not justify the continuance of the work to be performed by the Seller hereunder on the terms of payment
agreed upon, the Seller may require full or partial payment In advance or shall be entitled to cancel any order then outstanding and shall receive
reimbursement for its reasonable and proper cancellation charges. In the event of bankruptcy or insolvency of the Purchaser, or in the event any
proceeding is brought by or against the Purchaser under any bankruptcy or insolvency laws, Seller shall be entitled to cancel any order then outstanding
at any time during the period allowed for filing claims against the estate and shall receive reimbursement for its reasonable and proper cancellation
charges. The rights of the Seller under this paragraph are cumulative and in addition to all rights available to the Seller at law or in equity.
Delivery: Unless otherwise specifically stated herein, delivery is to be made f.o.b. shipping point. Purchaser shall assume all risk of loss after the
equipment is delivered as specified herein.
Taxes: Seller's prices do not include sales, use, excise, or similar taxes applicable to the equipment or the sale or use thereof. All such taxes, if any, shall
be paid by Purchaser, or in lieu thereof Purchaser shall provide Seller with a tax -exemption certificate acceptable to the taxing authorities.
Shipment: Shipment dates are computed from the date Seller receives acceptance with complete specifications and/or drawing approval as required. Seller
will take all reasonable action to maintain the shipping dates given herein, but Seller shall not be liable for delays in delivery or in performance or failure
to manufacture or deliver due to causes beyond its reasonable control including, without limitation,acts of God, acts of the Purchaser, acts of civil or
military authority, priorities, fires, strikes or other labor disturbances, floodsepidemics, war, riot, delays in transportation or car shortages, or inability to
,
obtain necessary labor, materials, components or manufacturing facilities. In the event of such delay, the date of delivery or of performance shall be
extended for a period equal to the time lost by reason of the delay.
Inspection, Acceptance: Quotations and acceptances are made on the basis that where Purchaser is to inspect, inspection and acceptance of equipment
shall be made at Seller's factory, prior to shipment.
Warranty: Seller warrants to Purchaser that the goods delivered hereunder will be free from defects in material or workmanship and will be the kind and
quality specified in the acceptance.
! This warranty shall apply only to defects appearing within one (1) year from the date of shipment by Seller. If Seller installs the equipment or supplies
technical direction of installation by contract, the warranty shall be for a period of one (1) year from date of completion of field erection, but not
exceeding eighteen (18) months from date of shipment.
Seller shall, in complete fulfillment of its liabilities under this warranty and if given prompt notice by Purchaser, correct, by repair or replacement at
Seller's option, f.o.b. its factory, any defect which shall appear under proper and normal use of its equipment within one (1) year after date of shipment
or within one (1) year after the completion of field erection of the equipment if Seller installs the equipment or supplied technical direction of
installation by contract, but not exceeding eighteen (18) months from date of shipment.
The liability of Seller under this warranty (except as to title), or for any loss or damage to the equipment whether the claim is based on contract or
negligence, shall not in any case exceed the cost of correcting defects in the equipment as herein provided and upon the expiration of the warranty period
all such liability shall terminate. The foregoing shall constitute the exclusive remedy of Purchaser and the exclusive liability of Seller.
The foregoing warranty is exclusive and in lieu of all other warrantieswhether written; oral, implied or statutory (except as to title). NO WARRANTY OF
MERCHANTABILITY OR OF FITNESS FOR PURPOSE SHALL APPLY. Seller does not warrant any equipment of other manufacture designated by
Purchaser.
Supervision of Installation: Unless otherwise provided for herein, Seller will neither install nor supervise the installation of the equipment, but the same
shall be done by and at the expense of Purchaser.
Tests: The conditions of any test shall be mutally agreed upon and Seller shall be notified of, and may be represented at, all tests that may be made.
Protection Against Infringement: Seller agrees that it will, at its own expense, defend any suits which may be instituted by any party against Purchaser for
alleged infringement of United States Patents relating to the equipment of its own manufacture furnished hereunder, as used in the regular course of
Purchaser's business, provided Purchaser shall have made all payments then due hereunder, and gives to Seller immediate notice in writing of such suits
and permits Seller to defend the same, and gives all needed assistance and authority to enable Seller so to do, and thereupon, in case of a final award of
damages in such suit Seller will pay such award, but Seller shall not be responsible for any compromise made without its written consent, nor shall it be
bound to defend any suit or to pay any damages therein when the same shall arise by reason of the use of parts not furnished by Seller hereunder. In the
event that the use of said equipment is enjoined, Seller, if unable within a reasonable time to secure for Purchaser the right to continue using the said
equipment will, at its own expense, either replace the said equipment with noninfringing equipment, or modify the said equipment so that the same
becomes noninfringing or remove the enjoined equipment, and refund the sums paid therefor. The foregoing states the entire liability of Seller for patent
infringement by said equipment or any part thereof.
Seller assumes no liability whatever for patent infringement of any equipment or part thereof manufactured to Purchaser's design.
Limitation of Liability: Seller's liability for any claim of any kind (except "Protection Against Infringement") shall not exceed the purchase price of
equipment, or portion thereof, which gives rise to the claim, whether such claim shall be for breach of contract, breach of warranty or negligence and
whether such claim arises out of or results from this contract, or from the design, manufacture, sale, delivery, resale, installation, technical direction of
installation, inspection, repair, operation or use of any equipment furnished under this contract.
Seller shall not be liable in any event for special or consequential damages including, but not limited to, loss of profits or revenue, loss of use of
equipment or any associated equipment, cost of capital, cost of substitute equipment, facilities or services, downtime costs, in and out costs, or claims of
customers of Purchaser for such damages.
Special Containers: In the event Seller furnishes material requiring containers (such as oil barrels, drums, reels, etc.) or tarpaulins or other special covering,
an extra charge will be made for such containers and/or covering, and Purchaser shall pay the amount thereof, but refund, if and when specifically agreed
upon at time of purchase, will be made if such containers and/or covering are returned, at expense of Purchaser, in good condition, within four (4)
months from the original date of shipment, to the proper receiving point to be designated by Seller, charges prepaid by Purchaser; provided, however, that
invoice or memorandum and necessary shipping documents are promptly forwarded to Seller.
Cancellation: After receipt of Purchaser's acceptance to this quotation, the same may, upon fifteen (15) days notice in writing be cancelled by the
Purchaser, in whole or in part at any time, not later than ninety (90) days prior to the date scheduled for shipment of the particular equipment for which
cancellation is desired, but only upon the written consent of Seller and upon terms providing for payment to Seller of a cancellation charge satisfactory to
it which shall take into proper account the work already done, facilities and material acquired, and/or commitments made by Seller, and lost profits.
^ Assignment: Purchaser shall not assign this quotation or any acceptance of this quotation, or any rights therein or thereunder, without the written
f consent of Seller, in each case.
Scope: No salesman or other party is authorized to bind Seller by any agreement, warranty, statement, promise or understanding not herein expressed,
and no modifications hereof shall be binding on Seller unless the same are in writing and either executed and/or approved in writing by an executive
officer, Product Marketing Manager, or Service Manager of Seller.
Other Laws: Any clause required to be included in a contract of this type by any applicable law or administrative regulation having the effect of law shall
be deemed to be incorporated herein. Seller represents that with respect to the production of the articles and/or the performance of the services covered
hereunder, it has fully complied with Section 12(A) of the Fair Labor Standards Act of 1938, as amended. Acceptance and execution of orders accepted
by reason of any law or administrative regulation having the effect of law, or in order to carry out the intent or purpose of any such law or regulation or
to acquiesce in a request by a government agency or official thereof, or contingent upon the continuation in effect of such law, regulation or request, may
be cancelled by Seller upon the expiration or withdrawal or such law, regulation or request, provided, however, that Seller, at its option, may complete
such order.

POWER TRANSFORMER SERVICE POLICY
Qualified, factory -trained McGraw -Edison servicemen completely familiar with all
construction details and fully capable of supervising the erection of power trans-
formers are available to the purchaser on either a charge or a no -charge basis.
Using the services of these erection engineers will assure the purchaser that all
equipment is in good working order and properly installed. The following state-
ments define the McGraw Edison Company Power Systems Division policy for furnishing
erection engineers for power transformers.
Whether on a charge or a no -charge basis, the services of an erection engineer
must be requisitioned by the purchaser. A minimum of three weeks lead time is
required in each case.
An erection engineer will be furnished on a no -charge basis for the maximum days
specified per transformer when any of the following conditions are met:
f1 The unit represents the first order by a customer or a customer's operating
division for a McGraw -Edison LTC transformer, 3 phase step -voltage regulator,
or regulating transformer utilizing an LTC switch mechanism.
The minimum nameplate KVA rating is above 25000 KVA for two -winding trans-
formers without LTC equipment.
�. The minimum nameplate KVA rating is above 20000 KVA for two -winding trans-
formers with LTC equipment..
The equivalent KVA of parts is above 25000 KVA for autotransformers. This
will be less than the nameplate KVA rating.
X The high voltage is rated 230 KV or higher.
If the transformer qualifies under Item 1, 2, 39 4 or 5 above, the maximum number
of consecutive days of service at no charge will be in accordance with the schedule
shown in the table below. (Travel time will not be counted toward total service time).

Performance Specifications
RATING
The voltage ratings are based on the turn
ratio. The ratio of voltages will be subject
to the effect of regulation at various loads
and powerfactors. The kva rating is based
on rated secondary voltage maintained by
impressing on the primary winding the
voltage necessary to compensate for the
effect of regulation of the transformer.
The transformer will be designed to
deliver rated kva at 5% above rated voltage
(80% power factor or higher) and to oper-
ate at 10% above rated voltage at no-load,
without exceeding the specified tempera-
ture rise.
TEMPERATURE RISE
The temperature rise, measured by in-
crease in resistance (corrected to instant
of shutdown) and by thermometer, is
based on test conditions listed below ap-
plying to the classes of transformers
covered by these specifications.
1. Oil -immersed, self -cooled (Class OA)
and forced -air-cooled (Class OA/FA,
OA/FA/FA) and forced -oil -and -air-
cooled (Class OA/FA/FOA, OA/FOA/FOA
and FOA). At a n am bient temperature of
any value between 10 C and 40 C, and at
an altitude not exceeding 3300 ft (1000 m).
2. Water-cooled (Class OW) and forced -
oil -and -water-cooled (Class (FOW).
With ingoing water temperature of any
value between 20 C and 30 C.
NOTE: Water-cooled (OW) and forced -
liquid -cooled (FOW and FOA) transformers
are not designed to be excited without arti-
ficial cooling.

LOSSES (Total losses are the
sum of the excitation losses and
the load losses)
1. At rated frequency, voltage and kva.
Losses will be measured by wattmeter;
no-load losses will be corrected to a
sine -wave voltage basis and load losses
will be corrected to 75 C for 55 C ratings
or 85 C for 65 C ratings.
2. The average losses of all transformers
of the same rating tested on an order
will not exceed specified values. The
tested losses of individual transformers
tested on any order may exceed spec-
ified values by not more than 10% of the
no-load losses and by not more than 6%
of the total losses. If only one single-
phase transformer is on order, the
above tolerances apply. If only one
three-phase transformer is on order, no
tolerances apply.
PERCENT REGULATION
1. Based on rated voltage, kva, and fre-
quency, corrected to 75 C for 55 C rat-
ings, or 85 C for 65 C ratings.
2. The transformer regulation, computed
from the impedance volts and imped-
ance watts measured by wattmeter,
may exceed the specified regulation at
specified power factors by not more
than 71/2% for two -winding transformers
or 10% for three -winding transformers
and autotransformers.
TESTS
1. All tests will be made in accordance with
the ANSI Standards Test Code C57.12.90.
2. The procedure in making the tests will
be in accordance with testing practices
of the McGraw -Edison Company, Power
Systems Group.
OVERLOAD CAPABILITY
McGraw -Edison designs all power trans-
formers for normal operation at loads up to
the maximum nameplate rating. Operation
at loads exceeding the maximum name-
plate ratings can result in excessive ther-
mal degradation and insulation gassing.
These effects—separately or combined—
can shorten the expected life of the
transformer.

Thermal degradation, which proceeds
normally at rated load, is accelerated at
higher overload temperatures. The result-
ing cumulative loss of life described in
ANSI C57.92 and NEMA TR -98 reduces
the inherent ability of the transformer to
withstand the abnormal physical effects
associated with through -faults and other
system disturbances.
Insulation gassing is caused by exces-
sive winding temperatures resulting from
overloads. This effect—described in IEEE
Papers F-79-170-2 and A-79-434-2—is due
to a rapid thermal decomposition of the
cellulose. The formation of gas bubbles
produces a short-term reduction in the
insulation strength. This effect can signifi-
cantly impair the ability of the transformer
to withstand electrical transients during
overload and may persist at operating
voltage even though the system has
returned to normal.
McGraw -Edison design practices in-
clude the choice of ancillary equipment
based upon the premise that emergency
short -time overloads may be unavoidable.
The loading limitations recommended in
the Loading Guides should not be ex-
ceeded because of the long-term thermal
effects on transformer life. In addition, the
temperatures of the hottest -spot winding
conductors should not exceed 140 C with-
out recognizing the consequence of insu-
lation gassing. It is recommended that any
emergency overload be limited to 150% of
maximum nameplate rating. On trans-
formers which encounter loads exceeding
125% of the maximum nameplate rating, a
combustible gas analysis should be per-
formed as described in ANSI/IEEE
C57.104-1978.
The risk involved when transformers are
overloaded is the responsibility of the user.
McGraw -Edison will accept a share of this
risk only during the warranty period.

EXCEPTIONS
1. Reference General Condition B and page 4, paragraph 2.8.
The transformers will be warranted for a period of one (1) year after date of
completion of field erection, but not to exceed 18 months after shipment from the
factory. McGraw -Edison does not assume liability for consequential damages in no
event shall be held liable for more than the cost of the equipment sold. Full
warranty may be extended to 30 months after shipment for a price addition of one
percent (1%) or extended to 42 months for a price addition of three percent (3%).
It is our policy not to extend beyond 42 months.
If our warranty under this contract is to include, in addition to the equipment
repair or replacement cost, the direct cost of:
a. Removing a transformer from service,
b. Transportation of unit to and from factory and,
c. Reinstallation on the site,
_A price addition of two percent (2y) will apply. (The total amount of our liability
under a, b, and c, above, will be limited to 10% of the price of the warranted
apparatus. Expense of removing adjacent structures, costs of temporary service,
etc., is not included.)
NOTE: This warranty will apply only for the period 12 months after date of
completion of field erection, but not to exceed 18 months after shipment
from the factory.

TRANSFORMER/BREAKER OIL
The highest grade of transformer/breaker oil obtainable from the most reliable
major oil companies is used by the McGraw -Edison Power Systems Division for
insulation and for transferring heat from the core and coils to the heat dis-
sipating surfaces of the tank, radiators and other associated components.
McGraw -Edison Power Systems Division oil is a pure, unblended mineral oil obtained
by fractional distillation of petroleum, prepared and refined especially for use
in transformers and breakers.
Suppliers meeting this specification warrant that their oil does not contain PCBs.
Careful testing of each oil shipment insures uniform high quality. A water -in -oil
meter located at the discharge end of the factory oil system filter press provides
assurance that only oil with maximum dryness enters McGraw -Edison transformers and
breakers.
All oil must conform to or exceed the specifications given in ANSI/ASTM #D3487
which includes, but is not limited to, the following:

MANUFACTURER'S SPECIFICATION
PAINTING
The paint used on McGraw -Edison Transformers and Power Circuit Breakers is
manufactured for us by Technical Coating Corp. and/or Hanna Chemical Coating
Corp., under our specifications, which are as follows:
SPECIFCATIONS OF PRIMER AND FINISH COATS
Primer Coat:
Special Transformer Paint Primer:
The pigment includes red iron oxide and zinc chromate with no rust inciting
pigments. The vehicle is a short oil length synthetic Alkyd, designed to give
maximum adhesion and to provide a tight undercoat for succeeding coats.
Intermediate and Finish Coats:
ANSI #70 Transfomer Paint:•
The pigment consists of the highest grade non -chalking titanium dioxide pigment
and enough shading colorants to produce the proper tint. The vehicle is composed
of the highest grade Alkyd vehicle for exterior exposure. This combination gives
a hard, yet elastic finish extremely resistant to fumes, weather, transformer
temperature changes, transformer oil and other factors to which it may be exposed.
This paint has long -wearing, non -chalking, non -fading qualities and is applied
in maximum possible firm thickness for greater durability.
METHOD OF APPLYING PRIMER AND SUCCEEDING COATS OF PAINT TO TRANSFORMER
Number of Coats:
The primer and at least two (2) coats of PAINT are applied to all power equipment.
Preparation Before Painting:
Surfaces of tanks, covers, bases, trucks (tubes, radiators, compartments and
expansion tanks, when furnished) are GRIT BLASTED before painting. Surfaces
are clean, free from moisture, oil, dirt, rust, scale and foreign material.
Surfaces and paint have the same temperature, preferably not less than 600F.
Painting:
The PRIMER coat is applied immediately following grit blasting (within three (3)
hours). Primer coat is then thoroughly dried. At least two (2) subsequent
coats of PAINT are then applied, after the primer coat is thoroughly dried.
Method of Applying Primer and Subsequent Coats:
The surfaces are sprayed or paint is applied by the "flow method". By the flow
method, the paint is poured over the entire surface by means of a circulation
pump. This is equivalent to a dipping process. PRIMER and PAINT are applied by
experienced workmen, and in dust -free atmosphere.
Method of Drying Primer and Paint:
On all power products, the primer and subsequent coats of paint are air dried.
