r �g A RESOLUTION by the City Council of the City of Lubbock,
Texas, approving and authorizing the giving of
notice of intention to issue revenue bonds.
WHEREAS, the City Council of the City of Lubbock,
Texas, has determined that revenue bonds in the principal
sum of $10,000,000 should be issued in accordance with the
provisions of Articles 1111 et seq. and 2368a, V.A.T.C.S.,
to finance the cost of improving and extending the electric
light and power system of the City; and
WHEREAS, prior to the issuance of said revenue bonds,
this Council is required to give notice of its intention to
issue the same in the manner and time provided by law; now,
therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
LUBBOCK, TEXAS:
Section 1: That the City Secretary is hereby authorized
and directed to cause notice to be published of this Council's
intention to meet on the 22nd day of March, 1984, to pass an
ordinance and take such action as will be necessary to
authorize the issuance of revenue bonds in the total principal
amount of $10,000,000 for the purpose of improving and
extending the electric light and power system of the City.
The notice hereby approved and authorized to be given shall
read substantially in the form and content of Exhibit A
hereto attached and incorporated herein by reference as a
part of this resolution for all purposes.
Section 2: That such notice shall be published once a
week for two consecutive weeks in a newspaper having general
circulation in the City of Lubbock, Texas, and the date of
the first publication of such notice to be at least fourteen
(14) days prior to the date stated therein for the passage
of the ordinance authorizing the issuance of the revenue
bonds.

NOTICE OF INTENTION TO ISSUE
CITY OF LUBBOCK, TEXAS, REVENUE BONDS
NOTICE IS HEREBY GIVEN that the City Council of the
City of Lubbock, Texas, will convene at its regular meeting
place in the City Hall of Lubbock, Texas, at 9:30 o'clock
A M. on the 22nd day of March, 1984, to pass an ordinance
and take such action as may be deemed necessary to authorize
the issuance of revenue bonds in the aggregate principal
amount of $10,000,000 for the purpose of improving and
extending the electric light and power system of the City.
Such bonds shall mature not later than December 31, 2024,
shall bear interest at such rate or rates (not to exceed 15%
per annum) as determined by the City Council and said bonds,;
together with certain outstanding and unpaid revenue bonds
of the City, shall be payable solely from and equally
secured by a first lien on and pledge of the net revenues of
the City's electric light and power system.
The holder of such bonds shall never have the right to
demand payment out of any funds raised or to be raised by
taxation.
This Notice is issued pursuant to authority and direction
of the City Council of the City of Lubbock, Texas, and in
accordance with the provisions of Article 2368a, V.A.T.C.S.

MEMORANDUM
Article 6252-17, V.A.T.C.S. recuires that written notice must be given of
the date, hour, place and subject of each meeting held by the governing
body of a governmental entity. Such written notice must be posted
"for at least 72 hours preceding, the* day of the meeting, except that
in case of an emergency or urgent public necessity, which shall be
expressed in the notice, it shall be sufficient if notice is posted
two hours before the meeting is convened." In cases of emercency meetings
special notice by telephone or telegraph must also be given in advance
of the meeting to any news media which has previously filed a request
for such special notice at the headquarters of the governmental body
and consented to pay any and all expenses incurred by the governmental
body in providing such special notice.

Gentlemen:
1.. We understand that you are contemplating the authorization and
issuance of various types of Bonds, the proceeds of which will be used for
improvements within your City (the "Issuer"), and that in connection with
the authorization, sale, issuance and delivery of these obligations you
desire this proposal from us to perform professional services in the
capacity of Financial Advisors.
2. By this.proposal we offer our professional services and our facilities
as Financial Advisors and agree to direct and coordinate the entire program
of financing herein contemplated, and to assume and pay the expenses
hereinafter enumerated. It is understood and agreed, however, that this
obligation on our part shall not cover the cost of any litigation.
3. We agree to perform the following duties normally performed by such
advisors, and to perform such other duties as, in our judgment, may be
necessary or advisable:
a. We will make a survey of the financial resources of Issuer to
determine the extent of its borrowing capacity. This survey will include
an analysis of the existiing debt structure as compared to existing and
projected sources of income which may be pledged to secure payment of debt
service, and where appropriate, will include a study of the trend of the
assessed valuation of the Issuer, the Issuer's taxing power, and the
present and estimated future taxing requirements. If the revenues of a
system or facility are to be pledged to repayment of the securities in
question, the survey will take into account any outstanding obligations
which are payable from the revenues thereof, revenues to arise from any
proposed rate increase, and additional revenues as projected by you and/or
your consulting engineers as a result of the improvements to be financed by
the obligations in question. We will also take into account your future
financing needs and operations as projected by your staff and/or your
consulting engineers and other experts.
b. On the basis of the information developed by the survey described
in the above and foregoing paragraph, and on the basis of other information
and experience available to us, we will submit our written recommendations
on the financing in question. Our plan will include recommendations as to
the date of issue, interest payment dates, schedule of principal
maturities, options of prior payment, and any other necessary additional
security provisions designed to make the issue attractive to investors.
All recommendations will be based on our best professional judgment, with
the goal of designing obligations which can be sold under terms most
advantageous to Issuer, and at the lowest interest cost consistent with all
other considerations.
C. If the obligations are to be sold at public sale, we will advise
you of current bond market conditions, forthcoming bond issues, and other
general information and economic data which might normally be expected to
influence the interest rates or bidding conditions,, so that the date for
the sale of the obligations can be set at a time, which, in our opinion,
will be favorable.
d. We understand that you have retained, or will retain, the firm of
Dumas, Huguenin, Boothman and Morrow, Dallas, Texas, municipal bond
attorneys ("Bond Counsel"), whose fee will be paid by us. If an election
is required, we.will assist in coordinating the assembly and transmittal
to Bond Counsel of such data as may be required for the preparation of the
necessary petitions, orders, resolutions, notices and certificates in
connection with the election.
e. If the obligations are to be sold at public sale, we will
coordinate the preparation and submission of the Notice of Sale, the
Official Statement, and such other market documents which you may require.
We will also supervise preparation of the uniform bid form, containing
provisions recognized by the municipal securities industry as being
consistent with the obligations offered for sale. We will submit to you
all such offering documents, including the Official Statement, for your
proper examination, approval and certification. After such examination,
approval and certification, we will furnish you with a supply of such
documents and shall mail a set of the same to a list of prospective
bidders, and to banks, life, fire and casualty insurance companies,
investment counselors and other prospective purchasers of the obligations.
We will also supply sufficient copies of the Official Statement to the
purchaser of the obligations in accordance with the terms of the Notice of
Sale. The cost of preparing, printing and distributing these documents
will be paid by us. We will arrange for such reports and opinions of
recognized independent consultants which we deem necessary and required in
the successful marketing of the obligations; the fees and charges for such
services will be paid by you.
f. If the obligations are to be sold at public sale, we will advise
financial publications of the forthcoming sale of your obligations and
furnish them with the pertinent information.
g. We will make recommendations to the Issuer on the matter of a
credit rating or ratings for the proposed issue and when directed by you
shall coordinate the preparation of such information as in our opinion is
required for submission to the rating agency or agencies. Any fees
incurred in obtaining a rating or ratings will be paid by you. In those
cases where the advisability of personal presentation of information to the
rating agency or agencies may be indicated, we will arrange for the
personal presentation. The travel expense of City officials for such
presentation will be paid by you.
-h. If the obligations are sold at a public sale, we will assist you
at the sale for the -purpose of coordinating the receipt of bids, and the
furnishing of good faith checks where indicated, and for the purpose of
tabulation and comparison of bids, and will advise you as to the best bid,
and will provide our recommendation as to acceptance or rejection of such
bids.
i. - As soon as a bid or other proposal for purchase of the
obligations shall be accepted by you, we will proceed to coordinate the
efforts of all concerned to the end that the obligations may be delivered
and paid for as expeditiously as possible. We shall assist you in the
preparation or verification'of final closing figures, and when requested,
will provide suggestions on a program of temporary investment of proceeds,
in consultation with Issuer's architect or Consulting Engineer, consistent
with the construction timetable for the project.
J. We will act as your agent in arranging for the printing of the
obligations, the cost of which will be paid by us. We will attend to their
delivery to the Attorney General for approval and the Comptroller of Public
Accounts for registration, it being understood that title to and ownership
of the printed obligations shall be in Issuer until they are delivered to
the purchaser.
k. We will maintain liaison with Bond Counsel in the preparation of
all legal documents pertaining to the authorization, sale, issuance and
delivery of the obligations. Bond Counsel will furnish an unqualified
approving legal opinion on the obligations at the time of delivery.
1. After closing we will deliver to you a schedule of annual debt
service requirements on the obligations being delivered to the purchaser.
We will furnish to the paying agent/registrar a copy of the authorizing
ordinance.
M. We will attend any and all meetings of your governing body, or
any representatives thereof, as desired by you, whenever we may be of
assistance and the subject of financing is to be discussed.
n. '•If so directed by Issuer, we will advise and assist you and your
other consultants in the preparation and submission of any application for
funding made to a State or Federal Agency. Further, if so requested, a
representative of this firm shall accompany and assist you and your other
consultants in any meetings or hearings before the appropriate Agency. Our
travel expenses in connection therewith shall be borne by us, unless said
meetings or hearings are -held out of the State of Texas, in which case,
such expenses shall be borne by you.
o. In consideration for the services rendered by us, it is
understood and agreed that our fee for each issue of obligations will be as
follows:
Base Fee - Any Issue $3,750
Plus $6.50 per $1,000 up to $ 500,000 or $7,000 for $ 500,000 Bonds;
Plus $6.00 per $11,000 next $ 500,000 or $109000 for $1,000,000 Bonds;
Plus $3.50 per $1,000 next $1,500,000 or $159250 for $2,500,000 Bonds;
Plus $2.50 per $1,000 next $2,500,000 or $21,500 for $59000,000 Bonds;
Plus $2.25 per $1,000 next $5,000,000 or $32,750 for $10,000,000 Bonds;
Plus $1.75 per $1,000 next $10,000,000 or $50,250 for $20,000,000 Bonds;
Plus $1.25 per $1,000 next $10,000,000 or $62,750 for $30,000,000 Bonds;
Pius $1.20 per $1,000 next $20,000,000 or $86,750 for $50,000,000 Bonds.
Fees for revenue issues shall be the amount shown above plus a 20%
additional charge.
Our fee and reimbursable expenses shall become due and payable
simultaneously with the delivery of the obligations to the purchaser.

4. In the event a bond or similar type election shall fail, the fee due
us shall be nothing; however, should the same or similar propositions again
be submitted to election held within twenty four months from the date
hereof, then at our option the agreement covered by this proposal shall
apply to such obligations.
5. It is further understood and agreed that we reserve the right to
submit a bid for the obligations when offered for sale.
' 6. This agreement shall remain in effect for a period of five years from
the date hereof; provided, it may be terminated by you upon thirty (30)'
days' written notice to us. In the event of termination, it is understood
and agreed that only the amount due us for services or expenses to date of
termination would be due and payable, and that no penalty for cancellation
of the contract would be allowed. It is the intent of this provision that
our services be satisfactory to you at all times.
This proposal is submitted in duplicate originals. When accepted by you,
it will constitute the entire agreement between Issuer and the undersigned
for the purposes and considerations herein specified. Your acceptance will
be indicated by the signature of your authorized officials on both copies,
and the returning of one executed copy to us.

Dear Ms. Gaffga:
We have prepared and are enclosing the following pro-
ceedings relating to the giving of notice of intention to
issue revenue bonds, to wit:
1. Notice of Meeting to be completed and posted in
accordance with the attached Memorandum.
2. Four copies of the Certificate of City Secretary
relating to the Resolution approving and authorizing the
giving of notice of intention to issue revenue bonds. After
completion and execution, all four copies are to be returned
to us.
3. Two copies of the Resolution approving and authorizing
the giving of notice of intention to issue revenue bonds.
After completion and execution, one copy is for the files of
the City and one copy is to be returned to us.
4. The "Notice of Intention to Issue City of Lubbock,.
Texas, Revenue Bonds" for execution. The notice'is to be
published in a newspaper having general circulation in the
City once a week for two consecutive weeks (tentatively

of Lubbock, Texas Electric Light and Power System Revenue Bonds,
Series 1984, and authorizing distribution of same.
Mrs. Briscoe in our Dallas office will furnish you with copies of the
resolution and a copy of each Official Statement Prior to the meeting..

Dear Ms.-Gaffga:
We have prepared and are enclosing the following pro-
ceedings relating to the giving of notice of intention to
issue revenue bonds, to wit:
1. Notice of Meeting to be completed and posted in
accordance with the attached Memorandum.
2. Four copies -of the Certificate of City Secretary
relating to the Resolution approving and authorizing the
giving of notice of intention to issue revenue bonds. After
completion and execution, all four copies are to be returned
to -us.
3. Two copies of the Resolution approving and authorizing
the giving of notice of intention to issue revenue bonds.
After completion and execution, one copy is for the files of
the City and one copy is to be returned to us.
4. The "Notice of Intention to Issue City of Lubbock,
Texas, Revenue Bonds" for execution. The notice is to be
published in a newspaper having general circulation in the
City once a week for two consecutive weeks (tentatively

scheduled to be published on February 19 and February 26),
the date of the first publication to be at least fourteen
(14) days prior to the date stated therein for the passage
of the ordinance authorizing the issuance of the revenue
bonds.
5. Five copies of the Affidavit of Publication to be
completed and executed by an official of the newspaper after
the notice has'been published two times as aforesaid. To -
each affidavit should be attached a clipping of the notice
as it appeared in the newspaper. Four copies are to be ' _
returned to us, and one copy is for the files of the City.
