Mr. Robert Massengale October 17, 1985 Page 2 In order to draft the ordinance authorizing the bonds, we will need the terms agreed upon by the bank that will pur- chase the bonds as soon as possible. We will provide you with an appropriate form of ordinance authorizing the bonds as soon as we can. We expect our legal fees in connection with this issue of bonds to be approximately $25,000. As this fee is substan- tially higher (based on a ratio of principal amount of bonds) than the City pays in connection with the issuance of tradi- tional revenue or general obligation bonds, we thought we should advise you of such fact. It is customary in industrial development bond financings for the ultimate beneficiary of the bonds (Fanta Sea Isle of North America) to pay to the issuer of the bonds (the City) at closing of the Bond issue the amount of our fee. We thought this information might be useful to the City in connection with the negotiations concerning the sub - concession agreement with Fanta Sea Isle. Please call us if you have any questions. Very truly yours, Mark S. Westergard For the Firm MSW/lc Enclosures
