BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and
directed to execute for and on behalf of the City of Lubbock a License
Agreement for paving improvements over a portion of the Canadian River
Project main aqueduct to be entered into by and between said City and the
United Stated of America represented by the Southwest Region of its Bureau
of Reclamation which Agreement has been heretofore approved by the Canadian
River Municipal Water Authority, attached herewith, which shall be spread
upon the minutes of the Council and as spread upon the minutes of this
Council shall constitute and be a part of this Resolution as if fully
copied herein in detail.

LICENSE AGREEMENT
BETWEEN THE
UNITED STATES OF AMERICA
AND THE
CITY OF LUBBOCK
RELATING TO COMMON RIGHTS-OF-WAY
FOR CANADIAN RIVER PROJECT AQUEDUCT
THIS LICENSE AGREEMENT, made this 24th day of October 19 85,
pursuant to.the Act of Congress of June 17, 1902 (32 Stat. 388), and acts amen-
datory thereof and supplementary thereto, particularly the Reclamation Project
Act of 1939 (53 Stat. 1187), as amended, between the UNITED STATES OF AMERICA,
hereinafter styled "United States," represented by the officer executing this
agreement, and the CITY OF LUBBOCK, Texas, hereinafter styled "City," repre-
sented by the undersigned City official.
WITNESSETH THAT:
WHEREAS, the City desires at its own expense, to construct, operate,
and maintain certain street paving improvements for a segment of North Quaker
Avenue in Lubbock, Texas, the required right-of-way of which will coincide with
right-of-way of the Canadian River Project Aqueduct between stations 329+20 and
337+40; and
WHEREAS, The use of the Canadian River Project right-of-way described
herein, in the manner and under the terms and conditions hereinafter set out,
will not be incompatible with the requirements of the United States for the
operation and maintenance of the aqueduct facilities of the Canadian River
Project.
NOW, THEREFORE, for and in consideration of the mutual benefits and
covenants herein contained, the parties hereto agree as follows:
1. The United States hereby consents to the use of its right-of-way
easement along North Quaker Avenue by the City within the segment of right-of-
way and in the manner shown on Exhibit "A," attached hereto and by this
reference made a part hereof, and in accordance with the terms and conditions
hereinafter set forth.
2. All rights of the United States and its successors and assigns to
survey, construct, reconstruct, operate, maintain, and remove the water pipeline
or conduits and all appurtenances thereto are reserved unto the United States;
Provided, However, That the rights of access to through traffic roadways and/or
ramps shall be subject to the same rules and regulations as applied to the
general public, except as otherwise provided for herein, and neither the United
States nor the City, by the execution of this agreement, waives or relinquishes
any right which it may have under the law or constitution, State or Federal. If
existing facilities are to be altered or modified or new facilities constructed
within said right-of-way area, the United States agrees to notify the City prior
thereto and to furnish information showing location, type of construction, and
methods to be used for protection of traffic. If, in the opinion of the City,
such alteration, modification, or new construction will endanger the traveling
public using the street, the City shall have the right, after receipt of such
notice, to prescribe such regulations as necessary for protection of the
traveling public using said street.
3. In the event of an emergency, it being evident that immediate
action is necessary for protection of the public and to minimize property damage
and loss of investment, either party hereto may at its own responsibility and
risk make necessary emergency repairs, notifying the other party hereto of this
action as soon as is practical.
4. The City shall advise the United States or the Canadian River
Municipal Water Authority (Water Authority) in sufficient time to permit inspec-
tion, if deemed necessary, by the Water Authority Manager on behalf of the
United States of the construction work in progress and at the completion of
construction within the aqueduct right-of-way.
5. The City shall pay said Water Authority the actual necessary
direct cost and expenses for such inspection services plus an allowance for
indirect costs.
6. The City shall remove and replace at its own expense any damaged
curbing, islands, control devices, paving, and base adjacent to or overlying the
aqueduct segment in need of repair.
7. The City agrees that, if construction, operation, or maintenance of
project facilities upon said lands should be made more expensive by reason of
existence of Quaker Avenue thereon, such additional expenses are to be estimated
by the Secretary of the Interior whose estimate is to be final and binding upon
the parties hereto. Within 30 days after demand is made upon the City for
payment of any such sums, the City will make payment thereof to the United
States or any of its assigns constructing such structures and facilities on said
lands.
8. The City releases the United States from all liability for loss or
damage to the portion of Quaker Avenue located on the Canadian River Aqueduct
easement resulting from construction, operation, and maintenance activities as a
part of the Canadian River Project by the United States or its assigns.
9. The City shall furnish evidence to the United States and Water
Authority that, with respect to construction of the crossing, its contractor
carries regular contractor liability insurance and, in addition, a protective
liability policy in behalf of the United States and Water Authority which will
pay for all costs and expenses incurred from damages to the aqueduct facility
and related claims with a minimum of $250,000.
10. The City will accomplish all construction, operation, and main-
tenance on project rights-of-way in a manner which avoids damage to or obstruc-
tion of project facilities, or interferes in any way with the operation and
maintenance of the same. If normal traffic loads are to be exceeded, including
excess loads from construction or maintenance equipment, the City shall take
adequate precautions for protection of the aqueduct,. Except as shown on
approved construction drawings, the City will not remove nor place additional
overburden on United States rights-of-way.

11. The City agrees that the United States, its officers, agents,
employees, and its successors and assignees shall not be held liable for any
damage to the City's improvements or works by reason of the exercise of the
rights herein reserved; nor shall any thing contained in this paragraph be
construed as in any manner limiting other reservations in favor of the
United States contained in this agreement.
12. The United States and the Water Authority agree to observe such
safety and traffic rules as may be promulgated by the City regarding the use of
this access.
13. This agreement is subject to existing rights-of-way, if any, for
highways, roads, streets, canals, -laterals, drains, ditches, pipelines, electric
transmission lines, and telegraph and telephone lines over any part of the con-
cerned project rights-of-way.
14. The United States makes no warranty, expressed or implied, as to the
extent or validity of ;he consent granted herein.
15. This agreement shall inure to the benefit of and be binding upon
the successors and assignees of the parties hereto.
16. The terms of this agremeent shall continue so long as the City uses
the concerned project rights-of-way for street purposes. If the City should
discontinue the use of facilities constructed under the terms of this agreement
for street purposes, it shall remove all facilities so constructed, leaving the
premises in a condition satisfactory to the United States unless, at the option
of the United States, the facilitis are permitted to remain upon the rights-of-
way of the United States.
17. The General Provisions - License Agreements (RO112482), attached
hereto, are hereby made a part of this license agreement the same as if it had
been expressly set forth herein.
IN WITNESS WHEREOF, the parties hereto have executed this joint -use
agreement as of the day and year first hereinabove written.
