Said Contract is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the City Council. THIS IS THE FIRST AMENDMENT TO THE AGREEMENT dated and entered into the 26`x' day of January 2017 by and between the City of Lubbock ("City") and Lee Lewis Construction, Inc. ("LLCI"), of Lubbock Texas, for providing construction manager at risk services for city -owned property known as Citizen's Tower. WITNESSETH: WHEREAS, in accordance with Article 2, Sections 2.2.1 and 2.2.8 of said agreement LLCI proposes the Guaranteed Maximum Price (GMP) of forty-six million two hundred thirty-five thousand seven hundred fifty-one and 00/ 100 ($46,235,751) as evidenced in Exhibits A and B, attached and incorporated herein. WHEREAS, in accordance with Article 2, Section 2.2.4.5 of the agreement, as a component part of the GMP, the time required for substantial completion proposed by LLCI is twenty-two (22) months. WHEREAS, all other portions of the original Agreement and previous Amendments, if any, shall remain in place and are not altered by this amendment. NOW, THEREFORE, the City and LLCI agree to the following terms in this FIRST AMENDMENT: 1. The GMP for CMAR services for Citizen's Tower shall be forty-six million two hundred thirty- five thousand seven hundred fifty-one and 00'100 ($46,235,751); and 2. Box 795037 Lubbock, TX 79464 Dallas, TX 75379 806-797-8400 • 806-797-8492 972-818-0700 • 972-818-0706 Exhibit B Citizens Tower Assumations and Clarifications This Guaranteed Maximum Price (GMP) for the Lubbock Citizens Tower is based on reasonable assumptions and incorporates only certain costs and expenses that Lee Lewis Construction, Inc. (LLCI), the Construction Manager, expects will be incurred in construction of the Work. LLCI has listed below the assumptions and clarifications that have been considered so that all parties understand what is and what is not included in the GMP. Where actual events or conditions on the project differ from the assumptions and clarifications listed below and in the GMP Summary (reference Exhibit B "GMP SUMMARY") includes adjustments for the resulting additional costs and expenses. These assumptions and clarifications are specifically used to establish the basis of the GMP Summary and are also intended to clarify and take precedence over details or items shown in the Contract Documents, in the event that there is a discrepancy between or among any of them. General Assumptions The GMP is based on these Assumptions and Clarifications and the Contract Documents as prepared by Perkins and Will Architects, Inc. and their consultants as listed and dated in the Contract Documents which is hereby fully incorporated by reference. 2. The cost of the GMP will be held for Sixty (60) days from Date of Bid. 3. The GMP Summary does include the Pre -Construction Phase Fee of $25,000.00 and will be identified per line item. 4. The GMP is for the Scope of Work described by the Contract Documents, including these assumptions and clarifications. The line items in the GMP Summary are not individually guaranteed. Any line items in the GMP that may arrive under budget will have the balance thereof remain in the GMP to cover Cost of the Work and used at the CMR's discretion without prior approval for items including but not limited to, overruns in other GMP line items, other budgeted items, scope uncertainties, anticipated Work requirements, or contingency funds where mutually agreed to by Owner and Construction Manager. Remaining balances will be returned to the Owner at project completion in accordance with the Construction Manager at -Risk Agreement. 5. A Builder's Risk Policy will be furnished by Lee Lewis Construction in accordance with the Contract. This cost is included in the GMP per line item. Should the GMP be increased by any amount, LLCI is entitled to an increase in associated costs for this policy accordingly. 6. General Liability Insurance, Professional Liability Insurance, Vehicle Insurance, and Pollution Insurance are included in the GMP per line item. (these items will Page 1 of 5 Exhibit B be billed and paid for at a combined rate of 0.6% of the gross contract amount) Should the GMP be increased by any amount, LLCI is entitled to an increase in associated costs for this policy accordingly. 7. The Payment and Performance Bond is included in the GMP per line item. 8. There are specific line item allowances that have been mutually agreed upon per the attached Exhibit B. Any additional costs required to perform Work for said allowances will be borne by the Owner either via use of Contingency funds or Contract Amendment. Conversely, 100% of any savings resulting from said allowances will be credited to the Contingency. 9. There is not a Construction Manager's Contingency Allowance included in the GMP. 10. There is not an Owner's Contingency Allowance included in the GMP. An Owner's Contingency Allowance, established from future Valued Engineering Options, will be used for Owner -initiated changes in the Work. 100% of the remaining balance in this Contingency shall be returned to the Owner upon completion of the project. 11. A Storm Water Pollution Prevention Plan (SWPPP) administered to by the Texas Commission on Environmental Quality is required for this project. LLCI has included costs to furnish and install best management practices and maintain / monitor the SWPPP during construction as required by the Construction Manager at -Risk Agreement. These maintenance items will be considered Cost - of -Work items that will be billed monthly with back-up supporting costs if necessary. 12. Any applicable utility pro -rata fees are not included and are to be paid for by the Owner. 13. Costs for temporary electric and water used for construction are not included in the GMP. These services and all related fees are by the City of Lubbock. 14. The GMP is based on the Job Site being free from hazardous and contaminated materials including contaminated water and soil regardless of classification. Hazardous and contaminated materials testing, monitoring and abatement, as well as any required environmental investigations and insurance, if required, are not included in the GMP. 15. The GMP does not include Testing, Commissioning or any other items (listed in Exhibit B) not specifically indicated to be provided by LLCI, 16. The GMP does not include costs for building permits or plan review fees. 17. The order of precedence of the documents in the event that there is a conflict between documents is: Page 2 of 5 Exhibit B a. Future Change Orders b. These Assumptions and Clarifications and Attachments (Exhibits) herein c. Construction Management at -Risk Agreement executed between City of Lubbock Texas and Lee Lewis Construction, Inc. d. This GMP is based on Accepted VE Options (Exhibit A-3) dated 7/7/17 19. This GMP is based on Accepted Alternates listed in GMP Summary Exhibit A-2 Specific Assumptions & Clarifications General Conditions 1. The General Conditions (defined as both the General Conditions Cost and On - Site Staff Expenses of the Construction Manager at -Risk Agreement) includes costs for services as follows: General Conditions & On -Site Staff Expenses • Project Management • Project Superintendence • Project Engineers • Corporate Safety Director (only in the percentage that Safety Director is assigned to the project, not to exceed 10% of total salary) • Burden / Benefits: Labor burden for LLCI personnel will be billed and paid for at 42% of total cost and will include FICA, FUTA, Worker's Comp, Unemployment Tax, Health Insurance Premiums, Dental Insurance Premiums, Life Insurance Premiums, Vacation and Retirement) • Bonuses for the above referenced personnel (in a proportionate amount of the allowable percentage of billable salary) • Staff Cellular Phones, I -pads, WIFI Hot spots (for on-site staff only) • Staff vehicles will be billed at rate of $800 per month per vehicle and will be billed for on-site staff only. This rate excludes automobile insurance and does not include fuel, repairs or maintenance (see below). • Project related travel expenses • Project related meals and meetings • Per diem costs for on-site personnel (not to exceed State per diem rate) • Fuel (for vehicles and equipment included in the General Conditions) • Vehicle Maintenance • Document Reproduction (submittals, shop drawings, copies, etc.) • Job Site Offices (including set-up, freight in, freight out) • Job Site Office furniture (in an amount not -to -exceed AED Green Book standard rental rates) • Shop Drawings and Submittals • Office Supplies as necessary. Page 3 of 5 Exhibit B • Computers, printers, LCD Displays (may include appropriate IT consulting fees with proper invoice back-up) • Communications for Job Site Office (includes land line and/or broadband internet service with associated start-up costs) • Temporary Security Monitoring System installation and monthly fees. • Safety Supplies & Equipment (includes personal protective equipment, first aid supplies, safety training equipment, ID badges, etc.) • Small Tools and Maintenance • Water, Ice & Cups (including bottled water at Job Site Office, containers to hold on-site water for field personnel) • Temporary Toilets • Temporary Facilities • Temporary Barricades • Temporary Heat • Building Layout • OSHA Compliance • Project Signs (for LLCI and project signage, includes privacy screen with Logos) • Temporary Fencing/Screen • Dumpsters (for standard waste removal only — excludes sorted or waste - specific dumpsters) • Standard Rough Clean-up and Debris Removal • Project Photos and Monthly Reports • Interim cleaning as determined by LLCI. • Final Cleaning 2. The General Conditions Costs, are only guaranteed as a lump -sum not -to - exceed cost based upon information available at time of Bid Date and cannot be individually guaranteed as separate sums or guaranteed by line item. 3. This GMP is based on the latest Construction Documents. Any changes in scope that increase project duration or any services, etc. required as part of the General Conditions and On -Site Staff Expenses are subject to equitable increases thereof. Only items listed in the Staff Expenses and General Conditions list are included. Any other items are considered cost of Work. 4. The GMP does not include any engineer, design or outside consulting fees or scope in respect to existing structures and building systems. All pricing and scope are as defined in the contract documents. There are no allowances for unforeseen or unsuitable conditions or damaged systems from previous demolition activities. 5. All structural testing and inspections are by others and not included in this GMP 6. Structural demolition and restoration is limited to the scope as indicated on the plans and specifications. 7. Structural Fireproofing is limited to new structural steel and existing structural steel and joists and GMP pricing does not include any fireproofing of existing concrete columns, beams, slabs or structures. The GMP pricing does not include any analysis, engineering or modifications of the existing structure or substrate assembles for the attachment of Terracotta Wall Panels, Metal Wall Panels, Curtain Wall Systems, Drywall System or Mechanical Systems. 9. The GMP includes pricing for MEP Systems ( Div 22 - Plumbing, Div 23 HVAC & Div 26 — Electrical) as defined per plans and specifications and does not included any allowances, assumptions, evaluations or engineering design work. 10. All Site Utilities to the building and utility taps are by others and not included in this GMP.
