HomeMy WebLinkAboutResolution - 3871 - Amendment To Agreement - HDR Engineering - WTP Renovation - 04/23/1992Resolution No. 3871 April 23, 1992 Item #22 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock an Amendment to the December 6, 1990, Agreement for Engineering Services for renovation of the City of Lubbock Water Treatment Plant by and between the City of Lubbock and HDR Engineering, Inc., which Amendment is attached herewith, which shall be spread upon the minutes of the Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. McM , MAY 0 R Resolution No. 3871 April 23, 1992 Item #22 AMENDMENT WHEREAS, the City of Lubbock, Texas, and HDR Engineering, Inc., have heretofore entered into an Agreement for Engineering Services upon December 6, 1990; and WHEREAS, the parties to said Agreement now desire to amend said Agreement to include additional services and compensation as provided by Attachments A-2, B-2 and C-2 attached hereto; NOW THEREFORE: WITNESSETH• THAT the parties hereto agree that the Agreement for Engineering Services executed by and between the City of Lubbock and HDR Engineering, Inc., upon December 6, 1990, shall be amended to include this Amendment and the Attachments hereto; and THAT all references in the original Agreement for Engineering Services to "Attachment A", "Attachment B", and "Attachment C" shall be read as including "Attachment A, A-1, and A-2" and "Attachment B, B-1, and B-2" and "Attachment C, C-1, and C-2". Hagood Senior Vice President Besinger, P.E Project Mana ATTACHMENT A-2 TO AGREEMENT FOR ENGINEERING SERVICES OWNER: City of Lubbock, Texas PROJECT: Engineering services required to investigate, prepare plans, prepare specifications, prepare bid documents and prepare cost estimates to repair and stabilize the Lubbock Water Treatment Plant Terminal Storage Reservoir. DESCRIPTION OF SCOPE OF SERVICES The Scope of Services for this project is as follows. Work shall not proceed until OWNER has authorized ENGINEER in writing to proceed. A. Investigation Phase - Evaluation of Embankment Failure and Recommendation for Rehabilitation. During the Investigation Phase ENGINEER shall: 1. Consult with and advise OWNER as set forth herein and as provided in the ENGINEER'S General Conditions and Supplementary General Conditions of the AGREEMENT FOR ENGINEERING SERVICES for the PROJECT. The extent and limitations of the duties, responsibilities and authority of ENGINEER as assigned in said Contract Documents shall not be modified, except as OWNER and ENGINEER may otherwise agree in writing. All of the OWNER'S instructions to ENGINEER will be issued by OWNER through the OWNER'S representative who will have authority to act on behalf of OWNER to the extent provided in said Contract Documents except as otherwise provided in writing. 2. Make visits to the site at intervals appropriate to gather information necessary to determine the corrective action necessary to rehabilitate the OWNER'S terminal storage reservoir to a stable and reliable operating condition. ENGINEER shall keep the owner informed of the progress and quality of the work in progress. 3. Prepare a detailed report containing recommendations to OWNER concerning the repairs and work plan necessary to restore the integrity of OWNER'S terminal storage reservoir. This report shall contain detailed information concerning recommended design of repairs, cost estimates, proposed sequencing and schedule of work, recommended quality control program for construction of repairs, an analysis of the suspected cause of the current failure, and a program to monitor the condition of the reservoir embankment upon completion of repairs. B. Design Phase - Preparation of Plans, Specifications and Bid Documents for the Construction of Recommended Repairs. During the Design Phase the ENGINEER shall: 1. Prepare detailed construction plans for the repairs and rehabilitation of OWNER'S terminal storage reservoir. Repairs and rehabilitation work shall result in complete restoration of the terminal storage reservoir to a stable and reliable operating condition. Plans shall be reviewed with OWNER prior to final production and changes and modifications to plans shall be by mutual agreement and understanding between OWNER and ENGINEER. Said plans shall be provided by ENGINEER to OWNER in a form suitable for reproduction and distribution to potential bidders. 2. Prepare detailed specifications concerning construction methods and materials to be used to effect repairs to OWNER'S terminal storage reservoir. Specifications shall be reviewed with OWNER prior to final production and changes and modifications to specifications shall be by mutual agreement and understanding between OWNER and ENGINEER. Said specifications shall be provided by ENGINEER to OWNER in a form suitable for reproduction and distribution to potential bidders. 3. Prepare detailed cost estimates of the repairs to be performed, revising cost estimates (as necessary due to addenda during the bid advertisement) through the receipt of bids. 4. Prepare bid documents, enclosing OWNER'S standard front end section, and furnish originals to OWNER for OWNER'S printing and mailing to prospective bidders. ENGINEER shall develop a list of qualified bidders for OWNER'S use in distributing initial documents to prospective bidders. Engineer will receive questions of a technical nature from bidders during the advertisement period and will furnish answers to bidders and OWNER. Once bids are received by the OWNER, ENGINEER will assist in recommending lowest responsible bidder to OWNER. C. Construction Contract Management and Resident Project Representation 1. Construction contract management and resident project representation are not a part of the scope of services but if requested by OWNER shall be furnished as Additional Services. ATTACHMENT B-2 TO AGREEMENT FOR ENGINEERING SERVICES OWNER: City of Lubbock, Texas PROJECT: Engineering services required to investigate, prepare plans, prepare specifications, and prepare cost estimates to repair and stabilize the Lubbock Water Treatment Plant Terminal Storage Reservoir. COMPENSATION For the services covered by this Agreement, OWNER agrees to compensate ENGINEER as follows: A. For project management meetings and coordination and basic services including investigation, design, and preparation of plans and specifications for construction of the repairs to the Lubbock Water Treatment Plant Terminal Storage Reservoir, an hourly billing fee for ENGINEER's personnel services as listed in Paragraph C, plus reimbursable expenses and subconsultant billing at cost to ENGINEER. The maximum billed for Basic Services shall not exceed $55,000, without further written authorization. Reimbursable Expenses shall be billed at cost, and are estimated to be $20,000. B. For Additional Services, an hourly fee for ENGINEER's personnel as listed in Paragraph C plus reimbursable expenses and subconsultant billing at cost to ENGINEER. Each item of Additional Services shall be established before the work is started. The amount billed for each item of Additional Services shall not exceed the amount established for it without further authorization. C. Hourly fees listed herein for ENGINEER'S personnel services will apply until December 31, 1992 and shall only be subject to change annually on January 1st for the upcoming twelve (12) month period. Travel, subsistence, and incidental costs. 2. Use of motor vehicles on a monthly rental basis for assigned vehicles and on a current mileage basis or rental cost basis for vehicles used for short periods. 3. Telegraph costs, long distance telephone costs and project onsite telephone costs. 4. Reproduction of reports, drawings, and specifications. 5. Postage and shipping charges for project related materials. 6. Computer time charges including program use charges. 7. Rental charges for use of equipment. 8. Cost of acquiring any other materials or services specifically for and applicable to only this project. 9. Personnel services and expenses for subconsultants if subconsulting has been approved by OWNER prior to their working on this project. E. The ENGINEER agrees to use its best efforts to perform the services as defined in this Agreement within the billing limits stated above. F. Monthly payments shall be made to the ENGINEER by the OWNER based on the ENGINEER's statement. For hourly fee items, the statement shall be itemized to indicate the amount of work performed and the associated reimbursable expenses and subconsultant costs. G. The uncontested amount of each statement shall be due and payable upon receipt by the OWNER. Carrying charges of 1-1/2 percent per month from the billing date, shall be due for accounts which are not paid within 60 days after the billing date. H. It is understood and agreed that the maximum billings of each of the above items are based on the start of the services being authorized not later than April 15, 1992. If start of services is not authorized by date given, it is understood and agreed that the upper billing limit will be adjusted accordingly by a supplement to the Agreement. I. That the ENGINEER shall start the performance of the services within ten days of receipt of notice to proceed. J. That the ENGINEER shall keep records on the basis of generally accepted accounting practice for costs and expenses and which records shall be available to inspection at reasonable times. ATTACHMENT C-2 TO AGREEMENT FOR ENGINEERING SERVICES OWNER: City of Lubbock, Texas PROJECT: Engineering services required to investigate, prepare plans, prepare specifications, and prepare cost estimates to repair and stabilize the Lubbock Water Treatment Plant Terminal Storage Reservoir. - OWNER'S RESPONSIBILITIES OWNER shall do the following in a timely manner so as not to delay the services of ENGINEER: A. Designate in writing a person to act as OWNER's representative with respect to services to be rendered under this Agreement. Such person shall have complete authority to transmit instructions, receive information, interpret and define OWNER's policies and decisions with respect to ENGINEER's services for the PROJECT. B. Provide office desk space for the ENGINEER's personnel during preliminary investigations. C. Provide the services of at least one of the OWNER's employees or staff who has the right of entry to, and who has knowledge of, the existing facilities to aid ENGINEER in conduct of field reviews of existing facilities. D. Provide to ENGINEER existing data, plans, reports and other information known to, in possession of, or under control of OWNER which are relevant to the execution of ENGINEER's duties on the PROJECT. Also, provide all criteria and full information as to OWNER's requirements for the PROJECT, including design criteria, objectives and constraints, space, capacity and performance requirements, flexibility and expandability, and any budgetary limitations and furnish copies of all design and construction standards which OWNER will require to be included in the Drawings and Specifications. E. Provide land surveys to include property, boundary, easement, right-of-way, topographic and utility surveys; property descriptions, zoning, deed or other land use restrictions. F. Arrange for access to, and make all provisions for, ENGINEER or ENGINEER's Subconsultants to enter upon public and private property as required for ENGINEER and ENGINEER's Subconsultants to perform services under this Agreement. G. Examine all studies, reports, sketches, Drawings, Specifications, proposals and other documents presented by ENGINEER, obtain advice of an attorney, insurance counselor and other consultants as OWNER deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of ENGINEER. H. Provide, if necessary, Environmental Assessments, or Environmental Impact Statements related to the PROJECT. Furnish approvals and permits from all governmental authorities having jurisdiction over the PROJECT and approvals and consents from others as may be necessary for completion of the PROJECT. I. Provide all printing for duplicates of plans, specifications, and bid documents. Advertise for proposals from bidders, distribute bid documents to prospective bidders, open the proposals at an appointed time and place, and pay for all costs incidental thereto. K. Give prompt written notice to ENGINEER whenever OWNER observes or otherwise becomes aware of any condition that affects the scope or timing of ENGMEER's services, or any defect or nonconformance in the Work observed by OWNER. M. Accept full technical/administrative and legal responsibility for any OWNER furnished standard details, technical or general specifications, test data, site data, record drawings, and similar items. N. At no cost to ENGINEER, provide the above data and services and render approvals and decisions as is necessary for the orderly progress of ENG MEER's services. ENGINEER shall be entitled to rely upon the accuracy and completeness of all information and services provided by OWNER or at OWNER's direction.
