Lehman, Commonwealth Corporation, which Agreement shall be spread upon the minutes of the Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. Vandiver, First Assistant City Attorney DGV:da/ccdoc& REESEAFB.res June 16, 1994 Resolution No. 4535 June 23, 1994 Item #35 AGREEMENT By this Agreement entered into on the 23rd day of June, 1994, between COMMONWEALTH CONSULTING CORPORATION (hereinafter Consultant) and the CITY OF LUBBOCK (hereinafter City), the Parties agree as follows: SCOPE OF EMPLOYMENT. Consultant will assist in government relations and public relations efforts to further the interests of the City with regard to Reese AFB and BRAC. This will include consulting services and Washington represen- tation. The principle components of the Consultant's comprehensive support effort will be: • Research -- Consultant will base the retention effort on extensive research of Reese AFB key roles and missions and how these roles and missions fit into the larger force structure and missions picture. Consultant will also become familiar with the local economy and the political assets of the local community. • Assessment -- Consultant will provide an assessment, based on review and consultations with USAF, OSD, JCS, and BRAC officials of where Reese stands in the BRAC process. As part of this assessment, Consultant will identify allies to support retention. • Development of a detailed action plan -- Based on this research and assessment, Consultant will formulate an action plan including strategy, timing, media, and other essential components. • Coordination and Implementation -- Working closely with Lubbock officials, Consultant will guide the implementation of the action plan. In performing this Agreement, Consultant shall comply with all applicable laws, rules, regulations, and policies of the United States of America or any jurisdiction where Consultant's services are to be performed and shall save City harmless from Consultant's failure to do so. 2. TERM. This Agreement is intended to be for a period of one (1) year commenc- ing on June 23, 1994. At the end of this period, the City shall have the option to extend the Agreement subject to a renegotiation of terms. During the course of this Agreement should the City wish to terminate this Agreement, it shall so state in writing. Termination shall be effective thirty (30) days after receipt of said written notice of termination by Consultant. 3. FEE. In return for the performance of services described herein, City agrees to compensate Consultant $10,000 per month due upon receipt of a monthly state- ment from Consultant. Payment shall be made in U. S. dollars by check. In addition to such fees, the City shall reimburse Consultant for expenses such as travel, courier, long distance telephone, printing or unusual expenses incurred in connection with the provision of services under this Agreement. Further, the City understands and agrees that if this Agreement shall be terminated for any reason, payment of all expenses and fees incurred to the termination date shall be made immediately. 4. MISCELLANEOUS PROVISIONS. A. Governing Law. This Agreement shall be governed by the laws of the State of Texas, both as interpretation and performance. B. Notice. O. Box 2000 Lubbock, Texas 79457 C. Exclusivity. Consultant agrees not to enter into a client relationship on any BRAC -related issue without prior approval of the City. D. Independent Contractor. Nothing herein shall be construed as creating the relationship of employer and employee between the City and Consultant or Consultant's employees or agents. Consultant shall be deemed at all times to be an independent contractor. In carrying out the terms of this Contract, Consultant shall select its own employees and such employees shall be and act under the exclusive and complete supervision and control of Con- sultant.
