Vandiver, First Assistant City Attorney DGV: dp\ccdocsUTTUHSC.Res July 19, 1995 AFFILIATION AGREEMENT THE STATE OF TEXAS Resolution No. 4921 THIS AGREEMENT MADE AND ENTERED IN TO THIS 1 st day of June, 1995, by and between Lubbock City Health Department hereinafter called Department and Texas Tech University Health Sciences Center, School of Allied Health, Division of Emergency Medical Programs, hereinafter called TTUHSC. WITNESSETH: WHEREAS, the Department operates medical facilities at Lubbock, Texas, and WHEREAS, the TTUHSC operates a School of Allied Health, and WHEREAS, it is deemed advisable and to the best interest of the Parties to establish an affiliation for the purpose of carrying out these objectives, NOW THEREFORE, for and in consideration of the foregoing and in further consideration of the mutual benefits, the Parties hereto agree as follows: 1. Term The term of this Agreement shall begin on June 1, 1995 and shall continue to May 31, 1999, provided, however, that either Party shall have the right to terminate the Agreement on twelve months' written notice to the other Party. At the expiration of the term of this agreement, this agreement shall continue in full force and effect on a month to month basis unless thirty (30) days written notice of termination is given by either party to the agreement. If any term or provision of this agreement is held to be invalid for any reason, the invalidity of that section shall not affect the validity of any other section of this Agreement. The remaining provisions of this Agreement shall continue in full force and effect and shall in no way be affected, impaired, or invalidated. 2. Understanding a. Department will: i. allow the use of its facilities for the training of Allied Health students enrolled in Emergency Medical Services Training Programs; ii. provide defined clinical staff supervision, in conjunction with faculty from TTUHSC, for students in allied health education programs; iii. provide access for faculty and students to patients at the Department as part of their clinical training; iv. review periodically the specific program efforts and number(s) of students to participate at the Department both factors being subject to mutual agreement of the Signatory Parties; V. maintain responsibility for the provision of administrative policies and procedures to be used in the operation of the Department; and vi. encourage its staff to participate in the educational activities of the TTUHSC. b. TTUHSC will: maintain the authority and responsibility for its students assigned to the allied health program which may be conducted within the Department; ii. consider for clinical and/or adjunct faculty appointment those members of the Department's staff who contribute significantly to the educational programs subject to academic standards and rank used by TTUHSC; and iii. adhere, by its faculty and students, to the administrative policies and procedures when in attendance at the Department. 3. It is understood that clinical research programs based at the hospital may be encouraged in order to strengthen the academic program and will be subject to rules and regulations of TTUHSC developing such programs. This does not mean that the Department is prohibited from using programs of its own, not related to the academic program of TTUHSC. Research programs will no be initiated prior to approval of Signatory Parties. 4. This Agreement may be amended in writing to include such provision as the Parties may agree upon. 5. Venue in any action at law or equity in relation to and in connection with this Agreement shall be Lubbock County, Texas. 6. Each Party shall indemnify and hold harmless the other with respect to all claims, costs, and expenses (including attorney's fees) arising from the negligence or misconduct of the indemnifying Party or its employees or agents with respect to provision of services pursuant to this Agreement, insofar as allowed by the laws and the constitution of the State of Texas. 7. Neither Party under this Agreement shall have the right to assign or transfer its rights to any third party.
