RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor Pro Tempore of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock a Personal Services Contract with
Jerry N[illsaps for the services as Property & Leasing Manager for the Reese Redevelopment
Project. Said Contract is attached hereto and incorporated in this Resolution as if fully set forth
herein and shall be included in the minutes of the Council.

PERSONAL SERVICES CONTRACT
STATE OF TEXAS §
COUNTY OF LUBBOCK §
This Contract and Agreement, made and entered into on this the 17th day of
October 1996 , by and between the CITY OF LUBBOCK, TEXAS, a Home Rule
Municipal Corporation of the State of Texas, hereinafter called "City," and Jerry Millsaps
hereinafter called "Property and Leasing Manager".
WHEREAS, the City has determined that it will, on a temporary basis, require the
services of an Property and Leasing Manager for the Reese Redevelopment Project until the local
redevelopment authority is able to assume the contract; and
WHEREAS, the City has determined that it will be in the best interest of the City to
retain the services of Property and Leasing Manager to assist it in furnishing the services of
assisting the Executive Director with property and inventory management as required; and
WHEREAS, the above individual has agreed to fumish the services pending the ability of
the local redevelopment authority to assume this contract, at which time this agreement will be
assigned to the local redevelopment authority;
NOW THEREFORE, the parties hereto do covenant and agree as follows:
I.
Under the terms and conditions set forth herein, the City does hereby engage and retain
Jerry Millsaps to provide the following general services as Property and Leasing Manager for the
Reese Redevelopment Project: providing property and inventory management for the LRRA
staff and LRRA Board of Directors involved in base redevelopment planning and
implementation; otherwise assisting the Executive Director with property management at Reese
Air Force Base.
II.
The parties agree to the following terms and conditions:
(a) This agreement is contingent on the payment of grant funds employment by the
Office of Economic Adjustment to be used for the Property and Leasing
Manager's contractual salary; and
(b) The term of this contract shall be for a period of one year beginning on November
9, 1996; further renewals and extensions will be subject to grant approvals by the
Office of Economic Adjustment; and
(c) This contract and agreement may be assigned to the local redevelopment
authority; and
(d) Either party hereto may terminate this agreement at any time during the term of
this agreement by giving thirty (30) days notice of intention to terminate this
contract.
City agrees to pay Property and Leasing Manager as compensation for services rendered
hereunder an annual base pay $33,500 plus mileage reimbursement for work-related travel at the
prevailing IRS rate, which is currently thirty-one ($0.31) per mile.
IV.
City agrees to pay the following benefits to Property and Leasing Manager:
(a) Medical insurance in the approximate amount of $2,874.00/yr. for Property and
Leasing Manager, with dependent coverage being at Property and Leasing
Manager's cost if final approval is given by the Washington National Insurance
Company, the City's insurance carrier; and
(b) Dental insurance in the approximate amount of $229.90/yr. for Property and
Leasing Manager, with dependent coverage being at Property and Leasing
Manager's cost; and
(c) Ten thousand dollars in life insurance at the approximate rate of $32.50/yr. for
Property and Leasing Manager, with dependent coverage being at Property and
Leasing Manager's cost if final approval is given by the Washington National
Insurance Company; and
(d) Long term disability insurance at the approximate rate of $127.30/year for
Property and Leasing Manager; and
(e) Property and Leasing Manager shall be entitled to 15 days of paid sick leave; and
(f) Property and Leasing Manager shall be entitled to nine (9) paid holidays annually,
and (2) two weeks of paid vacation annually; and
(g) Property and Leasing Manager shall not be eligible for the City's retirement plan.
V.
Property and Leasing Manager agrees to provide the following services, under direction
of the Executive Director, as his principal duties and responsibilities, including, but not limited
to:
(a) Providing property and inventory management for the LRRA staff and LRRA
Board of Directors involved in base redevelopment planning and implementation;
(b) Managing and controlling information systems including the extraction,
compilation and recording of data for recurring and special reports; maintaining
data banks and preparing and presenting reports to include interim and permanent
use of facilities and disposition of real and personal property;
(c) Establishing and assessing inventory requirements of real and personal property;
(d) Establishing appropriate policies and procedures regarding lease arrangements -
executes those leases with potential clients and tenants;
(e) Facilitating property conveyance options for potential clients and tenants;
(f) Establishing and maintaining cooperative work relationships between various
branches of military service, Federal Agencies including Department of Defense
and Office of Economic Adjustment, Congressional and State offices, city and
county officials, other governmental agencies and staff, private sector, and
citizens;
(g) Assisting in facilitating prospects with site selections;
(h) Assisting in promoting private business initiatives for the positive reuse of the
base in accordance with an approved master plan; and
(i) Assisting in managing the cooperative agreement with the Department of Defense
for caretaker operations at Reese Air Force Base.
VI.
Nothing contained herein shall be construed as creating the relationship of employer and
employee between the City and Property and Leasing Manager. Property and Leasing Manager
shall be deemed at all times to be an independent contractor for tax purposes.
VII.
Property and Leasing Manager shall at all times observe and comply with all Federal,
State and local laws, ordinances and regulations, which in any manner affect the agreement and
shall indemnify and save harmless the City against any claim arising from the violation of any
such law, ordinances and regulations by Property and Leasing Manager.
IN WITNESS WHEREOF, the parties hereto have executed this contract and agreement
this 17th day of October 1996.
