BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
execute for and on behalf of the City of Lubbock a Contract for Professional Services with
Kinley-Horn and Associates, Inc. for a Computerized Traffic Control System Study, attached
hereto, which Contract shall be spread upon the minutes of the Council and as spread upon the
minutes of this Council shall constitute and be a part of this Resolution as if fully copied
herein in detail.

CONTRACT FOR PROFESSIONAL SERVICES
THE STATE OF TEXAS S
COUNTY OF LUBBOCK b KNOW ALL MEN BY THESE PRESENTS
This contract is made, entered and executed between the City
of Lubbock, which is designated as the Metropolitan Planning
Organization (MPO) of the Lubbock Urbanized area,
hereinafter called the MPO, and Kimley-Horn and Associates,
Inc., hereinafter called the Consultant.
WITNESSETH
WHEREAS, pursuant to provisions of 23 USC 134, the Governor
of the State of Texas has designated the MPO to the single -
focus planning organization for the Lubbock Urbanized area
and has executed an agreement to effectuate the designation;
and
WHEREAS, pursuant to the Governor's designation and in
compliance with applicable federal, state and local laws,
regulations and ordinances, the MPO has developed and
maintains a current Unified Planning Work Program which
outlines work tasks and estimated expenditures; and
WHEREAS, the current Unified Planning Work Program has been
approved by the State of Texas, acting by and through the
Texas Department of Transportation, and the U.S. Department
of Transportation, acting by and through the Federal Highway
Administration; and
WHEREAS, the current Unified Planning Work Program
authorizes the MPO to engage a consultant to complete a
Computerized Traffic Control System Study (CTCS) and the
Consultant has proposed a plan to complete the task, and the
MPO has accepted the proposal;
NOW THEREFORE, in consideration of the premises of the
mutual covenants and agreements of the parties hereto, the
MPO and the Consultant do mutually agree as follows:
AGREEMENT
Article 1. Contract Period
This contract becomes effective when fully executed by all
parties and shall terminate upon the MPO's final approval of
work completed by the Consultant, unless otherwise
terminated or modified as hereinafter provided.
The time period for the completion of the project shall not
exceed the seven (7) months time frame beginning after a
written notice to proceed has been issued by the MPO
representative and received by the Consultant. Any
extension of the contract period must be by amendment in
accordance with Article 4 - Contract Amendments.
Article 2. Responsibilities of the Parties
The Consultant will undertake and complete the task as
described in Attachment A, Approved Project Description, and
in accordance with all terms and conditions included
hereinafter. Attachment A is hereby incorporated as part of
this agreement_
The MPO shall provide assistance as appropriate and as
specified in said Attachment A, including approval of all
work by the MPO's representative. For purposes of this
agreement, the MPO's representative shall be Jere Hart, City
Traffic Engineer.
Article 3. Compensation
The maximum amount payable under this contract will not
exceed the lump sum amount of $124,916. The MPO may make
partial proportionate payments based on the amount of work
completed by the Consultant.
All payments made hereunder will be made in accordance with
Attachment B, Approved Project Budget, which is hereby
incorporated as part of this agreement. The Consultant will
be required to furnish receipts for all travel expenses
incurred under this contract.

To be eligible for reimbursement, a cost must be incurred
within the contract period specified in Article 1 above and
be authorized or not prohibited in Attachment B, Approved
Project Budget. All costs must be supported by source
documents which comply with generally accepted accounting
practices.
Payment of costs incurred is further governed by cost
principles outlined in the Federal Acquisition Regulation,
Part 31, Subpart 31.2, Contracts with Commercial
Organizations.
Article 4. Contract Amendments
Any changes in the terms and conditions of this contract can
be made only by written amendment executed by the parties
hereto prior to the changes being made. Any such amendment
must also be approved by the U.S. Department of
Transportation before changes are made.
Article 5. Additional Services
If the Consultant is of the opinion that any professional
services it has been directed to perform are beyond the
scope of this contract and constitute additional services,
the Consultant shall promptly notify the MPO's
representative in writing. In the event that the MPO's
representative finds that such services does constitute
additional services, he shall so advise the Consultant and
provide compensation for performing the services on the same
basis as the original services or the MPO's representative
shall advise the Consultant not to perform the services. If
the compensation for the additional services will cause the
maximum amount payable to be exceeded, a written amendment
be executed by the parties to this contract. Any amendment
so executed must be approved within the contract period
specified in Article 1.
Article 6. Changes in Services
When the approved scope of services requires the submission
of a report, sketch, drawing, design or other instrument of
service, the MPO's representative will review such
instrument of service as specified in the scope. If he
finds it necessary to request changes in previously
satisfactorily completed services or parts thereof, the
Consultant will make such revisions as requested and
directed by the MPO's representative. Such services will be
considered as additional services and subject to the
requirements established in Article 5.
If the MPO"s representative finds it necessary to require
the Consultant to revise completed work to correct errors
appearing therein, the Consultant will make such
corrections, and no compensation will be paid for the
corrections.
Article 7. Indemnification
The Consultant shall save harmless the MPO, its officers and
employees from all claims and liability due to the negligent
acts or omissions of the Consultant, its agents or
employees. The Consultant also agrees to save harmless the
MPO, its officers and employees from any and all expenses,
including attorney fees, all court costs and awards for
damages, incurred by the MPO in litigation or otherwise
resisting such claims or liabilities as a result of
negligent acts or omissions on the part of the Consultant,
its agents or employees.
Further, the Consultant agrees to protect, indemnify and
save harmless the MPO, its officers and employees from and
against all claims, demands and causes of action of every
kind and character brought by any employee of the Consultant
against the MPO, its officers or employees due to personal
injuries and/or death to such employee resulting from any
alleged negligent act, by either commission or omission, on
the part of the Consultant_
Article 8. Inspection of Services
The MPO, the State of Texas, and the U.S_ Department of
Transportation, and any authorized representative thereof,
have the right at all reasonable times to inspect or
otherwise evaluate the services performed or being performed
hereunder and the premises on which they are being
performed.

If any inspection or evaluation is made on the premises of a
subcontractor, the Consultant shall provide and require his
subcontractor to provide all reasonable facilities and
assistance for the safety and convenience of the inspectors
in the performance of their duties. All inspections and
evaluations shall be performed in such a manner as will not
unduly delay the completion of services.
Article 9. Disputes
The Consultant shall be responsible for the settlement of
all contractual and administrative issues arising out of
procurements entered into in support of professional
services.
The MPO's representative shall act as referee in all
disputes regarding non procurement issues, and his decision
shall be final and binding.
Article 10. Noncollusion
The Consultant warrants that it has not employed or retained
any company or person, other that a bona fide employee
working for the Consultant, to solicit or secure this
contract, and that the Consultant has not paid or agreed to
pay any company or person, other than a bona fide employee,
any fee, commission, percentage, brokerage fee, gift or any
other consideration contingent upon or resulting from the
award or making of this contract. If the Consultant
breaches or violates this warranty, the MPO's representative
shall have the right on behalf of the MPO to annul this
contract without liability or, in his discretion, to deduct
from the contract price or consideration, or otherwise
recover, the full amount of such fee, commission, brokerage
fee, gift or contingent fee.
Article 11, Reporting
The Consultant shall submit bi-monthly performance reports
that provide as a minimum (1) a comparison of actual
accomplishments to the goals established for the period, (2)
reasons why established goals were not met, if appropriate,
and (3) other pertinent information including, when
appropriate, analysis and explanation of cost overruns or
high unit costs.
The Consultant shall promptly advise the MPO's
representative in writing of events which have a significant
impact upon the contract, including:
1. Problems, delays or adverse conditions which will
materially affect the ability to attain program
objectives, prevent the meeting of time schedules and
goals, or preclude the attainment of project work units
by established time periods. This disclosure shall be
accompanied by a statement of the action taken, or
contemplated, and any assistance needed to resolve the
situation.
2. Favorable developments or events that enable meeting
time schedules and goals sooner than anticipated or
producing more work units than originally projected.
Article 12. Records
The Consultant agrees to maintain all books, documents,
papers, accounting records and other evidence pertaining to
costs incurred and work performed hereunder and shall make
such materials available at its office during the contract
period and for three years from the date of final payment
under the contract. Such materials shall be made available
during the specified period for inspection by the authorized
representatives of the MPO, the State of Texas, the U.S.
Department of Transportation and the Office of the Inspector
General, for the purpose of making audits, examinations,
excerpts and transcriptions.
Article 13. Subcontracts
Any subcontract for professional services rendered by
individuals or organizations not a part of the Consultant's
organization shall not be executed without prior
authorization and approval of the subcontract by the MPO's
representative.
Subcontracts in excess of $25,000 shall contain all required
provisions of this contract.
No subcontract will relieve the Consultant of his
responsibility under this contract.

Article 14. Termination
The MPO or the MPO's representative may terminate this
contract in part or in whole at any time before the date of
completion whenever it is determined that the Consultant has
failed to comply with the conditions of the contract. The
MPO's representative shall give written notice to the
Consultant at least seven days prior to the effective date
of termination and specify the effective date of termination
and the reason for termination.
If both parties to this contract agree that the continuation
of the contract in whole or in part would not produce
beneficial results commensurate with the further expenditure
of funds, the parties shall agree upon the termination
conditions, including the effective date and, in the case of
partial terminations, the portion to be terminated.
Upon termination of this contract, whether for cause or at
the convenience of the parties hereto, all finished or
unfinished documents, data, studies, surveys, reports, maps,
drawings, models, photographs, etc., prepared by the
Consultant shall, at the option of the MPO's representative,
be delivered to the him with no restriction on future use ;
provided, however, any use by the MPO of such materials for
other than their intended purpose shall be at the MPO's sole
risk.
The MPO's representative shall compensate the Consultant for
those eligible expenses incurred during the contract period
which are directly attributable to the completed portion of
the work covered by this contract, provided that the work
has been completed in a manner satisfactory and acceptable
to the MPO's representative. The Consultant shall not incur
new obligations for the terminated portion after the
effective date of termination.
Except with respect to defaults of subcontractors, the
Consultant shall not be in default by reason of any failure
in performance of this contract in accordance with its terms
(including any failure by the Consultant to progress in the
performance of the work) if such failure arises out of
causes beyond the control and without the default or
negligence of the Consultant. Such causes may include, but

are not limited to, acts of God or of the public enemy, acts
of the Government in either its sovereign or contractual
capacity, fires, floods, epidemics, quarantine restrictions,
strikes, freight embargoes and unusually severe weather. In
every case, however, the failure to perform must be beyond
the control and without the fault or negligence of the
Consultant.
Article 15. Remedies
Violation or breach of contract terms by the Consultant
shall be grounds for termination of the contract, and any
increased cost arising from Consultant's default, breach of
contract, or violation of terms shall be paid by the
Consultant.
This agreement shall not be considered as specifying the
exclusive remedy for any default, but all remedies existing
at law and in equity may be availed of by either party and
shall be cumulative.
Article 16. Compliance with Laws
The Consultant shall comply with all Federal, State, and
local laws, statutes, ordinances, rules and regulations, and
the orders and decrees of any courts or administrative
bodies or tribunals in any matter affecting the performance
of this contract, including, without limitation, workers'
compensation laws, minimum and maximum salary and wage
statutes and regulations, and licensing laws and
regulations. When required, the Consultant shall furnish
the MPO's representative with satisfactory proof of its
compliance therewith.
Article 17. Successors and Assigns
The MPO and the Consultant each binds itself, its
successors, executors, assigns and administrators to the
other party to this agreement and to the successors,
executors, assigns and administrators of such other party in
respect to all covenants of this agreement. Neither the MPO
nor the Consultant shall assign, sublet or transfer its
interest in this agreement without written consent of the
other.

Article 18. Debarment/Suspension
The Consultant is prohibited from making any award or
permitting any award at any tier to any party which is
debarred or suspended or otherwise excluded from or
ineligible for participation in federal assistance programs
under Executive Order 12549, Debarment and Suspension.
The Consultant shall require any party to a subcontract or
purchase order awarded under this contract as specified in
Title 49 of the Code of Federal Regulations, Part 29
(Debarment and Suspension) to certify its eligibility to
receive federal funds and, when requested by the State or
MPO's representative, to furnish a copy of the
certification.
Article 19. Ownership of Documents
Upon completion or termination of this contract, all
documents prepared by the Consultant or furnished to the
Consultant by the MPO or its representative shall be
delivered to and become the property of the MPO. All
sketches, photographs, calculations and other data prepared
under this contract will be made available, upon request, to
the MPO's representative without restriction or limitation
on their further use, provided, however, any use by the MPO
of such materials for other than their intended purpose
shall be at the MPO's sole risk.
The Consultant may, at its own expense, retain a copy of all
data, sketches, photographs and calculations prepared under
this contract.
Article 20. Consultant Resources
The Consultant states that it presently has adequate
qualified personnel in its employment for performance of the
services required under this contract, or will be able to
obtain such personnel from sources other than the MPO.
Unless otherwise specified, the Consultant shall furnish all
equipment, materials and supplies required to perform the
work authorized herein.

All employees of the Consultant shall have the knowledge and
experience as will enable them to perform the duties
assigned to them. Any employee of the Consultant who, in
the opinion of the MPO's representative, is incompetent, or
whose conduct becomes detrimental to the work, shall
immediately be removed from association with the project.
Article 21. Equal Employment Opportunity
The Consultant agrees to comply with Executive Order 11246
entitled "Equal Employment Opportunity" as amended by
Executive Order 11375 and as supplemented in Department of
Labor Regulations (41 CFR 60).
Article 22. Nondiscrimination
During the performance of this contract, the Consultant, for
itself, its assigns and successors in interest, agree as
follows:
1. Compliance with Regulations: The Consultant shall
comply with the Regulations relative to
nondiscrimination in Federally -assisted programs of the
U.S. Department of Transportation, Title 49, Code of
Federal Regulations, Part 21, and Title 23, Code of
Federal Regulations, Part 710.405(b), as they may be
amended from time to time (hereinafter referred to as
the Regulations), which are herein incorporated by
reference and made a part of this contract.
2, Nondiscrimination: The Consultant, with regard to the
work performed by it during the contract, shall not
discriminate on the grounds of race, color, sex or
national origin in the selection and retention of
subcontractors, including procurements of materials and
leases of equipment. The Consultant shall not
participate either directly or indirectly in the
discrimination prohibited by Section 21.5 and Part
710.405(b) of the Regulations, including employment
practices when the contract covers a program set forth
in Appendix B of the Regulations.
3. Solicitations for Subcontracts, Including Procurements
of Materials and Equipment: In all solicitations
either by competitive bidding or negotiation made by
i[a
the Consultant for work to be performed under a
subcontract, including procurements of materials or
leases of equipment, each potential subcontractor or
supplier shall be notified by the Consultant of the
Consultant's obligations under this contract and the
Regulations relative to nondiscrimination on the
grounds of race, color, sex or national origin.
4. Information and Reports: The Consultant shall provide
all information and reports required by the
Regulations, or directives issued pursuant thereto, and
shall permit access to its books, records, accounts,
other sources of information, and its facilities as may
be determined by the MPO with such Regulations or
directives. Where any information required of the
Consultant is in the exclusive possession of another
who fails or refuses to furnish this information, the
Consultant shall so certify to the MPO or the Texas
Department of Transportation, and U.S. Department of
Transportation as appropriate, and shall set forth what
efforts it has made to obtain the information.
5. Sanctions for Noncompliance: In the event of the
Consultant's noncompliance with the nondiscrimination
provisions of this contract, the MPO shall impose such
contract sanctions as it or the Texas Department of
Transportation or U.S. Department of Transportation may
determine to be appropriate, including, but not limited
to.
• withholding of payments to the Consultant under
the contract until the Consultant complies and/or
• cancellation, termination or suspension of the
contract in whole or in part.
6. Incorporation of Provisions: The Consultant shall
include the provisions of paragraphs 1 through 6 in
every subcontract, including procurements of materials
and leases of equipment, unless exempt by the
Regulations or directives issued pursuant thereto. The
Consultant shall take such action with respect to any
subcontract or procurement as the MPO may direct as a
means of enforcing such provisions, including sanctions
for noncompliance; provided, however, that in the event
the Consultant becomes involved in, or is threatened
with litigation with a subcontractor or supplier as a
result of such direction, the Consultant may request
the MPO to enter into such litigation to protect the
interests of the MPO; and, in addition, the Consultant
may request the State of Texas and the United States to
enter into such litigation to protect their respective
interests.
Article 23.Disadvantaged Business Enterprise
It is the policy of the U.S. Department of Transportation
that Minority Business Enterprises as defined in 49 CFR 23,
Subpart A, shall have the maximum opportunity to participate
in the performance of contracts financed in whole or in part
with Federal funds. Consequently the Minority Business
Enterprise requirements of 49 CFR 23, exclusive of Subpart
D, apply to this contract as follows:
• The Consultant agrees to exercise its best efforts to
ensure that Minority Business Enterprises, as defined
in 49 CFR 23, Subpart A, have the maximum opportunity
to participate in the performance of contracts and
subcontracts financed in whole or in part with Federal
funds. In this regard, the Consultant shall take all
necessary and reasonable steps in accordance with 49
CFR 23, exclusive of Subpart D, to ensure that Minority
Business Enterprises have the maximum opportunity to
compete for and perform contracts.
• The Consultant and any subcontractor shall not
discriminate on the basis of race, color, national
origin or sex in the award and performance of contracts
funded in whole or in part with Federal funds.
These requirements shall be physically included in any
subcontract.
Failure to carry out the requirements set forth above shall
constitute a breach of contract and, after the notification
of the MPO's representative, may result in termination of
the contract by him or other remedy as the he deems
appropriate.

Article 24. Nondiscrimination on the Basis of Disability
The Consultant agrees that no otherwise qualified disabled
person shall, solely by reason of his or her disability, be
excluded from participation in, be denied the benefits of,
or otherwise be subject to discrimination under the project.
The Consultant agrees that all plans, specifications and
designs for fixed facility construction or alteration and
all new equipment included in the project comply with
applicable regulations regarding Nondiscrimination on the
Basis of Disability in Programs and Activities Receiving and
Benefiting from Federal Financial Assistance, as set forth
at 49 CFR Part 27, and any amendments thereto.
Article 25. Delinquent Tax Certification
Pursuant to Article 2.45 of the Business Corporation Act,
Texas Civil Statutes, which prohibits the State or an agency
of the State from awarding a contract to a corporation that
is delinquent in paying taxes under Chapter 171, Tax Code,
the Consultant hereby certifies that it is not delinquent in
its Texas franchise tax payments, or that it is exempt from
or not subject to such tax. A false statement concerning
the corporation's franchise tax status shall constitute
grounds for cancellation of this contract at the sole option
of the MPO or its representative.
Article 26. Signature Warranty
The undersigned signatory for the Consultant hereby
represents and warrants that he is an officer of the
organization for which he has executed this contract and
that he has full and complete authority to enter into this
contract on behalf of his firm.

ATTACHMENT A -- APPROVED PROJECT DESCRIPTION
ENGINEERING SERVICES FOR COMPUTERIZED TRAFFIC CONTROL SYSTEM
PHASE I: FEASIBILITY ASSESSMENT/CONCEPTUAL DESIGN
Task L Project Management and Control
The CONSULTANT shall perform the following management activities while under contract with the MPO for Phase 1:
Feasibility Assessment/Conceptual Design Phase (hereinafter referred to as "the Project").
A. Project Work Plan
The CONSULTANT shall prepare a draft Project Work Plan, which shall identify and provide a schedule for specific
work tasks, interim and final deliverables, and reviews. This draft work plan shall be presented for discussion at the
project kick-off meeting. After receipt of comments from the MPO's representative, the CONSULTANT shall make
revisions and submit a final project work plan and schedule.
B. Project Meetines
The CONSULTANT shall prepare for and attend one project kick-off meeting. The CONSULTANT shall also prepare
for and attend review meetings at specific milestone points. Meetings other than the kick-off meeting shall be as
specifically set forth and budgeted under other tasks.
Materials to be discussed at project meetings shall be submitted to the MPO's representative for review a minimum of
seven (7) calendar days prior to the meeting. The CONSULTANT shall prepare and submit minutes of all project
meetings. It is assumed that all project meetings will be held in Lubbock at a facility furnished by the MPO.
C. Project Status Reports
In conjunction with monthly invoicing, the CONSULTANT shall prepare and submit, in tabular form, a brief report
which shows the percent to which each task is complete. It is mutually agreed that no other progress reports will be
required.
D. Project Records and Files
The CONSULTANT shall develop a system for retention and maintenance of project files and records.
E. Project Coordination
It is mutually understood and agreed that the MPO will name one (1) City of Lubbock Traffic Engineering staff member
to serve as the MPO's representative for the purposes of this project and that all technical comments from all agencies
relative to the CONSULTANTs services and deliverables will be routed through and consolidated by the MPO's
representative. In the event of discrepancy between the comments of the various reviewers and agencies, it is mutually
understood that the MPO's representative will provide final direction to the CONSULTANT.
The CONSULTANT shall develop a framework for project coordination and shall maintain coordination with the MPO
(through its representative) for the duration of the Project. This shall include documentation of meetings and

correspondence with the MPO, its representative, City of Lubbock departments, the Texas Department of Transportation
(TxDOT), utility companies, and any other agencies involved in the Project.
Task IL Determination and Documentation of Needs, Coals, and Objectives
One key to a successful feasibility assessmenticonceptual design phase is to develop a full and complete consensus
understanding of:
■ The needs which must be fulfilled by the new system;
■ The related improvement opportunities which should be addressed; and
■ Specific concerns and preferences of the maintaining agency (relative to equipment types, technology
options, etc.)
Based on numerous previous projects, the CONSULTANT recommends that this consensus be based on input which
includes operations and maintenance personnel. Accordingly, it is assumed that the MPO's representative will appoint
a Technical Steering Committee (hereinafter "the Committee") which will participate actively in the project. The
CONSULTANT will guide the Committee through a process structured to facilitate the formulation of this
understanding and consensus.
To enhance the Committee's understanding of the "state-of-the-art" and of the related improvement opportunities which
exist, the CONSULTANT shall (A) conduct a series of technology briefings and (B) arrange and participate in site visits
to operational signal systems:
A. Technology Briefings
To facilitate the Committee's understanding of the state-of-the-art relative to advanced traffic management systems, the
CONSULTANT shall prepare for and present technology briefings which address the following major system elements:
■ Communications options;
■ System architecture options;
■ Software options;
■ Field control equipment options;
■ CCTV and other ITS -type features;
■ Opportunities for interface with other municipal functions (e.g., GIS); and
■ Opportunities for sharing with other agencies (e.g., TxDOT).
The technology briefings will be structured to generate interactive, informal discussion that will facilitate the
CONSULTANT's understanding of the concerns and preferences of the Committee. The briefings can be held either
prior to, in conjunction with, or subsequent to the site visits. Normally, however, it is most beneficial to conduct the
briefings prior to the site visits.

For budgetary purposes, it is assumed that the technology briefings will be conducted in Lubbock on two consecutive
days at a facility fumished by the MPO.
B. Site Visits
The CONSULTANT shall also arrange and conduct site visits to operational signal systems. Such visits will afford the
Committee the opportunity to observe various types of modern systems in actual operation and to hear first-hand which
features are most useful by the staffs of their operating agencies.
The decision regarding the specific systems to be visited should be finalized in consultation with the Committee, ideally
after the technology briefings. To maximize the benefit realized from the travel expenses incurred, the CONSULTANT
will identify regions of the country where several different software vendors have operational systems.
For budgetary purposes, it is assumed that the CONSULTANT shall arrange for and participate in one, three-day site
visit trip as follows: Fly to Phoenix early morning of Day I with site visits in the Phoenix area on Day 1; stay in
Phoenix on Night I ; fly from Phoenix to Colorado Springs early morning of Day 2 with site visit in Colorado Springs
on Day 2; fly from Colorado Springs to Phoenix afternoon of Day 2 with stay in Phoenix on Night 2; additional site visit
in Phoenix on morning of Day 3; and return flight from Phoenix on afternoon of Day 3. The CONSULTANT's project
budget shall include the following costs for two (2) City of Lubbock staff members: Coach airfare, lodging (2 nights),
meals (3 days), and local transportation in Phoenix and Colorado Springs.
C. Technical Analyses
The CONSULTANT shall perform the following technical analyses:
1. Determination of Traffic Chars teristics
Timing patterns for traffic signal systems have historically been implemented in one of two modes, by "time -of -
day, day -of -week" scheduling or by automated "traffic responsive" operation. In either case, previously developed
and stored timing plans are selected for implementation. More recently, some systems have incorporated
"adaptive" traffic control, in which new timing patterns are either created or modified automatically on a real-time
basis.
To determine the applicability of time -of -day, day -of -week operation and/or conventional traffic responsive
operation, the CONSULTANT shall perform the following analysis to assess the day-to-day variability and the
week -to -week predictability of traffic in Lubbock:
* For up to ten (10) locations selected in consultation with the MPO's representative, the CONSULTANT
shall review two full weeks (i.e., 14 calendar days) of City -furnished machine count data recorded by
direction and by one-hour increment.
■ For each location:
a Plots of hourly volume will be compared by day of week to assess daily variability.
Plots of hourly volume for Week 2 will be compared with Week 1 to assess week -to -week
predictability.

To determine the applicability of traffic adaptive operation, the CONSULTANT shall perform the following
analysis to assess short-term variability of traffic at key locations such as Slide Road near South Plains Mall, 19th
Street at Avenue Q, and 19th Street at University.
■ For up to ten (10) locations selected in consultation with the MPO's representative, the CONSULTANT
shall review up to three hours of City -furnished manual turning movement count data recorded on a per -
cycle basis.
■ For each location, both the optimum cycle length and the optimum split will be calculated for each cycle.
This information will then be used to assess the extent to which overall delay could be reduced by
adjusting the cycle and/or split on a per -cycle basis.
2. System Size
Available data including horizon year traffic forecasts and actual, recent trends in signalization of additional
intersections will be examined to develop a planning -level estimate of the total number of signalized
intersections which should be accommodated in the design year of the new computerized traffic control
system (CTCS) and the approximate distribution of those signalized intersections by area of the City.
3. D cumentati n of Findings
The CONSULTANT shall prepare and submit a draft technical memorandum documenting the findings and
recommendations regarding the applicability of each mode of timing plan implementation and regarding
system size. After receipt of the MPO representative's comments, the CONSULTANT shall submit a final
technical memorandum.
D. Determination of Needs
Following the technology briefings and site visits, it is anticipated that the Committee will have broader understanding
of the opportunities and a more complete appreciation of the needs which should be addressed by Lubbocles new CTCS.
Accordingly, at this time, the CONSULTANT shall conduct one (1) full-day, interactive work session with the
Committee. The interactive and informal discussion during this session will be geared to accomplish the following:
■ To provide the CONSULTANTS staff with a better understanding of the Committee's concerns and
preferences;
■ To develop a consensus understanding of the needs which the new system must address; and
■ To build preliminary consensus regarding the types of signal systems which should be evaluated in greater
detail.
Relative to system needs, the following will be addressed:
1. Traffic Control Needs
a. Basic Needs. This will include any specifically -desired control subareas, desired local control modes
(e.g., pretimed, semi -actuated, full -actuated), and desired timing pattern implementation modes (e.g.,
time -of -day, traffic responsive, traffic adaptive).

b. Needs Relative to Special Events. This will include an assessment of needs relative to management of
special events traffic.
c. Ancillary Needs. This will include such items as emergency vehicle preemption, special functions (e.g.,
school beacon control), reversible lane control, etc. Other "non -traffic" opportunities, such as
monitoring playa lakes flooding, will also be assessed.
2. Related Needs
a. CCTV. Many of the advanced traffic management systems being designed and installed today include
closed-circuit television (CCTV) surveillance. Needs relative to CCTV, both for initial system
deployment and for future expansion and enhancement, will be explored. This assessment will address
potential camera locations and techniques for transmitting video images at a reduced cost.
b. Incident Detection and Mana ement Strate ies. Many of the advanced traffic management systems
being designed and installed today include automated incident detection. The need for incident detection
and management will be assessed.
C. Ramp Metering. Traffic volumes on South Loop 289 are believed to be approaching the levels at which
ramp metering may be warranted. The need for incorporation of ramp metering control/monitoring into
the new CTCS will be assessed.
d. Other 17Services. Both short- and long-term needs and opportunities relative to the following
Intelligent Transportation System (ITS) services will be explored:
Advanced traveler information (ATIS) services. This will include an assessment of the need for
dynamic route guidance.
■ Hazardous Materials Monitorine. Trucks carrying hazardous materials are required by Federal
regulations to carry electronic ID tags which can be "read" automatically. The available
information includes type and quantity of the material being carried. The interface of this
technology with the new CTCS would enable Lubbock's public safety officials to monitor the
passage of hazardous materials.
■ Transit Operations. ITS techniques (vehicle location monitoring, preemption or priority treatment
at traffic signals, etc.) are used in some cities to enhance transit operations. Transit -related needs
in Lubbock will be discussed with the Citibus manager.
e. Other Municipal Communications Needs. Prior to the work session, in the interest of minimizing the
per -function communications cost, the CONSULTANT shall confer with representatives of various City
of Lubbock departments to develop an understanding of overall municipal communications needs (public
safety, transit system, utilities, data processing, etc., as well as traffic control) and to explore
opportunities for shared communications facilities.
GIS Interface Reauirements. Prior to the work session, the CONSULTANT shall confer with
appropriate members of the City staff to assess needs and opportunities relative to interface with existing
or planned GIS systems.

g. "9-1-1" Interface Re uirements. Prior to the work session, the CONSULTANT shall confer with
appropriate members of the City staff to assess needs and opportunities relative to interface with the
"9-1-1" emergency dispatch function.
h. TxDOT Interface Requirements. Prior to the work session, the CONSULTANT shall confer jointly with
City and TxDOT staffs to assess needs and opportunities relative to the interface with TxDOTs existing,
planned, and possible future ITS systems. As has been the case in other cities, substantial opportunities
may exist for both the City and TxDOT to realize long-term cost savings by planning for shared use of
information and/or infrastructure.
E. Documentation of Needs
At the conclusion of the full-day work session described above, the CONSULTANT shall prepare and submit:
■ A draft technical memorandum which documents the new CTCS's needs as perceived by the various
individuals conferred with; and
■ A draft statement of goals and objectives to address and satisfy those needs.
F. Documentation of Goals and Objectives
The CONSULTANT shall conduct one follow-up meeting with the Committee to receive comments relative to goals
and objectives. Following these interactive discussions to receive comment on the technical memorandum and to refine
the statement of goals and objectives, the CONSULTANT shall prepare and submit revised versions of both documents.
It is mutually understood that these revised documents will be the basis upon which specific system alternatives will
be subsequently defined and evaluated.
Task III. Evaluation of .Specific System Components
The CONSULTANT shall perform subsystem evaluations of the following system components.
A. CommUnications
The CONSULTANT shall perform the following evaluations and analyses relative to the communications subsystem,
which typically represents approximately half the total cost of an CTCS.
I. Functional Requirements
The CONSULTANT shall determine the functional requirements of a new communications system that will
accommodate both the traffic control and ITS needs and any other municipal communications needs as
determined in Subsections II.D.1 and II.D.2 and documented in Subsection ME.
2. Existing Communications System
The CONSULTANT shall obtain and compile information from the City concerning the existing twisted -pair
communications network and cable plant and any other available City -owned conduits or ducts. It is assumed
for budgetary purposes that actual testing of the existing cable will be performed by the MPO's signal
maintenance personnel.

3. Applicable Utility Company Information
The CONSULTANT shall evaluate utility franchise agreements (relative to rights granted to the City for
shared use of utility -owned cables and ducts and/or attaching City -owned communications cables to utility
poles). The CONSULTANT shall also determine the availability of existing conduits or ducts owned by
utility companies.
4. Required Coverage Area of New Communications System
The CONSULTANT shall determine the required coverage area of the new communications system, both for
the initial deployment and for ultimate expansion. The CONSULTANT shall prepare and submit a
preliminary map which shows these areas superimposed on a map which documents:
The locations and pair counts of the existing communications system;
The locations of other existing conduits or ducts owned by the City or by utility companies; and
The locations of existing or planned fiber optic cables owned by other agencies and utility
companies.
After receipt of the MPO representative's comments, the CONSULTANT shall revise and finalize this map.
5. Communications Cable Routing tions
For required coverage areas not served by the existing communications system or available existing conduits
or ducts, the CONSULTANT shall perform field reconnaissance to ascertain the options that appear to be
available relative to the new communications system. The CONSULTANT shall prepare and submit a
preliminary map which classifies probable communications routings options as follows:
An aerial cable route (on existing utility poles) appear to be available; and/or
■ An aerial route is not available but existing conditions are such that new underground conduit can
apparently be installed at a reasonable cost; and/or
■ Neither of the above are available, in which case wireless technology will most likely be the most
cost-effective option for new, City -owned communications.
The CONSULTANT shall identify those areas where fibers optic cables owned by another agency or utility
company are or will be in existence and sufficient fibers may be available for use in conjunction with the new
CTCS.
After receipt of the MPO representative's comments, the CONSULTANT shall revise and finalize this map.
6. Applicabili1y of Specific Technologies
Without regard to specific routes, the CONSULTANT shall evaluate the applicability of each of the following
candidate communications modes:

■ New City -owned fiber optic cable (both single -mode and multimode);
■ CATV lines and/or fiber optic facilities owned by other agencies or utility companies;
■ T-1 telephone lines; and
■ Wireless modes (e.g., spread spectrum and short -haul microwave).
Some modes, such as fiber optic, will be evaluated for use in both trunk and branch applications. Other
modes, such as short -haul microwave, will be evaluated primarily for use in specific locations where
installation of new City -owned cable appears to be particularly expensive.
7. Preliminary Recommendations
The CONSULTANT shall then prepare and submit a draft technical memorandum documenting the results
of the communications evaluation and recommending specific combinations of modes (for example, all new
City -owned fiber optic; combination of existing twisted -pair and new, City -owned fiber optic; combination
of existing twisted -pair, leased fiber optic, and new City -owned wireless, etc.) for formalized trade-off
analysis. This draft technical memorandum will include specific recommendations regarding potential short -
and long-term reuse of the existing cable plant as part of the new communications system. After receipt of
the MPO representative's comments, the CONSULTANT shall revise and finalize this technical memorandum.
8. Communications Trade-off Anal
The specific combinations to be included in the formalized analysis will be finalized through interactive
discussion with the Committee. For budgetary purposes, it is assumed that the CONSULTANT shall conduct
a formalized analysis of up to five (5) modes or combinations of modes. The CONSULTANT shall prepare
and submit a draft technical memorandum documenting the communications trade-off analysis. After receipt
of the MPO representative's comments, the CONSULTANT shall revise and finalize this technical
memorandum.
B. Field Eauinment
One area which often offers significant opportunity for cosr�qflecdve reuse of existing equipment is controllers and/or
controller cabinets. For example, the installed cost of a new cabinet and controller is typically on the order of three
times the cost of retrofitting a new controller into an existing cabinet. The CONSULTANT shall evaluate the following:
■ The reusability of existing NEMA TSI cabinets, and
■ Alternatives for new controllers—this will include but not be limited to NEMA TS 1 controllers with specified
non-proprietary protocol, NEMA TS2 controllers, Type 170 controllers, Type 179 controllers, 2070
controllers, and other advanced transportation controllers.
The CONSULTANT shall review MPO -furnished inventory data regarding cabinet type (i.e., manufacturer and model)
and cabinet age. For all types which are less than five years old, the CONSULTANT shall then perform field
reconnaissance to assess the practicality of reusing the existing cabinets. For budgetary purposes, it is assumed that
up to three (3) cabinets of each type will be visited. The CONSULTANT shall prepare and submit a draft technical
memorandum documenting its recommendations relative to reusability of existing controller cabinets and recommending

specific controller and cabinet alternatives for further evaluation. After receipt of the MPO representative's comments,
the CONSULTANT shall revise and finalize this technical memorandum.
The specific alternatives to be included in the formalized analysis will be determined through interactive discussion with
the Committee. For budgetary purposes, it is assumed that the CONSULTANT shall conduct a formalized analysis of
up to three (3) controller and cabinet alternatives. The CONSULTANT shall then prepare and submit a draft technical
memorandum which includes:
■ Documentation of the results of the formalized controller and cabinet analysis.
Recommendations relative to replacement or modification of specific controller cabinet types. (It will be
assumed that all controller cabinets which predate the existing computerized signal system will be replaced.
With respect to newer controller cabinets, it is understood that Lubbock has a limited number of different
controller cabinet types -- for example, NEMA cabinets which were installed with the existing computerized
signal system, Type 170 cabinets, relatively new Naztec cabinets, etc. )
The results of an assessment of alternative technologies (i.e., other than induction loops) for system detection
purposes. This will include both video imaging and acoustical detection systems.
After receipt of the MPO representative's comments, the CONSULTANT shall revise and finalize this technical
memorandum.
C. System Type/Architecture Options
There are three basic types of computerized traffic signal systems today which implement previously developed and
stored timing plans:
■ Centralized control and monitoring — Lubbock's existing centralized system is of this type, which is
characterized by once -per -second command (hold, force -off, etc.) from the central computer to each local
control device (communications -compatible controller or external communications interface).
■ Distributed control and centralized monitoring — Systems of this type have continuous monitoring of each
intersection but the control is distributed, taking more complete advantage of the intelligence available in
modern controllers. Instead of UTCS-type once -per -second transmission of control commands, complete
timing plan data are downloaded and stored at the local controller. The appropriate plan is then implemented
by a command periodically sent from the central computer to each local controller.
Distributed control and monitorin — Examples of this type include off-the-shelf "closed-loop" systems that
are available from various NEMA manufacturers as well as several Type 170 software vendors. Relative to
the other two architecture options, systems of this type have several significant drawbacks including limited
system graphics display capability and subsystems that are typically fixed at least to some extent as a function
of the communications cable routing. Accordingly, based on experience in other similar -sized cities, it is
anticipated that this system type will fall significantly short of satisfying the requirements of Lubbock's new
CTCS. This system should, however, be evaluated for potential short-term (i.e., "building block") use as
system control is expanded to outlying areas.
In the event the traffic characteristics analysis (see Subsection II.C.1) indicated the need for adaptive traffic control (i.e.,
the implementation of timing plans that are either generated or modified in real-time as opposed to having been
previously developed and stored), the CONSULTANT shall also assess the suitability of the available adaptive systems

for use in Lubbock. This will include an assessment of "hybrid adaptive" control, which provides implementation of
pre -stored plans unless traffic conditions differ from "normal" levels by a specified threshold.
After evaluating each system type relative to Lubbock's specific needs and preferences as documented in Task 11, the
CONSULTANT shall prepare and submit a draft technical memorandum documenting the results of the system
type/system architecture analysis. After receipt of the MPO representative's continents, the CONSULTANT shall revise
and finalize this technical memorandum.
D. Control Center Reauirements
With respect to the MPO's documented needs and objectives, the CONSULTANT shall assess needs and opportunities
relative to the control center(s) for the new CICS. This shall include both immediate needs (i.e., initial implementation)
and long-term needs. The CONSULTANT shall also address needs relative to remote interfaces and satellite points of
system access and/or control.
The CONSULTANT shall prepare and submit a draft technical memorandum documenting its findings and
recommendations. After receipt of the MPO representative's comments, the CONSULTANT shall revise and finalize
this technical memorandum.
E. Issues R lative to System Procurement and Staging of implementation
The CONSULTANT shall assess available options for system procurement including:
■ Turn -key installation, in which one contractor has full responsibility for installing and integrating all
equipment and all hardware and software.
■ Force account construction, in which portions of the equipment are installed by City forces.
■ The system manager approach, in which the equipment, hardware, and software are typically installed in
multiple contracts coordinated by an engineering consultant acting as the City's "system manager." in some
cases, the software is provided and integrated by the system manager. In other cases, the software is provided
under one of the contracts coordinated by the system manager. Also, in some cases, City forces may install
portions of the equipment (such as the controllers and cabinets).
The CONSULTANT shall address also issues associated with the probable need to implement the new CTCS in phases
or stages rather than in one large turn -key project. This assessment will explore opportunities and limitations relative
to implementation of the new system in several functional phases and/or geographic stages to match funding availability.
The CONSULTANT will also address issues relative to operation of dual systems (existing and new) as part of a staged
implementation.
Task IV. Formulation and Evaluation of Specific Candidate Alternatives
The CONSULTANT shall formulate up to four (4) specific candidate alternatives, each of which generally
accommodates the MPO representative's expressed preference. After concurrence by the MPO's representative, the
CONSULTANT shall evaluate those alternatives in a formalized manner, taking into account both qualitative and
quantitative factors.

A. Ouantitative and Oualitative Analyses
1. Benefit -Cost Analysis
For each alternative, the CONSULTANT shall develop planning -level estimates of both the costs and the
benefits. The estimates of capital cost will be based on the actual, installed costs of similar systems in other
locations. The estimates of benefits (from anticipated reduction in travel costs due to decreased stops, delay,
and travel time) will be based on documented performance of similar systems in other locations. The overall
estimate of benefit -cost ratios will take into account the present worth of estimated operating and maintenance
costs.
2. Objectives -Satisfaction Analysis
Many of the differences between candidate alternatives will be qualitative. For example, factors such as
"user-friendliness" or "ease of maintenance" may be very important but difficult to quantify. A constant -sum,
paired comparison analysis will be used to enable Committee members to rate each candidate system's ability
to satisfy various qualitative objectives. For each alternative, the CONSULTANT shall then compile a
composite Objectives -Satisfaction Index which will reflect the consensus of the Committee.
3. Worth Index
To combine the quantitative and qualitative factors, the CONSULTANT shall then compile a Worth Index,
which is defined as the Benefit -Cost Ratio multiplied by the Objectives -Satisfaction Index.
The CONSULTANT shall submit a draft technical memorandum documenting these analyses. After receipt of the MPO
representative's comments, the CONSULTANT shall finalize this technical memorandum.
B. Selection of Preferred Alternative
Guided by the various quantitative and qualitative measures, the decision as to preferred alternative will then be made.
Through interactive discussion, the CONSULTANT shall guide the Committee to a consensus choice of preferred
alternative.
C. Conceptual Design
The CONSULTANT shall then develop, for the preferred alternative, a detailed functional description which includes
schematic drawings of the proposed communications network and the preliminary control areas. The CONSULTANT
shall also provide recommendations relative to procurement procedures, staging of implementation, and funding
opportunities.
The CONSULTANT shall submit a draft conceptual design technical memorandum which incorporates the schematic
drawings as exhibits. After receipt of the MPO representative's comments, the CONSULTANT shall finalize this
technical memorandum.

Task V Final Report
The CONSULTANT shall prepare and submit a final report, which documents the findings and results of the Project.
It is understood that the final report will incorporate applicable portions of technical memoranda prepared and finalized
in conjunction with previous tasks.
The CONSULTANT shall prepare and submit a draft final report. After attending a special review meeting to receive
comments, the CONSULTANT shall prepare and submit the final report.
The CONSULTANT shall prepare for a make one formal presentation of the final report to the Lubbock City Council.
4.0 DELIVERABLES
A. Technical Memoranda. The CONSULTANT shall provide six (6) bound copies plus one (1) unbound copy of
each draft technical memorandum:
1. Traffic Characteristics and System Size (Subsection II.C.1)
2. Documentation of Needs, Goals, and Objectives (Subsection II.E)
3. Preliminary Communications Recommendations (Subsections III.A.7)
4. Communications Trade-off Analysis (Subsection III.A.8)
5. Preliminary Controller and Cabinet Recommendations (Subsection III.B)
6. Controller and Cabinet Analysis, Recommendations Regarding Controller and Cabinet Replacement, and
Alternative Detection Technologies (Subsection IILB)
7. System Type/System Architecture Options (Subsection III.C)
8. Control Center Requirements (Subsection IV.E)
9. Quantitative and Qualitative Analyses (Subsection IV.A)
10. Conceptual Design (Subsection IV.C)
Following the MPO representative's review, the CONSULTANT shall submit three (3) bound and one (1) unbound
copy of each revised technical memorandum.
B. Final Rcport. The CONSULTANT shall provide six (6) bound copies plus one (1) unbound copy of the draft final
report. The CONSULTANT shall provide twenty-five (25) bound copies plus one (1) unbound copy of the final
report.

C. Miscellaneous Deliverables. The CONSULTANT shall also provide the following:
I . Five (5) copies of the draft and final versions of the Project Work Plan.

5.0. INFORMATION, MATERIALS, AND SERVICES TO BE PROVIDED TO THE CONSULTANT
The following shall, if available, be provide by the MPO's representative to the CONSULTANT without cost to the
CONSULTANT:
A. Information and Materials
1. City of Lubbock map (at I "=1,000' or 1"=2,000" or similar scale) showing entire signal system project area.
Either one (1) reproducible or ten (10) paper copies shall be provided. Alternately, the map databases shall
be supplied, if available, on floppy diskette in AutoCADO-compatible format.
2. As -built architectural plans showing the building(s) which house the existing signal system control room and
any other candidate site(s) for the future control center(s).
3. As -built plans of the existing signal system communications plant. If such plans are not available, sketches
or written or tabular descriptions of the routes, pair counts, conduit types and sizes, etc.
4. Information regarding other existing City -owned conduits or ducts.
5. Relevant traffic data including current ADTs and projected horizon -year traffic forecasts.
6. Copies of relevant utility franchise agreements.
7. Inventory data (hardcopy and electronic format) on existing controllers and cabinets.
8. Turning movement count data and manual turning movement count data for the CONSULTANT s use in the
traffic characteristics analysis (Subsection II.C.I ).
B. Services
1. Liaison and coordination with utility companies, other City of Lubbock departments, and other agencies (e.g.,
TxDOT) to secure their cooperation relative to the project.
2. Timely review of submittals.
