BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
-xecute for ar,d on behalf of the City of Lubbock a Second Amendment to Agreement for
Engineering Services with Black & Veatch for certain improvements to the Southeast Water
1eclamation Plant and related facilities, attached hereto, which shall be spread upon the minutes
)f the Council and as spread upon the minutes of this Council shall constitute and be a part of this
Resolution as if fully copied herein in detail.

SECOND AMENDMENT TO
AGREEMENT FOR ENGINEERING SERVICES
THIS SECOND AMENDMENT between the City of Lubbock, Texas (herein-
after called the Owner), and Black & Veatch, (hereinafter called the
Engineer);
WITNESSETH: WHEREAS, effective on September 28, 1990, the Owner
and Engineer entered into an agreement, hereinafter called the "Original
Contract", which provided for design phase services for certain
improvements to the Owner's Southeast Water Reclamation Plant and
related facilities, (hereinafter referred to as the Project); and
WHEREAS, preliminary phase services for rehabilitation of existing
Anaerobic Digester No. 8 and No. 9 at the Plant are desired by the Owner
and need to be incorporated into the Original Contract; and
WHEREAS, Engineer is prepared to provide the preliminary phase
services for the Anaerobic Digesters No. 8 and No. 9 rehabilitation.
NOW THEREFORE, in consideration of the mutual covenants herein
contained, the Owner and Engineer hereto agree as follows:
ARTICLE 1 - EFFECTIVE DATE
The effective date of this Second Amendment shall be May 23, 1996
ARTICLE 2 - SERVICES TO BE PERFORMED BY ENGINEER
Engineer shall perform the Preliminary Phase Services described in
Attachment A, Scope of Services, which is attached hereto and
incorporated by reference as part of this Second Amendment.
ARTICLE 3 - COMPENSATION
Owner shall pay Engineer for Preliminary Phase Services in accordance
with Attachment B, Compensation, which is attached hereto and
incorporated by reference as part of this Second Amendment.
ARTICLE 4 - OWNER'S RESPONSIBILITIES
Owner shall be responsible for all Preliminary Phase matters described
in Attachment C, Owner's Responsibilities, which is attached hereto and
incorporated by reference as part of this Second Amendment.
ARTICLE 5 - ORIGINAL CONTRACT
The remainder of the Original Contract effective on September 28, 1990,
remains unchanged.

TO SECOND AMENDMENT TO
AGREEMENT FOR ENGINEERING SERVICES
Owner: City of Lubbock, Texas
Project: Rehabilitation of Anaerobic Digesters No. 8 and No. 9
A DESCRIPTION OF SCOPE OF SERVICES
The scope of services for this preliminary engineering phase for
rehabilitation of Anaerobic Digesters No. 8 and No. 9 at the Southeast
Water Reclamation Plant project is as follows. Work under Phase 110
will start on execution of this Amendment Work will not proceed in any
other particular phase until Owner has authorized Engineer in writing to
proceed.
PHASE 110. DIGESTER NO. 8 PRIORITY ONE IMPROVEMENTS
A. Obtain and review existing pertinent data available from Owner.
B. Conduct one inspection trip to make observations of the following:
1. Structural condition of Digester No. 8 cover and anchorage.
2. Gas system piping condition.
3. Electrical and instrumentation system.
4. Transfer piping from Digester No. 8 to No. 9.
5. Operational characteristics.
C. Verify existing process model for Plants 2, 3, and 4 based on
current operating data and estimate digester gas production
quantity.
D. Evaluate the following items and develop preliminary
recommendations for Priority One Improvements in order for Owner
to place Digester No. 8 back into service:
1. Structural condition and anchorage, including corrosion
aspects of the cover.
2. Gas system from Digester No. 8 and No. 9 to flares.
3. Electrical and instrumentation systems.

4. Hydraulic capacity of existing gravity transfer system from
Digester No. 8 to Digester No. 9.
5. Operational mode for Digesters No. 8 and No. 9.
E. Prepare Draft Technical Memorandum.
1. Prepare a draft technical memorandum containing the results
of the evaluations and preliminary recommendations for the
Priority One Improvements, including an initial design and
construction scope and schedule for the construction
contract.
2. Prepare preliminary opinions of probable cost for the
improvements.
3. Submit five copies to Owner for review and meet with Owner to
discuss Owner's comments.
F. Prepare Final Technical Memorandum.
1. Revise the technical memorandum after receipt of Owner's
comments and submit five copies to Owner.
2. Consult with Owner, up to maximum effort of 14 person -hours,
concerning the final memorandum's contents, and discussions
with State regulatory agencies.
PHASE 120. DIGESTERS NO. 8 AND NO. 9 PRIORITY TWO IMPROVEMENTS
A. Obtain and review existing pertinent data available from Owner.
B. ' Conduct one inspection trip to make observations the following:
1. Structural condition of Digester No. 9 cover and anchorage.
2. Electrical and instrumentation systems.
3. Digesters No. 6, 7, 8, and 9 combined operational mode.
C. Evaluate the following items and develop preliminary
recommendations for Priority Two Improvements for Digesters No. 8
and No. 9:
1. Structural condition and anchorage, including corrosion
aspects of the cover for Digester No. 9.
2. Combined gas system from Digesters No. 6, No. 7, No. 8, and
No. 9 to flares.

3. Alternative electrical and instrumentation systems upgrades.
4. Hydraulic capacity of alternative pumped transfer system from
Digester No. 8 to Digester No. 9.
5. Alternative pipeline system and hydraulic capacity of direct
transfer from Digester No. 9 to the belt -filter presses.
6. Process design of alternative operational mode with Plants 3
and 4 sludge going to Digesters No. 8 and No. 9, and Plant 2
sludge going to Digesters No. 6 and No. 7.
D. Prepare Draft Technical Memorandum.
1. Prepare a draft technical memorandum containing the results
of the evaluations and preliminary recommendations for the
Priority Two Improvements, including an initial design and
construction scope and schedule for the construction
contract.
2. Prepare preliminary opinions of probable cost for the
improvements.
3. Submit five copies to Owner for review and meet with Owner to
discuss Owner's comments.

A. Obtain and review existing data available from Owner.
B. Review existing digester gas quality data and assess need for air
quality permit.
C. Estimate digester gas utilization volumes and determine location
of potential utilization facilities. It is anticipated that all
locations will be on the Southeast Water Reclamation Plant site,
with one exception being a potential off-site customer in the
vicinity of the plant.
D. Assess alternative digester gas cleaning methods for utilization
and air quality permit requirements.

E. Develop conceptual electrical and instrumentation systems needed
to implement the gas cleaning and utilization facilities.
F. Prepare Draft Technical Memorandum.
1. Prepare a draft technical memorandum containing the results
of the evaluations and preliminary recommendations for the
Priority Three Improvements, including an initial design and
construction scope and schedule for the construction
contract.
2. Prepare preliminary opinions of probable cost for the
improvements.
3. Submit five copies to owner for review and meet with Owner to
discuss Owner's comments.
F. Prepare Final Technical Memorandum.
1. Revise the technical memorandum, after receipt of Owner's
comments and submit five copies to Owner.
2. Consult with Owner, up to maximum effort of 12 person -hours,
concerning the final memorandum's contents, and discussions
with State regulatory agencies.
SUPPLEMENTAL SERVICES
Any Work requested by Owner that is not included in one of the items
listed above will be classified as supplemental services.

ATTACHMENT B
TO SECOND AMENDMENT TO
AGREEMENT FOR ENGINEERING SERVICES
Owner: City of Lubbock, Texas
Project: Rehabilitation of Anaerobic Digesters No. 8 and No. 9
COMPENSATION
For the preliminary phase services covered by this amendment, the Owner
agrees to pay the Engineer as follows:
A. For Phases 110, 120, and 130 services for the Project, an
hourly billing fee for Engineer's personnel services. The
fee schedule for the Engineer's personnel services are
specified in the schedule at the end of this Attachment B.
Subcontract personnel services shall be reimbursable expenses
and are to be billed at cost. The maximum billed for these
Engineer's personnel services shall not be exceeded without
further written. authorization. In addition, Engineer's and
subcontractor's "reimbursable expenses shall be billed at
cost.
The maximum billed for these Engineer's personnel services
and the estimated reimbursable expenses for services
performed on each phase are listed in the following
tabulation:

B. For supplemental services, an hourly fee for Engineer's
personnel as listed in the attached schedule plus
reimbursable expenses and subcontract billing at cost to
Engineer. Each item of supplemental services shall be
established before the work is started. The amount billed
for each item of supplemental services shall not exceed the
amount established for it without further authorization.

Additional amounts for supplemental services may be
authorized, if necessary, as the work progresses.
C. Hourly fees listed herein for Engineer's personnel services
will apply until December 31, 1996, and shall be changed
annually on January 1st for the upcoming twelve (12) month
period.
D. The following expenses are reimbursable:
1. Travel, subsistence, and incidental costs.
2. Use of motor vehicles on a monthly rental basis for
assigned vehicles and on a current mileage basis or
rental cost basis for vehicles used for short periods.
3. Telegraph costs, long distance telephone costs and
project "onsite" telephone costs.
4. Moving costs to project for full-time onsite personnel.
5. Reproduction of reports, drawings, and specifications.
6. Postage and'shipping charges for project -related
materials.
7. Computer time charges including program use charges.
8. Rental charges for use of equipment, including equipment
owned by the Engineer.
9. Cost of acquiring any other materials or services
specifically for and applicable to only this project.
E. The Engineer agrees to use its best efforts to perform the
services as defined in Attachment A within the billing limits
stated above.
F. Periodic payments (every 4 weeks) shall be made to the
Engineer by the Owner based on the Engineer's invoice. The
invoice shall be itemized to indicate the amount of work
performed and the associated reimbursable expenses and
subcontract costs.
G. The uncontested amount of each invoice shall be due and
payable upon receipt by the Owner. Carrying charges of 1-112
percent per month from the invoice date, shall be due for
invoices which are not paid within 60 days after the invoice
date.

H. It is understood and agreed that the maximum billings of each
of the above items are based on the start of the services
being authorized not later than the dates given below. If
start of services is not authorized by dates given, it is
understood and agreed that the billing limits will be
adjusted accordingly by a supplement to this Amendment. The

I. It is understood and agreed that the Engineer shall start the
performance of the services listed below within ten days of
receipt of notice to proceed.
J. It is understood and agreed that the Engineer shall keep records
on the basis of generally accepted accounting practice of costs
and expenses and which records shall be available to inspection
at reasonable times.

Project: Rehabilitation of Anaerobic Digesters No. 8 and No. 9
OWNER'S RESPONSIBILITIES
The Owner will furnish, as required by the work and not at the expense
of the Engineer, the following items:
1. All maps, drawings, reports, records, audits, annual reports,
and other data that are available in the files of the Owner
and which may be useful in the work involved under this
contract.
2. Access to public property when required in performance of the
Engineer's services.
3. Property, boundary, easement, right-of-way, topographic, and
utility surveys and property descriptions.
4. Confined space entry plans for Anaerobic. Digesters No. 8 and
No. 9, and any other confined spaces that Engineer may enter
during the work involved under this contract.
5. The services of at least one of the Owner's employees or staff
who has knowledge of the existing anaerobic digester
facilities.
6. Shop, mill, or laboratory inspection of materials, laboratory
and field testing, field sampling services.
