HomeMy WebLinkAboutResolution - 6119 - Operating Agreement - Ford Motor Company - Fleet Services - 12/10/1998Resolution No. 6119 Item No. 19 December 10, 1998 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock an Operating Agreement, and associated documents, with Ford Motor Company authorizing City of Lubbock Fleet Services, to perform new vehicle preparation and conditioning, and Ford warranty repairs on Ford -built cars and light trucks belonging to the City of Lubbock. Said Agreement is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the Council. The facility has been assigned Parts and Accessories (P&A) Code 43816-9 and a labor rate of $33.00 per hour for mechanical repairs. Enclosed is a copy of a Fleet Operating Agreement and a 1999 Warranty and Policy Manual. The Operating Agreement MUST be signed and returned. Failure to sign and return the attached agreement will make this contract null and void. Agreements not returned within 30 days are automatically void. Peterson North American Fleet Service Enclosures WARRANTY SERVICE PROVIDER OPERATING AGREEMENT Authorization is given to City of Lubbock Fleet, (hereinafter called "fleet") for the performance of minor Ford warranty repairs (covered in the Dealer Warranty and Policy Manual as amended for Fleets). Minor repairs are limited to the following areas: Air Conditioner, brakes, cooling system, electrical, fuel systems, ignition/emission systems, steering/front suspension and wheels/hubs/drums. Repair authorization is limited to gas powered Ford -built cars and light trucks, which it owns and operates or leases and operates at 324 Municipal Dr., Lubbock, TX 79457. Authorization is also given for the performance of new vehicle preparation and conditioning on Ford -built vehicles delivered to the above address providing said vehicles are destined for the above authorized fleet. Vehicle prep and conditioning must be performed in accordance with the Pre -Delivery Service Record. Service Providers with interim or full Pre -Delivery authority will be held responsible for any vehicle damage caused by not performing all of the items on the Pre -delivery service Record This authorization is for claiming and receiving reimbursement from Ford Motor Company for performing warranty repairs and is subject to cancellation by either party on 30 days' notice and to the following conditions and procedures: Conditions for Reimbursement of Fleet Performed Repairs The fleet agrees to maintain service facilities, special service tools and equipment which meet the approval of Ford Motor Company. The fleet also agrees to purchase, at a nominal fee, all warranty service publications necessary for the proper performance and reimbursement of warranty repairs. Warranty repairs made from a repair location that has been self -certified, but in fact does not meet Ford Motor Company's requirements to perform service will be subject to chargeback and termination of fleet approval. The fleet agrees to make its technicians available for technical training at Ford authorized training facilities at no cost to the Ford Motor Company. A nominal fee will be charged for training provided at the fleet location(s). All contracted technicians must meet the same training requirements. The fleet agrees to adhere to all prior work approval requirements as Ford Motor Company may specify, (i.e., Digital Imaging, vehicle and part inspections and/or claims review). Except as specified in this procedure, the fleet agrees to operate under the same After -Warranty Adjustment guidelines as Ford dealers, as expressed in the Warranty and Policy Manual as amended for Fleets. When the fleet performs new vehicle preparation and conditioning, the fleet agrees: - 2 - To perform new vehicle preparation and conditioning in accordance with published Ford procedures, including, but not limited to, the "Predelivery Service Record". To maintain a copy of the completed "Predelivery Service Record" for each vehicle upon which new vehicle preparation and conditioning was performed. To provide a copy of the completed "Predelivery Service Record" to the Ford or Lincoln-Mercury dealer who is the selling dealer of that vehicle. That reimbursement for new vehicle preparation and conditioning will be made by Ford Motor Company to the selling Ford or Lincoln-Mercury dealer and that payment to the fleet for such work will be the responsibility of the fleet and the selling dealer. Ford Motor Company may audit all fleet records pertaining in any way to new vehicle preparation and conditioning, warranty or policy repairs, including the repair orders (hard copy), the technicians' payroll records and any applicable outside sublet parts and/or labor invoices. Such records must be retained by the fleet for a period of at least one year. Where such records are not available for at least one year or are incomplete for related repairs for which the fleet has previously been reimbursed, appropriate chargeback action may be taken by Ford Motor Company. Reimbursement will not be made for shop comeback (repeat) repairs resulting from improperly performed warranty repairs, or for failures resulting from the use of non -genuine Ford parts, or for work not accomplished and claimed in accordance with the Warranty and Policy Manual. Parts Reimbursement Parts used in warranty repairs will be genuine Ford parts only, except as otherwise authorized in the Warranty and Policy Manual. The fleet agrees to adhere to all parts return requirements as Ford Motor Company may specify. Failed parts removed from the vehicle must be held by the fleet for 30 days from the payment date by Ford Motor Company. These parts are to be made available for inspection by Ford Motor Company representatives for disposition as Ford Motor Company may specify. For administrative convenience, parts reimbursement of genuine parts will be based upon a price formula of dealer (net) price as listed in the Company's Parts and Accessories Price List in effect at the time of repair, plus 20 percent. This dealer (net) price plus mark-up allowance approximates a fleet's actual acquisition cost from local Ford and Lincoln-Mercury dealerships. If a fleet purchases Ford/Motorcraft parts from other than Ford or Lincoln-Mercury dealerships, Ford Motor Company may revise its parts allowance to the fleet - 3 - Parts reimbursement for non -genuine parts (when used under conditions authorized in the Warranty and Policy Manual) will be on the basis of actual cost, provided such cost is reasonable in the opinion of Ford Motor Company. A copy of the parts purchase invoice must be attached to the related claim form in order to determine the fleet's actual cost for the part. Warranty Labor Reimbursement Warranty labor reimbursement will be based on the location's approved warranty labor rate multiplied by the applicable labor operation in the Ford Service Labor Time Standards Manual. Where no Ford labor operation applies, reimbursement will be based on actual time (provided it is reasonable in the opinion of Ford Motor Company) multiplied by the location's approved warranty labor rate. All fleets must time record actual time repair operations. Sublet Repairs Parts and labor reimbursement for sublet repairs will be on the basis of the fleet's actual costs, provided such costs are reasonable in the opinion of Ford Motor Company. A copy of the sublet repair invoice must be attached to the related claim form. Claim Preparation A claim form should be prepared for each warranty repair order in accordance with procedures detailed in the Warranty and Policy Manual and ACESII manual. A copy of the Warranty and Policy Manual is included with this agreement. Your P&A CODE is 43816-9. This code will identify your fleet location. Ford's Computer Edit System requires accurate vehicle history files on all Ford built vehicles. The vehicle warranty data (i.e., Vehicle Identification Number, repair date, mileage, Customer Concern Code) identified on the claim form must be correct or payment may be delayed until the discrepancy is resolved. All claim forms should be completed promptly, signed, dated and processed by an approved ACES II claims service or Ford Dealer. Claims will not be accepted beyond 180 days after the date of repair. Information about all approved claims will appear daily on the ACES II Claims Register, available from your ACES II claims service or Ford Dealer. The total credit amount from the daily Claims Register will appear on the monthly Fleet Customer Statement. - 4 - Claim Payment Payment of warranty claims submitted to Ford will be processed through the monthly Fleet Customer Statement and mailed to the following address: Fleet Customer Statement P & A Code: 43816-9 City of Lubbock Fleet 324 Municipal Dr. Lubbock, TX 79457 A payment check will be prepared for a Fleet Statement in a net credit balance. The check should be received by the 20th of the month following the statement date. Fleet Statements in debit balance (due Ford Motor Company) should be paid by the 20th of the month after the current statement's date to the address on the statement. Acknowledgment I agree with the terms and conditions of the Fleet Operating Agreement and the Warranty and Policy Manual as amended for Fleet use. Changes to this contract are not auth ized and will void this agreement.
