HomeMy WebLinkAboutResolution - 2000-R0141 - License Agreement - TTUHSC - Coulter Maxm, CHD - 05/25/2000Resolution No. 2000-R 0141 May 25, 2000 Item No. 22 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute on behalf of the City of Lubbock a license agreement to allow use of a Coulter MaxM owned by the City Health Department by Texas Tech University Health Sciences Center for education and training of faculty and students at TTHSC, and any associated documents, by and between the City of Lubbock and TTHSC, Inc., which license agreement is attached hereto and which shall be a part of this Resolution as if fully copied herein in detail. Passed by the City Council this 25th day of May , 2000. j -16 DY SIT N, MAYOR A T: Ka i arnell, City Secretary APPROVED AS TO CONTENT: Tommy CAiden, Health Director APPROVED AS TO FORM: Vandiver, First Assistant City Attorney DDres/MaxM-Res March 22, 2000 Resolution No. 2000-R 0141 May 25, 2000 Item No. 22 REVOCABLE LICENSE TO USE PROPERTY This agreement is made by and between the City of Lubbock, authorized by the City Council ("CITY"), and Texas Tech University Health Sciences Center, School of Allied Health, Department of Diagnostic and Primary Care, Program In Clinical Laboratory Science ("TTUHSC") pursuant to Chapter 791, Government Code. CITY is the owner of the property described below; and TTUHSC desires to have this property available for education and training purposes on its premises. Both parties agree that such usage will be in the best interest of the public. Now, therefore, it is agreed as follows: I. DESCRIPTION OF PROPERTY Instrument Name: MAXM MFG: Coulter Model No.: Acquisition Cost: $120,000.00 Acquisition Date: May/92 Serial No.: U17164 Condition Code: excellent II. LICENSE TTUHSC shall have the right to move and utilize the above-described Property at its premises, 3601 4`h Street, 2B181, Lubbock, Texas. TTUHSC will use said property for education and training of faculty and students at TTUHSC. In consideration for this License, Licensee (TTUHSC) shall: 1. Take appropriate precautions to assure the Property is properly used and safeguarded; 2. Be responsible for and maintain the Property in good operating condition during the period of License; and 3. Be responsible for all expenses incident to transportation of Property to and from point of proposed use. This License is personal to TTUHSC, is not assignable, and any attempt to assign this License will result in immediate termination of the License. It is further understood and agreed that the Licensee (TTUHSC) will not acquire any enforceable rights pursuant to use or ownership of the Property. III. TERM OF LICENSE This License shall begin on the date the property is physically removed from the City Health Department premises and accepted by the Licensee, and shall terminate May 30, 2005. Extension or renewal of this License may only be made upon mutual written agreement by both parties, prior to termination date. This License is terminable at will by either party upon giving written notice to the other party. IV. INSPECTION OF PROPERTY CITY retains the right to inspect and/or inventory the Property upon reasonable notice during regular business hours. V. LIABILITY The CITY accept no liability for any loss or injury resulting from, arising out of, or in any way connected with the use of the Property while it is in custody of and the responsibility of the Licensee. VI.
