RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock, by and between the City of
Lubbock and Malcolm Pirnie, Inc., a contract to conduct an efficiency study to analyze
and evaluate the water treatment, water reclamation and wastewater collection sections,
and related documents. Said contract is attached hereto and incorporated in this
resolution as if fully set forth herein and shall be included in the minutes of the City
Council.

MASTER AGREEMENT FOR PROFESSIONAL SERVICES April 6, 2000

This is a Master Services Agreement made on April 6 , 2100 between the City of Lubbock [Client], a corporation
chartered under the laws of the State of Texas, having its principal place of business at P.O. Box 2000 Lubbock, Texas
79457, and Malcolm Pirnie, Inc. [Malcolm Pirnie], a professional engineering firm having its principal place of business
at 104 Corporate Park Drive, White Plains, New York 10604.
Client engages Malcolm Pirnie to provide professional engineering services for various Task Orders required by Client
under this Agreement [Project].
The Project will have the following characteristics:
The term 'Project' as used in this Agreement shall be interpreted to include the entire scope of services provided
by Malcolm Pirnie as described in individual Task Orders. On an as -needed basis, Client will request the
services of Malcolm Pirnie to be performed as part of the Project. In response to Client's request, Malcolm
Pirnie will prepare a Task Order which will become part of this Agreement upon execution by both parties.
In consideration of the mutual promises herein, Client and Malcolm Pirnie agree that the terms and conditions of this
Agreement are the following:
SECTION 1 — BASIC SERVICES
1.1 Scope. Malcolm Pimie shall provide specific basic
services as authorized by written Task Orders in accordance
with this Agreement. Malcolm Pimie's obligations under this
Agreement are solely for the benefit of Client and no other
party is intended to benefit or have rights hereunder.
1.2 Standard of Care. Malcolm Pimie shall perform the
professional engineering services under this Agreement at the
level customary for competent and prudent engineers perform-
ing such services at the time and place where the services are
provided [Standard of Care]. These services will be
provided by licensed engineers, other professionals and
individuals skilled in other technical disciplines, as appro-
priate.
1.3 Instruments of Service. Malcolm Pimie is responsible
for the professional quality, technical accuracy, timely
completion, and the coordination of all instruments of its
services including reports, designs, drawings, specifications
[Service Instruments] and other services provided under this
Agreement.
1.4 Applicable Codes. The Service Instruments will con-
form to the generally accepted codes and regulations
applicable to the Project at the time of performance.

SECTION 2 — ADDITIONAL SERVICES
2.1 Scope. Malcolm Pirnie will provide the Additional
Services when authorized in writing in a Task Order or
amendment to a Task Order by Client. In case of a conflict
between a Task Order and the Master Agreement, the Task
Order shall take precedence for that Task Order only.
SECTION 3 — CLIENT'S RESPONSIBILITIES
Unless stated otherwise in Section 8 or in individual Task
Orders, Client shall do the following in a timely manner:
3.1 Client's Representative. Designate a representative
having authority to give instructions, receive information,
define Client's policies, and make decisions with respect to the
Project.
3.2 Project Criteria. Provide all criteria and information as
to Client's requirements for the Project, including project
objectives and constraints, space, capacity and performance
requirements, and any budgetary limitations.
3.3 Data. Provide all available information, including previ-
ous reports and any other data in the possession of Client
relevant to the Project. These data may include (1) data
prepared by others, (2) appropriate professional interpretations

of such data, (3) property, boundary, and other topographic
surveys, (4) organizational information, organization tables,
personnel lists and job classifications, salary schedules,
budgetary and other information, (5) environmental assess-
ments and impact statements, (6) property, boundary, ease-
ment, right-of-way, topographic and utility surveys, (6)
property descriptions, zoning, deed and other land use restric-
tions, and (7) other necessary special information or consulta-
tions to meet the Client's assignment criteria. Malcolm Pimie
may rely on the accuracy and completeness of the supplied
data.
3.4 Access. Arrange for Malcolm Pirnie to enter upon public
and private property as necessary.
3.5 Meetings. Attend all project meetings and other meetings.
3.6 Project Developments. Give prompt written notice to
Malcolm Pirnie whenever Client observes or otherwise
becomes aware of any development that affects the scope or
timing of Malcolm Pirnie's services.
SECTION 4 — PERIODS OF SERVICE
4.1 Time of Performance. Sections 4 and 5 anticipate the
orderly and continuous progress of Task Orders through
completion of each Task Order's scope of work. .
4.2 Delays. If a Task Order specifies periods of time for
performance of services or specific dates by which services
are to be completed and if such periods or dates are exceeded
through no fault of Malcolm Pirnie, the compensation
specified under Section 5 shall be subject to equitable adjust-
ment.
4.3 Start of Performance. Malcolm Pirnie will start the
Services described in each Task Order upon authorization by
Client. If Client gives authorization before signing a Task
Order, Malcolm Pirnie shall be paid as if the services had been
performed after both parties signed the Task Order.
4.4 Completion of Performance. For the purposes of final
payment under Section 5, completion of Malcolm Pirnie's
services will occur:
4.4.1 for a study, investigation or planning activity: upon
delivery and acceptance of the final report as
specified in a Task Order;
4.4.2 for a design activity: when the Bid Set of Contract
Documents is delivered as specified in a Task Order;
4.4.3 for a bidding or construction contract negotiation
activity: upon issuance by Client of notice of award
of the construction contract;
4.4.4 for a construction activity: when written recommen-
dation of final payment for the last prime construc-
tion contract of the Project is issued; and

4.4.5 for a startup or operations activity: upon successful
completion of acceptance testing by the Contractor or
beneficial occupancy by Client but, in any event, not
later than one year after Substantial Completion.
4.5 Force Majeure. If a force, event, or circumstance
beyond Malcolm Pirnie's control interrupts or delays Malcolm
Pirnie's performance, the time of performance of the Basic or
Additional Services shall be equitably adjusted.
SECTION 5 -- COMPENSATION
5.1 Basic Services. Client shall pay Malcolm Pirnie the
Amount stated in invoices issued for each Task Order in
accordance with Schedule A, Method of Payment, the Task
Order's pricing schedule for actual work performed and
reimbursable expenses incurred on each Task Order during the
period covered by the invoice. Invoices are due and payable
within 30 days after receipt by Client.
5.2 Delay or Termination.
5.2.1 If Client delays the performance of, or payment for,
services under this Agreement for more than 3
months for a reason(s) other than Malcolm Pirnie's
fault, Malcolm Pirnie may suspend performance until
it receives payment in full for services rendered and
expenses incurred to the date of suspension.
5.2.2 If Client terminates this Agreement prior to com-
pletion of the services described in executed Task
Orders, Malcolm Pirnie shall be paid in full for
services rendered and expenses incurred to the date
of termination, including reasonable demobilization
and termination expenses.
5.3 Disputed Amounts. Notwithstanding the provisions of
Section 7, if Client disputes an item(s) or amount(s) contained
in an invoice, Client agrees to pay the balance of the
undisputed invoiced amounts to Malcolm Pirnie in accordance
with the Task Order.
SECTION 6 — [deleted]
SECTION 7 — GENERAL CONSIDERATIONS
7.1 Changes. By written notice at any time, Client may
change Services required by a Task Order, provided such
changes are within the general scope of the services contem-
plated by this Agreement. In such event, an equitable adjust-
ment both in the compensation for and time of performance of
the Agreement shall be made in writing prior to Malcolm
Pirnie's performing the changed services.
7.2 Confidentiality. Malcolm Pimie will hold secret and
confidential all information designated by Client as

will not reveal Confidential Information to a third party such indemnification shall not apply to the extent any losses,
unless: damages, liabilities, or expenses result from, are attributable
to, or arise out of:
7.2.1 Client consents in writing;
7.2.2 the information is or becomes part of the public
domain through no fault of Malcolm Pirnie;
7.2.3 Malcolm Pirnie lawfully possessed the information
before receipt from Client;
7.2.4 applicable law, regulation, court order or an agency
of competent jurisdiction requires its disclosure; or
7.2.5 failure to disclose the information would pose an
imminent and substantial threat to human health or
the environment.
7.3 Professional Service. The Service Instruments furnished
under this Agreement are the tangible results of Malcolm
Pirnie's professional services for the Project. Client shall retain
ownership and property interests in the Service Instruments.
7.3.1 Reuse. Malcolm Pimie does not represent the

limited to the presence, if any, of hazardous or toxic
materials, wastes or substances or materials, con-
tamination and/or pollution (as those terms are com-

statutes or regulations) at the site which is the subject
of the Malcolm Pirnie's performance of services
under this Agreement (collectively, "Site
Conditions").
7.6.1 Client agrees to defend, indemnify and hold harmless
Malcolm Pirnie (including its officers, directors,
employees, and agents) from and against any and all
losses, damages, liabilities and expenses (including
legal fees and reasonable costs of investigation) to
the extent resulting from or arising out of the:

7.6 Mutual Indemnification. Malcolm Pirnie agrees to
defend, indemnify, and hold harmless Client (including its
officers, directors, employees and agents) from and against
any and all losses, damages, liabilities and expenses (including
legal fees and reasonable costs of investigation) to the extent
resulting from or arising out of the negligence or willful
misconduct on the part of Malcolm Pimie in performing
services pursuant to this Agreement; provided however, that

7.9 Successors. This Agreement is binding on the successors
and assigns of Client and Malcolm Pirnie. The Agreement
may not be assigned in whole or in part to any third parties
without the written consent of both Client and Malcolm
Pimie.
7.10 Independent Contractor. Malcolm Pimie represents
that it is an independent contractor and is not an employee of
Client.
7.11 Notices. Written notices may be delivered in person or
by certified mail, or by facsimile, or by courier. All notices
shall be effective upon the date of receipt by the party.
Notices shall be delivered or sent to the designated repre-
sentative of the other party at the address given on the last
page of this Agreement. An address may only be changed by
written notice.

7.12 Applicable Law. If applicable to this Agreement, M
alcohn Pirnie will comply with the requirements of:
7.12.1 the Equal Employment Opportunity clause in Section
202 of Executive Order 11246, as amended,
7.12.2 Utilization of Small and Disadvantiged Business
Concerns (Public Law 95-507), and
7.12.3 all other federal, state and local laws and regulations
or orders issued under such laws.
7.13 Entire Agreement. This Agreement, including any
schedules, attachments, Task Orders executed pursuant to this
Agreement, and referenced documents, is the entire agreement
between Client and the Malcolm Pirnie. Any prior or
contemporaneous agreements, promises, negotiations or
representations not expressly stated herein are of no force and
effect. Any changes to this Agreement shall be in writing and
signed by Client and Malcolm Pirnie.
7.14 Waivers and Severability. A waiver or breach of any
term, condition, or covenant by a party shall not constitute a
waiver or breach of any other term, condition or covenant. If
any court of competent jurisdiction declares a provision of this
Agreement invalid, illegal, or otherwise unenforceable, the
remaining provisions of the Agreement shall remain in full
force and effect.
7.15 Effective Date. Unless stated otherwise in each Task
Order, this Agreement is effective on the date shown on the
cover page.
SECTION 8 — SPECIAL PROVISIONS, EXHIBITS and
SCHEDULES
8.1 This Agreement is subject to the following special
provisions:
8.2 The following Schedules are attached to and made a part
of this Agreement:
8.2.1 Schedule A "Method of Payment," consisting of 1 page.
8.3 The following Exhibits are attached to and made part of
this agreement:

EXECUTION AUTHORITY.
This Agreement is a valid and authorized undertaking of Client and Malcolm Pimie. The representatives of Client and Malcolm
Pimie who have signed below have been authorized to do so.

STANDARD MASTER SERVICES AGREEMENT FOR PROFESSIONAL SERVICES

A.2 Terms of Payment
A2.1 Fixed Hourly Rate Schedule. For Services listed in Task Orders, Client shall pay Malcolm Pirnie on the
basis of standard rates for technical work actually performed according to the rate schedule(s) submitted
with each Task Order.
A.2.2 Invoices. Malcolm Pirnie will submit invoices to Client for each month during which services were
performed. The invoice will include the following information unless stated otherwise in Section 8 of
the Agreement:
a. For labor costs: labor classifications, number of hours worked, direct hourly labor rates and applicable
indirect cost;
b. For non -labor expenses: description of the item, vendor name, vendor invoice no. (if available), cost
to Malcolm Pirnie, and handling costs (if any);
c. A portion of the Fixed Fee proportional to the ratio of the total costs incurred during the invoice
period to the Maximum Cost stated in Basis of Payment; and
d. Applicable sales or value-added taxes.
A.3 Payment Due Date. All invoices are due and payable within 30 days of the invoice date.

Lubbock Texas Water Utilities Efficiency Study
Phase I - Assessment
Scope of Services
This scope of services includes Malcolm Pirnie's proposal and statement of qualifications for
conducting a work practices assessment, dated April 1999. Malcolm Pimie will serve as the
prime consultant for this task order in association with Enprotec and Pro -Ops. This association
is hereinafter collectively referred to as Malcolm Pirnie. The following tasks are the means of
implementing that proposal.
Task 1 — Project Planning
1.1 Preliminary Planning/ Project Communications
Malcolm Pirnie will conduct a preliminary planning meeting with City management staff to
further refine the approach, discuss contract and general issues such as leadership and
management philosophies, project vision, other project experiences that can benefit this project,
schedule; and selection of project champions and the Core Assessment Committee (CAC).
Malcolm Pirnie will provide the City with a list of requested documentation needed for the
onsite procedures and practices assessment.
1.2 Strategy Development Workshops
Malcolm Pimie will conduct two strategy development workshops with the CAC to:
• Refine the project mission and the overall vision
• Confirm stakeholder expectations and goals, including timeline and deliverables
• Present extemal issues driving the industry and internal/extemal change dynamics on an
organization
• Discuss organizational dynamics and functional relationships
• Develop project communications plan
• Define leadership issues, including CAC roles and responsibilities and designated project
champions.
• Identify current City improvement programs
• Plan performance and private benchmarking analysis
Malcolm Pimie will prepare a project management plan at the completion of the strategy
development workshops for reference by City management and the CAC during the project.
This management plan will include a communications plan summary developed during the

workshops with the CAC for City use to effectively communicate the status and successes of
this project.
1.3 - Staff Awareness Workshops
Malcolm Pimie will conduct employee awareness workshops designed to acquaint staff with
competitive issues affecting the utility industry and District objectives for conducting this
optimization project.
Task 1— Activities and Deliverables Summary and Basis for Cost Assumptions
• Attend one 4 hour preliminary planning meeting with City management staff.
• Attend and facilitate two consecutive -day (four-hour each) strategy development
workshops.
• Prepare project management and communications plan document.
• Conduct up to six, 2 -hour staff awareness workshops over a three consecutive day period
(2/Department).
Task 2 — Assessment
Task 2.1- Planning and Scheduling On-site Activities
Malcolm Pirnie will develop an interview schedule of selected staff and groups of employees.
Our local coordinator will work with the City's project champions and project manager to de-
velop a coordinated interview and facilities tour schedule to minimize confusion and impacts on
City staff time.
Task 2.2 - Qualitative and Quantitative Assessments
Individual Interviews and Questionnaire
Malcolm Pirnie will conduct approximately 50 individual and group interviews. The time allotted
per interview varies, but generally lasts an hour.
Malcolm Pimie will prepare and distribute a brief questionnaire to all employees designed to
cover general organizational issues and their perceptions on where the City is heading. The
City will collect these anonymous questionnaires by Department. Malcolm Pirnie will collate
and report the findings of the questionnaires.
Facilities and Practices Assessment
Malcolm Pirnie will conduct visits to relevant City facilities and work areas as appropriate to
familiarize ourselves and directly observe practices, general condition, applied technologies and
other technical, operational or maintenance issues.
Financial Review
Malcolm Pimie will conduct a review of the current Water Utilities Operating Budget and Capital
Improvements Plan to:
1. Comment on the percentage of money budgeted for CIP and whether the amount of re-
investment is adequate for future needs.
2. Assess water and wastewater pumping system capital investment allocations.

3. Assess contracted services utilized by other utilities compared to Lubbock and define
opportunities for Water Utilities to acquire services through different mechanisms than
presently used.
External Performance Measures and Private Sector Benchmark Comparisons
Malcolm Pirnie will conduct a 4 -hour workshop with the CAC to review City target benchmarks
and agree on the appropriate external comparison approach for performance and private sector
cost benchmarking to other public and private sector entities. Malcolm Pirnie will develop a
final list of benchmarks to use based upon the City's requirements.
Malcolm Pirnie will conduct high-level performance measurement comparison of up to 10 City
Utilities performance metrics with up to 8 other similar -sized utilities.
Malcolm Pirnie will conduct a staffing and cost comparison of the City's water and wastewater
treatment plants to equivalent utilities from our database of private sector contracts, combined
with targeted comparisons to produce comparisons with up to five, similar privately operated
wastewater and water utilities.
Task 2 Activities/Deliverables Summary and Basis for Cost Assumptions
• Coordinate with the City and prepare interview schedules
• Conduct up to 50 interviews (combination of groups and individual)
• Develop staff questionnaires and collate findings
• Produce practices evaluation tables
• Produce external comparison graphs and tables
Task 3 - Feedback and Recommendations
3.1 Summarize Findings
Malcolm Pirnie will compile the findings into a draft document that will focus on the following
principal considerations:
• List of commendations of City practices/cultures that deserve special recognition.
• Operations and organizational assessments findings and comparable industrybest
practices
• Performance measure comparison to other utilities
• Comparison to similar privately operated utilities
• Cost/benefit analysis of major recommended changes
3.2 - Reports and Workshops
Malcolm Pimie will produce a report and present our findings as follows:

Preliminary Findings Report and Workshop - Following completion of Task 2, Malcolm Pirnie
will prepare a summary of findings in draft report format which will be presented during a
consecutive two-day workshop with management and the CAC.
Finding Presentations to Staff - Malcolm Pirnie will update the findings, incorporating CAC
and management input, and prepare a summary which Malcolm Pirnie will present to all staff
through three identical, 1 -hour presentations, conducted over a two -consecutive day period.
Final Report - Malcolm Pirnie will prepare a final report in executive summary format for use by
the City as the foundation for Phase II - Implementation work. This report will be fully detailed
and capable of being used as a basis for future budgeting and planning.
Mayor/Council Presentation - Malcolm Pirnie will present the findings to the Mayor and City
Council should the City desire. One day has been allotted for this task.
Task 3 Activities/Deliverables Summary and Basis for Cost Assumptions
• Facilitate a two-day findings presentation workshop with the CAC and City management

SUMMARY OF STANDARD CHARGES
This document describes the basis for compensation and terms of payment. All rates presented apply to services rendered during
calendar year 2000 and are subject to adjustment on January 1 of each subsequent year.
In addition to these fees, clients will also be responsible for any sales or value-added taxes that may apply to engineering services
performed.
1. Hourly Rates: Charges for services provided will be in accordance with the following schedule:

Overtime - No overtime premium is charged for project work outside of normal working hours.
2. Other Direct Costs: All expenses incurred for a project, except in-house services. specified below, from outside vendors will
be invoiced at cost plus 10% to cover administrative expenses. These items may include, but are not limited to: shipping
charges; printing; supplies; equipment; traveling expenses; special insurance; licenses; permits; or subcontractors.
In-house services consist of:
• Transportation $0.35/mile for automobiles
$0.45/mile for 4x4 vehicles and trucks
- Reproduction $0.11/copy for standard page sized documents
- Laboratory Unit prices for sample testing, handling, and storage are available for individual assignments
- Equipment A schedule of usage rates for specialty equipment is available for field assignments
3. Payment: All invoices are due and payable within 30 days of billing date. Any attorney's fees, court costs, or other related
expenses incurred in collecting delinquent accounts shall be paid by the client. Delinquent bills are subject to finance
charges of 1.5% per month.
