Resolution No. 2000--RO321 September 13, 2000 Item No. 38 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock, by and between the City of Lubbock and Physicians Network Association, a contract for medical services at the City of Lubbock Temporary Holding Facility, and related documents. Said contract is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. Passed by the City Council this 13th day of September 2000. APPROVED AS TO CONTENT: Tom Mann Lieutenant, Lubbock Police Department APPROVED AS TO FORM: William de Haas Competition and Contracts Manager/Attorney Ccdocs/Physicians Network Association.Res September 13, 2000 MEDICAL SERVICES AGREEMENT This MEDICAL SERVICES AGREEMENT is made and entered into by and between the City of Lubbock, Texas, hereinafter referred to as "City", and the Physicians Network Association, hereinafter referred to as "PNA". The City of Lubbock Police Department shall hereinafter be referred to as L.P.D. Whereas, the City Council for the City of Lubbock, Texas has resolved that it is in the public interest to provide medial services to those who are in the L.P.D.'s Temporary Holding, Facility; Whereas, Physicians Network Association is qualified to provide the medical services necessary for operation of the L.P.D.'s Temporary Holding Facility; NOW THEREFORE, the City and PNA, the parties hereto, mutually agree that medical services shall be provided by PNA to the City up011 the following terms and conditions, to wit: DEFINITIONS The following.tenns shall have the meanings indicated when used in this Agreement; FNA agrees to perfann the services set forth within these definitions. 1.1 First Aid Assessment. Training in first aid assessment will be given by PNA's staff to personnel designated by file L.P.D., for purposes of training L.P.D. personnel in the recognition of certain medical symptoms that may require immediate attention or the need to contact professional medical seivices. The training given shall include instruction on identifying situations that require medical intervention in basic patient triage, and includes: (a) pain assessment, including (i) head, (ii) chest, and (iii) extremities; and (b) illness, including (I) nausea, (ii) intoxication, (iii) temperature, (iv) blood pressure, and (v) diabetes. The training is not for certification and doss not include C.P.R. or provision of "hands-on" first aid. 1.2 Intake Personnel. Intake personnel are those assigned by the L.P.D. to, or having as a part of their duty work at, the City of Lubbock Temporary Holding Facility. 1.3 Primary Care Physician (PCP). Primary care physician is the medical doctor (MD), nurse practitioner (NP), or physicians assistant (PA) on call for the care of the inmates in the City of Lubbock Temporary Holding Facility. PNA medical MEDICAL SERVICES AGREEMENT 2000-2001 Page 1 of 6 staff will determine medical necessity and appropriateness for calling the primary care physician (PCP). 1.4 Primary Care Physician Case Management. Primary care physician case management will be the monitoring by Dr. Vernon C. Farthing, Jr., or his designee, of any person in the custody of the L.P.D. to be held as an inmate in the City of Lubbock Temporary Holding Facility, who is admitted as patient at the University Medical Center for medical necessity. This will assure appropriateness of ancillary services. Primary care physician case management will be performed by PNA at no charge to the City of Lubbock. 1.5 Standing Orders and Nursing Protocols. Standing orders and nursing protocols shall be directives or instructions provided by PNA to aid medical personnel. These standing orders and nursing protocols will remain on-site at the City of Lubbock Temporary Holding Facility for the sole use and assistance of attending medical staff. 1.6 Suicide Assessment. PNA will train City/L.P.D. personnel in recognizing and evaluating warning signs for potential suicide victims. The training schedule will be arranged and coordinated through PNA Vice Presidcnt of Operations. II. TERM 2.1 Term. The term of this Agreement is for twelve (12) consecutive months, commencing on the I" day of October, 2000, and ending the 3W' day oI' September, 2001. III. COMPENSATION 3.1 Compensation. For services rendered under this Agreement, PNA shall be entitled to 520,000.00 for each twelve (12) month term. The fee for services will be payable by the City quarterly at the rate of Five Thousand Dollars and no/cents (S5,000.00), payable on or before the fifteenth (15) day of the calendar month, following the quarter in which services are provided. IV. TERMINATION 4.1 Termination. Either party to this Agreement, during the term hereof or any extension or renewal of the term hereof, may terminate this Agreement upon sixty day written notice, first delivered in person or addressed by certified mail, to the MEDICAL SERVICES AGREEMENT 2000-2001 Page 2of6 other party. Unless otherwise notified any notice required under this Agreement shall be delivered to respective party at the following address: Lieutenant Tom Mann, L.P.D. PNA will provide the template for intake screening, assessment, and evaluation forms to be used by the L.P.D. for operation of the City of Lubbock Temporary Holding Facility. 5.2 Standing Orders. PNA will provide standing orders and nursing protocols. 5.3 On Call. PNA will provide continuously oil call either a paramedic or a licensed vocational nurse (LVN) to respond to requests for health evaluations at the City of Lubbock Temporary Holding Facility. 5.4 Access to Physician, Nurse Practitioner or Physicians Assistant. PNA will provide continuous access to either a physician, nurse practitioner or physicians assistant. 5.5 Primary Care Physician Case Management. Primary care physician (PCP) case management for inpatients at the University Medical Center (UMC) will be provided at no charge to the City. 5.6 Basic First Aid Assessment Training. PNA will provide basic first aid assessment training in a class format for up to four (4) classes per twelve month term of this Agreement at no additional charge to the City. PNA will provide additional basic first aid assessment training upon request at the rate of twenty -live dollars ($25.00), per hour per additional class. 5.7 Suicide Assessment. PNA will provide suicide assessment training in a class format for up to two (2) classes per twelve month term of this Agreement at no additional charge to the City. PNA will provide additional suicide assessment training upon request at the rate of fifty dollars ($50.00), per hour per additional class. 5.8 Training on Forms. PNA will provide training on the use of intake screening and evaluation forms. MEDICAL SERVICES AGREEMENT 2000-2001 Page 3 of 6 5.9 First Aid Kit. PNA will provide replacement supplies for the first aid kit maintained at the City of Lubbock Temporary Holding Facility. 5.10 PNA Not Responsible for Payment of Costs. PNA will not be responsible for payment of transportation costs or admittance costs to any clinic, hospital, or healthcare provider for any inmate, resident, or person beim held by the City in the City of Lubbock Temporary Holding Facility. Payment for all x-ray, lab tests, ancillary services, or necessary medical examinations delivered or provided off site from the holding facility shall be the responsibility of the individual receiving medical care or other responsible party, Not PNA or the City of Lubbock. Any medications prescribed shall be the responsibility of the patient or other responsible party, other than PNA or the City of Lubbock. 5.11 Special Services. PNA will provide for on site personnel on request of the City/L.P.D. at the hourly rate of twenty dollars ($20.00), which rate shall be in addition to the compensation provided for under Part III of tills A-reclncrnt. This additional services is provided in Anticipation ofextraordinaly needs for operation of the City's Temporary Holding Facility, Sllcll as may occur during holidays. VI. INSURANCE 5.1 Insurance Requirements of PNA. General. PNA shall procure and carry, at its sole cost and expense through the term of this Agreement and any extensions thereof insurance coverage that includes at least the limits hereinafter specified. PNA shall secure the approval of City of all required insurance policies prior to the commencement of any activities under tills Agreement whether performed by PNA, or its subcontractors, agents, or third parties. The insurance carrier must be an insurance company authorized to transact business in the State of Texas and have a Best's Financial rating of A:VII. A Certificate of Insurance specifying each and all coverages shall be submitted to City prior to the execution of this Agreement. All insurance shall be prepared and executed by the insurance company or it's authorized agents and Shall contain an endorsement naming the City of Lubbock an additional insured. Written notice of cancellation or any material change in an insurance policy maintained by PNA pursuant to tills Agreement must be provided thirty (30) days in advance of cancellation or change. Each insurance policy, other than Worker's Compensation insurance required hereunder, shall provide a waiver of subrogation in favor of the City of Lubbock, and shall contain cross liability and severability clauses. 6.2 Required Coverage. PNA shall obtain and maintain policies of insurance throughout the term of this Agreement and any extension thereof in limits specified below. MEDICAL SERVICES AGREEMENT 2000-2001 Page 4 of 6 6.3 Worker's Compensation. The Contractor shall maintain Workers' Compensation and Employer's Liability insurance coverage as required by law and as approved by the City Risk Management Coordinator. 6.4 Commercial General Liability. PNA shall maintain Commercial General Liability coverage endorsed to include premises/operations, contractual liability, and independent contractors' and completed operations. The policy shall have a minimum of Three Hundred Thousand and no/100 Dollars ($300,000.00) combined single limit in the aggregate and per occurrence. 6.5 Commercial Automobile Liability. Commercial Automobile Liability. PNA shall maintain Commercial Automobile Liability coverage with a minimum of Three Hundred Thousand and no/100 Dollars ($300,000.00) combined single limit for Bodily Injury and Property Damage and shall include any auto or in the alternative, owned autos, non -owned autos and hired autos. 6.6 Professional Liability Insurance. PNA shall maintain Professional Liability Insurance coverage with a minimum of One Million and no/100 Dollars ($1,000,000,00) combined single limit in the aggregate and per occurrence. MEDICAL SERVICES AGREEMENT 2000-2001 Page 5 of 6 PNA will ensure that all of it's subcontractors, i.e., nurse practitioners, physicians assistants, and others, are covered by professional liability insurance on an occurrence basis during the term of this Agreement and any extensions hereof.
