RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock, an Agreement between the
City of Lubbock and KDC Landscape Architecture and Site Planning, to provide
professional Landscape Architectural services on Various Park Sites, and related
documents. Said Agreement is attached hereto and incorporated in this resolution as if
fully set forth herein and shall be included in the minutes of the City Council.

Dear Mr. Wuensche:
This Letter Agreement, if acceptable to you, shall serve as the means of establishing our agreement and
engagement of KDC Landscape Architecture and Site Planning. KDC Landscape Architecture and
Site Planning shall be referenced hereafter as "KDC", and the City of Lubbock as "City".
Outline of Basic Services.
KDC proposes to provide professional Landscape Architectural services on Various Park
Sites.
1. Carlisle, 28th & Ave X,
2. Davies, N. Ave N & Clemson,
3. Davis, W & Nashville,
4. Jennings, 73`d & Winston,
5. McCullough, 884' & Flint,
6. Overton, 14'b & Ave U, and
7. Sedberry, E. I& & Guava.
• Basic Services, see Attachment A, attached hereto and made a part of this agreement.
Com_ Rensation for Basic Services.
Compensation from the City to KDC to provide professional Landscape Architectural services
will be a lump stun amount not to exceed $68,000.00.

hereafter referred to as the CONSULTANT,
and
THE CITY OF LUBBOCK, TEXAS
hereafter referred to as the OWNER
For the following PROJECT:
The CONSULTANT shall provide professional services for the OWNER on the project sites, the extent of which
are generally described as various public parks and playground areas identified by the OWNER and situated at
multiple locations within the City of Lubbock, Texas. The term "CONSULTANT" shall be used in this
attachment to define the Prime Consultant or any of the Consultants employed by him for the development of this
project.
SCOPE OF SERVICES
A. The CONSULTANT shall provide design consultation, programming, schematic design, design
development, construction documentation, a bidding period in coordination with the OWNER, and
construction observation services, as later described, for the scope items as listed within the OWNER'S
RFP# 99232 A/E SERVICES FOR PLAYGROUND RENOVATIONS:
B. The CONSULTANT or those under a separate contract working for him, shall not be responsible for the
acquisition of the following items:
1. The location of unknown underground utilities or other underground obstacles which may prove to
be located on the site.
2. Overhead aerial photographs at a controlled scale, if deemed necessary.
3. Engineering or Architectural services other than listed within the Scope of Services.
C. The OWNER shall provide the CONSULTANT with all digital, paper, and similar media that may prove
helpful in the definition of any or all project sites. This may include mapping, existing aerial photographs,
utility or irrigation plans, existing "as built" drawings, or similar items.
PROCEDURE
The CONSULTANT shall work closely with the OWNER, and the services shall be conducted on a step-by-step
basis as provided, Guidelines of the OWNER'S PARKS AND RECREATIONMASTER PLAN will be followed and
implemented in this project whenever possible.

PROGRAMMING
The CONSULTANT shall conduct, when and where deemed necessary, public meetings designed to generate the
feedback of the immediate neighborhood around any or all sites. These meetings shall be coordinated with the
OWNER and shall be conducted at locations defined and arranged by the OWNER The information gathered
from these meetings shall be compiled in a written format and copies presented to the OWNER Information
shall then be utilized in the Schematic Design Phase and/or the Design Development Phase of the project.
SCHEMATIC DESIGN
The CONSULTANT shall prepare schematic sketches graphically showing the design intent of the
CONSULTANT's site improvements. These sketches may provide on a periodic basis for the OWNER to review
and comment on. The schematic stage will serve as a basis for guidelines in implementing the design
development phase.
DESIGN DEVELOPMENT
Upon the OWNER's authorization to commence design development, the CONSULTANT shall prepare design
development drawings. The design development plans will define the character and essentials of the project,
including selection of materials. The OWNER shall meet with the CONSULTANT at scheduled review sessions
during critical design development stages in order to discuss and review design development drawings to that
date.
The CONSULTANT shall assist the OWNER in filing the appropriate plans and documents which are required to
secure the necessary design approvals from any governmental agencies having jurisdiction over the project, such
as the Texas Department of License Review (TDLR). The charged fees by such organizations or bodies to review
such plans shall be passed on directly to the OWNER with 0% (zero percent) mark up by the CONSULTANT.
Written proof of such cost shall accompany all such items.
CONSTRUCTION DOCUMENTATION
Upon the OWNER'S approval of the design development plans, the CONSULTANT will develop working
drawings and technical sections of specifications to construct the work and shall prepare a final estimate of
probable construction cost. The CONSULTANT shall prepare working drawings and technical sections of
specifications to reasonably conform to applicable codes and regulations of governmental bodies having
jurisdiction over the work at the time of preparations. The CONSULTANT shall not be held responsible for
changes in codes and/or regulations that occur after the preparation of the documents. The CONSULTANT shall
assist the OWNER in developing the Bidding and Contract Requirements and General Requirements divisions of
the written specifications necessary for the successful bidding of this project.
BIDDING OR NEGOTIATION PHASE
The CONSULTANT shall prepare all above mentioned construction documents in a format recognized and
approved by the OWNER for formal public bidding. The charged fees by newspapers or similar bodies advertise
such documents shall be passed on directly to the OWNER with 0% (zero percent) mark up by the
CONSULTANT. Written proof of such cost shall accompany all such items. After receiving bids, the
CONSULTANT shall assist the OWNER in evaluating bids, placing recommendations of contractors, or
negotiating proposals.
CONSTRUCTION OBSERVATION
The CONSULTANT shall make periodic visits, or as necessary at specific times directed by the OWNER, to the
site to familiarize himself generally with the progress and quality of construction and to determine in general if
the constructions is proceeding in accordance with the CONSULTANT's design intent and construction
documentation. On the basis of its observations while at the site, the CONSULTANT will keep OWNER

informed of the progress of construction. The CONSULTANT shall endeavor to secure compliance by the
CONTRACTOR to the plans and specifications by notifying the OWNER of any variances. The CONSULTANT
may recommend to the OWNER the rejection of work failing to conform to the contract documents. When such
recommendations are not approved by the OWNER, it is understood that the CONSULTANT shall not assume
responsibility for further actions that may result due to the failure to follow specifications. The CONSULTANT
shall not be responsible for construction means, methods, techniques, sequences or procedures in connection with
the work, and the consultant shall not be responsible for the Contractor's errors or omissions or failure to carry
out the work in accordance with the contract documents.
MEETINGS AND SITE VISITS
This agreement includes Professional Service time for meetings for design coordination with the OWNER This
agreement also includes site visit/construction observation meetings. Travel expenses to other sites, suppliers, or
manufacturers outside of the Lubbock area that have been requested by the OWNER shall be billed as
Reimbursable Expenses.
FEES AND TERMS
Based upon the project scope, professional fees for this project shall be paid to the CONSULTANT a lump sum
fee of $68,000.00
This fee shall be itemized as follows:

Upon acceptance of the Proposal by all required parties, the CONSULTANT shall submit monthly invoices for
all or portions of the above listed services to the OWNER. Payments shall be sent to:

EXTRA SERVICES
When extra services, outside of those defined in this Agreement, are required, they shall be billed at an hourly
rate of $125.00. The CONSULTANT shall submit for the OWNER'S approval, an estimate of extra services fees
prior to commencement of the service.
RIGHT TO SUSPEND SERVICES
The CONSULTANT shall have the right to suspend services on this project if the CONSULTANT has unpaid
invoices over sixty (60) days past due from date of invoice. The OWNER reserves the right to suspend payment
if the CONSULTANT is not proceeding with services that will contribute to the timely or proper completion of
this project.
OWNERSHIP OF DOCUMENTS
Original drawings and/or documents, are the property of the CONSULTANT. The drawings and/or documents
are not to be used on other projects except by written agreement of the CONSULTANT. The CONSULTANT

will review all relevant as -built drawings supplied by the contractor at the completion of the project, and will pass
copies of these on to t�e OWNER for storage.
LAW
All agreements shall be interpreted and enforced according to the laws of the State of Texas.
TERMINATION
It is understood that these services may be terminated upon ten (10) days written notice for good reason by either
