Said Articles of Amendment is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the Council. Chamales, Senior Attorney Office Practice Section asCCDOCS/RES-Articles of Amendment October 3, 2005 ARTICLES OF AMENDMENT TO THE ARTICLES OF INCORPORATION OF CIVIC LUBBOCK, INC. Pursuant to the provisions of the Texas Non -Profit Corporation Act, the undersigned corporation adopts the following Articles of Amendment to its Articles of Incorporation. 4. The period of duration of the Corporation is perpetual. 5. The affairs of the Corporation shall be managed by a Board of Directors, which shall be composed in its entirety of persons appointed by the City Council. Except for the initial Directors as set forth herein, the number of Directors shall be fixed by the Bylaws of the Corporation. A director is not liable to the Corporation for monetary damages for an act or omission in the director's capacity, except to the extent otherwise provided by a statute of the State of Texas. 8. The Corporation shall indemnify a person who was, is or is threatened to be, made a named defendant or respondent in litigation or other proceedings because the person is or was a director or other person associated with the Corporation. As provided by the Bylaws, the Board of Directors shall have the power to define the requirements and limitations for the Corporation to indemnify directors, officers, or others associated with the Corporation. The Amendment was adopted at a meeting of the Board of Directors held on May 17, 2005 and received the vote of the majority of the Directors. There are no members of this Corporation. THE STATE OF TEXAS COUNTY OF LUBBOCK KNOW ALL MEN BY THESE PRESENTS: that we, TOM ANDERSON, JOE BRYANT, G.C. DOWELL, ALVIN GOLDSTUCKER, CHARLES A. GUY, J.D. The purpose for which this corporation is formed is to support an educational undertaking, as authorized by subdivision 2 of Article 1302 of the Texas Revised Civil Statute of 1925, to -wit: The fostering and promotion of the presentation in the City of Lubbock, Texas, of wholesome educational and cultural programs, attractions and entertainments for the general moral, intellectual, and physical improvements and welfare of the people of the City of Lubbock and the surrounding area, with the authority is such corporation to sponsor and/or contract for such programs, attractions and entertainments and matters incidental thereto, including, but not limited to, the leasing of buildings and premises, the leasing and/or operation of concessions and contracting with individuals and/or organizations for the sponsorship and promotion of specific programs or attractions of the character above described. The corporation shall be operated as a non-profit institution, and none of the net income thereof shall inure to the benefit of any private individual, but all of such net income shall be appropriated and expended to the end that outstanding programs, attractions and entertainments of a cultural and educational nature for the moral, intellectual and physical improvement of the people of the local and surrounding communities, may be available and presented in the City of Lubbock. 3. The place where the business of the corporation is to be transacted is in the City of Lubbock, in Lubbock County, Texas, and its principal place of business is to be in the City of Lubbock, in said Lubbock County, Texas. 4. The term for which it is to exist is fifty (50) years. 5.
