RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Agreement between the
City of Lubbock and Ricondo & Associates for airline lease negotiation. Said Agreement
is attached hereto and incorporated in this Resolution as if fully set forth herein and shall
be included in the minutes of the Council.

AGREEMENT FOR CONSULTING SERVICES
FOR AIRLINE LEASE NEGOTIATION ASSISTANCE
This Agreement, made and entered into by and between the City of Lubbock, Texas, a
municipality operating Lubbock Preston Smith International Airport, hereinafter referred to as
City, and Ricondo & Associates, 36 East Fourth Street, Suite 1206, Cincinnati, Ohio 45202,
hereinafter referred to as Consultant.
WITNESSETH THAT:
WHEREAS, City desires to engage a consultant to provide general advisory and
professional services and assistance in connection with the planning, development, management,
operation, and finances of Lubbock Preston Smith International Airport; and
WHEREAS, the Consultant is qualified to provide such services to the City; and
WHEREAS, City recognizes that the studies, advice, assistance, and other services to be
provided by the Consultant will be of benefit to the City;
NOW, THEREFORE, the parties hereto mutually agree that Consultant will provide
services and assistance within the context of Item I hereof, subject to the general conditions of
Item II.
ITEM I—SCOPE OF SERVICES
The Consultant will provide to the City, in connection with the planning, development,
management, operation, and finances of Lubbock Preston Smith International Airport, such
services as may from time to time be specifically requested and authorized by the City. Such
services may include the performance of studies, analyses, and research; participation in
meetings with Airline Representatives, Airport staff and others; and the provision of other
general advisory services and assistance.
Attachment A is the scope of services authorized upon execution of this Agreement. Any
subsequent requests for additional services must be documented in writing and approved by the
City.
ITEM II—GENERAL CONDITIONS
A. Term. The term of this Agreement shall commence upon its execution and shall
continue until terminated by the mutual consent of the parties hereto; provided, however,
that it may be terminated by either party submitting notice of termination to the other
party at least thirty (30) days in advance of the date of such termination.
B. Work Authorizations. Each assignment performed under Item I shall be initiated only
upon the specific request and authorization of the City. Attachment A contains the scope
of work authorized upon execution of this Agreement.
C. Data Provided by Client. The City shall assist the Consultant in obtaining such data and
information as are needed and available.
D. Coordination. Continuing coordination shall be maintained with the City to ensure the
applicability of findings with respect to specific local conditions and City and Airport
policies and goals.
E. Client Representative. To expedite the performance of services under this Agreement
and to permit the coordination of materials, commitments, and correspondence, the City
shall designate the following staff member as its representative to whom all
correspondence, materials, information, and request will be directed.

F. Time of Performance. The services to be provided in connection with each assignment
under Item I shall be performed in such a manner and sequence as to ensure their
expeditious completion in the light of the purposes of the assignment.
G. Consideration. The fees to be paid to the Consultant for services under this Agreement
shall be determined on the basis of the actual time and materials expended on the work
and shall be subject, for each assignment, to a budget to be mutually agreed upon by the
City of Lubbock and the Consultant.
Personnel time will be billed in accordance with Consultant's current schedule of
standard billing rates as shown on Attachment B. Out-of-pocket expenses for telephone
calls, computer services, transportation, subsistence, reproduction of reports and other
materials, mail and express delivery, and other direct expenses will be billed in addition
at actual cost. The maximum amount that City shall pay Consultant under this contract is
listed on Attachment A.
H. Method of Payment. Invoices for services performed under this Agreement shall be
prepared by the Consultant and may be submitted monthly to Lubbock Preston Smith
International Airport, Route 3 Box 389, Lubbock, Texas 79403 for payment. Payment
shall be made monthly based on the invoice provided by Consultant for the previous
month.
I. Assignment. Consultant will not directly or indirectly assign, sublet, sell, hypothecate or
otherwise transfer this Agreement without the prior written consent of the City.

ATTACHMENT A
The maximum amount that City shall pay Consultant under this contract is $71,000
broken down as follows:
1. $6,500 to complete Task 1: Review Agreement.
2. $16,000 to complete Task 2: Review rates and charges calculations methodology
and cost center allocation.
3. $13,000 to complete Task 3: Draft Airline Agreement.
4. $3,840 per meeting for Task 4: Airline Negotiation meetings. City estimates
approximately five Airline Negotiation Meetings for a total of $19,000. These
meetings may entail trips to Lubbock Preston Smith International Airport or long
distance teleconference charges.
5. $6,500 to complete Optional Task: Airline Negotiation Strategy Workshop.
6. Actual reasonable expenses incurred by Consultant directly related to
Consultant's performance under this contract, to include on the following in an
amount not to exceed $10,000.
The following are reimbursable expenses that City has approved:
a. Telephone conference call charges.
b. Computer services.
C. Transportation and subsistence. Travel shall be reimbursed at
coach rates only.
d. Reproduction of reports and meeting materials.
e. Express delivery.
7. City is not liable for any obligation incurred by Consultant except as approved
under the provisions of this Contract.
