IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
cted to execute for and on behalf of the City of Lubbock Amendment No, 1 to the
ign Build Agreement with Turner Lee Lewis and Garfield Traub Development,
.C. for construction of the Conference Center in Overton Park. Said amendment is
shed hereto and incorporated in this Resolution as if fully set forth herein and shall be

AMENDMENT NO. 1 DATED SEPTEMBER 17, 2007 TO DESIGN BUILD
AGREEMENT BETWEEN OWNER, DEVELOPMENT MANAGER AND
DESIGN/BUILDER
(CONFERENCE CENTER)
Pursuant to Paragraph 3.2 of the Agreement dated December 12, 2006, among the Development
Manager, Garfield Traub Development LLC, Design/Builder, Turner Lee Lewis, and the Owner,
City of Lubbock, Texas.
For construction of the Project, an upscale conference center located within Tract 7, Overton
Park, an Addition to the City of Lubbock, Texas (sometimes referred to herein as the
"Conference Center"). The pricing, schedules, and procurement are predicated on concurrent
construction of this conference center along with 304 room Hotel for the private owner.
The Development Manager, Owner and Design/Builder desire to establish a GMP for the Work.
Therefore, the Development Manager, Owner, and Design/Builder agree as follows.
ARTICLE 1. GUARANTEED MAXIMUM PRICE
The Design/Builder's GMP for the Work, including the Cost of the Work as defined in Article 8
and the Design/Builder's Fee as set forth in Paragraph 7.2, is Seventeen Million Three Hundred
Six Thousand Six Hundred Seventy -Six dollars ($17,306,676.00).
The GMP is for the performance of the Work in accordance with the documents listed below,
which are part of the Agreement. In the event of any conflict between the documents listed
below, the following order of precedence shall apply, with the provisions of the first listed
document governing.
GMP Summary (Exhibit A) dated July 19, 2007, 1 page.
The Design/Builder's Assumptions and Clarifications included in the GMP
Document, dated July 12, 2007, 10 pages (Exhibit B).
Value Engineering (Exhibit C) dated June 27, 2007, 2 pages.
Drawings and Specifications, including Addenda, if any, dated August 9, 2007, 18
pages, (Exhibit D).
Allowance Items, dated July 2, 2007, 1 page, (Exhibit E).
ARTICLE 2. DATES OF COMPLETION
As of the date of this Amendment, the following dates apply.
Substantial Completion shall be achieved within 608 calendar days after issuance
of the approval "Notice to Proceed" subject to changes in the Work provided for
in this Agreement.
Final Completion of the Work shall be achieved within 60 days of the date of
Substantial Completion of the Work subject to changes in the Work provided for
in this Agreement, or as specified in Article 6.2.3 of this Agreement
This Amendment is subject to acceptance by September 21, 2007, after which the
GMP and dates of Substantial and Final Completion are subject to possible
adjustment in accordance with Article 9 of the Agreement.

GMP
Assumptions and Clarifications
This Guaranteed Maximum Price (GMP) is based on reasonable assumptions and incorporates
only certain costs and expenses that we expect will be incurred in construction of the Work.
We have listed below the assumptions and clarifications that we have considered so that we both
fully understand what is and what is not included in the GMP. Where actual events on the project
differ from the assumptions and clarifications listed below, the GMP will require adjustments for
the resulting additional costs and expenses. These assumptions and clarifications are specifically
used to establish the basis of the GMP and as such are intended to clarify and take precedence
over details or items shown on documents, in the event there is a discrepancy between or among
any of them.
These Assumptions and Clarifications are applicable to both the Hotel and Conference Center
portions of the work on the site.
General Assumptions
1. This GMP is based on these Assumptions and Clarifications and the Construction Documents
as prepared by DLR Group, and Loewen Design Group as listed and dated in the attached
"Contract Documents List" (Exhibit D) which is hereby fully incorporated by reference.
Z The GMP is based on the implementation of a Contractor Controlled Insurance Program
(CCIP) for the project. The GMP includes a fixed rate of $14.801$1000 on subcontractor and
supplier volume and $9.50!$1,000 on project volume for General Liability Insurance, Worker's
Compensation Insurance is included at a fixed rate of $10.671$100 on project payroll, '
including subcontractors.
3. We have included Builder's Risk Insurance on Owner provided FF&E valued at $3,600,,000.
(Both Hotel and Conference Center combined)
4. A separate line item Construction Contingency is included in the GMP. This Construction
Contingency is intended to cover events such as those listed below and whose expenditure
will be approved and not unreasonably withheld by the Owner.
a. Field conditions.
b. Losses, expenses or damages not covered by insurance.
c. Overly aggressive scheduling.
d. Subcontractor failures not covered by Subguard insurance or a subcontractor
performance and payment bond.
e. Increases in quantity or quality, which should have been reasonably inferable from the
Contract Documents but not specifically shown therein.
f. Underestimating.
g. Normal Inclement weather.
h. Overtime for unexcused schedule delays due to subcontract work, performance or
schedule.
i. Rework where those costs are not recoverable from a subcontractor.

j. Any cost which is reimbursable as a cost of Work.
5. A Project Contingency is not included in the GMP to pay for items not included in the scope of
the Work such as:
a. Increase in quantity or quality beyond what is reasonably inferable from the Contract
Documents
b. Changes in market conditions or labor disputes not caused by the Design/Builder or
its subcontractors
c. Unusual delays in deliveries not caused by the Design/Builder or its subcontractors.
d. Changes in the Work
e. Unknown soil or underground conditions
f. An overrun in an Allowance account
g. Inclusion of items specifically excluded from the GMP
h. Abnormal inclement weather
i. Design errors and omissions, and any act or neglect of the Owner.
j. Acts of separate contractors employed by the Owner.
k. Any additional costs for Owner requested subcontractors
I. Other causes beyond Design/Builder's control.
6. Impact or pro -rata fees are to be paid for directly by the Owner and are not included.
7. The cost of the Building Permit and all offsite permits are not included and shall be paid
directly by the Owner.
8. Any required State Highway permits or public street permits have not been included in the
GMP.
9, The GMP excludes the cost of a testing laboratory to perform all specified Testing and
Inspection. The Owner -,shall employ and pay the Testing and Inspections company_
10. It is assumed that the Owner will pay for all construction document printing with the exception
of shop drawing, as -built, and submittal reproduction. It is understood that the cost for pre-bid
document reproduction is included in the preconstruction budget/costs
11. The GMP is based on the site being free from hazardous and contaminated materials
including contaminated water and soil regardless of classification. Hazardous and
contaminated materials testing, monitoring and abatement, as well as any required
environmental investigations and insurance if required is outside of this GMP.
12. The GMP is based upon the expectation that reasonable substitutions, with approval by the
Owner and Architect, may be made to the specified materials and equipment.
13. Where required by the Contract Documents„ through its subcontractors, the Design/Builder
will provide stamped and sealed design calculations prepared by a Professional Engineer.
We will submit drawings and calculations for review and approval by the Architect and its
Consultants. In the event that there is an error and or omission or other deficiency in the

preparation of these calculations, the Owner agrees to only look to the subcontractor
providing the calculations, not the Design/Builder, for remedy. The Design/Builder will assist
the Owner in their remedy pursuit of the subcontractor if necessary.
14. Any requirements by the City of Lubbock that are not specifically depicted or indicated on the
Documents referenced above have not been included in the GMP.
15. The GMP does not include Water and Wastewater Impact Fees and Meter Fees. No other
development fees are included.
16. Sales taxes are included for the Hotel portion of the Work only. Owner to provide a sales tax
exemption certificate for the Conference Center portion of the Work.
17. Substantial Completion for the Work, a newly installed system, or portions of the Work shall
be granted when the Work is complete to the level in which the Owner can utilize it for its
intended use and/or start acceptance testing and/or commissioning of the same. The Owner
agrees that it will take occupancy of the Work upon Substantial Completion and assumes
responsibility for warranties, maintenance, upkeep, and utilities.
1$. All references in the Contract Documents to a warranty or guarantee by the Design/Builder
are qualified and modified as follows: Design/Builder shall obtain and deliver to the Owner
manufacturer's warranties extending beyond one (1) year as required by the Contract
Documents and shall cooperate with the Owner in enforcing and administrating such
warranties. Design/Builder shall not be required to countersign manufacturer's warranties
and/or guarantees nor shall Design/Builder be required to furnish warranties and guarantees
not customarily available from the manufacturing industry. The Design/Builder will assist the
Owner in enforcing these manufacturers' warranties.
19, The GMP is based on final paying subcontractors and suppliers who have completed their
entire scope of Work during the early phases of the project upon satisfactory completion of
their work as mutually agreed upon by Owner, Architect and Design/Builder.
20. The GMP is based on Owner Accepted Value Engineering as defined by the Exhibit C, dated
June 27, 2007 which is hereby fully incorporated by reference. All Owner Accepted Value
Engineering is to be incorporated into the construction documents by the Architect, Engineer
and/or Interior Designer,
21. The order of precedence of the documents in the event that there is a conflict between
documents is:
a. Future change orders.
b. These Assumptions and Clarifications and attachments referenced herein.
c. Agreement between Owner and Design/Builder.
d. Additional Correspondence (as listed in Contract Document List).
e. Addenda as issued by the Architect (as listed in Contract Document List).
f. Drawings and Specifications as prepared by the Architect and Interior Designer (as listed
in the Contract Document List).

CMP
22. The GMP includes Payment and Performance Bonds on the Conference Center portion of the
Work only.
23. The GMP does not include line item guarantees.
24. Design/Builder may engage an affiliate company, Turner Logistics LLC, to purchase, expedite
and manage the delivery of major mechanical, electrical and other major material and
equipment. Turner Logistics, LLC services shall be reimbursed in the lump sum amount
stated in each of the respective approval letters. The lump sum amount includes salaried
staff, benefits/taxes, general expenses, computers, telephones, transportation, miscellaneous
reimbursables, overhead and profit. This equipment will be provided to the successful
subcontractors in the respective trades for installation.
25. The Design/Builder assumes CAD files of the Construction Documents will be provided by the
AlE at no charge. The Design/Builder acknowledges that a customary release will need to be
executed by the Design/Builder or its subcontractor. DLR will provide a disk with the project
backgrounds to TLL for distribution to the subcontractors as required.
26, The GMP includes coordination only of FF&E. FF&E shall be in accordance with the items in
Exhibit E.
27. OS&E to be provided by the Owner.
28. The GMP excludes security and Audio Visual work.
Site Work/Earthwork/Utilities
1. Any work defined by notes 1, 2, 3, 4, & 6 on Sheet C3,1 are not included in the GMP, We
have not included removal andlor relocation of existing gas risers, telephone risers, pipe
guards, electrical switch gear, water meters, and utility poles as these are assumed to be by
the appropriate utility company or service provider.
2. The GMP does not include removal and/or relocation of existing Xcel pullboxes or Lubbock
Power and Light Transformers currently located with -in the property line along Avenue X.
3. The site work paving, grading, and building pad preparation is based on recommendations of
the Geotechnical Engineering Report (Terracon Report No. 94665266) prepared by Terracon.
Consulting Engineers and Scientists, dated September 29, 2006.
4. Gas service to the meter location at the building, shall be provided by the gas utility company.
Any fees or charges associated with this work are not inciuded in the GMP.&haN-be-pai4-6y�p,�
the -Owner.
5. The GMP does not include responsibility and/or removal of unknown conditions including, but
not limited to, unknown underground utilities, structures, rock excavation, contaminated soil,
tanks or other items of an unknown nature, which have not been identified in the Contract
Documents.
6. The GMP excludes the public water main indicated on the Municipal Water Plan - Sheet C3.2.
It is understood this portion shah be paid for from separate funding.
7. The GMP includes demolition and reconstruction of the approach located on the northeast
corner of the site at Avenue W. All other drives and/or approaches are excluded as they are
assumed to be part of the TIF package.
8. The GMP does not include site dewatering or evacuation of ground water from excavations.

Landscape and Irrigation
Termite Control
1, The GMP excludes Termite Control pre-treatment.
Concrete Structure
1. The GMP excludes architectural concrete and/or rub finish on the interior of the stair towers or
any other areas of exposed structural concrete.
2. Turner Lee Lewis reserves the right to use Lee Lewis Construction for concrete construction
as a lump sum subcontractor.
3, The GMP includes housekeeping and generator pads as indicated on the construction
drawings, plus 500 sqft of pads (both Hotel and Conference Center combined) --not
specifically indicated on the construction documents.
Masonry
1. If accepted VE item 0.0050 is rejected due to un -acceptable color blend options, then the
exterior face brick at the Conference Center and Hotel shall be included per the drawings as
Utility brick in a Texas Tech@ blend in lieu of the specified modular units and brick colors.
Structural-Misc. Steel
1. The GMP includes pricing per RFI #16 clarifying the scope and locations of brick relief angles.
Decorative Metal
1. The GMP excludes the interior and exterior aluminum trellis. Reference accepted VE item
0.0230 for the add back of the exterior portion of the aluminum trellis.
Millwork — Finished Carpentry
The GMP includes a conceptual estimate of $1,006,238 and a $250,000 allowance,
Allowance C, for all millwork at the Hotel and Conference Center with exception of the pre -
manufactured guestroom vanities indicated in interior design documents. It is understood that
these line item amounts are insufficient to cover the complete scope of Millwork currently
indicated on the Architectural and Interior Design Documents, and that Turner Lee Lewis will
continue to work with the Interior Designer to reduce the scope of the Millwork Work as
required to achieve the said budget of $1,006,238 coupled with Allowance C of $250,000. If

2. The GMP includes an allowance of $100,000 (both Hotel and Conference Center combined)
for an un -described guestroom corridor paint grade wood chair rail (Species and rail profile to
be determined), an upgrade to the back of house wall protection, and an upgrade to the
specified public space restroom toilet partitions.
3. The GMP excludes using AWI certified millwork shops exclusively.
4. The GMP excludes all indicated Glued -laminated Construction and wood cladding of
structural members indicated on the interior and exterior of the storefront.
Pre -Manufactured Vanities
Metal Wall 'Panels
1. The GMP includes aluminum composite metal panels fabricated into a rout and return dry wall
panel system #3100 as manufactured by NOW Specialties, Inc., which includes 4 mm Fire
Retardant Core material thickness with a three coat Kynar 500 based PVF finish to be
selected from a standard manufacturer's color.
Doors Frames & Hardware
1. The GMP includes all doors and frames as indicated on the Architectural drawings and
specifications as opposed to the Interior Design documents.
Special Doors (Roil -up Doors)
1. The GMP includes the dock doors, as manufactured by The Overhead Door Company, with
baked enamel finish in color to be selected from manufacturer's standard options.
Glass and Glazing
1. The GMP includes exterior vision glazing as 1" TI-Ac36 clear low a (2).
2. The GMP excludes specification section 084413, 1.7 B2 (20 year warranty on finish).
Automatic Sliding Entrance Doors
1. The GMP includes auto sliding entrance by Stanley Dura -Glide.

1. The ceramic, stone and porcelain tile products shall be revised by VE item 0.0290 as selected

2. Crack suppression membrane shall be used as damproofing under guestroom restroom tile
and base.

Lockers
1. The GMP includes knock down standard metal lockers with closed bases as manufactured by
Republic Storage Systems.
Impact Resistant Wall Protection
1. The GMP includes (75) 8 ft Korogard corner guards.
Signage
1. This GMP line item includes interior signage for stairways, elevator lobbies, guest room ID,
and guestroom directional signage. All other signage required for project shall be covered by
Allowance A.

Expansion Joint Assemblies
The GMP includes expansion joint assemblies as manufactured by MM Systems Corp. in
manufacturer's standard finishes.
Flag Poles
1. The GMP includes (2) 25' Cable based internal halyard fixed winch mount one piece flag
poles with satin finish. Poles have 5" butt with 0.156 wall thickness and includes a standard
manufactures finial.
2. The GMP includes (1) 30' Cable based internal halyard fixed winch mount one piece flag pole
with satin finish. Pole has 5" butt with 0.156 wall thickness and includes a standard
manufactures finial.

Conference Center Prefunction and Hotel Lobby areas only. All other window treatments are
excluded.
Linen Chutes
1. The GMP includes a 24" diameter X 165 ft. tall Wilkinson Hi -Rise linen chute with (13) -18" X
18" side hinged, hand operated, electrically interlocked intakes with keyed alike locks. Chute
is manufactured of 16 gauge galvanneal with flushing spray and "UL" hopper discharge. One
15"x15" access door is provided for servicing of deodorizing and sanitizing unit.
Food Service Equipment
1. The GMP Food Service pricing reflects the specification writer Manning Brothers Food
Service pricing as submitted by this vendor. The Owner agrees that the Food Service scope
will be revised/reduced from that indicated by respective drawings and specifications in order
to achieve the GMP allotted budget or $950,000 and to additionally realize the $200,600
savings of the associated accepted VE concept. Items noted in Food Service specifications
and drawings as BY OWNER, BY HVAC, BY VENDOR, BY OTHERS, and BY MILLWORK
are not included in the GMP as we anticipate the revised scope of work for this trade will
include providing and installing these currently excluded items. This revised scope work
should also include installation of vapor barriers and sand under the walk-in coolers and

freezers, all associated trim pieces, 2008 equipment pricing, and any required off-site storage

Laundry Ecluipment OS&E
1.The GMP excludes the purchase and installation of the Laundry Equipment.
Elevators
1. The GMP includes all elevators at 350 fpm.
Electrical
1. We have included incoming" empty conduits (with pull string) for elec, telephone and CATV
services. It is assumed that wiring is by others.
2. Remove and/or relocation of existing utility poles and over head power line are not included in
this GMP.
3. The GMP includes the generator enclosure as skin-tight in lieu of specified walk-in, the genset
is too small for walk-in.
4. The GMP includes fuel for the emergency generator for startup and testing and turnover to
the Owner.
5. The GMP excludes security and surveillance systems of any type. The GMP does include the
backbone and infrastructure shown on the Drawings.
6, The GMP excludes audio visual systems of any type as these systems are understood to be
by the Owner,
Generator
1. Enclosure is priced as skin-tight.
2. Remote annunciator does not include remote start/stop functionality,
3. Pricing includes 80% rated circuit breakers.
4. Pricing includes ATS sizes per the drawings which cannot meet the minimum AIC ratings
indicated in the drawings.
