WITNESSETH WHEREAS, 49 U.S.C. §5304, provides that eligible recipients may receive federal funds for public transportation planning; and WHEREAS, Transportation Code, Chapter 455, authorizes the State to assist the Subrecipient in procuring aid for the purpose of establishing and maintaining public and mass transportation projects and to administer funds appropriated for public transportation under Transportation Code, Chapter 456; and, WHEREAS, the Subrecipient submitted an application for federal financial assistance for planning, and the Texas Transportation Commission approved the application by Minute Order No, 110772 and 110880. WHEREAS, the Subrecipient executed a Fiscal Year 2007 Grant Application, Part I (GA Part 1) and Grant Application, Part 11 (GA Part 11) for consideration for new state and/or federal grants to provide transportation services; and, WHEREAS, a Master Grant Agreement (MGA) between the Subrecipient and the State has been adopted and states the general terms and conditions for grant projects developed through this PGA; and, NOW, THEREFORE, in consideration of the premises and of the mutual covenants hereinafter set forth, the State and the Subrecipient hereto agree as follows. AGREEMENT ARTICLE 1. GRANT TIME PERIOD This PGA becomes effective when fully executed by both parties or on April 20, 2007 whichever is later. This PGA shall remain in effect until August 31, 2008, unless terminated or otherwise modified in an Amendment. This PGA will not be considered fully executed until both parties have executed a MGA, and the Subrecipient has submitted the GA Part I and the GA Part II (federal funds only) to the State. The time period of this PGA cannot be extended past the MGA without exception. Any cost incurred before or after the contract period shall bE ineligible for reimbursement. PROJECT DESCRIPTION The Subrecipient shall commence, carry out and complete the public transportation project described in the Continuation Funding Application for Regional Coordination Planning (C. F. Application) and attached Attachment A - Approved Project Description and Project Budget (Attachment A), with all practicable dispatch, in a sound, economical and efficient manner. The Subrecipient shall carryout the public transportation project described in the C. F. Application and attached Attachment A in accordance with all of the documents associated with the MGA, and with all applicable federal and state laws and/or regulations. If applicable, the Subrecipient shall begin competitive procurement procedures by issuing an invitation for bids or a request for proposals no later than sixty (60) days after the effective date of this grant agreement for the purchase of the approved line item(s) referenced in Attachment A. No later than sixty (60) days after the issuance of public notification, the Subrecipient shall publicly open all bids or privately review proposals. The Subrecipient shall enter into a binding agreement with a supplier no later than thirty (30) days after the opening of an acceptable bid or proposal. The Subrecipient shall notify the department in writing when it is necessary to exceed these deadlines. ARTICLE 3. COMPENSATION The maximum amount payable under this PGA without modification is $60,000 provided that expenditures are made in accordance with the amounts and for the purposes authorized in the C. F. Application, the Attachment A, and the Attachment B - Approved Budget Page. AMENDMENTS Except as noted in the MGA, changes in the scope, objectives, cost or duration of the project authorized herein shall be enacted by written amendment approved by the parties hereto before additional work may be performed or additional costs incurred. Any amendment so approved must be executed by both parties within the grant period specified in the MGA Article 1, Grant Time Period. The Subrecipient is authorized to re -budget without a formal amendment when the proposed revision involves an increase in one category and a corresponding decrease in another, provided however, that any such revision meets all of the following criteria: 1. Does not result in the need for additional funds; and, 2. Does not exceed ten percent of the current total approved budget and the federal or state funding exceeds $100,000; and, 3. Does not involve a transfer of funds from a direct to indirect cost category. ARTICLE 5. SUCCESSORS AND ASSIGNS The Subrecipient binds themselves, their successors, assigns, executors and administrators in respect to all covenants of this agreement. The Subrecipient shall not sign, sublet or transfer their interest in this agreement without the written consent of the State. AUDIT REQUIREMENTS A. Subrecipient audit procedures shall meet or exceed the audit requirements outlined in applicable Federal Office of Management and Budget (OMB) publications as follows: OMB Circular A-21, Cost Principles for Educational Institutions OMB Circular A-87, Cost Principles for State and Local Governments OMB Circular A-122, Cost Principles for Nonprofit Organizations OMB Circular A-133, Audits of States, Local Governments and Non -Profit Organizations B. An entity that is subject of an audit or investigation must provide the state auditor with the access to any information the state auditor considers relevant to the investigation or audit. ARTICLE 7. LEGAL CONSTRUCTION In case any one or more of the provisions contained in this agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision thereof and this agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. ARTICLE 8. PRIOR AGREEMENTS This agreement constitutes the sole and only agreement of the parties hereto and supersedes any prior understandings or written or oral agreements between the parties respecting the public transportation grant specifically authorized and funded under this agreement. ARTICLE 9. INCORPORATION OF PROVISIONS Attachments are attached hereto and incorporated into this contract as if fully set forth herein. ARTICLE 10. SIGNATORY WARRANTY The undersigned signatory for the Subrecipient hereby represents and warrants that he or she is an officer of the organization for which he or she has executed this agreement and that he or she has full and complete authority to enter into this agreement on behalf of the organization. Identify the agencies and organizations that will participate in your regional coordination planning process. At a minimum, the planning process must include representatives from public transportation agencies, health and human service agencies, workforce agencies, and the general public, other? We intend to focus this year's coordination work on addressing this weakness. The inclusion of the Lubbock Economic Development Alliance (LEDA) on our planning team will assist us in identifying where the jobs and job training opportunities are located within our region; the regional job market is expanding and LEDA will be able to provide continually -updated information. We anticipate that WorkSource will take a more active role in this year's program of work, as they will be able to provide us with specific individuals who need assistance in finding appropriate transportation alternatives. Once jobs/job training opportunities have been identified, our group will be able to determine an appropriate solution to the needs. Preliminary ideas at this time include a web -based ride -share program, transit providers taking a more active role with WorkSource offices, transit providers taking a more active role with employers, and the development of public service announcements or other methods to reach the consumer who may be looking for viable transportation options. It is our intention that this portion of the project will serve as a demonstration project, and we will assess the project and evaluate its outcomes in order to develop a larger and more comprehensive program at a later date. The secondary focus of this year's work will be to provide additional outreach activities to persons with disabilities, a group for whom transportation is always a concern. We want to learn if there are specific measures that can be undertaken that would provide workable transportation options to this group of consumers, particularly related to job or job training trips. C7 CONTINUATION OF REGIONAL COORDINATION PLAN FORM F: SERVICE DELIVERY Comprehensive and integrated services. Describe how this plan will help build capacity to provide integrated comprehensive public transportation services to people in your region. Seamless services. Describe how your proposed planning activities will help assure seamless trips for the riding public on the region's public transportation system. Describe existing or planned agreements, operational systems, and/or technology that will assure this smooth transit experience for riders. (A maximum of one page may be attached if needed) Comprehensive and Integrated Services Our region has jobs. We have people who want to work. We have transit vehicles that don't always operate at capacity. What we don't have is a way to identify who needs transportation. This year's work will focus on identification — of jobs, training, and individuals. Once the identification is accomplished, we will be able to work with our network of providers to locate acceptable transportation options. Seamless Services Citibus has been the regional Medicaid provider since June 2005; our experience with that program and our track record with our subcontractors will transfer to this new component of what we do. We work well with the other providers and believe that continued efforts to target potential passengers will result in greater uses of our existing public transportation services. We expect that all participating transportation providers will work with Citibus' Chief Information Officer to develop methods of a web -based system of sharing information on ride sharing or other transportation options. 7 CONTINUATION OF REGIONAL COORDINATION PLAN FORM G: PUBLIC INVOLVEMENT Public engagement. Describe how your region will effectively engage the public and stakeholders by providing opportunities to actively participate in the planning, implementation and assessment of public transportation services proposed in this application. Outreach. Identify the purpose of each outreach effort as well as specific target audiences, primary messages, strategies for sharing these messages with each audience, and evaluation methods. (A maximum of one page may be attached if needed) Public Engagement A major task of this portion of the project will be to hold focus group meetings. Using the expertise of Citibus' advertising agency, The Thomas Agency, the focus groups will be used to gauge public feelings about transit, transportation options, etc. These groups will be held in Lubbock and in at least one rural location. Citibus staff will work with The Thomas Agency to write the questions for the focus groups and to develop the demographic profile for the participants in the focus groups. It is difficult to target the "public" but we believe that a representative sample can provide valuable assistance. Outreach Possible outreach methods include a web -based ride -share page, public service announcements on television and radio, news articles, etc. Until a formal plan has been identified, it is difficult to state what the primary messages will be, or what the evaluation methods may include. 8 CONTINUATION OF REGIONAL COORDINATION PLAN FORINT H: SUSTAINABILITY Describe how your plan will be sustained over time, providing continuity of effective and efficient public transportation services to the population in need. (A maximum of one page may be attached if needed) We are confident that this year's work to develop a strong relationship with the Lubbock Economic Development Alliance will prove to be of such benefit to everyone involved that it will be an ongoing partnership. We believe that early identification of newly -created jobs is the key to coordinating employees and transportation opportunities. It is in the best interest of all participating entities for this program to be workable and sustainable — no one wants to develop a program that has to be discontinued. The growth of our region hinges on the creation of new jobs; ensuring that new employees have ways to get TO the jobs is the underlying factor that will make or break economic development efforts. In our region, transportation was not always considered as an important factor in job -creation or economic development efforts. We believe that by including the Lubbock Economic Development Alliance in our group, we can begin to add a transportation component to their on-going business development/business attraction efforts. One concern that residents of small communities in our region have is the ability to find work in their town so they do not have to move to Lubbock or one of the other "big" cities in this part of the state. With a systematic and coordinated effort of job placement, we believe that we can help these residents fulfill their dreams of remaining in their community. CONSENT A ITEM #/SUBJECT: # Consider a resolution authorizing the Mayor to execute a Section 5304 Grant, Contract No. 07XXF7005, with the Texas Department of Transportation (TxDOT), to assist with Regional Coordination Planning. (Citibus) BACKGROUND DISCUSSION: TxDOT is allocating $60,000 of public transportation funds to the City of Lubbock to be used for continuation funding for the Regional Coordination Plan.. TxDOT has made funds available for continuation of regional coordination planning efforts; each region in the state will be awarded $60,000 to support regional planning. Recipients of the funds will not be required to provide a local match for these funds. Citibus is the lead agency for the South Plains Region. The work that will be conducted with the new funding will include two major focuses. The first task will be a concerted effort to target job and job training locations in order to assist individuals who may require transportation in order to access jobs or job training; this was the major weakness that was previously identified. The second focus will be to enhance outreach to the disabled community in order to identify specific measures that could enhance transportation options to this group of consumers, particularly related to job or job training trips. The contract becomes effective when fully executed by both parties or on April 20, 2007, whichever is later. The contract shall terminate on August 31, 2008. FISCAL IMPACT: No local match will be required for these funds. Acceptance of this grant will result in no additional cost to the City of Lubbock. SUMMARY/RECOMMENDATION: Citibus recommends the approval of the Section 5304 Grant, Contract No. 07XXF7005, with the Texas Department of Transportation (TxDOT).
