I
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock, an Agreement for aerial
photography and digital orthophotography, by and between the City of Lubbock and
Sanborn Map Company, Inc., a Delaware corporation, and related documents. Said
Agreement is attached hereto and incorporated in this resolution as if fully set forth herein
and shall be included in the minutes of the City Council.

SERVICES AGREEMENT
This Services Agreement (this "Agreement") is entered into as of the 5th day of
November, 2009 ("Effective Date") by and between The Sanborn Map Company, Inc., a
Delaware corporation ("Sanborn"), and the City of Lubbock (the "City"). There are no third
parties to this Agreement nor any third party rights or benefits either expressed or implied.
RECITALS
WHEREAS, the City has issued a Request for Proposals (RFP 09 -088 -MA) for Digital
Orthophotography Project 2010, and;
WHEREAS, the proposal submitted by Sanborn has been selected as the proposal which
best meets the needs of the City for this project; and
WHEREAS, the City desires digital orthophotography, GIS data compilation and contour
mapping in support of the its Geographic Information System; and
WHEREAS, Sanborn desires to perform as an independent contractor to provide
photography, ground control, photogrammetric and compilation services necessary for the
production of topographic maps, digital orthophotography and other data upon terms and
conditions maintained in this Agreement; and
NOW THEREFORE, for and in consideration of the mutual promises contained herein,
the City and Sanborn agree as follows:
City and Sanborn acknowledge the Agreement consists of the following exhibits which
are attached hereto and incorporated herein by reference, listed in their order of priority in the
event of inconsistent or contradictory provisions:

Article 1 Services.
1.1 Sanborn agrees to perform those services for the City that are specified on
Exhibit A (the "Services") and shall deliver to the City those deliverables specified on Exhibit A -
(the "Deliverables") according to the schedule (the "Schedule") provided in Exhibit A. All
Deliverables shall be delivered to City pursuant to the Schedule. All Deliverables specified in
this Agreement shall be completed no later than December 31, 2010, except for any additional
Services or Deliverables as contemplated in Section 1.2 herein, which shall be completed by a
reasonable deadline to be determined during negotiations between the parties hereto.
1.2 The City shall pay, and Sanborn agrees to accept as full consideration for its
Services and Deliverables under this Agreement, invoices for work performed at the City's
request for the firm fixed price of Six Hundred Eighty -Six Thousand Nine Hundred Thirteen
United States dollars ($686,913.00).
Invoices shall be submitted on a monthly basis based upon the percentage completed by
task/deliverable. Payment terms are 30 days from receipt of invoice. There shall be a 10%
retainage which shall be released within 30 days of final acceptance of the project.
For any Services or Deliverables that are not included in this firm fixed fee, City shall
provide a written request to commission Sanborn to provide additional Services and Deliverables
on terms and prices to be agreed to by City and Sanborn. All such written request must be
consistent with this Agreement and may be made for a period up to five (5) years from the
Effective Date.
1.3 Sanborn shall use its commercially reasonable efforts to render Services under
this Agreement in a professional and business -like manner and in accordance with the standards
and practices recognized in the industry. Sanborn shall not be restricted in its use of
subcontractors and suppliers (specifically any socio -economically disadvantaged companies as
defined in the U.S. Central Contractors Registry and or the Small Business Administration) as
Sanborn, determine are necessary to meet its obligations under this Agreement. Nevertheless,
Sanborn must notify City of the name and complete contract information of any proposed
subcontractor, in writing and in advance, for City's approval, such approval not to be
unreasonably withheld. City, by executing this Agreement, herein approves of the
subcontractors listed below:

Any change in Sanborn's project principal or project manager must be approved, in advance, in
writing by City. All work will be performed in the continental United States.
1.4 Force Majeure shall mean any events or actions beyond the reasonable control of
either City or Sanborn preventing or delaying the execution of or compliance with any of the
terms and conditions contained in the Agreement, including but not limited to strikes, lockouts,
labor shortages, actions or inactions of independent subcontractors and suppliers, power
shortages, wars, acts of God, and governmental regulations, including the restrictions imposed by
air traffic control personnel with authority over airspace required for flight operations, restricting
normal operations, weather or atmospheric conditions that are not conducive for the collection of
aerial imagery or terrain data in a manner that is necessary to meet or exceed the requirements of
any Deliverable and inability of City to provide any specified Sources in a timely manner.
Sources shall mean all information and/or materials as may be defined in the Agreement required
to be provided by City to Sanborn for the performance of the Services.
1.5 Sanborn shall be the sole and exclusive owner of all right, title and interest in and
to each Deliverable until such time as Sanborn has received full and final payment of the
outstanding invoice with respect to that Deliverable. At such time as payment in full has been
rendered to Sanborn for the Deliverable, the City shall have such rights, title, and interest in and

to the Deliverable. This Section 1.5 shall apply to each Deliverable. Sanborn agrees that all
materials, reports, drawings, maps, computer files, and other materials prepared for City under
the terms of this Agreement shall upon payment by the City to Sanborn be the property of City.
1.6 To the extent that the work materials and Deliverables are considered public
domain information, Sanborn shall enjoy all rights to utilize the work materials and/or
Deliverables in its business practices, without restriction. All Deliverables shall be subject to the
Texas Public Information Act, Chapter 552 of the Texas Government Code.
1.7 Sanborn shall maintain all books, documents, papers, accounting records, and
other evidence pertaining to costs incurred under this Agreement and shall make such materials
available for inspection by City at all reasonable times during the period of this Agreement and
for the period of three (3) years after the date of final payment to Sanborn. Sanborn is entitled to
reasonable reimbursement for the cost of furnishing copies if requested. Sanborn shall retain in
its files all pertinent information for its services to City, including a final copy of all digital
Deliverables. Sanborn shall contact City before disposing of any copies of any materials created
during the execution of this Agreement.
1.8 City shall be responsible for evaluating and determining the adherence of the
Deliverables to the Acceptance Criteria or calculating error rates for the Deliverables within
sixty (60) days of receipt. To the extent that City assigns or contracts some or all of this
responsibility to any third party ("Agent") such assignment or contracting of the responsibility
shall not relieve the City of responsibility and liability for all acts and omissions which may
constitute City's default or breach of this Agreement.
1.9 Nonappropriation clause. All funds for payment by the City under this
Agreement are subject to the availability of an annual appropriation for this purpose by the City.
In the event of non -appropriation of funds by the City Council of the City of Lubbock for the
goods or services provided under the Agreement, the City will terminate the Agreement, without
termination charge or other liability, on the last day of the then -current fiscal year or when the
appropriation made for the then -current year for the goods or services covered by this Agreement
is spent, whichever event occurs first. If at any time funds are not appropriated for the
continuance of this Agreement, cancellation shall be accepted by the Seller on thirty (30) days
prior written notice, but failure to give such notice shall be of no effect and the City shall not be
obligated under this Agreement beyond the date of termination.
1.10 Insurance
Aviation Liability:
On all aviation subcontracts, $500,000

General Liability:
Contractor's insurance shall contain broad form contractual liability with a combined
single limit of a minimum of $1,000,000 each occurrence and in the aggregate and shall include
the following:
• Broad Form Contractual Liability
• Personal Injury and Advertising Injury
• Products and completed operations
Professional Liability:
Contractor's insurance shall contain Professional Liability with a combined single limit of a
minimum of $500,000 each occurrence and in the aggregate.
Business Automobile Liability:
Contractor's insurance shall contain a combined single limit of at least $500,000 per occurrence,
and include coverage for but not limited to the following:
• Bodily Injury and property damage
• Any and all vehicles owned, used or hired
Workers' Compensation and Employers Liability Insurance:
Contractor shall elect to obtain workers' compensation coverage pursuant to Section 406.002 of
the Texas Labor Code. Further, Contractor shall maintain said coverage throughout the term of
the contract and shall comply with all provision of title 5 of the Texas Labor Code to ensure that
the Contractor maintains said coverage. Any termination of workers' compensation insurance
coverage by Contractor or any cancellation or non -renewal of workers' compensation insurance
coverage for the Contractor shall be a material breach of the contract. The contractor may
maintain Occupational Accident and Disability Insurance in lieu of Workers' Compensation. In
either event, the policy must be endorsed to include a waiver of subrogation in favor of the City
of Lubbock.
Employer's Liability with limits of at least $500,000 each accident, $500,000 by disease policy
limit, and $500,000 by disease each employee shall also be obtained and maintained throughout
the term of the contract.
Other Insurance Requirements:
Contractor's general liability and auto liability insurance policies through policy endorsement
must include wording, which states that the policy shall be primary and non-contributory with
respect to any insurance carried by City of Lubbock. The certificate of insurance described

below must reflect that the above wording is included in evidenced policies. All policies must be
endorsed to include a waiver of subrogation in favor of the City of Lubbock.
Article 2 Compensation. The City shall pay Sanborn for the Deliverables and
performance of the Services in accordance with the terms specified on Section 1.2. City is tax
exempt and shall issue a tax exempt certificate to Sanborn upon execution of this Agreement.
Article 3 Independent Contractor Status.
3.1 Sanborn is an independent contractor and no employees, associates or agents of
Sanborn shall be deemed to be an employee, associate or agent of the City, or vice -versa. The
City and Sanborn are not and shall not be considered as employer/employee, joint adventurers,
partners, or one as agent of the other under this Agreement, and neither shall have power to bind
or obligate the other.
Article 4 Term and Termination.
4.1 This Agreement shall remain in effect from the date contained herein for the
period of time set forth in Section 1.2, unless and until terminated by either party by giving thirty
(30) days written notice to the other party. Upon the date so specified, Sanborn shall immediately
terminate all activities on behalf of the City and deliver to City all Services or Deliverables in
progress in possession of Sanborn. Notwithstanding any such termination, City shall in no event
be released from its obligation to pay Sanborn for all Services performed and those in process at
the time of such termination, and Deliverables delivered prior to such termination.
Article 5 Indemnification.
5.1 To the extent permitted by law, the City and Sanborn agree to indemnify, defend
and hold each other harmless their directors, officers, shareholders, employees, agents and
affiliates from and against any and all third party actions, claims, liabilities, damages, losses and
expenses, including reasonable attorneys' fees and costs (collectively, "Claims") arising out of or
related to their respective acts, errors or omissions or those of their officers, directors,
employees, Agents or affiliates in connection with the performance of its obligations under this
Agreement.
5.2 Warranty. Sanborn warrants and covenants to the City that all digital
orthophotography, LiDAR, DEMIDTM, contours, planimetrics and associated computer files
("Deliverables") delivered under this Agreement shall be produced and performed in a skillful
and workmanlike manner and shall comply with the specifications for said Deliverables set forth
in this Agreement. Sanborn warrants that the Deliverables provided to the City under this
Agreement shall be free from defects in material and workmanship, as set forth in the
specifications set forth here -in for a period of one (1) year after their acceptance by the City or
the termination of this Agreement prior to the term provided for in Section 1.2, whichever is
earlier. Sanborn represents and warrants that to the best of its knowledge neither the
Deliverables nor their use by the City in accordance with the terms of this Agreement shall
infringe upon or violate any third party rights in any patent, copyright, trademark, trade secret or
other or other proprietary right of any third party.

5.3 Limitation on Damages. Notwithstanding any other provision of this Agreement,
neither party will be liable to the other for any punitive, indirect, special, consequential or
incidental damages whatsoever. EXCEPT FOR THE EXPRESS WARRANTIES MADE OR
REFERENCED IN THIS AGREEMENT, NEITHER PARTY MAKES ANY WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED
WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE
AS TO ANY ITEMS OR SERVICES PROVIDED UNDER THIS AGREEMENT,
Article 6 Miscellaneous.
6.1 This Agreement is made in the State of Texas and shall for all purposes be
construed in accordance with the laws of said State, without reference to choice of law
provisions.
6.2 This Agreement is performable in, and venue of any action related or pertaining to
this Agreement shall lie in, Lubbock, Texas.
6.3 This Agreement and its Exhibits contains the entire agreement between the City
and Sanborn and supersedes any and all previous agreements, written or oral, between the parties
relating to the subject matter hereof. No amendment or modification of the terms of this
Agreement shall be binding upon the parties unless reduced to writing and signed by both
parties.
6.4 This Agreement may be executed in counterparts, each of which shall be deemed
an original.
6.5 In the event any provision of this Agreement is held illegal or invalid, the
remaining provisions of this Agreement shall not be affected thereby.
6.6 The waiver of a breach of any provision of this Agreement by any parties or the
failure of any parties otherwise to insist upon strict performance of any provision hereof shall not
constitute a waiver of any subsequent breach or of any subsequent failure to perform.
6.7 Notice required under this Agreement shall be in writing and personally delivered
or sent by certified mail to the City at its principal executive offices or to Sanborn at the last
address filed by it in writing with the City, said addresses set forth herein:

6.8 This Agreement shall be binding upon and inure to the benefit of the parties and
their respective heirs, representatives and successors and may be assigned by Sanborn or the City
to any successor only on the written approval of the other party.
6.9 All claims, disputes, and other matters in question between the Parties arising out
of or relating to this Agreement or the breach thereof, shall be formally discussed and negotiated
between the Parties for resolution. In the event that the Parties are unable to resolve the claims,
disputes, or other matters in question within thirty (30) days of written notification from the
aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies
available at law or in equity..

EXHIBIT A: SCOPE OF WORD AND SCHEDULE
Project Overview
Work will be performed by Sanborn as proposed in Sanborn's response to City of Lubbock
Request for Proposal 09 -089 -MA, Digital Orthophotography project 2010 and submitted on
Monday, September 21, 2009 ("The Proposal") and Answers to Questions for Clarification,
Proposal 09 -089 -MA, Digital Orthophotography project 2010, submitted on October 8, 2009,
which are made a part of this contract by reference. However, wherever any items specifically
stated or clarified in this contract conflict with those documents, the contract will take
precedence.
Services
The services of geodetic ground control survey, airborne GPS (AGPS) controlled digital aerial
imagery acquisition, aerial triangulation, digital elevation/terrain modeling (including LiDAR
data collection), contour generation, planimetric data collection and digital orthophoto
rectification processes will be performed as specified in The Proposal, according to the details in
the following table. The areas to be included are illustrated on the maps included in this section.

Project Initiation
Prior to any production activities, Sanborn will provide a project kick-off workshop in Lubbock
where Sanborn's Project Manager and appropriate Sanborn production staff members will meet
with appropriate City of Lubbock staff to:
• Review the functional requirements of the project contained in the bid documents against
the proposed technical plan contained in Sanborn's proposal
• Review the sources that are to be supplied by the City against the requirements and
expectations of Sanborn's proposed work plan
• Review the preliminary work plan (and the quality control processes and procedures) as
presented in Sanborn's proposal against defined delivery areas or work packages
• Review the schedule requirements by specific work tasks and the interdependencies of
the sources of information to be supplied by the City and Sanbom's production processes
and resource application
• Review the product acceptance procedures, methods and criteria that will be used by the
City to determine product conformance with product specifications
• Define the parameters of a pilot or prototype project where the proposed procedures will
be tested for their ability to meet product specifications and/or the ability of the product
specifications to meet the needs of the City
• Discuss database design and delivery formats
• Define all communication protocols and procedures that are necessary for effectively
ensuring that both parties to the contract are informed about the production departments'
progress on each project task, that the sources are effective for the purpose intended, and
the status of deliverable product review by the City
City of Lubbock Responsibilities:
As a part of this contract, the City of Lubbock will provide all necessary source data and
materials prior to start of work to allow the project to proceed on schedule. This data must be
provided to Sanborn complete and useable for the tasks outlined in the proposal. Digital sources
include:
• Project boundaries
• Tile layout for the City of Lubbock
• Ground control coordinates from the 2000 and 2005 and any supporting documentation
and/or reports
• Existing DEM, planimetric and contour data (for reference purposes)
• Current planimetric data sets as needed.
The City's point of contact is responsible for the following:
• Directing the course of communication and delivery of work products between Sanborn
and the participating agencies.
• Notifying the Sanborn Project Manager in a timely manner of any critical issues that may
impact project scope or schedule.

• Ensuring review of all deliverables is completed within the contract review period and
providing feedback that is consistent with the project specifications and within the project
scope.

Qrthoimagery for Project Area 1 will be delivered according to the 5280' x 5280' tile scheme
and naming convention provided by the City; however the grid will be quartered for files size
convenience. The naming convention for the quartered tiles will be geographically referenced:
NW, NE, SE, and SW. A tiling scheme and naming convention for Project Areas 2 and 4 will
be developed as part of the project kick-off workshop.
Planimetric Data
Sanborn will work with the City to develop a database design for the project with the definition
of all the features that are to be collected. It is understood that Sanborn cannot guarantee a 100%
capture rate for some planimetric features (see Feature Capture Rate table), but that Sanborn
attempts to capture all planimetric features and strives for 100% accurate capture of features. If
during the Pilot Project the City determines that the rate of capture will not meet the city's needs,
the city has the option to withdrawn that item from further data collection and reduce the contract
amount accordingly.

Digital Terrain Model
Creation of the DTM will include the collection of streams and rivers, water bodies, water
control structures, and other manmade features that cause changes in the natural flow of water.
LiDAR data models surfaces very well, but collection of hydrologic features as breaklines is
typically needed to ensure the LiDAR represents the accurate flow of these features to support
applications such as hydrologic modeling.
The breakline data is collected from images created from the intensity of the LiDAR returns.
Technicians work with stereo viewing equipment and photogrammetric software to review the
bare -earth LiDAR data and collect the necessary breakline features in three dimensions.
Contours can be created from the LiDAR surface and used as reference data during the
compilation process, which will ensure that a hydologically enforced surface will result.
The following feature types will be collected in this process:
(1) Waterbody

The breaklines are then merged with the LiDAR data, where a slight buffer is applied around the
breakline features to remove LiDAR points in close horizontal and vertical proximity to the
breaklines. This ensures accurate generation of contours without generating small closed
contours and anomalies. The DTM is output to the final formats as required by the City of
Lubbock. Attribution is typically output as masspoint and breakline feature types, but additional
attribution can be applied. The attribution will be finalized with the City of Lubbock based on
the end user applications and intended use of the DTM.

QA/QC Workshop and Process
Sanborn will provide a QA/QC workshop at the City's offices. The purpose of this workshop is
to provide the City with understanding of Sanborn's QA/QC process and to support the City in
defining the review process for deliverable orthoimagery and data products to be employed by
the City's staff and participating agencies. The deliverable requirements for the imagery and
data products will be reviewed, as well as standard methodologies of quality assurance and
quality control. Sanborn's vendor performing QA/QC, 3cGco, will provide an active role in the
