AMENDMENT NUMBER 1 DATED May 1, 2013 to the AGREEMENT between the City of Lubbock ("City") and Carollo Engineers, Inc. ("Engineer"), dated on December 1, 2011 ("the Agreement") concerning Southeast Water Reclamation Solids Handling Improvements Project ("the Project"). The Engineer has entered into the Agreement with the City for furnishing of professional services, and the parties now desire to amend the Agreement. Amendment No. 1 extends the Agreement an additional 30 days from the expiration date of the Agreement such that the Agreement and Amendment shall terminate at the close of business on January 31, 2014. City and Engineer have established a not to exceed budget of $99,994 for Amendment No. 1 to complete all services under Exhibit A. This amendment includes additional services to be performed by Engineer and provisions for additional compensation by the City to the Engineer, as set forth in Exhibit B hereto. All other portions of the original Agreement and previous Amendments shall remain in place and are not altered by this amendment. Vice President EXHIBIT A AMENDMENT No. 1 FOR CITY OF LUBBOCK SOUTHEAST WATER RECLAMATION PLANT SOLIDS HANDLING IMPROVEMENTS PROJECT The City of Lubbock (CITY) retained Carollo Engineers (ENGINEER) to provide professional engineering services to complete the Solids Handling Improvements Project at the Southeast Water Reclamation Plant (SEWRP). During design, additional items were identified for evaluation and design as part of this project as described in the following Scope of Work. 1.0 SCOPE OF WORK The following Scope of Work presents the tasks that will be performed by the ENGINEER. TASK 1 DELETE CENTRIFUGE PILOT TESTING Based on the City's review of the centrifuge pilot test plan information and drawings of mechanical and electrical modifications required for conducting this testing, the evaluation and selection process for centrifuge equipment was modified to eliminate the pilot testing step. The ENGINEER's tasks to witness pilot testing and provide services of a testing lab are no longer required. TASK 2 PLANT 4 SECONDARY SCUM SYSTEM MODIFICATIONS TASK 2.1 DOCUMENT REVIEW ENGINEER will review existing information, in the form of available plans and specifications. TASK 2.2 DEVELOP CONTRACT DOCUMENTS ENGINEER will develop Civil, Mechanical, Electrical and Instrumentation Drawings and Specifications for construction of piping modifications to allow pumping Plant 4 scum directly to Digesters 8 & 9. The civil drawings will be included as a change order package to the Digesters 8 & 9 Improvements construction project to be constructed as part of that project. The mechanical, electrical and instrumentation drawings will be included in the Contract Documents for the Solids Handling Improvements Project as follows: 1. Modify piping to separate Plant 4 scum pump discharge from WAS pump discharge. 2. Install new piping and valving, including motorized valves at Digesters 8 & 9 to allow direct pumping of Plant 4 scum to the two digesters. Carollo Professional Agreement Page 1 of 4 TASK 3 DESKTOP NPW SYSTEM EVALUATION TASK 3.1 SITE INSPECTION ENGINEER will make one site visit to inspect the NPW pump stations, and other NPW system components for which access is available. The ENGINEER will compare the actual field conditions to the information indicated in available drawings. The ENGINEER will also meet with plant staff to gather additional information about the system, including their observations, operating practices and possible recent physical system modifications that may not be reflected in the drawings. TASK 3.2 DOCUMENT REVIEW ENGINEER will review existing NPW system information, in the form of available plans, specifications, and/or shop drawings. Information gathered will be used in development of the static hydraulic model. TASK 3.3 HYDRAULIC MODELING ENGINEER will develop a static hydraulic model using Hydrauh)(8 , the proprietary hydraulic model developed by Carollo Engineers. The model will be developed for the following condition: maximum NPW flow to new Solids Handling Building and odor control facilities, and maximum assumed flow to facilities at the Headworks. TASK 3.4 LETTER REPORT ENGINEER will prepare a 1 to 2 page letter report summarizing the results of Tasks 3.1, 3.2 and 3.3. The letter report will discuss limitations of the NPW system, if any are found, and will suggest improvements that could be made to address limitations, and provide a planning level estimate of suggested improvements. ENGINEER has no control over the cost of labor, materials, equipment, or services furnished by others, or over Contractor's methods of determining prices, or other competitive bidding or market conditions, practices, or bidding strategies. Cost estimates are based on experience and judgment. ENGINEER cannot and does not guarantee that proposals, bids, or actual project construction costs will not vary from cost estimates prepared by the ENGINEER. TASK 4 SOLIDS HANDLING BUILDING ROOF REHABILITATION TASK 4.1 DOCUMENT REVIEW ENGINEER will review existing roofing information, in the form of available plans, specifications, and/or shop drawings. TASK 4.2 DEVELOP CONTRACT DOCUMENTS ENGINEER will develop Architectural and Plumbing Drawings and Specifications for construction of repairs to the roofing and roof drain systems to be included in the Contract Documents for the Solids Handling Improvements Project as follows: 3. Remove existing roofing material down to the top of the double tee roof. Carollo Professional Agreement Page 2 of 4 4. Install new insulation and membrane roofing material, sloping to existing drain locations. 5. Replace all roof drains and skylights. 6. Replace roof drain piping in Solids Handling Building. TASK 5 COVER REPLACEMENT AT SLUDGE HOLDING TANKS 6 & 7 TASK 5.1 DOCUMENT REVIEW ENGINEER will review existing information, in the form of available plans, specifications, and/or shop drawings. TASK 5.2 DEVELOP CONTRACT DOCUMENTS ENGINEER will develop Demolition, Structural and Mechanical Drawings and Specifications for construction of cover replacement at Sludge Holding Tanks 6 & 7 to be included in the Contract Documents for the Solids Handling Improvements Project as a "Bid Alternate" item as follows: 1. Demolish of existing floating domes. 2. Demolish existing digester gas piping, and associated appurtenances on the domes. 3. Demolish existing corbels. 4. Modify the existing tanks to accommodate new fixed covers. 5. Install new fixed cover domes. 6. Replace gas piping and appurtenances located above the new covers. ENGINEER will develop work restrictions associated with the work described above and include them in the Specifications. ENGINEER will also prepare an opinion of probable construction cost for this work. 1.1 DELIVERABLES Deliverables for this project include the following. All reproduction costs will be billed to CITY in accordance with ENGINEER's Fee Schedule. Project Deliverables will be ENGINEER -Sealed Documents as required by Texas law, Contract documents for Plant 4 secondary scum system modifications, including associated Civil, Mechanical, Electrical and Instrumentation Drawings and Specifications Letter Report for the desktop NPW System Evaluation: six (6) hard copies and one (1) electronic copy in Adobe PDF format. Contract documents for roofing rehabilitation including associated Architectural and Plumbing Drawings and Specifications. 4. Contract documents for replacement of Sludge Holding Tank 6 & 7 covers, including associated Demolition, Structural and Mechanical Drawings and Specifications Carollo Professional Agreement Page 3 of 4 2.0 TIME OF PERFORMANCE ENGINEER shall commence work immediately following authorization to proceed. After a detailed review of the project schedule, ENGINEER has determined that a 90 -day extension in contract time and project schedule would be needed to incorporate the additional work described in Tasks 2 through 5 into the project. This schedule is based on approval to proceed with the work on or before May 1st, 2013. Delivery of 90 percent contract documents for replacement of the covers at Sludge Holding Tanks 6 & 7 will lag behind the remainder of the project. These contract documents will be submitted separately for review by the CITY. However, the final completion date for these documents will match the remainder of the project. ENGINEER and CITY mutually agree that they will work toward meeting the above schedules. Should the Scope of Work be changed and/or should problems arise during the course of the work effort that could affect the above schedule, it is understood that both CITY and ENGINEER will develop a revised schedule and budget limit, if required, to address scope changes, delays by CITY, or other problems. 3.0 BUDGET CITY and ENGINEER have established a not -to -exceed budget of $99,994 to complete all services under this Exhibit A. This amount will not be exceeded without a contract amendment. CITY will pay the ENGINEER hourly, for services identified in Exhibit A, based on ENGINEER's Fee Schedule presented, as EXHIBIT C in the Professional Services Agreement between the CITY and ENGINEER dated December 1, 2011 for the Southeast Water Reclamation Plant Solids Handling Improvements Project. The budget for each Task is presented in EXHIBIT B. CITY and ENGINEER agree to allow redistribution of funds between Tasks 1 through 5, as appropriate to allow flexibility in providing the needed services within the not -to -exceed budget. ENGINEER agrees to complete these services for this amount unless the Budget is amended by CITY and ENGINEER as a result of a change to the Scope of Work or Time of Performance.
