WHEREAS, by Resolution No. 2008-80087, the City Council of the City
of Lubbock approved a tax abatement Agreement dated March 13, 2008, between
the City of Lubbock and Ozark Automotive Distributors. Inc.. and by Resolution
No. 2013-110222. dated July I 1, 2013, said Agreement was amended. Copy of
said Agreement and Amendment are attached hereto and incorporated in this
resolution as if fully set forth: and
WI 11 --.'REAS, Ozark Automotive Distributors, Inc. desires to assign the tax
abatement Agreement to O'Reilly Auto Enterprises, LLC; NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL, OF THE CITY OF LUBBOCK-.
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behall'ofthe City of Lubbock an Assignment to
transfer and assign to O'Reilly Auto Enterprises. 1.1,C, that certain tax abatement
Agreement dated March 13. 2008, as ainendcd July 11, 2013, between the City of'
Lubbock and Ozark Automotive Distributors, Inc. Said Assigru-nent is attached
hereto and incorporated in this Resolution as if' fully set forth herein and shall be
included in the minutes of the Council.

ASSIGNMENT
COUNTY OF LUBBOCK
KNOW ALL MEN BY THESE PRESENTS THAT Ozark Automotive
Distributors, Inc., ("Assignor"), has this day and does by these presents transfer and
assign to O'Reilly Auto Enterprises, LLC, that certain tax abatement Agreement between
the ary OF LUBBOCK, TEXAS and OZARK AUTOMOTIVE DISTRIBUTORS, Inc.
dated March 13, 2008, and amended July 11, 20137 a copy of which Agreement and
Amendment are attached hereto, and are incorporated herein by reficrence.
O'REILLY AUTO ENTERPRISES, LLC, hereby assumes all of the obligations
of the Assignor under the attached Agreement. This Assignment shall be effective upon
approval by the City Council of the City of Lubbock, Texas and the execution by the
Mayor thereof.
