RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock, a First Amendment to a Professional
Services Contract No. 12041 to provide professional engineering services related to the
Northwest Lubbock Drainage Improvements Project, Phase 2, by and between the City of
Lubbock and Parkhill, Smith & Cooper, Inc., and related documents. Said Contract is
attached hereto and incorporated in this resolution as if fully set forth herein and shall be
included in the minutes of the City Council.

First Amendment of Professional Services Contract
This First Amendment of Agreement for Engineering Services (the "Amendment"), is
executed and effective this 13th day of August , 2015 by and between the City of
Lubbock ("City"), a Texas home rule municipal corporation, and Parkhill, Smith and Cooper,
Inc. ("Engineer "), a Texas corporation.
WHEREAS, the City and Engineer entered into that certain Agreement for Engineering
Services, dated effective September I Ph, 2014, Resolution No. 2014-R0314 (the "Original
Agreement"), providing for engineering services related to the Northwest Lubbock Drainage
Improvements Project, Phase 2;
WHEREAS, it has come to the attention of City and Engineer that additional time is
needed to perform the services contemplated by the Original Agreement;
WHEREAS, the City amenable to extending the time to complete such services;
WHEREAS, the City and Engineer now desire to amend the Original Agreement to
provide for such additional time.
NOW, THEREFORE, for good valuable consideration, the receipt and sufficiency of
which is hereby stipulated, the City and Engineer agree as follows:
1) Article I of the Original Agreement, as amended, is deleted in its entirety, and is replaced
with the following:
ARTICLE I.
The term of this Contract commences on the Effective Date and continues without
interruption until April 30, 2016.

2) The following changes are made to Exhibit B:
1. "A. GENERAL", paragraph I is deleted and replaced with the following, to -wit:
The Engineer will be paid on.an hourly rate basis as shown on the attached Hourly
Rate Schedule. Hourly fees listed herein will apply until December 31, 2015.
Hourly fees will be adjusted thereafter on January 1 of each successive year, as
provided in Exhibit B, paragraph A.3. Subconsultant personnel services will be
billed at cost. Engineer and subconsultant reimbursable expenses will be billed at
cost plus 15 percent surcharge.
2. Under "A. GENERAL", add the following paragraph in its entirety:
8. The following expenses are reimbursable: Actual expenses directly applicable to
the project (such as vehicle mileage, postage, reproductions, equipment rentals, etc.).
3. `B. BASIC SERVICES", paragraph 2, is hereby deleted in its entirety, and
replaced with the following, to wit:
The Engineer shall start the performance of the Basic Services within ten (10)
days of the Effective Date of this contract and will complete the Basic Services by
April 30, 2016.
4. "EXHIBIT B, TABLE B-1" is deleted and replaced with the Hourly Rate
Schedule.
3) Engineer stipulates and agrees that it is not due any additional consideration for the
services to be provided under the Original Agreement, and that this Amendment solely
provides additional time to complete such services.
4) Except as expressly amended hereby, the terms and provisions of the Original
Agreement, shall remain valid and subsisting as provided therein, and the Engineer and
City hereby ratify, affinn and confirm the Original Agreement, in all respects. In the
event of a conflict between the terms of the Original Agreement and this Amendment, the
terms of this Amendment shall control and prevail.

Reimbursement for expenses, as listed below, but not limited to, Incurred in connection with the services, will beat cost plus fifteen percent for
items such as:
1. Maps, photographs, postage, telephone, reproductions, printing, equipment rental, and special supplies related to the services.
2. Consultants, soils engineers, surveyors, contractors, and other outside services.
3. Rented vehicles, local public transportation and taxis, road toll fees, travel, and subsistence.
4. Special or job specific fees, insurance, permits, and licenses applicable to the work services.
5. Mileage at IRS approved rate.
Rate for professional staff for legal proceedings or as expert witnesses will be a rate one and one-half times the Hourly Rates specified above.
Excise and gross receipts taxes, if any, will be added as an expense.
The foregoing Schedule of Charges is incorporated into the agreement for the services provided, effective January 1, 2015 through
December 31, 2015. After December 31, 2015, invoices will reflect the Schedule of Charges currently in effect.
