(referred to herein as "Parking Operator"). WHEREAS, City and Parking Operator executed an Automobile Parking Management Contract for Public Parking Facilities at Lubbock Preston Smith International Airport (the "Agreement") on the 29u' day of June, 2004, in which Parking Operator agreed to operate the public parking lot facilities and the parking shuttle system at the Lubbock Preston Smith International Airport (the "Airport"); and WHEREAS, the Airport has revised its policies on curbside parking near the terminal building, which revision has necessitated an immediate need for additional compliance monitoring and Ground Transportation Services ("GTS"); and WHEREAS, the City of Lubbock Airport Board has recommended a third amendment of the Agreement to include certain terms and conditions concerning activities related to curbside parking policy compliance monitoring and GTS under said Agreement; and WHEREAS, City and Parking Operator desire to so amend said Agreement at this time; NOW THEREFORE, City and Parking Operator hereby amend the Agreement as follows: (1) Article 3, Section D is amended to include a new paragraph to read as follows: "Parking Operator shall furnish Ground Transportation Services (`GTS") in the amount, and at the rates, and at the locations requested by the City at the Lubbock Preston Smith International Airport passenger terminal building for the life of the Agreement, using GTS personnel as requested by City, and will make reasonable, ordinary, and business -like efforts to conduct GTS service to ensure compliance with the Airport's policies by passengers and operators of motor vehicles. 1. Parking Operator shall furnish a minimum of one staff person dedicated to GTS from the hours of 7:30 a.m. — 11:00 p.m., or the last arrival of the day, whichever is later. 2. Seasonal or other operational requirement changes in GTS may be required by City, but only after written approval by Parking Operator. 3. City may reduce or increase any element or elements of the GTS service at any time on twenty-four (24) hour notice without affecting this Agreement. 4. The GTS services offered by Parking Operator under this Agreement shall be performed in a reasonable and ordinary manner by employees of Parking Operator, in conformity with the best practice and standards as are prescribed by Parking Operator and shall follow all state and local codes and laws. GTS shall be in conformity with practices which are generally current in the industry. 5. Parking Operator shall manage the GTS service in accordance with the Airport Rules, Regulations and Fees; and shall report all violations of these Rules to City." (2) Article 5, Section H is amended to include a new paragraph to read as follows: "City shall pay Parking Operator for GTS services at a rate of $12.00 per hour that said services are rendered." The parties hereto agree that all other terms, conditions, and provisions of the Agreement shall remain unchanged and in full force and effect, and that to the extent of any conflict between the underlying Agreement and this Amendment, the terms of this Amendment shall control.
