RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock, a letter agreement
extending the parking concession agreement between APCOA/Standard Parking and the
City of Lubbock, and related documents. Said Agreement is attached hereto and
incorporated in this resolution as if fully set forth herein and shall be included in the
minutes of the City Council.

Re: Automobile Parking Concession Contract dated as of April 10, 1997, as amended by a
(First) Amendment To Automobile Parking Concession Contract dated as of August 26,
1999, and a Second Amendment of Automobile Parking Concession Contract dated as of
August 2, 2000 (as so amended, the "Parking Concession Contract") by and between the
City of Lubbock, Texas ("City") and APCOA/Standard Parking, Inc., a Delaware
corporation Mda APCOA, Inc. ("Concessionaire")
Dear Mr. Earle:
When signed by the City's authorized representatives identified below, this letter shall serve as the
agreement of the City and Concessionaire as to the continuation of parking operations at Lubbock
International Airport ("Premises") after May 31, 2002.
City and Concessionaire agree that, notwithstanding expiration of the current term of the Parking
Concession Contract on May 31, 2002, Concessionaire shall continue operating the Premises after
said date on a month to month basis, but otherwise pursuant to the terms and rate structure of the
existing Parking Concession Contract, pending negotiation and execution of a management
agreement by and between the City and Concessionaire ("Management Agreement").
During said month to month extension, either party may terminate the Parking Concession
Contract upon at least 30 days prior written notice. The month to month extension is further
subject to the following conditions: (a) if the City and Concessionaire have not executed a
Management Agreement as contemplated by August 31, 2002, and if the month to month
extension has not been sooner terminated, then the month to month extension shall be deemed
terminated as of such date; and (b) if the parties do execute a Management Agreement, then said
Management Agreement shall commence retroactively to June 1, 2002, and the final statements
due under the Parking Concession Contract, and the initial statements due under the Management
Agreement, shall be adjusted accordingly.
