RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock, a Contract between the City
of Lubbock and Schrader and Cline, LLC, to assist with the creation of a Tax Increment
Financing (TIF) District for the North Overton Area in the City of Lubbock, and all
related documents. Said Contract is attached hereto and incorporated in this resolution as
if fully set forth herein and shall be included in the minutes of the City Council.

Thanks very for the privilege of providing the services of Schrader & Cline, LLC as
independent contractor and consultant. We appreciate the opportunity to be considered as
part of your team in responding to a petition for the creation of a Tax Increment Financing
(TIF) District for the North Overton Area in the City of Lubbock.
Services:
I understand that during this engagement we will:
1. Be responsible to you, perform under your direction, and receive assignments from
you (or your designated representative);
2. Assist you with advice and counsel;
3. Provide our services, as outlined in Attachments A and B, coordinate work of all
involved in creating the District (including the activities of any other consultants
retained by you) and perform as your agent, when authorized, with all taxing
jurisdictions for the creation of the North Overton Area TIF District in the City of
Lubbock.
4. Assist and cooperate with the City Attorney, Finance Director, Planning Director,
Public Works Director, Financial Advisor, other members of City staff and the
Petitioner; and
5. Perform this work with the objective of creating _the District in February 2002 and
completing the remaining required tasks within three (3) months following the
creation. Achieving that target, however, will depend upon all members of the
team being actively involved in the task and performing in a timely manner.

I understand that this engagement is for the services of our firm and will include both George
R. Schrader and myself, commenced on November 8, 2001, and will continue until completion
of creation requirements for the North Overton Area TIF District or cancellation by either
party with fifteen (15) days written notice. Should the engagement agreement be terminated
for abandonment of the project or for any other reason, Schrader & Cline, LLC shall be
compensated for work performed at rates provided for in this agreement.
I also understand that you may retain other consultants, as necessary (financial analyst,
financial advisor, legal counsel, etc.) and we will coordinate their work. We will serve as
your agent, when authorized, with all taxing jurisdictions that become involved. We also
anticipate having the support and assistance of your staff to the extent they can be made
available.
Compensation:
For the services of both George and myself, the City of Lubbock will pay us on an hourly
basis at the rate of $200/hour for George R. Schrader, $175/hour for Larry D. Cline and
$30/hour for our administrative assistant. It is estimated that costs per task will be as follows:

Agreements with Other Jurisdictions
TOTAL $ 34,500
Schrader & Cline, LLC, agrees to a Not -To -Exceed Fee of $ 38,000 for Services and $ 5,000
for Reimbursements for carrying out this project and performing these tasks. Any additions
or reductions to the program and tasks enumerated will result in the adjustment of the estimate
of costs and Not -to -Exceed Fee. We will maintain accurate and complete records of time
spent on this project and will compare our costs with the above estimate at the end of the
work. If total billings are less than the Estimated Fee, Schrader & Cline will be paid an
Effectiveness Fee of one-half (1/2) of the difference between the Estimated Fee and the
Actual Fee.
Reimbursements:
In addition to the hourly fee, the City of Lubbock will also reimburse:
• Reasonable incidental out-of-pocket expenses: courier fees, long-distance telephone
calls, parking fees, substantial copying, etc.);

• Travel Costs
• Other expenses must be approved by the designated representative prior to their being
incurred.
Invoicing:
• Invoices will be submitted on the first of the month for activity in the previous month,
with payment to be made by the fifteenth (15th). Invoices not paid within thirty (30)
days will accrue interest at the rate of 1 % per month.
• If any delinquency continues and the City of Lubbock does not arrange satisfactory
payment terms, Schrader & Cline, LLC has the right to withdraw from this
representation and pursue collection of your account.
Other Services:
• Should there be a need for the services of Schrader & Cline, LLC after completion of
the TIF District, in the negotiation of developer/property owner agreements, or in
compliance of the District in the conduct and reporting of its activities, arrangements
for these services will be made by amendment to this agreement.
If these terms are in need of further discussion or clarification, please telephone me at 972-
661-1973. Otherwise, please acknowledge your acceptance in the space provided and return a
copy to me with an initial Engagement Fee of $ 4,000 to be applied to the final invoice.
Insurance:
A. General. Consultant shall procure and carry, at its sole cost and expense through
the life of this Agreement insurance protection hereinafter specified, in form and
substance satisfactory to the City. City must approve all policies prior to the
commencement of any activities whether performed by the Consultant, sub
consultant, agents, or third parties. The insurance carrier must be an insurance
company authorized to transact business in the State of Texas and have a Best's
Financial rating of ANII. A Certificate of Insurance specifying each and all
coverage shall be submitted to City prior to the execution of this Agreement. All
insurance shall be prepared and executed by the insurance company or its
authorized agents and shall contain an endorsement naming the City of Lubbock
an additional insured. Written notice of cancellation or any material change will
be provided thirty (30) days in advance of cancellation or change. All insurance
shall provide a waiver of subrogation in favor of the City of Lubbock, and shall
contain cross liability and Severability clauses.

B. Required Coverage. Consultant shall obtain and maintain policies of insurance
throughout the Agreement term in limits specified below.
1) Commercial Automobile Liability. The Consultant shall maintain
Commercial Automobile Liability coverage with a minimum of Three
Hundred Thousand and no/100 Dollars ($300,000) combined single for
Bodily Injury and Property Damage and shall include and auto or in the
alternative, non -owned autos and hired autos.
2) General Liability Insurance. The Consultant shall maintain General
Liability Insurance coverage with a minimum of Five Hundred
Thousand and no/100 Dollars ($500,000) combined single limit in the
aggregate and per Occurrence.

Scope of Services
Attachment "A "
Schrader & Cline, LLC ("Consultants")
shall perform the following services for the City of Lubbock ("Client"):
1. ASSISUREVIEW PETITION PROCESS:
• Consultant shall assist Client with the TIF petition process.
• Meet with City staff to review submitted petition and analyze for compliance with State Statute.
• Attend presentation of petition requesting TIF District to Lubbock City Council.
The time scheduled for these services is approximately two (2) weeks
2. DEVELOPMENT OF THE TIF DISTRICT PROGRAM:
• Consultant shall assist and provide to Client, Consultant's full range of services for the development of a
Tax Increment Financing (TIF) District Program for the North Overton Area in the City of Lubbock,
Texas.
Consultant shall assist the Client with:
o Data collection; and
o Determination of
■ Boundaries of the District
■ A project list of infrastructure improvements
■ A pro -forma land use plan (Review)
■ A program of new and accelerated private development (Review)
Consultant shall also:
o Develop a Feasibility Analysis, Project Plan, and Financing Plan;
o Assist with completion of a boundary description of the TIF District;
o Prepare draft documents for review by City staff establishing the TIF District; and
o Provide such other services as would be reasonably appropriate in connection with developing
the TIF program.
• As requested and directed by Client, Consultant shall coordinate and cooperate with such other
Consultants as designated by Client.
• Attend meetings and assist in negotiations, as required, with the appropriate state, county and municipal
authorities to insure conformance and approval of the Tax Increment Financing District Program as
interpreted and imposed upon the Project by such governmental authorities.
• Prepare and submit all necessary documentation as required.
• Consultant shall obtain the approval of Client for all commitments to be made on behalf of Client
The time scheduled for these services is approximately four (4)) weeks.
3. CREATION OF THE TIF DISTRICT PROGRAM:
• Consultant shall provide advice and assist in having the appropriate governing authorities notified with
the Notice of Intent to set up the TIF District.
• Brief, assist and make formal presentations to the public and appropriate government officials on how the
Project will provide substantially more tax revenue and little, if any, burden on the other affected
jurisdictions.
o These jurisdictions are expected to be the City, County, Hospital District, and Water
Conservation District.
• Consultant shall assist in preparation of necessary presentations for public hearings for the TIF District.
• Consultant shall attend presentations at public hearings for the TIF District.
• Consultant shall assist and prepare necessary draft documents for the enactment of applicable ordinances
and the establishment of the Board of Directors for the TIF Fund and the District.
The time scheduled for these services is approximately twelve (12) weeks.
4. ESTABLISHMENT OF THE TIF DISTRICT ORGANIZATION AND FINAL PLAN:
• Consultant shall assist and consult with the City, State Senator, State Representative, and other taxing
jurisdictions on the appointment of the TIF Board of Directors.
• Consultant shall arrange for all documentation necessary for the bylaws, final project, and financing plans
of the TIF District.
• Consultant shall assist in the organization of the first Board of Directors meeting.
• Consultant shall attend meetings and assist in negotiations, as required, for review of the final TIF Project
Plan and Financing Plan for the TIF District.
• Consultant shall assist Client in obtaining final approval of the Project Plan and Financing Plan by all
appropriate governmental authorities.
The time scheduled for these services is approximately six (6) weeks.
5. ESTABLISH JURISDICTIONAL AGREEMENTS:
• Consultant shall assist Client in obtaining the approval of agreements with all participating jurisdictions
for the TIF District.
• File all necessary documents with all appropriate governmental authorities.
