Said Agreement is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the Council. Parties 0202PER000 (TWC Contract Number) This contract is entered into between the Texas Workforce Commission, 101 E. 15`h. St., Austin, Texas 78778, hereafter referred to as the "Commission," and the City of Lubbock, Texas, 1625 13' Street, Lubbock, Texas 79457, a political subdivision of the State of Texas, hereafter referred to as the "Recipient." H. Legal Authority and Purpose: The Texas Workforce Commission is authorized, subject to certain limitations, pursuant to the Interlocal Cooperation Act (Texas Government Code, Chapter 791), to enter into agreements with public or private agencies for the provision of services and to accept funds received from public or private agencies for such purposes. The purpose of this contract is to provide current Unemployment Insurance benefit (UIB), Employment Service (ES), or Unemployment Insurance Wage Record (WR) information to the Recipient to assist them in locating fugitives and for monitoring the employment and income of probationers under the jurisdiction of City of Lubbock. III. The Recipient hereby agrees to: A. Submit to the Commission, based on their need, lists of Social Security Numbers (SSN) to be matched against the Commission's unemployment insurance, employment service or wage record databases. B. Submit each request in a format, and to locations, specified by the Commission. C. Pay the Commission a fee of either: • $25.00 per 150 SSNs submitted on diskette or by e-mail attachment, for matches against the WR database only, or • $5.00 for the first SSN and $1.00 for each additional SSN submitted in hard copy by mail or by fax, for matches against any or all of the aforementioned databases. D. Pay each invoice separately, or combine all invoices received in a calendar month and pay the combined amount due on or before the 15'h day of the succeeding month. Combined payments must include a copy of the invoice or a reference to the Information Request Number on each invoice included in the payment. All invoices should be paid by Recipient within 45 days of receipt. E. That UIB and WR obtained from TWC will be used solely for the purposes and in the manner stated in II. above. Page 2 E. Data obtained hereunder will not be re-released or otherwise made accessible to any other party, except as specifically required in order to discharge the official duties described herein. G. To maintain sufficient safeguards over all data obtained from TWC to prevent unauthorized access to or redisclosure of any information provided hereunder. IV. The Commission hereby agrees to: A. Provide current UIB, and/or WR, data on each match, usually mailed within one business day of receipt of the list of SSNs. Wages provided will, to the extent wages were reported, consist of the six to seven most recent completed calendar quarters. WR output for electronically submitted datasets will be hard copy reports, printed duplex. SSN's will be sorted in ascending numerical order B. Provide the Recipient an invoice for data exchange services provided at the time the data is provided to the Recipient. V. The Commission and the Recipient Both Agree to the following General Provisions A. The Recipient will submit a list of Social Security Numbers (SSNs) in electronic format, either on 3 1/2" diskette or via e-mail, as an ASCII text file containing only SSNs, as shown on the attached exhibit A, in order to receive the lower volume rate. B. The Commission retains the right to unilaterally revise rates for services provided upon 30 calendar day. advance written notice to the Recipient. C. This contract shall be governed by the laws of the State of Texas. D. This contract may be modified at any time. Any changes, deletions, extensions, or amendments to this contract shall be in writing and signed by both parties, except for revisions to payment rates as described in Section V.B. E. The parties to this agreement shall pay for the performance of this contract from current revenues avaiable to each respective party. F. This contract is the entire agreement between the parties. Any other attempted changes, including oral modifications, written notices that have not been signed by both parties, or other modifications of any type, shall be invalid. F. If any part of this contract shall be held unenforceable, the rest of the contract will nevertheless remain in full force and effect. C:\WINDOWS\TEMP\TWC-Contract.doc Page 3 r .. G. Failure to enforce any provision of the contract does not constitute a waiver of that provision, or any other provision, of the contract. VI. Contract Period This agreement will continue in effect until 8/31/03, unless earlier suspended or terminated by either party. Either party may suspend or terminate this agreement at any time, as it deems necessary, upon written notice to the other party; however, termination will not relieve Requestor of the obligation to pay for all services rendered prior to such termination, at the rates specified above. VII. Signatures: The terms of this contract are accepted by the parties to the contract. Persons signing are expressly authorized to obligate the parties to the terms of this contract. The undersigned parties bind themselves to the faithful performance of this contract.
