Said contract is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. William de Haas Contract Manager/Attorney Ccdocs/ Frankford Avenue Widening Project, Engineering Services by HRA.Res September 13, 2001 Resolution No. 2001-80344 September 13, 2001 Item No. 41 FRANKFORD AVENUE WIDENING PROJECT from 82"a STREET to 98'" STREET, and RECONSTRUCTION of CHICAGO AVENUE EAST of HOEL PARK CONTRACT FOR ENGINEERING SERVICES THE STATE OF TEXAS § THE COUNTY OF LUBBOCK § THIS CONTRACT is made by and between the City of Lubbock, Texas, hereinafter called the OWNER, and Hugo Reed and Associates, Inc., hereinafter called HRA. NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the OWNER and NRA do mutually agree as follows. AGREEMENT ARTICLE 1. CONTRACT PERIOD This contract becomes effective when fully executed by both parties. The effective date of this contract shall be September 13, 2001. The Project Contract Period shall be six (6) months, beginning on the date that HRA receives written Notice to Proceed from the OWNER. HRA will not begin work or incur costs until so authorized in writing by the OWNER. ARTICLE 2. SCOPE OF SERVICES HRA will provide the professional services described in Attachment A, "Project Scope and Services." The OWNER will furnish services described in Attachment B, "Services to be provided by OWNER." ARTICLE 3. COMPENSATION The maximum amount payable under this contract for Basic Services, Basic Supplemental Services, and Basic Reimbursables shall not exceed $286,749.00, and if the Additional Basic Services, Additional Supplemental Services, and Additional Basic Reimbursables are authorized as outlined herein the maximum total amount payable under this contract shall not exceed $342,603.00, unless an amendment is executed as provided hereinafter. Payment is authorized for costs incurred in accordance with the fee schedule attached hereto and labeled Attachment C, 'Basis for Payment." HRA is authorized to submit periodic requests for payment within thirty days after costs are incurred as authorized herein. The request for payment shall be made using forms acceptable to the OWNER and shall show the total amount earned to the date of submission and the amount due and payable as of the date of the current billing. All requests for payment will be mailed to the address shown on the signature page of this contract. ARTICLE 4. WORK AUTHORIZATION The OWNER will authorize the work as described in Attachment A to be performed by HRA by the execution of this contract. The total cost authorized shall not exceed the maximum amount payable established in Article 3, "Compensation," nor shall completion dates extend beyond the end of the contract period established in Article 1, "Contract Period", unless either is authorized by amendment as provided hereinafter. Engineering Services, Hugo Reed & Associates, Inc. & City of Lubbock Page 1 ARTICLE 5. PROGRESS Upon acceptance of a work authorization, HRA shall undertake and complete the authorized work. The OWNER or HRA can request conferences to be provided at HRA's office, the office of the OWNER, or at other agreed upon locations. ARTICLE 6. INSPECTION OF WORK The OWNER and any of their authorized representatives have the right at all reasonable times to inspect or otherwise evaluate the work performed or being performed hereunder and the premises in which it is being performed. If any inspection or evaluation is made on the premises of HRA, HRA shall provide all reasonable facilities and assistance for the convenience of the inspectors in the performance of their duties. All inspections and evaluations shall be performed in such a manner as will not unduly delay the work. ARTICLE 7. AMENDMENTS If it becomes necessary at any time during the contract period to change the scope of work, the contract period, the maximum amount payable, the complexity, or the character of this contract, an amendment must be prepared and executed within the contract period established in Article I above. The OWNER retains the right to reject any such amendment proposed by HRA unless the OWNER finds the proposed amendment necessary to complete the work authorized herein. Any such amendment will be made in writing agreed to by all parties hereto and duly executed before the end of the contract period specified in Article 1 above. Tasking, manhours, and reimbursable amounts for Additional Services for Chicago Avenue have been included in Exhibit A-2. These amounts will govern the work and compensation therefore as specified in the said Exhibit should the OWNER authorize the work as an amendment to this contract. ARTICLE 8. SUSPENSION OF WORK Should the OWNER desire to suspend the work but not terminate the contract, the OWNER will issue a written order to stop work setting out the terms of the suspension. HRA will stop all work and cease to incur costs during the term of the suspension. HRA will resume work when notified to do so in writing by the OWNER. Suspension of work does not extend the contract period. If additional time is required to complete the work because of the suspension, a contract amendment will be executed in accordance with Article 7, "Amendments." ARTICLE 9. REPORTING HRA shall promptly advise the OWNER in writing of events which have a significant impact upon the contract, including: Problems, delays, or adverse conditions which will materially affect the ability to meet time schedules and goals, or preclude the attainment of project work units by established time periods. A statement of the action taken or contemplated shall accompany this disclosure. 2. Favorable developments or events which enable meeting time schedules and goals sooner than anticipated or producing more work units than originally projected. ARTICLE 10. RECORDS HRA agrees to maintain all books, documents, papers, accounting records, and other evidence pertaining to costs incurred and work performed hereunder and shall make such materials available at its office during the Engineering Services, Hugo Reed & Associates, Inc. & City of Lubbock Page 2 contract period and for seven years from the date of final payment under the contract for inspection by the OWNER or any of their duly authorized representatives for the purpose of making audits, examinations, excerpts, and transcriptions. ARTICLE l l . OWNERSHIP OF DOCUMENTS Upon completion or termination of this contract, all documents prepared by HRA or furnished to HRA by the OWNER shall be delivered to and become the property of the OWNER. All sketches, photographs, calculations, and other data prepared under this contract shall be made available, upon request, to the OWNER without restriction or limitation on their further use, however, re -use of any documents by OWNER or others for any purpose other than originally intended and specific to this Project shall be at the sole risk of the user, and HRA shall bear no liability for such re -use. HRA may, at its own expense, have copies made of the documents or any other data furnished the OWNER under this contract. ARTICLE 12. HRA RESOURCES HRA warrants that the firm presently has adequate qualified personnel in its employment for performance of services required under this contract, or will be able to obtain such personnel from sources other than the OWNER. Unless otherwise specified, HRA shall furnish all equipment, materials, and supplies required to perform the work authorized herein. All employees of HRA or of any subcontractor shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of HRA or any subcontractor who, in the opinion of the OWNER, is incompetent, or whose conduct becomes detrimental to the work, shall immediately be removed from association with the project. ARTICLE 13. SUBCONTRACTS HRA shall not subcontract or otherwise transfer any portion of the work authorized in this contract unless specifically authorized in writing by the OWNER. HRA will require any subcontractors to comply with the applicable terms of this contract. ARTICLE 14. SUCCESSORS AND ASSIGNS The OWNER and HRA each bind itself, its successors, executors, administrators and assigns of such other party in respect to all covenants of this agreement. HRA shall not assign, subcontract, or transfer its interest in this agreement without the written consent of the OWNER. ARTICLE 15. CERTIFICATE OF INSURANCE HRA shall provide the OWNER with evidence that it has insurance coverage in accordance with a current "Certificate of Insurance,' which will indicate all insurance currently being maintained in full force and effect by HRA. The insurance and limits will be reviewed by the OWNER'S Risk Management Coordinator. HRA will not commence work until the OWNER has reviewed and approved the insurance coverage. ARTICLE 16. DISPUTES HRA shall be responsible for the settlement of all contractual and administrative issues arising out of procurement made by HRA in support of the work authorized herein. ARTICLE 17. REMEDIES Violation or breach of contract terms by HRA shall be grounds for termination of the contract, and any increased cost to the OWNER arising from HRA's default, breach of contract, or violation of terms shall be paid by HRA. This agreement shall not be considered as specifying the exclusive remedy for any default, but all remedies existing at law and in equity may be availed of by either party and shall be cumulative. TERMINATION This contract may be terminated before the completion date established in Article 1, "Contract Period," by any of the following conditions: A. By mutual consent and agreement of both parties hereto. B. By the OWNER, with notice in writing to HRA as consequence of failure by HRA to perform the services herein set forth in a satisfactory manner and within the limits provided, with proper allowances being made for circumstances beyond the control of HRA. C. By either party, upon the failure of the other party to fulfill its obligations as set forth in the Scope of Services attached hereto and labeled Attachment A and Attachment B, giving written notice one to the other establishing the effective date of termination. D. By the OWNER, for reasons of it's own and not subject to the mutual consent of HRA, upon not less than thirty days written notice to HRA. E. By satisfactory completion of all services and obligations described herein. Should the OWNER terminate this contract as herein provided, costs other than costs due and payable at the time of termination shall thereafter be paid to HRA. In determining the value of the work performed by HRA prior to termination, the OWNER shall be the sole judge. Payment for work at termination will be based on work completed at that time, including partially completed surveys, subject to the conditions established in the paragraph following. In the case of partially complete projects, eligible costs will be calculated on the number of hours documented to the satisfaction of the OWNER multiplied by the hourly rate for the appropriate personnel plus any additional cost authorized in Attachment C, "Basis for Payment," incurred to the date of termination remaining unpaid. If HRA defaults in performance of this contract or if the OWNER terminates the contract for fault on the part of HRA, the OWNER will give consideration to the actual work performed to the date of default, the cost to the OWNER of employing another firm to complete the required work, and the time required to do so, and other factors which affect the value to the OWNER of the work performed at the time of default. If the termination of this contract is due to the failure of HRA to fulfill its obligations, the OWNER may take over the project and prosecute the work to completion by contract or otherwise. In such case, HRA shall be liable to the OWNER for any additional cost occasioned the OWNER thereby. ARTICLE 19. COMPLIANCE WITH LAWS HRA shall comply with all Federal, State, and local laws, statutes, ordinances, rules and regulations, and the orders and decrees of any courts, or administrative bodies or tribunals in any matter affecting the performance of this contract, including, without limitation, workers' compensation laws, minimum and maximum salary and wage statutes and regulations, and licensing laws and regulations. When required, HRA shall furnish the OWNER with satisfactory proof of compliance therewith. ARTICLE 20. INDEMNIFICATION HRA shall save harmless the OWNER from all claims and liability due to activities of HRA, its agents, or employees, performed under this contract and which result from an error, omission, or negligent act of HRA or of any agent or person employed by HRA. Engineering Services, Hugo Reed & Associates, Inc. & City of Lubbock Page 4 HRA shall also save harmless the OWNER from any and all expenses, including attorney fees which might be incurred by the OWNER in litigation or otherwise resisting said claim or liabilities which might be imposed on the OWNER as the result of such activities by HRA, its agents, or employees. ARTICLE 21. SIGNATORY WARRANTY The undersigned signatory for Hugo Reed and Associates, Inc. hereby represents and warrants that he is an officer of the organization for which he has executed this contract and that he has full and complete authority to enter into this contract on behalf of his firm. The undersigned signatory for the OWNER hereby represents and warrants that he/she has full and complete authority to enter into this contract on behalf of this organization. Engineering Services, Hugo Reed & Associates, Inc. & City of Lubbock Page 5 ATTACHMENT A to AGREEMENT for ENGINEERING SERVICES, PROJECT SCOPE and SERVICES OWNER: City of Lubbock, Texas PROJECT: Engineering Services for Design and Bid: Frankford Avenue Widening Project from 82'd Street to 981h Street, and Reconstruction of Chicago Avenue East of Hoe] Park The scope of services for this project is as follows: BASIC SERVICES A. DESIGN SERVICES 1. The Basic Design Services are outlined in Exhibit A-1, Worksheet B- 1, according to the tasking and man-hours indicated therein. 2. For Frankford Avenue, the design deliverables will include one design package of plans, specifications, and estimates. 3. For Chicago Avenue, HRA will provide results of a drainage analysis to assist the OWNER in determining the desirability of proceeding with a design package for the reconstruction of a portion of Chicago Avenue east of Hoe] Park. 4. The design package deliverables will consist of one set of reproducible mylar original plans, one hard -copy set of the noted specification sections, a bid form, and a final opinion of probable cost. 5. HRA will provide one hard -copy and one electronic copy of all pertinent design data including plans, specifications, opinion of probable cost, and supporting data, computer models, and other calculations and information utilized in the development of the design package. B. SUPPLEMENTAL SERVICES 1. HRA will provide all surveying services as outlined in Exhibit A-1, Worksheet S- 1, for the purposes of establishing the necessary control and acquiring the necessary field data for the performance of the Basic Design Services. 2. HRA will provide one hard -copy of all survey notes and records, and one electronic copy of all survey data so formatted. II. ADDITIONAL BASIC SERVICES A. ADDITIONAL DESIGN SERVICES I . Should the OWNER, upon reviewing the drainage analysis for Chicago Avenue provided as part of the Basic Design Services, and in consultation with HRA determine it is in the OWNER'S interest to proceed with a design package for said work, the OWNER may authorize same as Additional Services, according to the tasking and man-hours indicated in Exhibit A-2, Worksheet AB -1. 2. If authorized and agreed upon, all deliverables for the Additional Services will be in like -kind and number as per those for the Basic Design Services. B. ADDITIONAL SUPPLEMENTAL SERVICES HRA will provide all surveying services as outlined in Exhibit A-2, Worksheet AS -1, and in like -kind as those performed for Basic Supplemental Services. Engineering Services, Hugo Reed & Associates, Inc. & City of Lubbock Page 7 ATTACHMENT B to AGREEMENT for ENGINEERING SERVICES, SERVICES TO BE PROVIDED BY OWNER OWNER: City of Lubbock, Texas PROJECT: Engineering Services for Design and Bid: Frankford Avenue Widening Project from 82"d Street to 981h Street, and Reconstruction of Chicago Avenue East of Hoe] Park The OWNER will provide any and all information available to OWNER, upon request, which may be pertinent to HRA's prosecution of the work. OWNER shall promptly notify HRA whenever OWNER becomes aware of any occurrence having a material impact on the project. The OWNER shall provide adequate personnel to review submittals and coordinate location and time for meetings as necessary for the prosecution of the work. OWNER shall appoint a Project Manager who will be the primary point of contact for HRA during prosecution of HRA's work on the project, and who shall have authority to make material decisions within his/her delegated authority. OWNER shall provide timely reviews of submittals and timely responses to HRA's Requests for Information so as not to unnecessarily hinder the progress of the work. OWNER shall acquire permission for access to any public or private properties necessary for HRA's prosecution of the work. Engineering Services, Hugo Reed & Associates, Inc. & City of Lubbock Page 8 ATTACHMENT C to AGREEMENT FOR ENGINEERING SERVICES BASIS for PAYMENT OWNER: City of Lubbock, Texas PROJECT: Engineering Services for Design and Bid: Frankford Avenue Widening Project from 82°d Street to 98`h Street, and Reconstruction of Chicago Avenue East of Hoe] Park For Services rendered under this Contract, OWNER agrees to pay HRA as follows: A. GENERAL HRA will be paid according to the personnel classifications and hourly rate schedules shown in Table C-1, based on actual services performed on the project by classification and hours. Services performed by the subcontractor will be billed at cost. Reimbursable expenses will be paid at cost plus 15% for both HRA and the subcontractor. Monthly payments will be made to HRA based on the uncontested amount of each monthly statement prepared and submitted by HRA. Each monthly statement will be itemized to show the amount of work actually performed by each personnel classification and with associated reimbursable expenses for both HRA and the subcontractor. Statements will be submitted in a format acceptable to OWNER. Anticipated delivery date of the project is on or about March 1, 2002, based on having an executed contract and Notice to Proceed no later than October 1, 2001. Should the Notice to Proceed on the Project not be received by the anticipated date, OWNER agrees that it will be necessary to reconsider the anticipated delivery date and, if necessary, to modify same by amendment to this contract if so agreed upon by both the OWNER and HRA. Anderson, R.P.L.S., 1938-2000 Re: Frankford Avenue from 82nd Street to 98th Street and Chicago Avenue east of Hoel Park Status Report Via: Hand Delivery Dear Larry: I wanted to report some items relative to our progress on the Frankford Avenue project, both positive and negative. On the positive side, and as you know, we are currently performing topographic surveying tasks around Hoel Park and Chicago Avenue. This work is in preparation for studying the feasibility of reconfiguring portions of Chicago Avenue, and possibly the Park itself, to re -direct overflow flood water more "evenly' among the three streets (91ST, 92nd, and 93`d Street) east of the Park. We have substantially completed the design surveying tasks for the Frankford Avenue corridor. After analyzing all the data obtained, we will probably have to re -visit some areas to obtain more spot -by -spot detailed information for final plan development. Survey crews have also obtained topo data along 90th and 91St Streets east of Frankford to Lake 92 at Hoel Park, including garage lip elevations and street cross- sections. We will utilize this information when examining the effects of the storm flows routed off Frankford down these streets. We have completed establishing the needed horizontal and vertical control for the Frankford Avenue corridor, and are currently developing the plan/profile sheets. Our CADD people have incorporated much of the existing surface improvements into the drawings, as well as a "first take" on the proposed new concrete curbs and gutters, sidewalks, ramps, fillets, valley gutters, channels and alley returns all along the west side of the roadway. We have received feedback from all of the utilities companies who were asked to provide mark-ups, and have incorporated their information into the plan/profile sheets. Currently, we are working through some issues having to do with selecting the vertical scale for the profile sheets (either 1"= 2' or 1"=1'), and determining what information will be shown in the profile views due to the close proximity of the proposed curb line to the existing curb line. We are doing some trials to determine the best scale. We are also performing some storm flow "demonstration modeling" in adlCPR. We are "reconstructing" a significant part of the corridor within the hydraulics portion of the adICPR software, utilizing the design storm flows generated for the drainage reports performed for the developments along the west frontage of Frankford Avenue. We want to see how the software behaves with respect to calculating the predicted flow splits along Frankford as the flow moves south and encounters the available "outlets" in the existing streets and channels to the east. The results are being compared to the previous work performed in HEC -2, where the numbers are based to a higher degree on "engineering judgment" with respect to the proportional flow splits. Thus far, the results in adlCPR have been apparently favorable in all regards, so at Mr. Larry D. Hertel, P.E. February 14, 2002 Page 2 this point we anticipate doing the "final" storm flow hydraulic modeling within that software. If we end up doing any storm sewer modeling as part of the Frankford work, this software will more readily facilitate that. We have been examining the possibility of increasing the capacity of the existing concrete drainage channel on the east side of Frankford at 89th Street and constructing a new channel at 87th Place in order to provide more "off -channel relief' of the storm flows within Frankford. It appears there is an existing drainage easement at 87th Place although no drainage channel was constructed. If the grades in Frankford and in the cul-de-sac on 87th Place will physically allow it, it may prove desirable to construct a channel there. Not only would this provide better dispersal of the storm flows at more locations, but it would help reduce the flows realized at the proposed sheet cross-flow locations at 90th and 91St Streets. We have done some recon and taken photos of the cul-de-sacs at these channel locations and are utilizing improvement surveys from our files to begin to look at the work that would be necessary to expand these channels. However, we want to see what our "baseline conditions" along Frankford and to the east will be with the channels as -is before we pursue that much further. It may prove not to be needed or worthy of further consideration for other reasons. We have also begun preparation of some of the detail sheets, the SWPPP and other plan sheets, but are not very far along on those tasks. We will need to obtain whatever plans may be available for the concrete - paved intersection at 82`d Street to determine the best way to reconstruct the existing curb and gutter at the southwest side of the intersection to obtain the desired additional two feet of width without a major re -do of the concrete pavement. We have done some research on the existing rights-of-way to determine where there may be a need to acquire additional right-of-way for the project. Thus far it appears that, with respect to the roadway itself, there may only be the need to acquire the southbound right turn lane right-of-way north of 98th Street. We will need to coordinate that with you and/or Ed Bucy, but are proceeding to schedule the necessary parcel surveying for that acquisition. At this time, it is necessary that I inform you that we are behind schedule on the project. This is due primarily to my failure as the Project Manager to assure that the necessary tasks have been completed in a manner that would have maintained our time line. We certainly have been making efforts to get "caught up", but I do not believe it is possible that we will be able to deliver 100% documents ready for the bid process by the middle of March. We are making good progress at this time, but have much work left to do to assure that we will deliver the quality product that we have been contracted to prepare, and which is in the City's best interests to receive. Therefore, I am requesting an extension of two months, with a final delivery in late -May. I apologize for the inevitable inconvenience and other consequences that this request will generate, however, it is our responsibility under the contract to inform you of this problem and we propose the extension as the best available solution at this time. In the meantime, we have every possible resource available working together to get the project nearer to completion. As you and your staff are aware, the region around the project corridor has been a "visible" one over the last few years from the standpoint of drainage issues that are still being studied, discussed, and planned for within the context of many different ownership and development interests, as well as by the City through the Frankford Avenue and South Lubbock Drainage projects. Among these are the playa basin divide between Lakes 092 and 093, the Lake 092 overflow routing, the potential for future flooding problems near the intersection of 98th Street and Frankford Avenue, the drainage of large areas west of Frankford Avenue both north and south of 98th Street, the constructability of 98th Street west of Frankford Avenue, the potential use of storm sewers in Frankford Avenue and 98th Street to alleviate some of these problems, and the storm sewer proposed for the South Lubbock Drainage Project within 98th Street. These issues are inherently inter- related, requiring coordination of planning and engineering analysis in order to arrive at solutions that will represent the best possible outcomes for the City of Lubbock. Also as you know, some elements of these studies are just now reaching a point where cooperative efforts may begin to lend more certain direction toward realizing the necessary results. We believe the additional time granted for this contract will be invaluable for our ability to make certain the overall drainage planning for this region and for this project are coordinated in the manner necessary. NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the OWNER and HRA do mutually agree as follows. ARTICLE 1. CONTRACT PERIOD The effective date of the original contract was September 13, 2001. The Original Project Contract Period was agreed to be six (6) months, beginning on the date that HRA received written Notice to Proceed from the OWNER. It was mutually agreed by both OWNER and HRA that the best interests of the Project were served by granting an extension of the contract period to May 31, 2002. That extension was granted by AMENDMENT NO. 1 to the original contract. This AMENDMENT NO. 3 will extend the Contract Period to include Construction Phase Services as generally outlined herein. Unless subsequent Amendments to this Contract are executed, the Contract Period will extend to the conclusion of the Construction Phase at the formal City of Lubbock acceptance of the improvements constructed under the construction contract. ARTICLE 2. SCOPE OF SERVICES This AMENDMENT NO. 3 is being made at the request of the OWNER for the purpose of amending the Original Scope of Services to include those general professional services detailed in Attachment A hereto, "Additional Project Scope and Services." NO WORK WILL BE PERFORMED UNDER THIS AMENDMENT WITHOUT THE EXPRESS DIRECTION OF THE CITY ENGINEER OR HIS DULY AUTHORIZED REPRESENTATIVES. ARTICLE 3. COMPENSATION The general tasking proposed to perform the additional services authorized by this Amendment is described in Attachment A. The "Basis for Payment" for services performed under this Amendment is indicated in Attachment B hereto. This Amendment No. 3 will result in an estimated net increase of $ 23,461.00 to the maximum amount payable under this contract. The actual increase will depend on the services actually requested and authorized to be performed by the City Engineer or his authorized representatives. HRA will provide prompt oral and written notice to the OWNER in the event that the aggregate amounts payable for services rendered under this Amendment approach the estimated net increase in the maximum amount payable under this contract indicated above. OTHER No other changes to the original contract are requested or granted as a result of this Amendment. All other provisions of the original contract will remain in full force and effect. This Amendment shall become a part of and be incorporated into the original contract upon its full execution by both OWNER and HRA. ARTICLE 5. SIGNATORY WARRANTY The undersigned signatory for Hugo Reed and Associates, Inc. hereby represents and warrants that he is an officer of the organization for which he has executed this contract and that he has full and complete authority to enter into this contract on behalf of his firm. The undersigned signatory for the OWNER hereby represents and warrants that he/she has full and complete authority to enter into this contract on behalf of this organization.
