RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
execute for and on behalf of the City of Lubbock a Contract by and between the City of Lubbock
and Advanced Interactive Systems, and any other related documents. Said Contract is attached
hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the
minutes of the Council.

This contract, (the "Contract"), effective as of the 10thday of May , 2001, (the
"Effective Date"), is by and between the City of Lubbock, (the "City"), a Texas municipal
corporation, and Advanced Interactive Systems ("AIS").
WITNESSETH
WHEREAS, the City desires to obtain firearm training simulators and support therefore;
and
WHEREAS, AIS has a professional staff experienced and is qualified to provide firearm
training simulators and support thereof; and
WHEREAS, the City desires to contract with AIS to provide firearm training simulators
and the support of said simulators.
NOW THEREFORE, for and in consideration of the terms, covenants and conditions set
forth in this Contract, the City and AIS hereby agree as follows:
ARTICLE I. TERM
The term of this Contract commences on the Effective Date.
ARTICLE Il. COMPENSATION
CONTRACTOR shall receive an amount not to exceed One Hundred Fifty Eight Thousand
Five Hundred Ninety Two and no/100 DOLLARS ($158,592.00) Payment shall be made within
thirty (30) days of date of notice. Partial shipment is permitted, City agrees to pay for parts
shipped.

The purchase price is FOB Tukwila, Washington and all shipping charges have been added
to the purchase price stated above. Any sales, use, value added, inventory, personal property, or
other taxes, fees, duties or charges which are incurred by City are the sole responsibility of City.
ARTICLE III. TERMINATION
a. General. City may terminate this Contract, for any reason, upon thirty (30) days written
notice to AIS.
b. Termination and Remedies. In the event AIS breaches any term and/or provision of this
Contract the City shall be entitled to exercise any right or remedy available to it at law or equity,
including without limitation, termination of this Contract and assertion of action for damages
and/or injunctive relief. The exercise of any right or remedy shall not preclude the concurrent or
subsequent exercise of any other right or remedy and all other rights and remedies shall be
cumulative. City or AIS may, in its sole discretion, terminate this Agreement at any time, with
or without cause upon thirty (30) days written notice.
ARTICLE IV. REPRESENTATIONS AND WARRANTIES
A. Existence. AIS is a corporation duly organized, validly existing, and in good standing
under the laws of the State of Texas and is qualified to carry on its business in the State of Texas.
B. Corporate Power. AIS has the corporate power to enter into and perform this Contract
and all other activities contemplated hereby.
C. Authorization. Execution, delivery, and performance of this Contract and the activities
contemplated hereby have been duly and validly authorized by all the requisite corporate action
on the part of AIS. This Contract constitutes legal, valid, and binding obligations of the AIS and
is enforceable in accordance with the terms therof.
D. AIS. AIS maintains a professional staff and employs, as needed, other qualified
specialists experienced in providing the design, support, installation, testing, and training of the
firearm training simulator systems, and are familiar with all laws, rules, and regulations, both
state and federal, including, without limitation the applicable laws, regarding the activities
contemplated hereby.
E. Performance. AIS will and shall conduct all activities contemplated by this Contract in
a good and workmanlike manner, and comply with all laws, rules, and regulations, both state and
federal, relating to predictive maintenance services, as contemplated hereby. If any of the
activities of AIS, or omissions of the activities required herein, shall cause, in whole or in part,
liability or loss on the part of the City, it shall be deemed that AIS did not perform said activities
(or omitted the performance of said activities) in a good and workmanlike manner.

F. Use of Copyrighted Material. AIS warrants that any materials provided by AIS for use
by City pursuant to this Contract shall not contain any proprietary material owned by any other
party that is protected under the Copyright Act or any other similar law. AIS shall be solely
responsible for ensuring that any materials provided by AIS pursuant to this Contract satisfy this
requirement and AIS agrees to hold City harmless from all liability or loss to which City is
exposed on account of AIS's failure to perform this duty.
ARTICLE V. SCOPE OF WORK
AIS shall accomplish the design, installation, testing, training and support of the firearm
training simulator as further described on Exhibit "A" and Exhibit `B".
ARTICLE VI. DELIVERY
City is responsible for insuring the System upon delivery and safely storing the same until
such time as AIS installs the System. Delivery terms are best commercial mode as determined
by AIS for shipment to City's designated delivery destination, unless otherwise agreed in
writing. Risk of loss will pass to City at the time the System is delivered to City. AIS will
package the System for shipment as it deems appropriate and may deliver the System all at one
time or in portions. AIS's breach in the delivery of any partial shipment will not give City the
right to refuse or receive any other shipment. All errors and breaches, clerical or otherwise are
subject to correction by AIS. The System is deemed to be accepted by City upon the signing of
the AIS City Acceptance Checklist.
ARTICLE VII. INDEPENDENT CONTRACTOR STATUS
AIS and City agree that AIS shall perform the duties under this Contract as an independent
contractor. AIS has the sole discretion to determine the manner in which the services are to be
performed.
ARTICLE VIII. LIMITED WARRANTY
Who is covered.
This limited warranty (the "Warranty") applies only to the original purchaser of the System
from AIS and may not be transferred.
What is covered.
The Warranty covers only software developed by AIS and goods manufactured and
supplied by AIS or its authorized agents. It includes telephonic support provided by AIS's

customer service department (24 hours a day, except AIS holidays). It does not cover cleaning
and alignment of the DVD player or projector, or consumable items (e.g. video screen, paper,
ink, light bulbs, etc.), and does not require AIS to provide City with version upgrades of the
accompanying software.
AIS warrants that at the time of shipment, the System is free from defects in design,
materials and workmanship, and that it will perform substantially in accordance with the
specifications or performance standards published by AIS in the accompanying owner's manual.
AIS does not warrant the System will operate uninterrupted or maintenance -free.
What AIS Will Do.
AIS will correct any System that is defective or that does not perform substantially in
accordance with the specifications and performance standards published by AIS in the
accompanying owner's manual. To correct a System, AIS will send, at its sole discretion, either
new, updated or factory —rebuilt components for City to install in the System. If City is unable to
correct the System in a reasonable amount of time, AIS may, at its sole discretion, request return
of components for inspection/repair, and/or may visit City's site to perform such inspection or
repair.
Freight and insurance charges for returns to AIS or a designated repair center are not
covered by the Warranty and must be prepaid by City. AIS will ship repaired or replacement
components to City on routine or better air -package -service levels at AIS's expense. AIS will
bill City for any defective or loaned components not returned to AIS within fourteen (14) days of
receipt of new parts at City's location, or components returned to AIS which are not in
substantially the same condition as provided to City.
AIS may, at its sole discretion, offer components on loan to City while City's component is
being repaired.
These are City's sole and exclusive remedies for any breach of the Warranty.
How to Get Service.
Contact AIS's customer service department and describe the problem being experienced
with the System. City must make the System available for AIS's inspection and repair upon
reasonable terms or, at AIS's sole discretion, City may be required to deliver certain requested
components, freight prepaid, to AIS for inspection, replacement or repair. AIS will return new or
repaired components freight prepaid.
Limitations.
The Warranty will become null and void if any of the following conditions occur:

1. Failure to follow installation, storage, maintenance, or operating instructions,
applicable codes or ordinances, or safety precautions, or other misuse by City, its agents or other
third parties.
2. Repairs on any component of the System or alterations made to the System by
anyone other than an authorized factory representative of AIS, unless prior written approval is
given by AIS. (Troubleshooting and repairs made by City with the telephonic assistance of the
AIS technical assistance department will not void this Warranty.)
3. Misuse or damage by electrical interruption or surge, flood, fire or other casualty.
4. Failure to use parts or accessories manufactured or authorized by AIS.
5. Failure to adjust or install components or software or to otherwise modify the
System as may be recommended and required by AIS from time to time.
EXCEPT AS NOTED HEREIN, AIS MAKES NO OTHER EXPRESS WARRANTIES.
AIS DISCLAIMS ANY AND ALL IMPLIED WARRANTIES INCLUDING, WITHOUT
LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR
A PARTICULAR PURPOSE, IMPLIED WARRANTY ARISING FROM ANY COURSE OF
PERFORMANCE OR DEALING, OR USAGE OF TRADE, AND ANY IMPLIED
WARRANTY OF NONINFRINGEMENT.
AIS'S LIABILITY UNDER THIS PURCHASE AGREEMENT IS LIMITED TO A
REFUND OF THE PURCHASE PRICE FOR THE SYSTEM, IN ACCORDANCE WITH THE
FOREGOING PROVISIONS.
AIS IS NOT LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT,
EXEMPLARY OR OTHER SIMILAR DAMAGES ARISING FROM ANY BREACH OF
WARRANTY OR CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION,
NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF AIS OR AIS'S AGENT
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Other Conditions.
The agents, employees, distributors and dealers of AIS are not authorized to modify the
Warranty, nor to make additional warranties. Accordingly, any statements or representations not
contained in the Warranty, oral or written, are not binding on AIS and should not be relied upon
as a warranty of AIS unless in writing and signed by an officer of AIS.

No claim for breach of warranty, or any other claim, in tort, contract or otherwise, arising
out of or related to the System, may be commenced more than one year following the expiration
of the Warranty or the accrual of the claim, whichever occurs first.
The limitations of liability and other provisions of the Warranty shall operate to the benefit
of AIS, its successors and assigns, and any manufacturer of components contained in the System.
ARTICLE IX. INSURANCE
A. General. AIS shall procure and carry, at its sole cost and expense through the life of
this Contract insurance protection hereinafter specified, in form and substance satisfactory to the
City. City must approve all policies prior to the commencement of any activities whether
performed by AIS, subcontractor, agents, or third parties. The insurance carrier must be an
insurance company authorized to transact business in the State of Texas and have a Best's
Financial rating of A:Vll. A Certificate of Insurance specifying each and all coverage shall be
submitted to City prior to the execution of this Contract. All insurance shall be prepared and
executed by the insurance company or it's authorized agents and shall contain an endorsement
naming the City of Lubbock an additional insured. Written notice of cancellation or any material
change will be provided thirty (30) days in advance of cancellation or change. All insurance,
other than Workers' Compensation, shall provide a waiver of subrogation in favor of the City of
Lubbock, and shall contain cross liability and severability clauses.
B. Required Coverage. AIS shall obtain and maintain policies of insurance throughout the
Contract term in limits specified below.
1. Worker's Compensation. AIS shall maintain Workers' Compensation and Employer's
Liability insurance coverage as required by statute or coverage approved by the City Risk
Management Coordinator.
2. Commercial General Liability. AIS shall maintain Commercial General Liability
coverage endorsed to include premises/operations, contractual liability, independent contractors'
and completed operations. The policy shall have a minimum of One Million and no/100 Dollars
($1,000,000) combined single limit in the aggregate and per occurrence.
3. Commercial Automobile Liability. AIS shall maintain Commercial Automobile
Liability coverage with a minimum of Three Hundred Thousand and no/100 Dollars ($300,000)
combined single for Bodily injury and Property Damage and shall include any auto or in the
alternative, owned autos, non -owned autos and hired autos.
C. Subcontractors. AIS shall require each subcontractor with whom it contracts to provide
activities as contemplated by this Contract, to obtain proof of insurance coverage as set forth
herein, and to provide to AIS, prior to such person performing any such activities, a Certificate of
Insurance establishing such coverage.

ARICLE X. LICENSE
Grant of License.
The System being purchased by City does not include computer software, or the
accompanying documentation. Rather, AIS hereby grants to City, subject to the terms and
conditions below, a nonexclusive license to use the computer software installed by AIS in the
System, and the accompanying video discs and computer software documentation (the "Licensed
Material") in connection with the operation of the System. The term "Licensed Material"
includes, without limitation, any future modifications, enhancements, revisions or updates to the
computer software that AIS may provide. The foregoing sentence is not to be construed as an
obligation of AIS to provide any such modification, enhancement, revision or update. The
Licensed Material may not be transferred, sold or otherwise assigned to any third party apart
from the System, and in the event of such transfer, City shall not retain any copies of the
Licensed Material. The Licensed Material may not be leased, rented or otherwise used by City
or any third party apart from the System.
City's Duties.
1. City shall not reverse engineer, decompile or otherwise attempt to discover any
trade secret in the Licensed Material, or otherwise modify the Licensed Material.
2. City may use the Licensed Material only with the System and for the sole purpose
of operating the System.
3. City shall not use, copy, modify or transfer the Licensed Material, except as
expressly provided in this Purchase Agreement.
Copyright.
The Licensed Material is copyrighted and may not be copied. The foregoing copyright
protection claim includes all forms and matters of copyrightable material and information now
allowed by statutory or common law, including, without limitation, material generated from the
licensed computer software that is displayed on a monitor or projection screen such as icons,
screen displays, etc.
Ownership.
AIS is, and shall remain, the sole and exclusive owner of the Licensed material and any
copies thereof, including, but not limited to, any diskettes and/or cartridge tapes ("Magnetic
Media") on which the Licensed Material is recorded. AIS owns all proprietary rights in the
Licensed Material, including, but not limited to, all processes, ideas, data and printed material
contained therein or related thereto.

Confidential Information.
City acknowledges that the Licensed Material (including, without limitation, the
underlying ideas, algorithms, concepts, procedures, processes, principles, know-how and
methods of operation) is confidential and contains trade secrets (collectively referred to as
"Confidential Information"). City agrees not to use, disclose or distribute any Confidential
Information, directly or indirectly, without the prior written consent of AIS in each instance.
City further acknowledges that this obligation shall survive the termination of this license.
Protection Devise.
AIS may from time to time adopt mechanical or electronic methods that AIS deems
necessary to control unauthorized use or distribution of the Licensed Material.
Limitation of Remedies and Liability.
NEITHER AIS NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE
CREATION, PRODUCTION OR DELIVERY OF THE LICENSED MATERIAL SHALL BE
LIABLE TO CITY OR ANY THIRD PARTY CLAIMING THROUGH CITY FOR ANY
DAMAGES OR EXPENSES OF ANY TYPE, INCLUDING, BUT NOT LIMITED TO,
SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, EXEMPLARY OR OTHER
SIMILAR DAMAGES ARISING FROM ANY BREACH OF WARRANTY OR CONTRACT,
TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), STRICT LIABILITY OR
OTHERWISE, EVEN IF AIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.
Claims.
City shall promptly notify AIS of any claims of infringement of the Licensed Material
and provide AIS the opportunity to assume defense of any infringement proceeding.
In the event any Licensed Material furnished by AIS is, in AIS's sole discretion, likely to
or does become the subject of a claim of infringement of a copyright or a patent, AIS may, at its
sole discretion and expense, procure for City the right to continue using the Licensed Material, or
modify the Licensed Material to make it noninfringing, or replace it with a noninfringing
program. If, in AIS's sole discretion, none of the foregoing alternatives is reasonably available
to AIS, then AIS may refund the purchase price for the System (depreciated for the period of
City's possession of the System) and terminate this Purchase Agreement.
THE FOREGOING STATES THE ENTIRE LIABILITY OF AIS WITH RESPECT TO
INFRINGEMENT OF ANY COPYRIGHTS, PATENTS OR OTHER INTELLECTUAL
PROPERTY RIGHTS BY THE LICENSED MATERIAL OR ANY PARTS THEREOF, AND

IS IN LIEU OF ALL WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, IN
REGARD THERETO.
ARTICLE XI. EMPLOYMENT OF AGENTS
AIS may employ or retain agents, consultants, contractors, or third parties, to perform
certain duties of AIS under this Contract provided that AIS is in no event relieved of any
obligation under this Contract. Any such agents, contractors, or third parties retained and/or
employed by AIS shall be required to carry, for the protection and benefit of the City and AIS
and naming said third parties as additional insureds, insurance as described above in this
Contract.
ARTICLE XII. RESTRICTIONS AND LIMITATIONS ON USE
City acknowledges that all Law Enforcement Training Discs are designed for judgmental
use -of -force firearm training. As a result, City agrees all Law Enforcement Training Discs, both
those purchased with the System and acquired subsequent to System purchase, will only be used
to train professional law enforcement and security personnel and will not be made available to
the general public. The City shall be permitted to use the System for Citizen's Police
Academies, police recruiting efforts, and public relations activities as deemed appropriate by, and
under the direction of, the Police Department. City agrees the ShootBackTM module will only be
used for the training of professional law enforcement and security personnel, and the
ShootBackTM module will NOT be used while demonstrated on any other person. Furthermore,
City agrees that the ShootBackTM module will not be used with pyrotechnic ammunition,
(including frangible or other like ammunition).
ARTICLE XIII. TRADEMARKS AND COPYRIGHTS
City acknowledges that the PRISimTM and ShootBackTM trademark, and other
trademarks, service marks, trade names and logos (the "Trademarks") incorporated in the System
are the licensed trademarks of AIS and its third party licensors. City has no right, license or
sublicense in or to the Trademarks of other property of AIS or its third party licensors by virtue
of this Purchase Agreement. No labels, tags or other components of the System bearing any
Trademarks will be covered, removed or altered by City. City acknowledges that copyrights on
video footage, delivered software and other clearly marked or described items remain the
property of AIS and/or its third party licensors. AIS reserves all right, title and interest in the
Licensed Material, copyrighted material and Trademarks. No ownership right in such material is
transferred or otherwise assigned to City by this Purchase Agreement, and any goodwill or
benefit generated by City's use of the Trademarks belongs solely to AIS.

ARTICLE XIV. CONFIDENTIALITY
AIS shall retain all information received from or concerning the City and the City's
business in strictest confidence and shall not reveal such information to third parties without
prior written consent of the City, unless otherwise required by law.
ARTICLE XV. INDEMNITY
Each party hereto assumes responsibility for the acts of its officers, agents, and
employees from all suits, actions, losses, damages, claims, or liability of any character, type,
or description, including without limiting the generality of the foregoing all expenses of
litigation, court costs, and attorney's fees for injury or death to any person, or injury to any
property, received or sustained by any person or persons or property, arising out of, or
occasioned by, the acts of that party, its agents or employees, in the execution of this
Contract.
ARTICLE XVI. COMPLIANCE WITH APPLICABLE LAWS
AIS shall comply with all applicable federal, state and local laws, statutes, ordinances,
rules and regulations relating, in any way, manner or form, to the activities under this Contract,
and any amendments thereto.
ARTICLE XVII. NOTICE
A. General. Whenever notice from AIS to City or City to AIS is required or permitted by
this Contract and no other method of notice is provided, such notice shall be given by (1) actual
delivery of the written notice to the other party by hand. (2) facsimile, or other reasonable means
(in which case such notice shall be effective upon delivery). or (3) by depositing the written
notice in the United States mail, properly addressed to the other party at the address provided in
this article, registered or certified mail, return receipt requested, in which case such notice shall
be effective on the third business day after such notice is so deposited.

D. Change of Address. Either party may change its address or numbers for purposes of
notice by giving written notice to the other party, referring specifically to this Contract, and
setting forth such new address or numbers. The address or numbers shall become effective on
the 15th day after such notice is effective.
ARTICLE XVIII. MISCELLANEOUS
A. Captions. The captions for the articles and sections in this Contract are inserted in
this Contract strictly for the parties' convenience in identifying the provisions to this Contract
and shall not be given any effect in construing this Contract.
B. Audit. AIS shall provide access to its corporate books and records to the City. The
City may audit, at its expense and during normal business hours, AIS's books and records with
respect to this Contract between AIS and City.
C. Records. AIS shall maintain records that are necessary to substantiate the services
provided by AIS
D. Assignability. AIS may not assign this Contract without the prior written approval of
the City.
E. Successor and Assigns. This Contract binds and inures to the benefit of the City, AIS,
and their respective successors, legal representatives, and assigns.
F. Construction and Venue. THIS CONTRACT SHALL BE GOVERNED BY AND
CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS. THE
PARTIES HERETO HEREBY IRREVOCABLY CONSENT TO THE EXCLUSIVE
JURISDICTION AND VENUE OF THE COURTS OF THE STATE OF TEXAS, COUNTY OF
LUBBOCK, FOR THE PURPOSES OF ALL LEGAL PROCEEDINGS ARISING OUT OF OR
RELATING TO THIS CONTRACT OR THE ACTIONS THAT ARE CONTEMPLATED
HEREBY.

G. Severability. If any provision of this Contract is ever held to be invalid or ineffective
by any court of competent Jurisdiction with respect to any person or circumstances, the
remainder of this Contract and the application of such provision to persons and/or circumstances
other than those with respect to which it is held invalid or ineffective shall not be affected
thereby.
H. Amendment. No amendment, modification, or alteration of the terms of this Contract
shall be binding unless such amendment, modification, or alteration is in writing, dated
subsequent to this Contract, and duly executed by AIS and City.
I. Entire Agreement. This Contract, contains the Entire Contract between the City and
AIS, and there are no other written or oral promises, conditions, warranties, or representations
relating to or affecting the matters contemplated herein.

Video Capture at the discounted price of $3,200 as stated on your memo
dated November 30, 2000.

Content Disks:
Eight (8) content disks (including the content disk purchased
with the system) at $2,640 each at the reduced rate of
receiving a free content disk for each content disk
purchased as stated in your memo dated November 30,
2000 for a total of $10,560.
Professional Instructor Training at no additional charge as stated on
your memo dated November 30, 2000.
Remote Maintenance Agreement at the one-time price of $2,640 for the
life of the warranty.

Dry Fire Laser Weapons:
• One (1) Sig Sauer P229.40 Caliber pistol — Double Action
Only — for the price of $2,420 as stated on the price list in

• One (1) Smith and Wesson Model 65.357 caliber revolver
for the GSA price of $1,804.
• One (1) Glock Model 17 9mm pistol for the GSA price of
$2,552.
• One (1) laser insert (in addition to the laser insert that comes
with the listed weapons) for the GSA price of $880.
Full Coverage Warranty for five years at $14,125 as stated on the price
list in your Response to the RFP.
A Purchase Order Number will be issued and forwarded to you upon final
approval by our City Council on the purchase of the simulators. The City Coucii
meeting is scheduled for January 11, 2001.

Dear Lt. Ellis;
In response to our recent phone conversation, I have discussed the subject with our
management and have been authorized to make the following offer to your department;
For every Content Set you order, we will provide an additional set of your choice
at no charge. The GSA price of Extra Content Sets is $2,640 each, with a total
of eight (8) sets currently available.
• We will reduce the price of Video Capture from the GSA discounted price of
$4,400 to S-3200.
We w.111 upgrade the hard drive eavacixy of the L1000 system from the standard
two, 10 -gig drives to two, 7t -gig loud drives at no additional charge.
• We will reduce the price of Laser Flashlight from the GSA discounted price of
$1,320 to 511120
• We will provide our Professional Instructor Training at no addhfonal charge.
The GSA discounted price of this training package is $2,112 plug expenses.
