RESOLUTION
WHEREAS, the City of Lubbock and its municipally owned electric utility, Lubbock Power
&Light("LP&L"),are currently served with wholesale power delivered through the Southwest
Power Pool Regional Transmission Organization ("SPP");
WHEREAS, LP&L filed before the Public Utility Commission of Texas ("PUC") its
Application of the City of Lubbock Through Lubbock Power and Light for Authority to
Connect a Portion of its System with the Electric Reliability Council of Texas ("ERCOT"),
Docket Number 47576 (the "Application"), on or about September 1, 2017;
WHEREAS, the portion of LP&L's load subject to the Application is more particularly
defined therein and herein as the "Affected Load";
WHEREAS, the Application to integrate the Affected Load into ERCOT was granted by the
PUC, as evidenced by its Order dated March 15, 2018, in PUC Docket No. 47576, styled
Application for the City of Lubbock through Lubbock Power and Light forAuthority to Connect
a Portion of its System with the Electric Reliability Council of Texas (the"Order");
WHEREAS, as a part of Order, the PUC ordered LP&L and Sharyland Utilities, L.P.
("Sharyland"),as end point owners of the subject transmission infrastructure("Infrastructure")
required to be constructed to integrate the Affected Load into ERCOT, to agree to the split of
ownership of such Infrastructure;
WHEREAS, such agreement was accomplished through the Participation Agreement (the
"PA"), entered into by and between LP&L and Sharyland;
WHEREAS, as a part of the PA and in consideration for services provided to LP&L therein,
LP&L committed to convey certain lands owned by it to Sharyland to be used for the
construction and operation of the 345 kV Wadsworth Substation (the "345 kV Wadsworth
Substation");
WHEREAS, subsequent to entering into the PA, Sharyland was acquired by merger and
acquisition by Oncor Electric Delivery Company LLC ("Oncor");
WHEREAS, as a part of the merger and acquisition, Oncor succeeded to all benefits and
obligations of Sharyland under the PA;
WHEREAS, the Certificate of Convenience and Necessity proceedings involving routing of
the Infrastructure as concerns the proposed Abernathy to Wadsworth 345 kV Transmission
Line in Hale and Lubbock Counties, PUC Docket No. 48668, and the proposed Wadsworth to
New Oliver to Farmland 345 kV Transmission Line in Lubbock and Lynn Counties and the
proposed Southeast to New Oliver to Oliver 115 kV Transmission Line in Lubbock County,
PUC Docket No. 48909 ( the "Subject CCN Cases"), involve the location of the 345 kV
Wadsworth Substation;
WHEREAS, the City of Lubbock designated certain real property (the "Land") for the
expressed intent of conveying such real property to Oncor for the construction and operation
u of the 345 kV Wadsworth Substation, as resolved by the City Council of the City of Lubbock,
N Resolution No. 2019-R0453, December 3, 2019;
WHEREAS, Oncor has since named the 345 kV Wadsworth Substation the 345 kV Double
Mountain Substation, which would occupy the Land;
WHEREAS, Section 272.001(k) of the Texas Local Government Code provides that a
"governing body of the municipally owned utility shall adopt a resolution stating the conditions
and circumstances for the sale or exchange (of land) and the public purpose that will be
achieved by the sale or exchange";
WHEREAS, the City Council of the City of Lubbock, as the governing body of the City of
Lubbock, believes that it is in the best interest of the health, safety, and welfare of the citizens
of Lubbock to convey the Land to Oncor for the public purpose of complying with the PUC
Order and constructing the necessary Infrastructure to integrate the Affected Load into
ERCOT; NOW,THEREFORE:
i BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the City Council hereby finds that a public purpose is achieved by this sale or exchange
of land, which will serve the public and the citizens of Lubbock, Texas, being in the best
interest of the health, safety, and welfare of the citizens of Lubbock. The recitals and
preambles of this resolution are hereby adopted as further findings of the City Council;
BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF
LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for and
on behalf of the City of Lubbock, a Special Warranty Deed, Joint Use Easement and Right-of-
Way, and Road Easement and Right-of-Way, by and between the City of Lubbock and Oncor
Electric Delivery Company LLC, a Delaware limited liability company, and related
documents. Said Special Warranty Deed, Joint Use Easement and Right-of-Way, and Road
Easement and Right-of-Way are attached hereto and incorporated in this resolution as if fully
set forth herein and shall be included in the minutes of the City Council.
THAT the City Council finds it to be in the best interest of the citizens of the City of Lubbock
in order to expedite the performance of city business, to delegate authority to execute any
necessary or related documents associated with this conveyance to the City Manager of the
City of Lubbock, or his designee.

COUNTY OF LUBBOCK §
That the City of Lubbock, Texas, a Texas home rule municipal corporation ("Grantor"),
for and in consideration of the sum of Ten and no/100 dollars ($10.00), and other valuable
consideration to it in hand paid by Oncor Electric Delivery Company LLC, a Delaware limited
liability company, ("Grantee'), whose address is P.O. Box 139100, Dallas, Texas 75313, the
receipt and sufficiency of which are hereby acknowledged,has Granted, Sold and Conveyed, and
by these presents does Grant, Sell and Convey unto said Grantee all that certain tract or parcel of
land (the "Property") situated in Lubbock County, Texas, more particularly described in Exhibit
"A" attached hereto and made a part hereof for all purposes.
EXCEPTIONS TO CONVEYANCE:
1. Easements, rights-of-way, and prescriptive rights, whether of record or not; all
presently recorded restrictions, reservations, covenants, conditions, mineral
severances, and other instruments,other than liens and conveyances,that affect the
property; rights of adjoining owners in any walls and fences situated on a common
boundary; any discrepancies, conflicts, or shortages in area or boundary lines; any
encroachments or overlapping of improvements.
2. All terms and provisions provided herein and in that certain Texas Pollutant
Discharge Elimination Permit, Number 10353-002 ("TPDES Permit"), including
without limitation, the rights of Grantor to maintain the Property until such time as
a renewal of the TPDES Permit is required,provided,however(a) Grantor shall be
solely responsible for continuing compliance with the TPDES Permit, and (b)
Grantee,by acceptance of this Special Warranty Deed, accepts no obligations with
respect to the TPDES Permit, all of which shall remain with Grantor.
RESERVATIONS FROM CONVEYANCE:
1. Grantor expressly reserves and excepts from this conveyance to Grantee, all of
Grantor's right, title and interest, in and to (i) all of the oil, gas and other minerals, in,
on and under the Property; (ii) all of the oil royalty, gas royalty and royalty in
casinghead gas, gasoline and royalty in other minerals, in and under and that may be
produced from the Property; and(iii) all of the groundwater, as defined in Chapter 36
of the Texas Water Code, in, and under the Property, PROVIDED HOWEVER, that
Grantor shall not have the right to produce, drill for or mine such minerals or
groundwater on or from the surface of the Property (such exception is called the
"Mineral and Groundwater Estate Reservation").
REPRESENTATIONS AND WARRANTIES OF GRANTOR:
Grantee represents and warrants to Grantor that it has made an independent inspection and
evaluation of the Property and acknowledges that Grantor has made no statements or
representations concerning the present or future value of the Property, or the condition,
including the environmental condition of the Property.
EXCEPT FOR THE WARRANTY OF TITLE SET FORTH IN THIS SPECIAL
WARRANTY DEED, GRANTOR MAKES NO REPRESENTATIONS OR
WARRANTIES WHATSOEVER, EXPRESSED, STATUTORY, OR IMPLIED,
INCLUDING, BUT WITHOUT LIMITATION, AS TO THE DESCRIPTION, VALUE,
QUALITY,QUANTITY,PHYSICAL AND ENVIRONMENTAL CONDITION OF THE
PROPERTY AND'OR MATERIALS CONTAINED OR LOCATED IN,ON OR UNDER
THE PROPERTY, THE NATURE OF THE PAST OR HISTORIC USE OF THE
PROPERTY, AND/OR MERCHANTABILITY OR FITNESS FOR PURPOSE OF ANY
OF THE PROPERTY, ABSENCE OF LATENT DEFECTS, COMPLIANCE WITH
LAWS AND REGULATIONS. Grantee further acknowledges that, in executing and
accepting this Special Warranty Deed, it has relied upon its independent evaluation and
examination of the Property, and public records relating to the Property and the
independent evaluations and studies based thereon. Grantor represents and warrants,to the
best of its actual knowledge, that all information supplied by Grantor with respect to the
TPDES Permit is accurate and complete in all material respects. Grantee hereby releases
Grantor from and against any claims related to the accuracy and completeness of
information supplied by Grantor with respect to the TPDES Permit, except to the extent
such claims arise from a breach of the preceding representation and warranty. Except with
respect to matters within the scope of the preceding representation and warranty regarding
Property information, reliance on any material related to the TPDES Permit furnished by
Grantor shall not give rise to any cause, claim or action against Grantor, its officers,
employees, elected officials, independent contractors and/or agents.
THE CONVEYANCE OF THE PROPERTY IS ON A "WHERE IS", "AS IS", AND
"WITH ALL FAULTS" BASIS, AND, EXCEPT FOR THE WARRANTY OF TITLE
SET FORTH IN THIS SPECIAL WARRANTY DEED, SHALL BE WITHOUT
REPRESENTATION OR WARRANTY, EXPRESSED, STATUTORY OR IMPLIED,
INCLUDING, BUT WITHOUT LIMITATION, AS TO DESCRIPTION, PHYSICAL
AND ENVIRONMENTAL CONDITION OF THE PROPERTY AND/OR MATERIALS
CONTAINED OR LOCATED IN, ON OR UNDER THE PROPERTY, THE NATURE
OF THE PAST OR HISTORIC USE OF THE PROPERTY, THE QUALITY,
QUANTITY AND VALUE OF THE PROPERTY, FITNESS FOR PURPOSE,
MERCHANTABILITY, ABSENCE OF LATENT DEFECTS AND COMPLIANCE
WITH LAWS AND REGULATIONS RELATED TO THE PROPERTY. Grantee has
satisfied itself as to the title,type,condition,quality and extent of the property and property
interests which comprise the Property.
COVENANTS OF GRANTEE:
1. Grantee shall construct all lighting infrastructure located on the Property in a manner
as to cast light in a generally downward and/or eastwardly direction. Prior to
construction of the lighting infrastructure, Grantee shall provide all plans relating to
same ("Plans") to the City Manager of Grantor for approval, such approval to not be
unreasonably withheld. In the event the City Manager shall not approve or disapprove
such Plans within five (5) business days' after receipt, such Plans shall be deemed to
have been approved. The approval of the Plans by the City Manager, deemed or
expressed, shall not relieve Grantee's obligations covenanted herein as to light cast
direction. Grantor agrees that the lighting plan for the Property provided by Grantee, a
copy of which is attached hereto as Exhibit "B", complies with the requirements of
this paragraph, and that the attached plan, or something substantially similar, is
approved by the City Manager._The covenant provided herein touches and concerns
the Property and shall be deemed a covenant running with the Property, and binding
upon successors and assigns of Grantee. The covenant provided herein shall not be
construed as to prevent the Grantee, or Grantee's successors and assigns, from
employing lighting which complies with the requirements of the then current National
Electrical Safety Code, the Standards of the North American Electrical Reliability
Corporation, or any successor codes or requirements as the case may be.
2. Grantee assumes the responsibility for general real estate taxes and special assessments
for 2020 and subsequent years not yet due and payable, and any subsequent tax
assessment due to a change in land usage or ownership or both.
TO HAVE AND TO HOLD,Grantor, for the consideration and subject to the above stated
exceptions and reservations,including but not limited to specifically the Mineral and Groundwater
Estate Reservation from conveyance, grants, sells and conveys to Grantee the Property, together
with all and singular the rights and appurtenances thereto in any wise belonging, to have and hold
it to Grantee, Grantee's heirs, executors, administrators, successors, or assigns forever. Grantor
binds Grantor and Grantor's successors and assigns,to warrant and forever defend all and singular
the Property to Grantee and Grantee's heirs, executors, administrators, successors, and assigns
against every person whomsoever lawfully claiming or to claim the same or any part thereof,
except as to the above stated exceptions,by,through or under Grantor but not otherwise.

JOINT USE EASEMENT AND RIGHT-OF-WAY

§ KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF LUBBOCK §
That, the City of Lubbock, hereinafter called "Grantor," whether one or more, for
and in consideration of Ten and no1100 Dollars($10.00)and other valuable consideration
to Grantor in hand paid by Oncor Electric Delivery Company LLC, a Delaware limited
liability company, 1616 Woodall Rogers Fwy., Dallas,Texas 75202, hereinafter referred to
as"Grantee", has granted, sold and conveyed and by these presents does grant, sell and
convey unto said Grantee, its successors and assigns, an easement and right-of-way for
electric power and communications lines, each consisting of variable number of wires and
cables, and all necessary or desirable appurtenances including supporting structures,
foundations,guy wires and guy anchorages (the"Facilities")over, under,across and upon
all that certain tract(s) of land located in Lubbock County, Texas, more particularly
described in EXHIBITS "A!' & "B", attached hereto and made part hereof.
Together with: (1)the right of ingress and egress over and along the easement and
right-of-way for the purpose of and with the right to construct, operate, improve,
reconstruct, replace, repair, inspect, patrol, maintain and add or remove such electric
power and communications lines or other Facilities as the Grantee may from time to time
find necessary, convenient or desirable to erect thereon during the initial construction of the
Facilities or at any time thereafter; (2) the right to install gates in all existing and future
fences crossing the easement and right-of-way, provided such gates will be installed in a
manner that will not weaken such fences; (3) the right to relocate its facilities along the
same general direction of said lines; (4)the right to trim and cut down trees and shrubbery
on the easement and right-of-way, including by use of herbicides or other similar chemicals
approved by the U.S. Environmental Protection Agency,to the extent, in the sole judgment
of the Grantee, necessary to prevent possible interference with the operation of said lines
or to remove possible hazard thereto; and (5)the right to remove at Grantor's expense or
to prevent the construction on the easement and right-of-way of any or all buildings,
structures and obstructions.
Grantee shall, at all times, keep and maintain, or cause to be kept and
maintained, all improvements erected on the premises, including but not limited to any
roadway, driveway, and points of ingress and egress, in a good state of appearance and
repair (except for reasonable wear and tear) at Grantee's own expense.
Should Grantee initially install and construct and operate one circuit of the electric
transmission line permitted under the terms of this Easement and Right of Way, it is
understood that Grantee shall have the right to install, construct, and operate additional
circuits, including additional structures or other Facilities if necessary, of the electric

transmission line where Grantee determines, in its sole discretion, that demand for
electricity or the efficient operation of the line requires such additional circuits.
Grantor shall not make or cause any changes in grade, elevation, or contour of the
land within the easement and right-of-way described herein without first providing advance
notice and obtaining prior written consent to do so from Grantee.
Grantor shall not perform any excavations, trenching, or other soil disturbing
activities that, in the sole judgment of Grantee,will endanger the integrity of the supporting
structures and/or foundations or other Facilities, as applicable, or perform any other
activities that may, in the sole judgment of Grantee, remove, reduce,or adversely affect or
impact the lateral support of the supporting structures and/or foundations or other
Facilities, as applicable, without first providing advance notice and obtaining prior written
consent to do so from Grantee.
Grantor reserves the right to use the easement and right of way area provided such
use shall not include the growing of trees thereon or any other use that might, in the sole
judgment of the Grantee, interfere with the exercise by the Grantee of the rights hereby
granted
Grantor retains all right, title, and interest in and to all oil, gas, and other minerals
(whether by law classified as part of the mineral estate or the surface estate) and
groundwater in, on, and under the strip or land described herein; provided, however, that
Grantor shall not be permitted to drill for oil, gas,and other minerals,and groundwater from
and under said strip of land but Grantor may extract oil, gas, and other minerals, and
groundwater from and under said strip of land by directional drilling, mining, or other
means, so long as Grantee's use of said strip is not disturbed,which use shall include the
right of Grantee to physical and/or lateral support for the Facilities, as well as the right that
the Facilities shall not be endangered, obstructed, or interfered with by such operations.
TO HAVE AND TO HOLD the above described easement and right-of-way unto the
said Grantee, its successors and assigns, until all of said lines and other Facilities shall be
abandoned, and in that event said easement and right-of-way shall cease and all rights
herein granted shall terminate and revert to Grantor or Grantor's heirs, successors or
assigns; and Grantor hereby binds Grantor and Grantor's heirs, successors, assigns, and
legal representatives, to warrant and forever defend the above described easement and
right-of-way unto Grantee, its successors and assigns,against every person whomsoever
lawfully claiming or to claim the same or any part thereof. This easement may be assigned
in whole or in part.
