Granting To Trans Video Corp., A Subsidiary Of Cox Cable Communications - 03/08/1984DGV:cl ORDINANCE NO. 8573 ----------- AN ORDINANCE GRANTING TO TRANS VIDEO CORPORATION, A SUBSIDIARY OF COX CABLE COMMUNICATIONS, INC., DOING BUSINESS IN LUBBOCK AS COX CABLE LUBBOCK, THE RIGHT, PRIVILEGE AND FRANCHISE TO CONDUCT WITHIN THE BOUNDARIES OF THE CITY OF LUBBOCK A CABLE TELEVISION BUSINESS; AND PROVIDING THEREIN FOR DEFINITIONS; SERVICES, EQUIPMENT AND FACILITIES; A TERM; FRANCHISE FEES; INSURANCE; OTHER DUTIES; AMENDMENT; ACCEPTANCE OF FRANCHISE; RATES; AMENDING ORDINANCE 8554; PUBLICATION; AN EFFECTIVE DATE; AND A SAVINGS CLAUSE. WHEREAS, the City of Lubbock, a home rule municipal corporation of the State of Texas, has received notification of intent to renew its cable television franchise pursuant to Section 78(1) of City of Lubbock Ordinance No. 8554 from Trans Video Corporation, a subsidiary of Cox Cable Communi- cations, Inc., doing business in the City of Lubbock es Cox Cable Lubbock; and WHEREAS, the City of Lubbock has heretofore given public notice of sue~ notification and proposal and has received public comment on February 23, 1984, and March 8, 1984, at public hearings conducted for such purpose; and II WHEREAS, the City Council of the City of Lubbock received such public comment in order to determine whether the existing franchisee, hereinafter called "Company," has complied with the conditions of and performed its obligations under its existing franchise agreement to the satisfaction of the City and the Company's subscribers; and WHEREAS, the City Council further considered the technical develop- ments and performance of the Company's system, programming, other services, cost of service and other requirements; and WHEREAS, the City Council also has considered the Company's proposal and its annual reports made to the City and to the FCC; as well as industry performance and current state-of-the-art of broadband communications on a national basis; and WHEREAS, the City Council, following such considerations as are hereinabove set forth, has determined that the Company has met such conditions of and performed its obligations under its existing franchise agreement; and WHEREAS, the City of Lubbock has authority to grant non-exclusive franchises under applicable state law and constitutional provisions pursuant to its authority to operate as a home rule municipality and to regulate and control the use of public streets, alleys, and rights-of-way; and WHEREAS, the Company's commitments hereunder are, in fact, given by the Company in consideration of the grant of authority hereunder to make use of said public streets, alleys, and rights-of-way; and -2- WHEREAS, the City Council, based upon the findings upon the Company's prior performance hereinabove set out end the Company's new proposal, end the report thereon, and the public hearing held upon this matter, finds it to be in the public interest to enter into a renewal of the Company's non-exclusive franchise upon the terms and conditions hereinafter set forth; NOW THEREFORE: BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: 1. GRANT. That subject to the terms, conditions, and provisions of this Ordinance and of the City of Lubbock Ordinance No. 8554, which ordinance is hereby incorporated herein by reference and which shall be a part hereof for ell intents and purposes es if said Ordinance No. 8554 were copied herein in its entirety, the City of Lubbock does hereby grant unto Trans Video Corporation, a subsidiary of Cox Cable Communications, Inc., doing business in Lubbock as Cox Cable Lubbock, a corporation incorporated under the laws of Delaware end having e permit to do business in the State of Texas, the right, privilege end franchise to conduct within the bound- aries of the City of Lubbock, es such boundaries now exist or may be hereafter extended, a cable television business with the right to enter upon end erect, construct, maintain, extend, repair, replace, end remove in, under, upon, within, over, above, across, end along any end all present and future public streets, alleys and rights-of-way of the City of Lubbock such equipment end appurtenances thereto es ere necessary, proper end reasonably needed for said cable television business, to the extent that the City is authorized to grant such right. -3- 2. DEFINITIONS. All definitions shall be the same as, and in accord with, definitions defined in Ordinance No. 8554 of the City of Lubbock, with the following clarifications only: (a) Insofar as the reference in Section 2(f) to "modules for return path signals" may be construed to require such equipment in initial construction, it is hereby stated that such equipment is not required unless included in the Company's technical proposal attached hereto. (b) The term "Gross Revenues" defined in Section 2(J) does not include bad debt. (c) The term "subscriber" means a lawful recipient of the Company's cable television services. (d) The intent of Section 9 is that the Company retain no more than the three (3) most recent years of complaints at any given time. (e) The intent of Section 10, paragraph 5, is to require the Company to measure requested line extensions from existing trunk lines or distribution lines technically capable of extension. (f) The intent of Section 12A includes a presumption that a proposed assignee has demonstrated technical ability if the agent designa- ted by the assignee to operate the Lubbock cable television system is determined by the Council to possess that technical ability. (g) The intent of Section 17C is to allow the Company to present a certificate of insurance in a form acceptable to the City Attorney in lieu of the actual insurance policy. -4- (h) The intent of Section 28C is to include also en authorization for "sweeps" for the purpose of detecting unauthorized cable tele- vision reception. (i) The term "adjacent" as used in Section 32A means actually contiguous with no intervening cable television system. (j) The intent of Section 348 with regard to the prohibition against the sale, repair or installation of television receivers, radio receivers, or accessories for such receivers is limited to only those accessories directly related to or necessary for the actual operation of such receivers. 3. SERVICES, EQUIPMENT AND fACILITIES. (a) The Company shall provide the programming services specified in the "Schedule of Programming Services" attached hereto as Exhibit A and incorporated herein by reference for all purposes. (b) The Company shall provide equipment and/or facilities equivalent to or better than the equipment and/or facilities specified in the "Schedule of Equipment/facilities for Public facilities and/or Community Programming Channels" attached hereto es Exhibit Band incorporated herein by reference for ell purposes. (c) The Company shall construct and/or rebuild the Company's Lubbock cable television system to meet or exceed the technical and design specifications described in the "Technical System Descrip- tion" attached hereto as Exhibit C and incorporated herein by reference for all purposes, and in addition: -5- Except as otherwise provided in this subsection, all areas of the City shall be constructed and activated within 26 months from the effective date of this franchise ordinance. Any dwelling units or areas that will not receive complete service within the above stated time period are to be clearly defined upon a map with a detailed explanation clearly stating why such areas will not be served attached thereto. Said map and explanations shall be attached hereto as Exhibit D and incorporated herein by reference for all purposes. --An emergency alert system capable of interrupting all channels shall be installed at the sole expense of the Company and said alert system shall be ready for use within 26 months from the effective date of this franchise ordinance, unless an extension of such time period is authorized by the City Manager or his designee. This system shall enable the City or its designee to provide immediate, current information to all subscribers from an origination point designated by the City Manager or his designee. The system shall be maintained in a working condition by the Company and shall be available at all times and located in a facility approved by the City Manager or his designee. 4. TERM. The term of this agreement shall be for fifteen (15) years from the effective date of this franchise ordinance. ~- . . . ~ 5. FRANCHISE FEE. The Company hereby agrees that it will initially pay a franchise fee of three percent (3%) of its gross revenues, as that term is defined in Ordinance No. 8554 and clarified herein, from its cable television business within the corporate limits of the City of Lubbock and that such franchise fee may be increased to five percent (5%) at such time es the City of Lubbock may determine. 6. INSURANCE. The Company shall provide liability insurance under the terms and in the amounts specified by Ordinance No. 8554, end by the City Manager or his designee. 7. OTHER DUTIES. The Company shall pay to the City ell other monies; install ell other services; and perform all other terms and conditions to be performed by the Company pursuant to this Ordinance end Ordinance No. 8554. 8. AMENDMENT. This franchise ordinance may be amended at any time by amendment of this ordinance by the City Council of the City of Lubbock and the Company has the right to request such amendment by the City Council as they may desire. 9. ACCEPTANCE OF FRANCHISE. The Company shell, within thirty (30) days from the date of final passage of this ordinance by the City Council of the City of Lubbock, file with the City Secretary of the City of Lubbock, a written statement signed in its name and behalf by officers of Cox Cable Communications, Inc.; Trans Video Corporation; and Cox Cable Lubbock, all of whom hereby represent that they are duly authorized to sign end make such an agreement, in the following form: -7- "The Honorable Mayor end the City Council of the City of Lubbock: Cox Cable Communications, Inc.; Trans Video Corporation; and Cox Cable Lubbock, for themselves, their successors and assigns, hereby accepts the attached Cable Television Franchise Ordinance es finally passed by the City Council of the City of Lubbock on the 22nd day ---- of March , 1984, end hereby agrees to be bound by all of --------- its terms and provisions. Rates to be charged for cable television service furnished within the City of Lubbock shall be in accordance with orders or resolutions of the City Council establishing such rates for the Company. The Company may by written request petition the City Council for changes in said rates in accordance with the terms of Ordinance No. 8554 and all such rate changes as are approved by the City Council by order or resolution shall be placed on file with the City Secretary of the City of Lubbock. A copy of the Company's Initial Demographic Financial Projections shell be attached hereto es Exhibit E end incorporated herein by reference for ell purposes. 11. AMENDMENT TO ORDINANCE 8554 -SECTION 13A(2). That Section 13A(2) is hereby repealed and shell be of no further force end effect end the balance of Ordinance 8554 shell remain in effect es originally passed by the City Council on February 23, 1984. 12. PUBLICATION. The full text of this Ordinance, as finally proposed to be passed shell be published once each week for three (3) consecutive weeks in a newspaper of general circulation published in the City of Lubbock, and the expense of such publication shell be borne by the Company. 13. EFFECTIVE DATE. In accordance with the Charter of the City of Lubbock, this Ordinance shell become effective 30 days from the last publication of this ordinance, which publication was upon the 30th of Apr 11 , 1984. -9- day ••• _,., ,,, ' J 14. SAVINGS CLAUSE. THAT should any section, paragraph, sentence, clause, phrase or word of this Ordinance be declared unconstitutional or invalid for any reason, the remainder of this Ordinance shall not be affected thereby. Should eauipment type be substituted, equal or better specifications will be met. Cox Cable Lubbock has determined that a 26 month construction period is required for the rebuild. Prior to the commencement of any physical construction, an evaluation of the city will be made to detennine make-ready preparation and insure electronic layout integrity (This work is included in the 26 month time frame). The completion of this preparatory work will then ·allow commencement of construction in the fourth quarter, 1948. The phasin~ for the construction is noted on the build map designated Exhibit D. Company will furnish free drops from the suhscriber network at each public school, each city fire station and each city facility included in the I-Net upon written request of the City or LISD, provided that such does not require the extension of the system more than 300 feet. r ( Reconstruction shall include replacement of all trunk, feeder cable> amplifiers and passives, with the exception of the 25 miles built in 1983 and 1984. This area is primarily aerial plant including a large portion of th~ city's apartment complexes. Will include all remaining areas inside Loop 289 and extending outside the Loop to the north·. This phase · will complete the rebuild of all plant built before 1970, while allowing time for coordination with the North-South freeway construction on the east, the Santa Fe Railroad to the north and west. Will include all the remaining areas outside of Loop 289 to the west and south. This area is primarily single dwelling homes serviced by underground feeder and aerial trunk lines. Reconstruction phases may vary as required by final design and completion of system make-ready. Timing could be dictated by necessary utility company work and permitting required by other authorities. C Subscriber System Cox Cable Lubbock will rebuild all plant cons~ructed prior to 1983. Prior to commencement o"f any construction, an experienced design team; including the senior technical personnel from Cox Cable Lubbock, will identify all technical areas of concern in the existing system. Re-. sulting from this will be a plant design that best addresses the present and future requirements of the city, while allowing a construc- tion timetab~e with minimum disruptions to existing subscribers. Construction will be perfomed according to codes and practices de- scribed in the Cox Engineering Standards Manual, the National Electric Code, National Electric Safety Code, Occ1:1pa~ionalSafety and H_ealth Administration requirements, state and local c_odes, and local utility company codes and practices. Plant reconstruction will be completed within the eighteen months from start of construction. The eighteen month period is divided into three phases: o Phase 1 reaching 43% of total hemes. o Phase 2 reaching 30% of total homes. o Phase 3 reaching the remaining 27% of homes.
