~ I I AN ORDINANCE GRANTING TO THE ATCHISON, TOPEKA AND SANTA FE RAILWAY COMPANY
AND MAGNOLIA SEED COMPANY OF LUBBOCK, THE RIGHT, POWER AND PRIVILEGE OF LOCATING
BUILDING, ERECTING, CONSTRUCTING, AND PROPERLY MAINTAINING A SPUR TRACK, AND
TO OPERATE ENGINES, CARS AND TRAINS THEREON, UPON, OVER AND ACROSS MAGNOLIA
STREET IN THE CITY OF LUBBOCK, TEXAS, AT A DESIGNATED LOCATION, HEREINAFTER
DESCRIBED; PROVIDING FOR MAINTENANCE OF STREET AND CHANGE OF GRADE; PROVIDING
FOR THE TERM OF THIS FRANCHISE AND REVOCATION AND CANCELLATION HEREOF; PROVIDING
FOR AMOUNT OF CONSIDERATION FOR THIS FRANCHISE; PROVIDING FOR RELOCATION OF
UTILITIES AND REPAIR TO DAMAGED CITY AND UTILITY FACILITIES; PROHIBITING
ASSIGNMENT HEREOF WITHOUT PERMISSION OF THE CITY; PROVIDING FOR COVENANTS TO
BE BINDING; PROVIDING FOR LIMITATIONS ON TITLE OR INTEREST PASSAGE AND THE
GIVING UP OF PEACEFUL POSSESSION; PROVIDING FOR TRAFFIC CROSSING SIGNALS AT
THE CROSSING IF NEEDED, AT FRANCHISEE'S EXPENSE; EFFECTIVE DATE AND PUBLICATION
HEREOF; AND PROVIDING A SAVINGS CLAUSE.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
SECTION 1. THAT the Atchison, Topeka and Santa Fe Railway Company,
and Magnolia Seed Company of Lubbock, hereinafter collectively ,called "Fran-
chisees" be hereby granted the right, power and privilege of locating, building,
erecting, constructing and properly maintaining a spur track and other necessary
appliances connected therewith, and to operate engines, cars and trains thereon,
upon~ over, and across the following described portion of Magnolia Street:
BEGINNING at a point in the East line of Magnolia Avenue said point being
in a North line of First Installment, Crawford Industrial Addition, by
Dedication Certificate dated October 29, 1963 recorded in Volume 972,
Page 553, Lubbock County Deed Records and being the most Easterly corner
of hereinafter described land.
Thence due West along the North line of said Magnolia Avenue a distance
of 75.0 feet to a point for corner.
Thence due South at 2.50 feet pass the Northeast corner of Lot 2, Block
11, First Installment, Crawford Industrial Addition and continuing due
South along the East line of said Lot 2, Block 11 in all a distance of
13.0 feet to a point for the most Southerly corner of herein described
land.
Thence North 82°50150" East a distance of 76.11 feet to the point of
BEGINNING, containing an area of 487.5 square feet, more or less.
SECTION 2. THAT the Franchisees are hereby required by the acceptance
of this Ordinance, agree that they will construct, maintain and operate said
spur track and other necessary appliances incident thereto, so as to conform
to the grade established by the City Engineer, and in such manner as to inter-
fere as little as possible with the use and enjoyment, ingress and egress of
the abutting premises by the owners and other lawful occupants thereof; that
said Franchisees will pay the total cost of paving improvements and maintenance
thereof between the rails and two feet on each side thereof, should the street
be paved; that said Franchisees. · Will provide at tneir'.own -expense; all::.:storm
sewers and appurtenances thereto and other drainage structures which may
become necessary for proper drainage of the area by virtue of the construction
of such spur track over, upon, or across said street; and that they will
maintain and operate said track and other facilities incident thereto in
accordance with the laws of the State of Texas and the lawful ordinances and
resolutions and charter of the City of Lubbock in such cases made and provided.
This Franchise Ordinance shall become null and void if the said Franchisees
shall fail or refuse to fully keep and perform all the duties and obligations
imposed or resting on Franchisees by the terms hereof, and same shall be
subject to cancellation as set forth in numbered Section 4 of this Ordinance.
SECTION 3. THAT the Franchisees by acceptance of this Ordinance and
construction of the spur track across the street designated, further agree
that in the event the City Engineer of the City of Lubbock with the approval
of the governing body, determine to change the grade of any said streets, the
said Franchisees shall timely and according to construction plans and specificat on
for such change in grade, and notice thereof, raise or lower said tracks to
the new grade so established, all at the expense of the Franchisees including
but not limited to the necessary construction, reconstruction and repair, if
required, of all culverts, necessary drainage structures and paving, if any be
required, between the rails and/or two feet on the outside of such rails.
SECTION 4. The terms of this Franchise shall be from year to year,
not to exceed twenty years without renewal by.the City Council and the City of
Lubbock retains the right at its election to cancel and revoke this Franchise
for violation of or failure or refusal by Franchisees to comply with any
provision of this Franchise impos~ng a duty or obligation on Franchisees or
upon any failure by Franchisees to timely pay to the City of Lubbock the
payments required to be made as compensation for the grant of this Franchise
upon thirty days' notice to Franchisees. Said notice shall be deemed properly
served if deposited in the post office, postage paid, addressed to the Atchison,
Topeka, and Santa Fe Railway Company, 500 Main Street (Agent's local office),
Lubbock, Texas, and to the Magnolia Seed Company of Lubbock, P.O. Box 5650,
Dallas, Texas, 75222, or to the last known respective address of each of said
Franchisees.
Upon expiration or cancellation and revocation of this Franchise by the
City of Lubbock or the abandonment of the Franchise by the Franchisees, the
improvements that are permitted under this Franchise shall be removed by the
Franchisees and the property shall be restored to its original condition at no
cost or expense to the City of Lubbock. In the event the Franchisees fail or
refuse to remove such improvements after demand by the City of Lubbock, the
City of Lubbock may enter possession, and remove or cause to be removed such
improvements and the expense incurred shall be assessed against Franchisees
for which Franchisees shall be liable, and all or any part of such improvements
not so removed shall become the property of the City of Lubbock.
SECTION 5. Franchisees shall pay to the City of Lubbock as compensation
for such grant initially the sum of Two Hundred and 50/100 Dollars ($250.00)
cash in advance contemporaneously with the acceptance and execution hereof by
Franchisees, and thereafter upon each anniversary date of this Franchise an
annual payment of $100 per year.

SECTION 6. The Franchisees agree to pay all costs arising out of the
exercise of this Franchise herein granted, including but not limited to the
replacement and repairing of paving, sidewalks, curbs, gutters, and utilities
of any nature occasioned by the construction as authorized by this Franchise.
SECTION 7. In the event the City of Lubbock determines that the
existence of such use interferes with or causes the rerouting or realignment
of any public street or municipal facility or any public utility, franchise
utility or sanitary or storm sewer line constructed or to be constructed by
the City of Lubbock or franchised utility, Franchisees agree to reimburse the
City of Lubbock, or such utility as the case may be, for its expense of such
rerouting or realignment over and above the expense which would have been
incurred except for Franchisees' use herein, and Franchisees agree to cooperate
with the City of Lubbock or such franchise public utilities as necessary to
facilitate such realignment and rerouting.
SECTION 8. This Franchise is not assignable by the Franchisees (in
whole or in part} without first receiving the written consent of the City
~funager of the City of Lubbock.
SECTION 9. All of the covenants and provisions of this Franchise
shall be binding upon and inure to the benefit of the successors, legal re-
presentatives, assigns and the duly authorized agents and contractors of the
parties hereto to the same extent and effect as the same are binding upon and
inure to the benefit of the parties hereto, but no assignment hereof by the
Franchisees shall be binding upon the City of Lubbock without the consent of
the City of Lubbock in each instance except as specified in Section 8 hereinabov
set forth.
SECTION 10. Franchisees, by acceptance of the uses permitted herein,
understand and agree that no interest, title or rights of possession are.
intended or implied except those expressly set forth herein and Franchisees
waive any and all claims in and to the public way it is permitted to use
hereby and agrees to give peaceful possession of said property covering herein
upon termination or cancellation of this Franchise.
SECTION 11. This Franchise is made and Franchisees accept the Franchise
subject to any covenants, use limitations or restrictions of any character
pertaining to the City of Lubbock's title or easement in the land upon which
the street herein described is located, and in consideration of this grant,
Franchisees agree, bind, and obligate themselves to abide by all such lawful
covenants, use limitations, and restrictions, if any; that Franchisees bind
themselves not to do or perform any act or erect any structure on any part of
the street described herein, which will in any manner diminish or otherwise
effect or impair the City of Lubbock's title, easement or other interest in
land within the right-of-way of said street; that Franchisees will hold Grantor,
City of Lubbock, harmless and indemnify it against any loss, damage, claim,
causes of action, suits, attorneys' fees, judgments and court costs, which may
arise out of or relate to Franchisees' use of the described street.

SECTION 12. If in the judgment of the governing body of the City
of Lubbock (City Council) traffic conditions call for a traffic crossing
signal installation, should become necessary, then upon such notification
of such decision to Franchisees, such Franchisees shall forthwith install
such traffic control signal installation at the expense of Franchisees
to the satisfaction of the City of Lubbock.
SECTION 13. This ordinance shall be published in its entirety after
its second reading and final passage by the City Secretary once a week for
three consecutive weeks, such publication to be made at the expense of
Franchisees in a newspaper published in the City of Lubbock as provided for
in Chapter 1, Article II, Section 18, and in accordance therewith, this
ordinance shall become effective after the expiration of thirty days from
its last publication as aforesaid.
SECTION 14. Should any provision hereof be found invalid or
unconstitutional, it shall not affect the validity of the remaining
provisions hereof.
