RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for
an on behalf of the City of Lubbock, an Agreement for Interim Utilities Director Services, by
and between the City of Lubbock and Strategic Government Resources, and related documents.
Said Agreement is attached hereto and incorporated herein as though set forth fully herein and
shall be included in the minutes of the City Council.

Scope of Servic�es. The Ciy ot Lubbock, Texas, (referred to as "Ciry'� seeks an Interim Udlities Director to
perform relaterl duties for Ciry. Strategic Government Resources (refe�red to as "SGR'� will provide a highly
experie�ced local government professional to serve as Interim Utilities Director for City.
Racomme�ded Candidate. SGR and City will work together to determine a final candidate for cansideration.
Should City wish to conside� an alternate candidate, SGR can provide other experienced local government
professionats for Ciy to interview. Ciry may interview candidate(s) by phone, Skype, or in person. City will
�eimburse all travel, lodging, and per diem expenses for arry in-person interviews. If at arry time during the
assignment, Ciry wishes to have another candidate provided to serve as Interim Utilities Director, SGR will
produce additionai expe�ie�ced local government professionals to till the posidon, to the satisfaction of City,
pending availability of suitable candidates.
Direcdons and Control. The City is responsible fo� the direction, supervision, and control of the contractor.
It is the City's responsibiliry to provide a safe workplace and to turnish the contractor with any equipmenV
training needed to perform their role.
Terms and Condkions. SGR will provide an Interim Udlides Di�ector at a �ate of $125.00 per hour. The
Interim Utilities Director will work a maximum of 40 hours per week unless approved by City. Any hours
worked in excess of 40 hours per week will be billed at the standard contract rate of $125.00 per hour.

1. SGR will perform a Comprehensive Media Search on the candidate selected by City and p�ovide a
comprehensive media report to City. This media report is compiled from info�mation gathered using
our proprietary online search process. This is not an automated process and produces far supe�ior
results than a standard media or simple Google search. The �eport length may be as long as 350
pages and may include news articles, links to video intenriews, blog posts by residents, etc.

2. The City's Nnal approval of the interim candidate will be dependent upon client acceptance of
results of the media and badcground searches conducted, and we recommend a start date atte�
completion of all etements of our background checWng process.
Should an organization choose to start an interim candidate prior to comple�on of inedia searches
and/or any other elements of the standard background investigation, SGR will be held harmtess fo�
any unexpected findings.
3. SGR will perform a comprehensive background investigation on the candidate selected by the
Ciry. SGR uses a Nce�sed private investigation firm far these services. Through SGR's partnership
with FirstCheck, we are able to provide our clients with comprehensive background sc�eening
reports that include detailed information such as:
o Social Secu�ity number trace
o Address history
o Driving history/motor vehicle reco�ds
o Credit report
o Federal criminal search
o National criminal search
o Global homeland securiry search
o Sex offender registry search
o State criminal search (for cuRent and previous states of residence)
o County c�iminal search (for every county in which candidate has lived or worked)
o Counry civil search (for every county in which candidate has lived or wo�Ced)
o Education ve�ificatlon
4. Ciry is responsible for the cost of any drug screening that City may �equire.
5. All routine business expenses incurred by SGR's representative in their �ole as Interim Utilities
Oirector, will be reimbursed under the same terms and conditions that such expenses would be
reimbursed for any other emptoyee of City, such as mileage, hotel, and per diem when traveling
at the request of Ciry, and business meals incurred for local meetings. Commute time wiil not be
billed by SGR.
6. The Ciry will provide temporary housing such as a local hotel, direct billed to Ciry, with
airfareltravel reimbursement for up to four trips per month beriveen Interim Utilities Director's
permanent residence and City. Mileage is reimbursed by Ciry at the current IRS mileage
reimbursement rate.
7. City will be billed bi-weekly for the previous 2 week's work and any traveUhousing reimbursement.
Payment will be due within 14 days of each biqing. Balances that are unpaid after the payment
deadline are subject to a fee of 596 per month or the maximum lawful rate, whicheve� is less, on
the owed amount every month, charged monthy until the balance is paid. SGR will not be
compensated for holidays, vacation time, sick leave, etc.
8. If Ciry hires the candidate piaced as Interim Udlities Director for a permanent pasition during the
term of this agreement or within 12 months aRer the conclusion of this agreement, City will pay

SGR an employment placement fee of $10,000.00. This fee is waived if SGR conducts a(ull-
service executNe search br this positfon.
9. City or SGR may terminate the agreement for Interim Utilities Director Services with a fourteen
(14) day written notice, without cause or penatry.

Confldentiality AgreemenL The Interim UtiliNes Director will pertorm senrices for Ciry which may require
City to disclose confidential and prop�ietary inbrmation to Inte�im Utilldes Director or which may require
City to grant authorization to the Inte�im Utilities Director to make �inancial and legal transactions on behalf
of the City. Confidential informaUon includes, but is not limited to, any information of any kind, nature, or
description concerning any matters affectinp or relabng to Interim Utilities Di�ectors services for City, the
business or operations of City, andlor the products, projects, drawings, plans, processes, or other data of
City. Financial and legal information includes, but is not limited to, financial institution wire iransfers,
deposits, withdrawals, cash handling, investment handling, real property transadions, or other 6nancial
or legal transactions of City. The Interim Utilities Oirector, through hislher contract with SGR agrees:
• To hold any and all confidential information received from Ciry in strict con6dence and shall
exercise a reasonable degree of care to prevent disclosure to others.
• Not ta disclose or divulge, either directly or indirectly, the confidential information to others unless
fi�st authorized to do so in writing by City. For financial and legal transactions, Interim Utilities
Director must receive authorization from City verbally and in writing, other than by email, and
Interim Udlities Director shall maintain reasonable data securiry cont�ols to protect Interim Utilities
Director and Ciry (rom sacial engineering anacks.
• Not to reproduce the confidentiai information, nor use this information commercially, or (or any
purpose other than the performance of hislher duties for Ciy.
• That upon request or upon terminabon of his/her relationship with City, deliver to City, any
drawings, notes, documents, equipment, and materials received from Ciry or originating from
his/her activities for City.

• That Ciry shall have the sole �ight to determine the treatment of any information that is part or
project speci�c rece{ved hom Interim Udlities Director, including the �ight to keep the same as
confidential and proprietary.
Venue. The venue fo� any disputes shall reside in Lubbock Counry, Texas.
Applicable law. This ag�eement shall be govemed by the laws of the State of Texas.
This ag�eement represents the full and complete agreement between Strategic Govemment Resources
and the City of Lubbock, Texas, and supersedes any and all prlor written or verbal agreements. This
agreement may be modified or amended on{y by a written instrument signed by the parties.
