RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute
for and on behalf of the City of Lubbock, Change Order No. 1 to that certain Contract No.
17341, by and between the City of Lubbock and ACME Electric Company for Electrical
Grounding and Generator Upgrade at the Lubbock Preston Smith International Airport, and
related documents. Said Change Order No. 1 is attached hereto and incorporated in this
resolution as if fully set forth herein and shall be included in the minutes of the City Council.

"Change Order" means a written order to a Contractor, executed by the Owner, in accordance with the Contract authorizing an addition to, deletion
from, or adjustment or revision of the requirements of the Contract documents, or an adjustment to the compensation payable to the Contractor, or to
the time for performance of the Contract and completion of the project, or a combination thereof, which does not alter the nature of project and is an
integral part of the project objective. Adjustments to "Estimated Quantities" to a line time in a Unit Price Contract do not require a Change Order. All
work that alters the nature of the construction or that is not an integral part of the project objective must be let out for public bid.

Change Order Items:
Item #1: Replace One 2 Megawatt Generator with Two 1.1 Megawatt Generators
Contractor Proposal Document: Field Bulletin #1
Cost: $243,001.63
Description: Due to extremely long lead times for the 2 megawatt generator(120 weeks), the single generator will be replaced with
two 1.1 megawatt generators to with a much shorter lead time(46-48 weeks). This change includes additional conduit and wiring to
accommodate the additional feeder connection to the second generator, and additional concrete for a larger housekeeping pad to
accommodate the second generator. This change will greatly reduce the construction duration. The lead times for the 2 megawatt
generator increased after bid award.
Item #2: Relocate new emergency Automatic Transfer switch from new electrical room to existing electrical room.
Contractor Proposal Document: Field Bulletin #1
Credit: $191,894.76
Description: During field investigation it was discovered that there would be enough space in the existing electrical room to install
the new automatic transfer switch(ATS). This resulted in the reduction in the required lengths and quantities of conduit and
conductors to connect the generators and main electrical switchgear.
Item #3: Install Bus Duct in lieu of multiple conduits and feeders to connect the main electrical switchgear and main electrical
disconnect.
Contractor Proposal Document: Field Bulletin #1
Cost: $10,446.72
Description: The design drawings called for multiple individual conduits and feeders to connect the main electrical disconnect
switch to the main electrical switchgear. This change to utilize a bus duct in lieu of multiple conductors will reduce the space
required for routing of the connection between the disconnect and the switchgear reducing the disruption to existing ceilings, walls
and other utilities in the area. These disruptions and space conflicts were unknown prior to construction.
Where the Change Order is negotiated, the Change Order must be fully documented and itemized as to costs, including material quantities, material
costs, taxes, insurance, employee benefits, other related costs, profit and overhead. Where certain unit prices are contained in the initial Contract, no
deviations are allowed in computing negotiated change order costs.

TERMS AND CONDITIONS
1. AGREEMENT. Warren Power & Machinery, Inc. doing business as Warren Cat ("Seller') offers to sell the products and materials (the "Goods")
indicated on the face of this Sales Agreement, Sales Order or Sales Quotation (the "Order") to the purchaser or buyer ("Buyer") indicated on the Order in
accordance with these Terms and Conditions. Submittal of a purchase order for the Goods by Buyer, execution of the Order by Buyer, or any other
express acknowledgement of the Order by Buyer constitutes acceptance of this offer, which offer and acceptance constitute a legally enforceable
agreement ("AgreemenP') between Seller and Buyer. Any additional or different term or condition on Buyer's purchase order or acknowledgement fortn,
or otherwise communicated in writing or orally by Buyer in accepting this offer, is deemed to be a material alteration of this offer and is objected to and
rejected by Seller.
2. PRICE. The prices wntained in this offer are firm for thirty (30) days from the date of this offer. The prices are exclusive of all sales, use, excise and
other similar taxes.
3. TERMS OF PAYMENT. Unless othenvise stated on the face of the Order, Buyer shall pay Seller for the Goods and all applicable taxes within thirty
(30) days from the date of Seller's invoice. Any unpaid amount bears interest at a rate equal to the lesser of (a) 18°% per annum, or (b) the maximum rate
permitted by applicable law.
4. DELIVERY. Delivery of the Goods is Ex Works (Incoterms 2010) Seller's facility indicated on the face of the Order. Any delivery date on the face of
the Order is approximate, and Seller has no liability for failure to deliver the Goods by the delivery date.
5. DISCLAIMER OF WARRANTIES. EXCEPT FOR THE WARRANTY OF TITLE, SELLER MAKES NO WARRANTIES OF WHATSOEVER
NATURE, EXPRESS OR IMPLIED, CONCERNING THE GOODS, IT BEING THE INTENTION OF SELLER AND BUYER TO NEGATE
EXPRESSLY AND TO EXCLUDE ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR ANY PARTICULAR PURPOSE, WARRANTIES CREATED BY ANY AFFIRMATION OF FACT OR PROMISE OR BY ANY DESCRIPTION
OF THE GOODS AND ANY OTHER WARRANTIES WHATSOEVER CONTAINED IN OR CREATED BY THE UNIFORM COMMERCIAL
CODE OR SIMILAR LAW AS ADOPTED IIV THE STATE OF TEXAS OR ANY OTHER JURISDICTION. BUYER WAIVES ANY CLAIM IT HAS
AGAINST SELLER FOR ANY LOSS, DAMAGE OR EXPENSE CAUSED BY THE GOODS OR BY ANY DEFECT IN THE GOODS, USE OR
MAINTENANCE OF THE GOODS OR SERVICING OR ADJi1STMENT TO THE GOODS, AND PURCHASES THE GOODS AS-IS. Seller will
provide commercially reasonable assistance to Buyer in enforcing any manufacturer's warranty.
6. FORCE MAJEURE. Seller may suspend perfortnance under this Agreement during the occurrence of a delay arising from causes or events beyond
Seller's reasonable control, including acts of God, fire, war, strike, loss or shortage of transportation, lockout or commandeering of raw materials or
products or plants or facilities by a govemmental authority.
7. PATENT INDEMNITY. Seller shall, at its own expense, defend any suit or cause of action against Buyer for alleged infringement of patent rights
arising from the sale or use of the Goods and indemnify and hold Buyer harmless from any damages, liabilities, claims, losses and expenses (including
reasonable attomeys' fees) paid or incurred by Buyer in connection with the suit or cause of action.
8. CANCELLATION. If Buyer desires to cancel or change any portion of the Order, Buyer may request same in writing to Seller. Seller may, in its sole
discretion, accept or reject any request and
may charge Buyer a reasonable fee and any costs Seller incurs related to the change or cancellation as a condition to accepting any cancellation or change.
9. GOVERNING LAW, JURISDICTION AND VENUE. This agrcemcnt is govcmcd by and construcd in accordancc with thc laws of thc statc of
Tcxas applicablc to agrecmcnts madc and to bc performcd cntircly within that statc. This agrccmcnt is performablc in Midland County, Texas, and buycr
waivcs thc right to bc sucd clscwhcrc. Without cxcluding any othcr jurisdiction, buycr agrccs that thc statc and fcdcral courts of Tcxas locatcd in Midland,
Tcxas havc jurisdiction ovcr any procccdings in conncction with this agrccmcnt and submits with respcct to itsclf and its property to thc jurisdiction of
any likc court for thc purposc of any suit, action, procccding or judgmcnt rclating to or ansing out of this agrcemcnt.
10. LIMITATION OF LIABILITY. NOTWITHSTANDING ANY PROVISION OF THIS AGREEMENT TO THE CONTRARY, NEITHER PARTY
(NOR THE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS OF EITHER PARTY) IS LIABLE HEREUNDER TO THE OTHER IN ANY
ACTION OR CLAIM FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES, WHETHER THE
ACTION M WHICH RECOVERY OF THE DAMAGES IS SOUGHT IS BASED ON CONTRACT, TORT (INCLUDING SOLE, CONCURRENT OR
COMPARATIVE NEGLIGENCE), GROSS NEGLIGENCE, INTENTIONAL OR WRONGFUL ACTS OR STRICT LIABILITY. EXCEPT TO THE
EXTENT PROHIBITED BY LAW, ANY STATUTORY REMEDIES INCONSISTENT WITH THESE TERMS ARE WAIVED BY THE PARTIES.

accordance with the Export Administration Regulations. Diversion contrary to U.S. law is prohibited. This includes the use of these goods in the support
of exploration or production for deep water, Arctic offshore, or shale oil projects that have the potential to produce oil in the Russian Federation or in
maritime area claimed by the Russian Federation and extending from its territory.

TERMS AND CONDITIONS
l. AGREEMENT. Warren Power & Machinery, [nc. doing business as Warren Cat ("Seller") offers to sell the products and materials (the "Goods")
indicated on the face of this Sales Agreement, Sales Order or Sales Quotation (the "Order") to the purchaser or buyer ("Buyer") indicated on the Order in
accordance with these Terms and Conditions. Submittal of a purchase order for the Goods by Buyer, execution of the Order by Buyer, or any other
express acknowledgement of the Order by Buyer constitutes acceptance of this offer, which offer and acceptance constitute a legally enforceable
agreement ("Agreement") between Seller and Buyer. My additional or different term or condition on Buyer's purchase order or acknowledgement form,
or otherwise communicated in writing or orally by Buyer in accepting this offer, is deemed to be a material alteration of this offer and is objected to and
rejected by Seller.
2. PRICE. The prices contained in this offer are firm for thirty (30) days from the date of this offer. The prices are exclusive of all sales, use, excise and
other similar taxes.
3. TERMS OF PAYMENT. Unless otherwise stated on the face of the Order, Buyer shall pay Seller for the Goods and all applicable taxes within thirty
(30) days from the date of Seller's invoice. Any unpaid amount bears interest at a rate equal to the lesser of (a) 18°�o per annum, or (b) the maximum rate
permitted by applicable law.
4. DELIVERY. Delivery of the Goods is Ex Works (Incoterms 2010) Seller's facility indicated on the face of the Order. My delivery date on the face of
the Order is approximate, and Seller has no liability for failure to deliver the Goods by the delivery date.
5. DISCLAIMER OF WARRANTIES. EXCEPT FOR THE WARRANTY OF TITLE, SELLER MAKES NO WARRANTIES OF WHATSOEVER
NATURE, EXPRESS OR IMPLIED, CONCERNING THE GOODS, IT BEING THE INTENTION OF SELLER AND BUYER TO NEGATE
EXPRESSLY AND TO EXCLUDE ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR ANY PARTICULAR PURPOSE, WARRANTIES CREATED BY ANY AFFIRMATION OF FACT OR PROMISE OR BY ANY DESCRIPTION
OF THE GOODS AND ANY OTHER WARRANTIES WHATSOEVER CONTAINED IN OR CREATED BY THE UNIFORM COMMERCIAL
CODE OR SIMILAR LAW AS ADOPTED IN THE STATE OF TEXAS OR ANY OTHER JURISDICTION. BUYER WAIVES ANY CLAIM IT HAS
AGAINST SELLER FOR ANY LOSS, DAMAGE OR EXPENSE CAUSED BY THE GOODS OR BY ANY DEFECT IN THE GOODS, USE OR
MAMTENANCE OF THE GOODS OR SERVICING OR ADJl1STMENT TO THE GOODS, AND PURCHASES THE GOODS AS-IS. Seller will
provide commercially reasonable assistance to Buyer in enforcing any manufacturer's warranty.
6. FORCE MAJEURE. Seller may suspend performance under this Agreement during the occurrence of a delay arising from causes or events beyond
Seller's reasonable control, including acts of God, fire, war, strike, loss or shortage of transportation, lockout or commandeering of raw materials or
products or plants or facilities by a govemmental authority.
7. PATENT INDEMNITY. Seller shall, at its own expense, defend any suit or cause of action against Buyer for alleged infringement of patent rights
arising from the sale or use of the Goods and indemnify and hold Buyer harmless from any damages, liabilities, claims, losses and expenses (including
reasonable attorneys' fees) paid or incurred by Buyer in connection with the suit or cause of action.
8. CANCELLATION. If Buyer desires to cancel or change any portion of the Order, Buyer may request same in writing to Seller. Seller may, in its sole
discretion, accept or reject any request and
may charge Buyer a reasonable fee and any costs Seller incurs related to the change or cancellation as a condition to accepting any cancellation or change.
9. GOVERNING LAW, JURISDICTION AND VENUE. This agrccmcnt is govcrncd by and construcd in accordancc with thc laws of thc statc of
Texas applicablc to agrccments madc and to bc performcd entircly within that statc. This agrecmcnt is performablc in Midland County, Tcxas, and buycr
waivcs thc right to bc sucd clscwhcrc. Without excluding any othcr jurisdiction, buycr agrccs that thc statc and fcdcral courts of Tcxas locatcd in Midland,
Tcxas havc jurisdiction ovcr any procccdings in conncction with this agrccmcnt and submits with respcct to itsclf and its property to thc �unsdiction of
any likc court for thc purposc of any suit, action, procceding or judgment rclating to or arising out of this agrccmcnt.
10. LIMITATION OF LIABILITY. NOTWITHSTANDING ANY PROVISION OF THIS AGREEMENT TO THE CONTRARY, NEITHER PARTY
(NOR THE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS OF EITHER PARTY) IS LIABLE HEREUNDER TO THE OTHER IN ANY
ACTION OR CLAIM FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES, WHETHER THE
ACTION IN WHICH RECOVERY OF THE DAMAGES IS SOUGHT IS BASED ON CONTRACT, TORT (INCLUDING SOLE, CONCURRENT OR
COMPARATIVE NEGL[GENCE), GROSS NEGLIGENCE, INTENTIONAL OR WRONGFUL ACTS OR STRICT LIABILITY. EXCEPT TO THE
EXTENT PROHIBITED BY LAW, ANY STATUTORY REMEDIES INCONSISTENT WITH THESE TERMS ARE WAIVED BY THE PARTIES.

Item 1:
The basis of design 2 MW Generator has an excessive product lead time. Coordination and research
with equipment manufacturers has identified that smaller capacity generators have a much shorter lead
time. This revision will replace the single 2 MW generator with two 1.1 MW generators.
Item 2:
The bid documents indicated the location for automatic transfer switches ATS-1 S and ATS-2s in the new
electrical room. This revision will locate the new ATS switches in the existing main switchgear room.
Item 3:
The bid documents originally indicated a series of conduits and conductors to connect MSB-1 Main with
MSB-1 Distribution. This revision indicates the connection between these two sections can be made with
bus duct instead of conduits/conductors.
