RESOLUTYON
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute fo
and on behalf of the City of Lubbock, a Memorandum of Understanding, Contract No. 17928 fo
acceptance and review of grant applications on behalf of the City of Lubbock, by and between th{
City of Lubbock and the Lubbock Economic Development Alliance (LEDA), and relate+
documents. Said Contract is attached hereto and incorporated in this resolution as if fully set fort]
herein and shall be included in the minutes of the City Council.

MEMORANDUM OF UNDERSTANDING
BETWEEN
THE CITY OF LUBBOCK AND THE LUBBOCK ECONOMIC DEVELOPMENT ALLIANCE
This Memorandum of Understanding (the "MOU"), Contract No. 17928, is made on this
Sth day of March , 2024, by and between the City of Lubbock ("City") and the
Lubbock Economic Development Alliance ("LEDA"), a Texas economic development
corporation, for the acceptance and review of applications for an American Rescue Plan Act
("ARPA") workforce training grant program on behalf of the City of Lubbock.
WHEREAS, the City of Lubbock has designated one hundred fifty thousand dollars and
NO/100 ($150,000.00) of ARPA funds for a workforce training grant program for Lubbock
employers in order to help offset the costs of employee training for employees working towards a
license in certain trades; and
WHEREAS, each grant under the program detailed herein shall not exceed five thousand
dollars and NO/100 ($5,000.00);
WHEREAS, LEDA has agreed to receive employer grant applications on behalf of the
City, and will make recommendations to the City regarding applicants who meet program
requirements;
NOW THEREFORE, for and in consideration of the terms, covenants and conditions set
forth in this MOU, the City and LEDA hereby agree as follows:
1. TERM OF MEMORANDUM OF UNDERSTANDING
The term of this MOU shal( be from the effective date herein through June 30, 2024.
2. LEDA RESPONSIBILITIES
LEDA shall promote the City's workforce training grant program and receive and review
employer application submissions on behalf of the City.
In order to be a qualified applicant, the following requirements must be met:
a. Must be a valid employer with its primary business located in the city limits of the City
of Lubbock;
b. Must be eligible to conduct business in the State of Texas;

c. Shall not be delinquent in any payments due to the Texas Comptroller of Public
Accounts;
d. Shall not be delinquent in property taxes due to the Lubbock Central Appraisal District
or any other local, state, or federal taxing entities; and
e. The employer applicant must have employee pursuing a license in one of the following
trades:
i. Plumbing;
ii. HVAC; or
iii. Electrical.
An employer may be eligible for a maximum of two (2) grants under the program described
herein. All grant awards shall be at the sole discretion of the City of Lubbock.
3. CITY OF LUBBOCK RESPONSIBILITIES
The City of Lubbock will receive and review application recommendations from LEDA
for qualified applicants for the program herein.
4. NOTICE
A. General. Whenever notice between the parties is required or permitted by this MOU and
no other method of notice is provided, such notice shall be given by (1) actual delivery of the
written notice to the other party by hand (in which case such notice shall be effective upon
delivery); (2) facsimile (in which case such notice shall be effective upon delivery); (3) email; or
(4) by depositing the written notice in the United States mail, properly addressed to the other party
at the address provided in this article, registered or certified mail, return receipt requested, in which
case such notice shall be effective on the third business day after such notice is so deposited.

D. Change of Address. Either party may change its address or numbers for purposes of
notice by giving written notice to the other party as provided herein, referring specifcally to this
MOU, and setting forth such new address or numbers. The address or numbers sha(1 become
effective on the 15th day after such notice is effective.
5. NO LIABILITY
No liability will arise or be assumed between the parties as a result of this MOU. All
parties to this document will act in good faith to achieve the goals of the MOU in a reasonable
time frame. This MOU is a good faith expression of the intent of the Parties.
6. NO JOINT ENTERPRISE
This MOU is not intended to, and shall not be construed to, create any joint enterprise
between or among the Parties.
7. GOVERNING LAW
This MOU will be governed by the laws of the State of Texas. The sole venue for any
action, controversy, dispute or claim arising under this MOU shall be in a court of appropriate
jurisdiction in Lubbock County, Texas exclusively.
8. AMENDMENTS
No amendment, modification, or alteration of the terms of this Agreement shall be binding
unless such amendment, modification, or alteration is in writing, dated subseyuent to this
Agreement, and duly authorized and executed by the City and LEDA.
9. ENTIRE AGREEMENT
This Agreement contains the entire agreement between the City and LEDA, and there are
no other written or oral promises, conditions, warranties, or representations relating to or affecting
the matters contemplated herein.
