Market Lubbock DT Facade Expenditure Nashwell 1.24.24 Resolution No. 2024-R0064 RE 24-09 RESOLUTION APPROVING NASHWELL LLC AT 820 MAIN STREET - DOWNTOWN FACADE GRANT THE STATE OF TEXAS COUNTY OF LUBBOCK At a regular meeting of the Board of Directors of MARKET LUBBOCK ECONOMIC DEVELOPMENT CORPORATION, INC., a Texas nonprofit corporation (MLI), on Wednesday, January 24, 2024, held in conformity with the bylaws, after due notice as therein provided, a quorum being present and acting, the following resolution was unanimously adopted: WHEREAS, MLI presented to members of the Board the proposal of a possible Economic Development Grant and Contract to Nashwell LLC at 820 Main Street, which is making improvements to their property, which is located in the Downtown TIF. Jonathan Blackwell and Angela Nash-Blackwell started Nashwell LLC in 2016. NashwellCo.work opened in 2017 at 5105 29th Drive across from Adventure Park. Nashwell LLC opened Nashwell Cafe in 2021 combined with NashwellCo.work at 1212 Ave K. When 820 Main Street became availab(e, NashwellCo.work has its own brick and mortar again in 2023. The scope of facade work will include demolition, new doors and windows, updated awning with solar panels, lighting and painting totaling $24,152 in fapade expenses. The terms and conditions of such Economic Development Grant and Contract, other than the normal terms and conditions applicable to a(I such Economic Development Grant and Contracts by the Corporation, are described generally as follows, to wit: Grant Nashwell LLC a Facade Grant for $12,076. at 820 Main Street, which is in the Downtown TIF, once proof of payment has been submitted. WHEREAS, The Board of Directors of MLI finds that an Economic Development Grant and Contract offering the incentive for providing assistance for renovations to their property, meet and comply with the qualifications and purposes of the Corporation for the granting of such Economic Development Grants and Contracts. Upon Motion by Director, Mr. Sonny Garza, and Seconded by Director, Mr. Brett Cate. IT WAS RESOLVED that MLI offer and, if accepted by Recipient, enter into an Economic Grant and Contract with Nashwell, LLC for improvements to the property at 820 Main Street, Lubbock, Texas. Installations must be completed in accordance with all laws, codes and other requirements applicable under federal, state and local authority (e.g. permits, inspections) 2. SolarTech Energy, LLC will require the necessary client information to proceed with mandatory government and State applications. 3. SolarTech Energy, LLC and its staff will require access to your property to proceed with initial project assessment, construction, inspection and required maintenance. The client will be contacted prior to SolarTech Energy, LLC visits, and will need to arrange property access allowing SolarTech Energy, LLC to fulfill its portion of the agreement. SolarTech Energy, LLC will require all necessary forms filled and full client cooperation to complete its part of the contract. 4. We recommend the client to seek the appropriate consultation concerning any tax liabilities that may be associated with the receipt of the rebate. 5. SolarTech Energy, LLC, its parents, subsidiaries, affiliates, officers, employees, contractors and agents: - Assume the responsibility to be hold all the equipment companies, including, but not limited to, Solaria, MSquare, GrowSun, APA Racking, Enphase, Ironridge and SnapNRack responsible for the replacement of any failed or faulty equipment according to their equipment warranties. SolarTech Energy Solutions will obtain replacement equipment and replace the warranted part free of charge as part of our warranty service. - Do not endorse, guarantee or warrant any particular brand, manufacturer or third party services. - Are not responsible for any tax liabilities that a client may incur. 6. The client hereby agrees to indemnify, defend and hold harmless, SolarTech Energy, LLC, its parents, subsidiaries, affiliates, officers, employees, contractors and agents from any and all liability associated with this program/project except for the labor warranties provided. Please refer to product spec sheet and online warranty information for details. Manufacturer is responsible for all solar components warranties, SolarTech Energy, LLC is responsible for all labor warranties unless stipulated otherwise. - 25 year limited power output warranty on solar panels - 25 year limited product warranty on solar panels - 25 year limited warranty on micro-inverters - 25 year limited warranty on racking system - Stated Warranty on String and Central Inverters (varies by manufacturer) 7. In addition to the above warranties, SolarTech Energy does recommend that the homeowner add their solar system to their existing homeowner's insurance policy to cover extreme weather conditions that are not covered by the stated warranties. 8. The client is responsible for the loan application process, from initiation through completion unless mentioned otherwise by a representative of SolarTech Energy, LLC. The client is responsible for ensuring that the guidelines, terms and conditions, requirements, and program processes are adhered to within the loan process. 9. It is the responsibility of SolarTech Energy, LLC to ensure that all appropriate permits (e.g. local, state) have been obtained including ensuring that Deed Restrictions or Home Owner Association Restrictions do not prohibit the installation of the proposed PV system. 10. Federal, State, Local, Utility program guidelines and rebate levels are subject to change without notice, and may be terminated by executive, legislative or regulatory action at any time. Utility rates are also subject to change. SolarTech Energy, LLC is not help accountable for loss of rebate, income, savings or delays resulting from such situation. 11. Prior to final pricing, SolarTech Energy, LLC reserves the right to conduct a site visit/audit to verify that all satellite calculations were exact. Materials offered are subject to change without notice. Quality and efficiency offered will remain equivalent or better. 12. All payments must be made according to the scheduled agreement. Personal Check, Wire Transfer, all major Credit/Debit Cards (only for initial deposit), and Bankers Draft are all acceptable methods of payment. All goods remain the property of the SolarTech Energy, LLC until final payment has been completed. Payments outstanding beyond their respective due dates will incur interest at the rate of 2� on the outstanding balance, until the balance is paid in full and final settlement has been reached. 13. SolarTech Energy, LLC does not, will not, and cannot hold responsibilities in relation to any form of damage caused by accumulated snow and/or ice and/or hail on or around the solar array above the module manufacturer's specific warranties. It is the responsibility of the homeowner to add the value of the solar system installed on their home to their homeowner's insurance policy. 14. The timeline proposed in this offer cannot be guaranteed by SolarTech Energy, LLC and SolarTech Energy, LLC cannot be held accountable for any delays resulting from situations not under the control of SolarTech Energy, LLC (rain, snow, application approval delays etc.) 15. SolarTech Energy, LLC will not sell, share, or rent your personal information to any third party, or use your e-mail address for unsolicited mail. All e-mail messages sent by SolarTech Energy, LLC will pertain solely to the provision of agreed services and products. Any information on pricing and procedures will remain confidential between the client and SolarTech Energy, LLC and are not to be shared with other companies. 16. Warranty or maintenance obligations information may be sold to or transferred to a third party at any time. 17. By signing electronically, and upon doing so, client agrees to all program requirements including all terms and conditions of SolarTech Energy, LLC and both parties are executing this offer in good faith.
