RECITALS WHEREAS, the City would like utilize the General Services Administration (hereinafter "GSA") Contract GS-35F-0458U, for the professional services and license of the replacement of the Interactive Voice Response system for Lubbock Power and Light. WHEREAS,the parties enter into this agreement in pursuant to Section 211 of the a-Gov Act of 2002, Cooperative Purchasing provides authorized State and local government entities access to access to information technology items offered through GSA's Schedule 70. WHEREAS,Contractor desires to perforin as an independent contractor to provide for the replacement for LP& L inactive voice response, upon terms and conditions maintained in this Agreement; and NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City and Contractor agree as follows: City and Contractor acknowledge the Agreement consists of the following exhibits, which are attached hereto and incorporated herein by reference, listed in their order of priority in the event of inconsistent or contradictory provisions: 1. This Agreement 2. Exhibit A—Proposal and Investment 3. Exhibit B—Insurance Requirements SCOPE OF WORK Contractor shall provide the services that are specified in Exhibit A. The Contractor shall comply with all the applicable requirements set forth in Exhibit B hereto. Article 1 SERVICES 1.1 Contractor agrees to perform services,for the City that are specified set forth in Exhibit A. The City agrees to pay the amounts stated in Exhibit A,to Contractor for performing services, in an amount not to exceed $614,000.00 1.2 Contractor shall use its commercially reasonable efforts to render Services under this Agreement in a professional and business-like manner and in accordance with the standards and practices recognized in the industry. 1.3 This contract shall remain in effect until the first of the following occurs: (1) the expiration date, (2) performance of services ordered, or (3) termination of by either party with a 30 day written notice.The City of Lubbock reserves the right to award the canceled contract to the next lowest and best bidder as it deems to be in the best interest of the city. 1.4 The Contractor shall not assign any interest in this Agreement and shall not transfer any interest in the Agreement, whatsoever, without prior consent of the City. 1.5 All funds for payment by the City under this Agreement are subject to the availability of an annual appropriation for this purpose by the City. In the event of non-appropriation of funds by the City Council of the City of Lubbock for the goods or services provided under the Agreement, the City will .terminate the Agreement, without termination charge or other liability, on the last day of the then-current fiscal year or when the appropriation made for the then-current year for the goods or services covered by this Agreement is spent, whichever event occurs first. If at any time funds are not appropriated for the continuance of this Agreement, cancellation shall be accepted by the contractor on 30 days prior written notice, but failure to give such notice shall be of no effect and the City shall not be obligated under this Agreement beyond the date of termination. 1.6 Contractor shall indemnify, defend, keep and save harmless the City, its agents, officials and employees, against all injuries, deaths, loss, damages, claims, patent claims, suits, liabilities, judgments,costs and expenses,which may in anywise arise or accrue against the City inconsequence of the granting of the contract or which may anywise result there from, whether or not it shall be alleged or determined that the act was caused through negligence or omission of the Contractor or its employees, or of the subcontractor or assignee or its employees, if any, and the Contractor shall, at his own expense, appear, defend and pay all charges of attorneys and all costs and other expenses arising there from or incurred in connection therewith,and, if any judgement shall be rendered against the City in any such action, the Contractor shall, at its own expenses, satisfy discharge the same. Contractor expressly understands and agrees that any bond required by the contract, or otherwise provided by Contractor, shall in no way limit the responsibility to indemnify,keep and save harmless and defend the City as herein provided. Article 2 MISCELLANEOUS 2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in accordance with the laws of said State, without reference to choice of law provisions. 2.2 This Agreement is perfonnable in, and venue of any action related or pertaining to this Agreement shall lie in, Lubbock, Texas. 2.3 This Agreement and its Exhibits contains the entire agreement between the City and Contractor and supersedes any and all previous agreements, written or oral, between the parties relating to the subject matter hereof. No amendment or modification of the terms of this Agreement shall be binding upon the parties unless reduced to writing and signed by both parties. 2.4 This Agreement may be executed in counterparts, each of which shall be deemed an original. 2.5 In the event any provision of this Agreement is held illegal or invalid, the remaining provisions of this Agreement shall not be affected thereby. 2.6 The waiver of a breach of any provision of this Agreement by any parties or the failure of any parties otherwise to insist upon strict performance of any provision hereof shall not constitute a waiver of any subsequent breach or of any subsequent failure to perform. 2.8 All claims, disputes, and other matters in question between the Parties arising out of or relating to this Agreement or the breach thereof, shall be formally discussed and negotiated between the Parties for resolution. In the event that the Parties are unable to resolve the claims, disputes, or other matters in question within thirty (30) days of written notification from the aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies available at law or in equity. 2.9 At any time during the term of the contract,or thereafter,the City, or a duly authorized audit representative of the City or the State of Texas, at its expense and at reasonable times, reserves the right to audit Contractor's records and books relevant to all services provided to the City under this Contract. In the event such an audit by the City reveals any errors or overpayments by the City, Contractor shall refund the City the full amount of such overpayments within thirty(30)days of such audit findings,or the City,at its option,reserves the right to deduct such amounts owing the City from any payments due Contractor. 2.10 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or otherwise, including without limitation,the right to seek any and all forms of relief in a court of competent jurisdiction. Further, the City shall not be subject to any arbitration process prior to exercising its unrestricted right to seek judicial remedy.The remedies set forth herein are cumulative and not exclusive, and may be exercised concurrently. To the extent of any conflict between this provision and another provision in, or related to, this document, this provision shall control. 2.11 The Contractor warrants that it complies with Chapter 2270, Subtitle F, Title 10 of the Texas Government Code by verifying that: (1) The Contractor does not boycott Israel;and (2) The Contractor will not boycott Israel during the term of the Agreement. 2.12 SB 252 prohibits the City from entering into a contract with a vendor that is identified by The Comptroller as a company known to have contracts with or provide supplies or service with Iran, Sudan or a foreign terrorist organization. The City will be migrating from an Avaya PBX system to Cisco and have requested budgetary numbers to upgrade their IVR for the new environment. Waterfield assumes the applications will be "like for like" and the application call flows, and database integration will remain the same. Integration with the Cisco Unified Contact Center Express(UCCX) PBX will be accomplished via SIP trunks. Pricing identified is Waterfield price to the City of Lubbock. Changes to this quote include a 100 port IVR system, adding redundancy and enabling the Caller Elected Callback application to work with the Cisco UCCX environment. SECTION - • • • The City currently has a set of IVR applications provided by Waterfield that enables callers to perform self-service functionality on the MPS 500 IVR. The City has requested Waterfield port the core IVR applications to a Waterfield provided Blueworx IVR. Waterfield will perform any changes and conduct regression testing as required to ensure the ported applications perform correctly on the new IVR platform for production. The following applications will be migrated to the new Blueworx IVR: - Main menu - Account balance - Outage Management System (OMS) - Waterfield Notification Service (CNS) - Caller Elected Callback(CEGB) To satisfy this requirement Waterfield has made the following assumptions: 1. The existing Functional Specifications will be updated using Waterfield formats. A Functional Specification using the customer formats and/or graphical call flows can be provided at an optional price. Application specifications will only be updated to reflect the changes with the new Blueworx IVR and Cisco environment. 2. A critical assumption is that this will be a direct port —there will be no modifications to the application call flows, reports, or voice prompts. Existing voice prompts that are installed on the MPS 500 IVR can be converted and reused on the Blueworx IVR or the City may wish to re-record the existing prompts. 3. Applications will be supported in English speech recognition, text to speech technology and DTMF inputs. 4. It is assumed that the SIP enabled Cisco UCCX will make available ANI/DNIS/CLID/Unique Call ID to the application layer of the IVR via the SIP header or via other mutual agreed upon interface. 5. To support the Caller Elected Callback (CECB) application the Cisco UCCX will be licensed with the appropriate APIs that will expose the Estimated Wait Time (EWT) per skill. The City or the Cisco partner will be required to provide the appropriate documentation, SDK, engineering resources and development/test environment that can be used for the pre-production and production integration of the CECB application. All programming of the UCCX system to include ACD functionality, voice services, auto attendant menus, VDN configurations, skills, etc. to support the programming of the callbacks is the responsibility of the City or the Cisco partner. 6. Applications will use standard VXML/CCXML on the new IVR as they are currently programmed today. 7. The City will provide test data that Waterfield can have access to for both testing and post-production cutover. The City should be prepared to test the complete end to end solution. The City will provide test cases for various scenarios to include live callers with correct and incorrect information. 8. Waterfield assumes that the work will be done in a single phase. Events that are beyond our control (such as if the hardware is inoperable, late in arriving, etc.) that affect our ability to complete the work as described may change the price quote and timeframes for delivery. if the customer elects to delay the project for an extended period (3 months or more), then Waterfield will charge a restart fee not to exceed 5% of the total software implementation. 9. Work scheduled on this project shall occur during normal business hours. Work to be performed outside Waterfield normal business hours, if mutually agreed can be offered as an option with a premium, which is equal to an additional 50%surcharge of the hourly rate. This is applicable to fixed-price and time and expense jobs. 10. This is not a "work for hire" quote. This quote provides for a right to use license for the Waterfield developed applications to run on one IVR system. The Right to Use license does not preclude the customer from making changes to the call flow. However, please note that if the changes result in problems that Waterfield is called in to resolve, the customer will incur additional charges. 11. Services quoted by Waterfield include the effort to perform regression testing. 12. Waterfield assumes that all existing voice prompts can be imported into the Blueworx IVR in .WAV format. It is the customer's responsibility to provide new prompts in the event that the existing prompts cannot be converted cleanly. 13. Any fees associated with the integration of the Cisco UCCX and the IVR are the responsibility of the City. 14. Speech recognition services include two tuning cycles pre-production. Post-production tuning can be offered as an option. 15. Waterfield agrees to participate on one weekly IVR project call with the appropriate Waterfield personnel for the duration of the project as identified in the preliminary project schedule. If the project should be extended through no fault of Waterfield additional fees will apply. 16. Waterfield requires full time access to the system(s) on which we will develop install, and/or maintain software. Access must be via Internet, either direct or using a locally installable VPN client that allows direct access to these servers. VPN client software must be provided by the customer to ensure compatibility. Browser-based VPNs are generally acceptable so long as they provide Remote Desktop and direct file transfer capabilities. Other connectivity methods can be addressed on a case-by-case basis and may result in additional charges. 17. The City will provide their own project management resources and assign a primary point of contact to include participating on weekly project calls, coordinating with personnel responsible for deploying the Cisco UCCX and opening any support tickets internal to the City or external to Cisco. Waterfield will provide a project manager that will be responsible for managing our internal resources. To perform the upgrade the following provides a description of services to be performed: -Application porting/coding -Testing/Integration -Admin/Conf Calls - Cutover Support Additional Comments: 1) Any additions or changes to the application requirements may change the price quote and timeframes for delivery. SECTION • - - AND DESCRIPTION Blueworx IVR -The Blueworx platform was designed to deliver the highest level of performance, security, reliability and scalability. Formerly IBM WebSphere Voice Response, Blueworx incorporates more than 20 years of IBM heritage and is used by some of the largest enterprises and telcos in the world for speech-enabled phone and web self-service, proactive outbound notifications, SMS applications, intelligent routing, voicemail and more. The standards-based platform is optimized to run on Linux and IBM AIX. Blueworx applications can run on your premises, in the cloud or in a hybrid deployment model. The proposed deployment is deployment on virtual servers in the City's VM environment. Blueworx enables a wide range of inbound and outbound IVR solutions for customer service. The platform enables easy access to company and customer data, automates manual business processes and quickly connects customers with the right departments and people. Blueworx IVR capabilities include: • Rich speech-enabled voice response functionality based on industry-standard VoiceXML and CCXML • Works with MRCP compliant third-party speech recognition engines if purchased • Audio prompt and Text-To-Speech (TTS) support if purchased • Support for TDM, VolP/SIP and hybrid environments • Encrypted VoIP support(Secure SIP/RTP) • Integration with leading Computer Telephony Integration (CTI) products • Support for iLBC compression to reduce bandwidth requirements over IP networks • A full-featured voice development environment, including graphical call flow building • Java and VoiceXML application configuration interface 100 Port Full Redundancy—It is assumed the City will have provisioned a second site that is identical to the primary site to include fully licensed Cisco UCCX PBX to meet the contact center and IVR requirements.Waterfield will provide a redundant system that is equipped with a load balancer and Blueworx Resource Manager (BRM) capable of distributing live calls between the two systems (active-active configuration). In the event of an outage at one site all traffic can be routed to the second site and carry the full 100 port capacity requirement. Note that any calls that were in process in the IVR system that went down will be dropped. Any new calls at the second site requiring IVR assistance will perform as described. The City will be required to provide a second VM instance at the second site. This solution includes 34 ports of TTS. Blueworx IVR 100 Port Remote Installation and Configuration Services Waterfield Responsibilities 1. Waterfield will use the Blueworx and LumenVox installation disks, instructions, documentation and licenses remotely install the IVR, ASR and TTS software based on the worksheets to be completed by both Waterfield and the City. 2. Waterfield will install a test application and complete a test call, with the assistance of to verify the IVR system is functioning correctly. Customer Responsibilities: 1. Customer will physically configure virtual servers that will support four Windows servers (Application Server and ASR/TTS servers—see server specs on item#6 below) and one Linux IVR server(total 2 servers) and provide remote VPN access. 2. Customer will ensure power, network, climate control, etc. requirements meet Avaya's specifications. 3. Customer will run all necessary network wiring and power cables to the final IVR location. 4. Customer will ensure the rack mounts are compatible for the IVR system components. 5. Customer will perform all the necessary PBX, router, Session Manager, Session Border Control, etc. provisioning and licensing. 6. Customer will provide four Windows 12 server Application servers, loaded with the OS and remote access available for the IVR, ASR, and TTS applications. Two servers will be needed at both sites each to support redundancy. The Application servers are where the self-service applications reside and the other servers are for speech recognition and text to speech applications. Minimum server specifications are as follows: 7. CPU 2 GHz or faster Dual Core RAM 16 GB RAM or greater O/S Windows 2012 Server(32-bit or 64-bit) 8. Customer will provide two Linux IVR Servers loaded with the OS and remote access available (one server per site). Provide for 30 day notice to the City for cancellation,nonrenewal,or material change; c. Provide for notice to the City at the address shown below by registered mail; d. The Contractor agrees to waive subrogation against the City of Lubbock, its officers, employees, and elected representatives for injuries,including death,property damage,or any other loss to the extent same may be covered by the proceeds of insurance; e.
