RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and Is hereby authorized and
directed to execute for and on behalf of the City of Lubbock a Service Agreement,
attached herewith, by and between the City of Lubbock and The Plant Company,
and any associated documents, which Agreement shall be spread upon the
minutes of the Council and as spread upon the minutes of this Council shall
constitute and be a part of this Resolution as if fully copied herein in detail.
Passed by the City Council this 14th day of August
1997.

STATE OF TEXAS §
SERVICES AGREEMENT:
COUNTY OF LUBBOCK §
WHEREAS, the City of Lubbock, Texas, has heretofore solicited a bid for the
performance of the following described services:
Interior Plant Maintenance
and;
WHEREAS, the bid submitted by The Plant Company, has been selected as the
best bid; and
WHEREAS, the City of Lubbock and The Plant Company, desire to enter into an
agreement with regard to the bid to perform the services solicited by Invitation to Bid No.
97141; NOW THEREFORE:
WITNESSETH:
This Agreement is made and entered into this 14 th day of Aug , GAL t • by
and between the City of Lubbock, "City", and The Plant Company, `Bidder".
The parties to this Agreement hereby agree as follows:
1) The Bidder shall perform such duties as are provided for by ITB No. 97141,
and by its Bid submitted in response thereto in a good and timely manner. The ITB and
the Bid are hereby incorporated in this document by reference and are made a part hereof
for all intents and purposes.
2) In the event of a conflict between the ITB and the Bid, the ITB shall be
controlling.
3) The Bidder hereby agrees to keep and maintain in force such insurance or
bonds as are required by the ITB.
4) This Agreement shall be governed by the laws of the State of Texas as effective
and in force at the date of this Agreement.
5) The term of this Agreement shall be one (1) year from August 4, 1997, to July
31, 1998, and it may be renewed for two (2) additional years by mutual agreement of the
parties.
