Intergraph CONSULIING SERVICES SCOPE OF WORK: The City of Lubbock is investing in some consulting services to further the first steps of the creation of their Geographic Information System (GIS). Having completed the first step, the base map, the City and County agencies are participating in the collective effort in coordinating the data creation efforts on top of this base. Under this statement of work Intergraph will go on -site to provide assistance through advice and demonstration at the City of Lubbock for three days. Topics covered during this day may include but are not limited to the following: • Recommend the best management techniques for large numbers of design files and distributed design files. • Advise in proper MGE feature creation and management • Advise in proper MGE category creation and management • Demonstrate basic GIS Oracle administration. It is not Intergraph's intent to provide any tangible (or intangible) products in performing the above services. Such services are intended only to enhance the customer's interpretation, understanding, implementation and use of the standard, commercial, copyrighted or patented products previously provided by Intergraph under separate contract. DELIVERY SCHEDULE: Intergraph and The City of Lubbock will mutually agree upon a start date for this project. Scope of Agreement - Intergraph will provide specific consulting deliverables and/or services to Customer as stated on the Intergraph Quotation and/or mutually agreed upon Statement of Work. These services will be provided up the maximum amount of time as stated on the Customer's Purchase Order. 2. Terms of Payment - The Intergraph terms are net thirty (30) days from the date of completion of the services as defined in the Station of Work or monthly, whichever occurs first. An interest charge of one and one-half (1 I/2%) per month (or the maximum amount allowed by law, whichever is less), prorated on the basis of a thirty (30) day month, will be assessed on delinquent payments. Customer agrees to reimburse Intergraph for all travel and travel related expenses at Intergraph's cost. 3. Ownership in Data/Computer Software -All computer software related deliverables (data, programs, or program enhancements) prepared under this Agreement shall be the property of Intergraph and shall be licensed to Customer pursuant to Intergraph's current Software License Agreement. 4. Disclaimer - IN NO EVENT WILL INTERGRAPH BE LIABLE TO CUSTOMER FOR ANY INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH ANY SERVICES OR DELIVERABLES PROVIDED UNDER THIS AGREEMENT, EVEN IF INTERGRAPH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT AS OTHERWISE PROVIDED BY APPLICABLE LAW, NO CLAIM, REGARDLESS OF FORM, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT MAY BE BROUGHT BY CUSTOMER MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION HAS OCCURRED. 5. Infringement - In the event of any proceeding against Customer arising from allegations that the deliverables or services furnished by Intergraph infringes U. S. Patent, copyright, trade secret, or other proprietary right of any third party, Intergraph will, if such allegation is not a result from modifications made by Customer, defend or settle such proceeding at Intergraph's expense, provided Customer promptly notifies Intergraph in writing and grants Intergraph full authority to defend and settle such proceeding. Intergraph shall make such defense by counsel of its own choosing and Customer shall cooperate with said counsel. G. Maintenance - Customer shall be responsible for the maintenance of any deliverables provided. In the event Customer elects to have Intergraph perform such maintenance, such maintenance may be provided at prevailing consulting service rates. 7. Governing Law - This Agreement shall for all purposes be construed and enforced under and in accordance with the laws of the State of Alabama. S. Place of Performance - Customer agrees to provide appropriate work place accommodations, computer equipment, software, and necessary access for Intergraph personnel. Entire Agreement - These Terms and Conditions, the Customer's Purchase Order, the Intergraph Quotation, and/or mutually agreed upon Statement of Work, together constitute the entire agreement between the parties with respect to the subject matter hereof; all prior agreements, representations, statements, negotiations, and undertakings are superseded hereby.
