RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
execute for and on behalf of the City of Lubbock a Optical Preempt System Agreement between
the City of Lubbock and University Medical Center. Said Agreement is attached hereto and
incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of
the Council.
Passed by the City Council this 14th day of March 2002.

OPTICAL PREEMPT SYSTEM AGREEMENT
THIS AGREEMENT is made and entered into pursuant to the Interlocal Cooperation
Act, Chapter 791 of the Government Code, by and between the CITY OF LUBBOCK,
TEXAS, hereinafter called the "City," and UNIVERSITY MEDICAL CENTER,
LUBBOCK, TEXAS, hereinafter called "UMC".
WITNESSETH
WHEREAS, the governing bodies of the above -named entities, both being
political subdivisions of the State of Texas, desire to secure the benefits of an Optical
Preempt System;
NOW THEREFORE, IT IS AGREED AS FOLLOWS:
The City, for and in consideration of the covenants, conditions, agreements and
stipulations expressed herein, does agree to furnish to UMC services and equipment as
follows:
The City agrees to lease to UMC certain Optical Emergency Preempt
Systems herein called the "System" as specified herein. Said services will
be provided in Lubbock County.
2. The period covered by this Agreement is one (1) year from the execution
date of this Agreement. This Agreement shall be automatically renewed
for five (5) one (1) year terms, unless written notice is given by either
party prior to the end of the contract term.
UMC shall determine the number of emitters it desires to lease at the
beginning of the term of this agreement. UMC shall submit in writing the
number of leased emitters to the City's Traffic Engineer. If this
Agreement is renewed by the parties, UMC shall submit any increase in
the number of leased emitter at the beginning of each subsequent term to
the City's Traffic Engineer.
4. UMC shall pay lease monies to the City in the amounts as set forth in
Attachment "A", which is attached hereto and incorporated herein as if
fully set forth.
5. City shall utilize the lease monies paid to it by UMC under this agreement
solely for the purpose of maintenance of the System and for buying
equipment for the System.
6. New locations for the System, if any, shall be determined by assessments
made by the City's Fire Department and UMC's Emergency Medical
Services on a priority basis. The number of new locations of the System
shall be determined by the City on a cost basis.
7. Installation of any new locations of the Systems shall be done by the
City's Traffic Engineering Department.
8. This Agreement may be amended in writing by mutual agreement between
the parties hereto.
9. This Agreement may not be assigned by UMC except with the written
consent of the City.
10. Either party may terminate this Agreement at any time by giving thirty
(30) days written notice to the other party whether or not such other party
is in default. Upon termination of this Agreement, all equipment related to
this Agreement shall be returned to City.
11. All notices contemplated by this Agreement shall be sent to the following:

12. The City, its employees, officers, and officials, shall not be liable for any
loss, damage or injury to persons or property as a result of the operation of
the System, or as result of the services provided to UMC pursuant to the
terms of the Agreement.
13. The parties shall be responsible for their own respective claims, actions,
suits, charges and judgments whatsoever that arise out of their respective
performance or nonperformance of the subject matter called for under this
Agreement.
14. Each party paying for the performance of the governmental functions or
services must make those payments from current revenues available to the
paying party.
15. All payments are due in full to the City of Lubbock prior to the use of the
equipment on the system.
