HomeMy WebLinkAboutResolution - 4692 - Contract - South Plains Communications - 800 Mhz Radio Communications System - 01_12_1995Resolution No. 4692 January 12, 1995 Item #14 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock a Professional Services Contract, attached herewith, by and between the City of Lubbock and South Plains Communications for an 800 MHz Radio Communications System, and any associated documents, which Agreement shall be spread upon the minutes of the Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. Vandiver, First Assistant City Attorney DGV:da ccdocs/C-RADIO.res December 21, 1994 Resolution No. 4692 January 12, 1995 Item #14 PROFESSIONAL SERVICES CONTRACT 800 MHz RADIO COMMUNICATIONS SYSTEM AGREEMENT made as of January 12, 1995, between the City of Lubbock (hereinafter called the "City") and South Plains Communications (hereinafter called "SPC") NOW THEREFORE, in consideration of the mutual understanding herein contained, the parties hereto agree as follows: ARTICLE I General SPC shall render diligently and competently the professional services described in Article I pertaining to procurement and evaluation of an 800 MHz Radio Communications System upon the terms and conditions herein stated. ARTICLE II Services SPC will perform the following services in an expeditious manner: See ATTACHMENT #1 -SCOPE OF WORK It is agreed, that all drawings, designs, specifications, tests, and other incidental professional services work or materials, furnished by SPC hereunder shall be and remain the property of the City. All professional services to be rendered hereunder shall be subject to the direction and approval of the City. PROFESSIONAL SERVICES CONTRACT Page 1 ARTICLE III Compensation The City shall pay SPC for professional services performed hereunder a sum of $50.00 per hour worked by SPC, plus expenses, which sum shall be due and payable thirty (30) days after approval by the City for the services performed hereunder and the invoice of SPC therefore, including the detailed breakdown of the cost of professional services performed. SPC shall submit itemized monthly invoices to the City. Total compensation to be paid under this agreement to SPC by the City shall not exceed $10,000. ARTICLE IV Miscellaneous Section 1. Qualified Personnel. The obligations and duties to be performed by SPC under this Agreement shall be performed by persons qualified to perform such duties efficiently. SPC, if the City shall so direct, shall replace any professional services provider or other person employed by SPC in connection with the work. Section 2. Terms of Agreement. This agreement shall become effective as of the date hereof and shall remain in effect until June 30, 1995, unless terminated by either party giving thirty (30) days written notice to the other party of its intention to terminate. In the event of early termination by either party, SPC shall be paid only for services rendered prior to such notification. Section 3. Assignment. The obligations of SPC under the Agreement shall not be assigned without the approval of the City. Under this Scope of Work, South Plains Communications will perform the following professional services: 1) Verify and validate the findings of the City of Lubbock RFP evaluation committees. 2) Recommend modifications or alternatives to the proposed solutions. 3) Assist with the evaluation of proposals received in response to the RFP. 4) Assist in the contract negotiations with vendors. 5) Assist in the final recommendation and presentation to the Lubbock City Council.
