McKINN, MAYOR I SECURITY AND COMPUTERIZED ACCESS CONTROL SYSTEM IMPROVEMENTS ENGINEERING SERVICES AGREEMENT THIS AGREEMENT is made and entered into as of I1 1991, by and between the City of Lubbock, hereinafter "Cit and EG&G SPECIAL PROJECTS, INC., hereinafter "Engineer." WITNESSETH WHEREAS, City owns Lubbock International Airport, hereinafter "Airport," and through the City's Airport Division operates the Airport; and WHEREAS, Engineer is desirous of providing Security and Computerized Access Control System Improvements (Basic Services) and Other Security and Engineering Services (Additional Services) at the Airport; and WHEREAS, City is desirous of engaging Engineer for such engineering services: NOTE THEREFORE, in consideration of the promises and covenants hereinafter contained, it is agreed by and between the parties hereto as follows: 1) CONTRACT DOCUMENTS The Request for Proposal, and a signed copy of the proposal submitted by Engineer on 29 May 1991 are, where not in conflict herewith, hereby made a part of this Agreement and are mutually cooperative therewith. When there is a conflict, this Agreement shall prevail. 2) SERVICES AND REQUIREMENTS a) Engineer agrees to serve as the City's professional engineering representative to design and oversee the Security and Computerized Access Control System Improvements as described in Exhibit "A," attached, hereinafter "Services." b) The Engineer shall not proceed with any of the services and work required under this Agreement until specifically authorized by the Department in the form of a letter from the City's Director of Aviation. E_1 3) FEES AND PAYMENTS Payment to the Engineer for the Basic Services shall be as follows: Total compensation for Design Phase Services will be on a Lump Sum basis for $271,576 as specified in Exhibit "B." Invoiced amounts will be accepted monthly, and shall be based on a percentage of the work completed. Payment to the Engineer for the Special Services shall be as follows: The Engineer shall be reimbursed for the special services on a monthly basis. Compensation for these services will be in the amount of fees set forth in Exhibit "C". This amount is not to exceed Eighty Four Thousand Five Hundred Eighteen Dollars ($84,518). All costs incurred by the Engineer for travel and the procurement of materials and or other services will be invoiced at actual direct costs plus 25% handling charge. 4) TERM The term of this Agreement will commence upon notification to proceed, and will continue until sixty (60) days after formal acceptance based on successful system operational acceptance testing. 5) INSURANCE AND BOND Engineer, at its own cost and expense, shall secure and maintain the following minimum insurance coverages: (a) Comprehensive general liability insurance with the City as an additional named insured, in the minimum amount of $250,000 for bodily injury, $500,000 for each accident or occurrence, and $100,000 for property damage. The policy must provide that coverage thereunder will not be canceled or reduced without at least thirty (30) days prior written notice to the City. (b) Engineer will through the term furnish current certificates of insurance verifying the foregoing concurrent herewith. E 6) PROFESSIONAL LIABILITY INSURANCE Engineer shall maintain in full force and effect, a Professional Liability Insurance Policy covering the performance of the Engineer. The policy shall have a minimum limit of $1 million, and be occurrence based. The Engineer shall promptly submit a certified, true copy of the policy and endorsements issued on the policy. 7) SAFETY The Engineer agrees to take all necessary safety precautions and shall comply with all applicable provisions of federal, state and municipal safety laws and building codes to prevent accidents or injury to persons on, about, or adjacent to the premises where the services are being performed. City's Director of Aviation, or designee, may stop work if safety laws or safe work practices are not being observed. 8) CHANGES (a) The City reserves the right to modify, increase or decrease the scope of services and/or work contained herein, and to change the time period specified in the Agreement. The City upon the exercise of this right will negotiate with the Engineer and issue a Supplemental Agreement setting forth the change and the increase or the decrease in the amount of fee to be paid the Engineer. (b) The upper limit of compensation, as set forth in Exhibit "B," may be adjusted when the Engineer establishes and the Department agrees that there has been or is to be a significant change in the: (1) Scope, complexity, or character of the original services to be performed, induced, caused or directed by the City. (2) Conditions under which the original work was required to be performed, neither foreseen by the parties at the time of execution of the original Agreement, nor created thereafter by the Engineer. (3) Duration of work, if the change from the time period specified in the Agreement of 3 f f completion of the original work was induced, caused or was the result of directions issued by the City, State or Federal Action. (c) An appropriate adjustment in the Lump Sum may be considered; however, there will be no adjustment in the Lump Sum unless the scope, complexity, character, duration, or extent of the work are changed substantially from those required under the basic Agreement, induced, caused or was the result of directions issued by the City, State or Federal Action. 9) DAMAGE TO PROPERTY Engineer agrees to be responsible for any and all damage to property belonging to the City and City's tenants caused by an act or omission of Engineer, its agents, or employees. Engineer agrees to be responsible for repairing said damaged property and shall pay the costs therefor. 10) LICENSES Engineer agrees to possess and keep current all state and local licenses required for the services to be performed herein. 11) SPONSOR'S ASSURANCES This Agreement shall be subordinate to the provisions of any existing or future agreements between City and the United States Government relating to the operation or maintenance of the Airport, the execution of which has been or will be required as a condition precedent to the granting of federal funds for the development of the Airport to the extent that the provision of any such existing or future agreements are generally required by the United States at other civil air carrier airports receiving federal funds and provided that the City agrees to give the Engineer written notice in advance of the execution of such agreements of any provision which will modify the terms of this Agreement. 12) NONDISCRIMINATION a) The Engineer, for itself, its heirs, personal representatives, successors in interest and assigns 4 as part of the consideration therefore, covenants and agrees to comply with all requirements imposed pursuant to the Title 49, Code of Federal Regulations, Department of Transportation, Subtitle A, .Office of the Secretary, Part 21, Nondiscrimination in Federally Assisted Programs of the Department of Transportation, Effectuation of Title VI of the Civil Rights Act of 1964, as amended. b) The Engineer, for itself, its successors and assigns, as part of the consideration herefore, agrees that no person, on the grounds of race, color, national origin, age, sex, or handicap, shall be excluded from participation in, denied the benefits of, or otherwise subject to discrimination, in the furnishing of services hereunder. c) In the event of a breach of any of. the nondiscriminatory covenants pursuant to Part 21 of the Regulations of the Office of the Secretary of Transportation, as amended, the City shall have the right to terminate this Agreement. d) The Engineer will undertake an affirmative action program as required by 14 CFR Part 152, Subpart E, as amended, to ensure that no person shall on the grounds of race, creed, color, national origin, or sex be excluded from participating in any employment activities hereunder covered in 14 CFR part 152, Subpart E. The Engineer will require that its subcontractors similarly undertake affirmative action programs and that they will each require assurances from their subcontractors similarly undertake affirmative action programs and that they will each require assurances from their subcontractors by 14 CFR Part 152, Subpart E. e) Nothing herein contained shall be construed to grant or authorize the granting off an exclusive right forbidden by Section 308 of the Federal Aviation Act of 1958, as amended. 5 r 13) RULES AND REGULATIONS In conducting its operations hereunder, the Engineer agrees to comply with all applicable laws of the United States of America and the State of Texas and lawful rules and regulations promulgated by their authority, including the Federal Aviation Administration with reference to airport security; and all applicable lawful rules, regulations and ordinances of City now in force or thereafter prescribed and promulgated by authority of law, specifically including all fire codes and security regulations. 14) SECURITY Engineer at all times agrees to be subject to regulations imposed by FAR 107 "Airport Security," as amended. Engineer agrees that it shall be solely and fully responsible for any and all breaches of security resulting from the negligence or intentional acts of omission or commission of officers, employees, representatives, agents, servants, contractors, subcontractors, successors, assigns and suppliers of Engineer. 15) FORCE MAJEURE Any prevention, delay or stoppage of performance of the Engineer's obligations hereunder due to strikes, lockouts, labor disputes, acts of God, governmental restrictions, governmental controls, governmental regulations, enemy or hostile government action, civil commotion, fire or other casualty, or any other cause beyond the reasonable control of the Engineers shall not be deemed to be breach of the agreement or a violation of or failure to perform any covenants hereof, and the Engineer shall immediately after cessation off any such cause render performance delayed thereby. 16) TERMINATION This Agreement may be terminated by either party for breach of this Agreement upon fifteen (15) days written notice. The Engineer shall be paid his compensation for services performed and direct costs to termination date, said compensation and expenses to be established pursuant C to negotiations between the parties. The City of Lubbock reserves the right to direct the Engineer to suspend work on the Project. If the work is stopped for a period exceeding thirty (30) days by the City of Lubbock, the Engineer shall be entitled to additional compensation and expenses, said compensation and expenses to be established pursuant to negotiations between the parties. 17) INDEMNIFICATION Contractor agrees to indemnify, save harmless and defend the City, its officers and employees, from and against all losses, claims, demands, actions, damages, costs, charges and causes of action of every kind of character, including attorney's fees, based upon or arising out of Engineer's negligent performance or failure of performance hereunder. In the event that the city's tender of its defense, based upon the foregoing, is rejected by Engineer, and Engineer is later found by a court of competent jurisdiction to have been negligent as aforesaid, Engineer agrees to pay City's reasonable costs, expenses and attorney's fees, incurred in proving such negligence, defending itself and enforcing this indemnity provisions. 18) ASSIGNMENT This Agreement cannot be assigned by either party without the prior written consent of the other. 19) NOTICES Notices to City provided for herein shall be sufficient if sent registered mail, postage prepaid, addressed to: Director of Aviation Lubbock International Airport Route 3, Box 389 Lubbock, Texas 79401 and notices to Contractor, if sent by registered mail, postage prepaid, addressed to: EG&G Special Projects, Inc. 2450 Alamo Avenue S.E. Albuquerque, NM 87106 7 i 20) ENTIRE AGREEMENT AND ALTERATIONS This Agreement embodies the entire agreement between the parties. It cannot be altered except by a written instrument which is signed by both parties. IN WITNESS WHEREOF, the parties hereto have affixed their hands and seals the day and date first above written. BY_10 1_4 - PR IDENT 8 EXHIBIT A SCOPE OF WORK FOR THE SECURITY AND COMPUTERIZED ACCESS CONTROL SYSTEM IMPROVEMENTS The engineering services to be provided shall include all basic services for design, preparation of specifications, drawings and related work for: 1. Installation of a computerized access control system at points designated in the airport security plan. 2. The installation and construction of approximately 45,000 (plus) linear feet of chain link security fence around the airport perimeter replacing the existing barbed wire fence. 3. The construction of a centralized operations room and facilities for the computerized access control system -- CCTV monitoring console, personnel, and related equipment. Other services expected of the Engineer will include the preparation of grant application to the FAA for the design, installation and construction of the above projects. -- Evaluate the current security plan amendment to modify/update the plan and automated access controls location points to current FAA requirements. -- Review with the Airport different types of automated access control systems available and consult with the Airport in the system selection for this application. -- Prepare preliminary designs and specifications and submit to the Airport and FAA for review and approval. Assist with prebid conferences and walk-throughs, participate with bid evaluation process, and make recommendations to the Airport on the qualification and selection of equipment and construction bidders. During construction of each of the projects, the Engineer is expected to: -- Conduct periodic inspections of the work being performed to ensure that work is being performed in accordance with specifications; -- Consult with and advise the owner, prepare and design change orders for work that may be required; -- Prepare and or verify periodic pay estimates to the contractors; -- Conduct inspections including a final inspection of the projects for conformance and compliance with contract documents; -- Approve in writing final payment requests to the contractors; -- Conduct inspections of the project prior to the expiration of any warranty period; 10 -- Advise the owner of any recommended action to be taken under any such warranties. SURVEYS It is mutually agreed by the parties that existing surveys which define the extent of the Airport Property shall be used for fencing services under this contract, and that the Engineer shall bear no responsibility for errors or inaccuracies in those preexisting surveys. SPECIAL CONDITIONS The City of Lubbock is under a fixed deadline of the completion of the construction of the automated access security control system. This system must be installed and in operation including operator training by June 1992. The Engineer shall perform work as necessary to meet or exceed the following deadlines for the project: • 5 August 1991 Completion of the Site Survey • 8 August 1991 Survey Report Submittal • 29 August 1991 30% Design Complete • 30 August 1991 30% Design Review • 17 September 1991 60% Design Complete • 18 September 1991 60% Design Review • 4 October 1991 90% Design Complete • 7 October 1991 90% Design Review * 24 October 1991 100% Design Complete • 25 October 1991 Reproduction/Ship to Bidders • 24 November 1991 Bid Due Date • 6 January 1992 Contract Award * 7 January 1992 Notice To Proceed • 15 April 1992 Construction Complete • 1 May 1992 System Testing Complete * 1 May 1992 SOAT Complete • 1 June 1992 Training Complete • 1 June 1992 System Documentation Complete • 1 July 1992 Completion of the Contract NOTE: ASTERISK DENOTES CRITICAL MILESTONES WHICH MAY REQUIRE CONTRACT MODIFICATION; ALL OTHERS ARE ADVISORY ONLY. The Engineer shall take measures necessary within the specification documents to have construction of the computerized access control system completed which will provide for a one month operator training period in which all elements of the system can be functionally verified and the operators can become proficient at the operation of the system. 11 The Engineer will provide the following under the Design Phase Services: 1. Site Survey The site survey will be accomplished during the first two weeks following NTP. For the first week, the survey team will consist of two Engineering Specialists, two Engineer II's and a Drafter III. During the second week the survey team will consist of an Engineering Specialist and two Engineer II's. The survey teams will collect data about the doors, gates, and spaces that need to be protected, interview airport personnel and tenant personnel, collect drawings and written material that will be required to complete the design. The team will collect a lot of this information with the use of still and video photography. The team will also collect data about the electrical distribution system at the airport that will be needed to properly layout the system as far as how to provide the field equipment with power and how to get communication signals back to the control center from the field equipment. 2. Site Survey Report Following the site survey, a report will be prepared that documents the findings of the survey and defines the system required to meet the FAR 107.14 requirements as they apply to LIA. Site Survey information gathered by 011er Engineering and their subcontractors will also be included in the report. Six copies of the report will be provided to the airport. 3. Design Engineerin A. Preliminary Design (30%) The preliminary design will consist of the following drawings: Title Sheet, Legend Sheet, Site Plan(s), all background drawings, initial controlled door locations, initial CCTV camera locations, initial set. of door elevations, initial details, and block diagrams. It will also consist of outline specifications for the most part and complete detailed specifications where possible. Preliminary design documents prepared by 011er Engineering and their subcontractors will also be provided.' Six copies of the design will be provided to the airport. B. Detailed Design (60%) The detailed design will not be a formal submittal, rather it will be an ongoing review at our facilities in Albuquerque. Portions of the design that are being done in Lubbock will be reviewed there. C. Final Design (90%) The final design package will consist of all drawings and specifications for this project. Six copies of the design documents will be provided to the airport for review. 12 D. Bid Package (100%) Following incorporation of comments on the final design package, twenty-five copies of the bid package will be prepared and distributed to bidders. A separate package will also be made available for the security fencing as designed by 011er Engineering. Twenty-five sets of that package will be produced for perspective bidders . 4. Bid Process EG&G will support LIA during the bid process by working closely with the purchasing department of the city of Lubbock. Some of the areas of support could be provided include assistance with the newspaper announcement, assist with pre -qualifying bidders, evaluate bid packages, and meet with the apparent winner to determine to make sure that they understand the scope and complexity of the job. 5. Grant Application EG&G will support the grant application process by reviewing the current security plan and amendments to that plan, provide an interface between the airport and the FAA, and prepare the new grant application. 6. Program Management Program management will support the Design Phase to ensure all technical specifications are met within time and budget. The project manager will function as the technical point of contact at EG&G. He will also be responsible for preparing monthly progress reports and revised schedules. 7. Planning and Control This is a function within EG&G that provides the project manager with the information about budget and schedule that he will need to run the project and to prepare the monthly reports The Engineer will provide. the following under Special Services: 1. Meetings EG&G will attend four review meetings and five coordination meetings. The project manager will attend all meetings unless conditions beyond his control prevent it. Other attendees will be on an as needed basis to best support the purpose of the meeting. 2. Resident Inspection EG&G will provide a resident inspector on site during the construction phase of this project. The inspector will be responsible for ensuring that the system is installed properly. The inspector will also participate in the acceptance testing of the system. 13 3. Program Management Program management will support the Special Services Phase to ensure all technical specifications are met within time and budget. The project manager will function as the technical point of contact at EG&G. He will also be responsible for preparing monthly progress reports and revised schedules.
