BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock a Contract by and
between the City of Lubbock and Culligan Water Conditioning for water treat-
ment systems and chemical analysis, attached herewith, which shall be spread
upon the minutes of the Council and as spread upon the minutes of this Council
shall constitute and be a part of this Resolution as if fully copied herein in
detail.

PROFESSIONAL SERVICE AGREEMENT
CITY OF LUBBOCK AND MABRIHA, INC. FKA HYGEIA WATER CO. DBA
SPARKLETTS WATER
This professional service agreement made by and between the
City of Lubbock hereinafter referred to as the Owner,
and Mabriha, Inc. FKA Hygeia Water Co. DBA Sparkletts Water
hereinafter referred to as the Supplier.
WITNESS THAT:
Whereas, the Owner desires to provide good, high quality
drinking water conforming with all applicable State and
Federal regulations for residents located east of the City of
Lubbock from approximately 4th Street south to the canyon,
and
Whereas, the Owner desires to employ Supplier to provide
bottled water services, and
Whereas, the Supplier has proposed for and has been
authorized to perform such work and receive consideration as
stated herein,
NOW, THEREFORE, the parties mutually agree as follows:
ARTICLE I - SCOPE
Supplier shall furnish everything necessary, except as
specified elsewhere, to perform the service described in
Exhibit A, City of Lubbock Water Utilities Minimum
Specifications for Bottled Water Services which is
incorporated by reference as part of this agreement.
ARTICLE II - PERIOD OF PERFORMANCE
The period of this professional service agreement shall be
from May 24, 1990 to May 23, 1991 and may be extended upon
mutual agreement of both parties.
ARTICLE III - PRICE AND PAYMENT
As compensation for the performance of this agreement, the
Owner agrees to pay a one time maximum amount of $10.00 for
initial installation of each unit supplied. The Owner agrees
to pay a total cost per water delivery of $4.10 per bottle
and $1.00 per month dispenser rental based on service
provided as required in Exhibit A and which shall include
labor, equipment, travel, parts, accessories, etc., as
necessary to provide high quality drinking water meeting all
requirements as set forth in Rules for Bottled and Vended
Water as adopted by the Texas Board of Health on August 20,
1
1988 and all existing federal regulations in Title 21 Code of
Federal Regulations, Part 103 (relating to Registration of
Manufacturers of Food) and Part 129 (relating to Processing
and Bottling of Bottled Drinking Water).
Initially, Supplier shall provide services to customers as
required. If the Owner requires additional services during
the term of this agreement, such services shall be provided
for the same compensation per customer as previously
described.
ARTICLE IV - INCORPORATION OF STANDARD PROVISIONS
Supplier may not make major changes in the services or make
any changes to the billing without prior notification and
acceptance by the Owner. If any change causes an increase or
decrease in owner's cost for the performance of this
agreement, an adjustment mutually agreeable to the parties in
this agreement shall be made and the agreement modified.
This agreement may be terminated in whole or in part in
writing by either party in the event of substantial failure
by the other party to fulfill its obligations under this
agreement through no fault of the terminating party provided
that ninety (90) days written notice of intent to terminate
and an opportunity for consultation with the terminating
party prior to termination is given.

CITY OF LUBBOCK
WATER UTILITIES
MINIMUM SPECIFICATIONS
FOR
BOTTLED WATER SERVICES
GENERAL
The intent of these specifications is to describe bottled
water services that will be furnished regularly to
residences outside the Lubbock City Limits. The bottled
water shall meet all Texas Department of Health regulations
pertaining to bottled water as set forth in Rules for
Bottled and Vended Water as adopted by the Texas Board of
Health on August 20, 1988 and all existing federal
regulations in Title 21, Code of Federal Regulations, Part
103 (relating to Registration of Manufacturers of Food) and
Part 129 (relating to Processing and Bottling of Bottled
Drinking Water). It is anticipated that all residences
supplied will be within seven (7) miles of the Lubbock City
Limits.
All associated equipment (dispensers, etc.) shall be
furnished with all necessary hardware and accessories to
allow the unit(s) to operate after installation as
specified. "Coolers" are not required. No additional
purchases shall be required to make the unit(s) operational.

The vendor shall submit detailed descriptions of bottled
water and each piece of equipment quoted. Detailed
chemical analyses of the bottled water shall be submitted.
In addition, the bidder shall furnish a copy of all
applicable licenses, permits, and other documents required
by the Texas Department of Health for bottled water
suppliers.
PRODUCT DEMONSTRATION
The City of Lubbock reserves the right to receive a sample
and demonstration of the product and equipment to verify
that all specified criteria can be met. The successful
vendor shall furnish documentation that verifies that the
product is in compliance with all Texas Department of Health
regulations at all times. The City of Lubbock reserves the
right to terminate the contract for services in the event
the vendor becomes non -compliant with Texas Department of
Health regulations.
The City of Lubbock reserves the right to reject any or all
bids or accept the bid deemed most advantageous to the City
of Lubbock.
BID COMPLIANCE
The vendor shall comply with all specification requirements.
Bids shall be submitted on City of Lubbock specified bid
forms. Any exception to any specification or part of a
specification shall be cited and explained fully in the bid.
Otherwise, it is understood all requirements will be met
exactly as specified and any products and equipment received
that does not meet the specifications will be returned for
full refund or credit. Quotations on items that do not meet
the minimum specifications for each type of equipment will
not be considered unless those exceptions are thoroughly
explained in the space provided.
LITERATURE/MANUALS
The successful vendor shall supply each customer with all
applicable literature and manuals concerning the product and
any associated equipment. Materials supplied to all
customers shall be identical. Two (2) copies of the
literature supplied to customers shall be furnished to the
City of Lubbock.
All of the above materials must be furnished to the customer
upon delivery of the product and associated equipment. Any
products and equipment delivered without the required
literature/manuals will not be accepted.
WARRANTY/SERVICE
All equipment supplied shall be serviced and maintained by
the vendor. Equipment which becomes inoperable shall be
replaced by the vendor at the vendor's expense.
INSTALLATION
Initial installation of dispensing equipment shall be
performed by the vendor. Funds will not be released for
payment of initial installation until after the unit has
been installed and proven to be operating correctly.
CONTRACT CANCELLATION
Certain customers may at times be deleted from or added to
the contract for services. The bid price shall be
established by the contract and shall not vary with the
number of customers under contract to receive bottled water.
The City of Lubbock may cancel the contract either totally
or in part by providing written notification to the supplier
stating such cancellation a minimum of seven (7) calendar
days prior to the final date of the termination of services
identified therein. Upon receipt of such notice of -
cancellation, the supplier will be required to remove all
bottles, dispensers, and other items belonging to the
supplier from each customer's home or business by the last
day of service identified in the notice. Services rendered
by the supplier after the date of termination shall be at
the supplier's sole expense.
BID INSTRUCTIONS
Place a check mark in the space to the left of each
requirement item to show compliance. Each item without a
check mark will indicate an exception to that item. All
exceptions shall be noted and thoroughly explained. Each
item is to be priced separately with a subtotal for each
category and a grand total for the complete bid.

MINIMUM REQUIREMENTS EXCEPTIONS
1. Bottled Water services shall conform to the following
minimum specifications.
(!�) A. Bottled Water shall conform to Rules for Bottled
and Vended Water as adopted by the Texas Board of
Health on August 20, 1988 and Title 21, Code of
Federal Regulations, Part 103 and Part 129.
(�) B. Bottled Water dispensers shall be supplied and
installed at the residence of each customer by the
vendor. (NOTE: The dispensers shall serve only,to
dispense the product - cooler type dispensers,
are not acceptable).
(�) C. Bottled Water shall be delivered to each customer
in sealed containers with a minimum capacity
of five (5) gallons.
(�) D. The vendor shall supply the City of Lubbock with
a monthly statement verifying that the Bottled
Water complies with the criteria set forth in
Item A above.
(!�) E. The vendor shall furnish the City of Lubbock with
copies of all applicable licenses, permits, and
other documents required by the Texas Department
of Health for bottled water suppliers.
(�) F. The vendor shall initially supply each customer
with literature describing the bottled water and
dispensing equipment,
(✓) G. Customer complaints concerning the bottled water
,and or the dispensing equipment shall be
expeditiously resolved by the vendor at vendor's
expense.
(1/) H. A single invoice itemizing the charges for all
customers receiving the described bottled water
services shall be submitted to the City of Lubbock
on a monthly basis for payment.

PROFESSIONAL SERVICE AGREEMENT
CITY OF LUBBOCK AND CULLIGAN WATER CONDITIONING.
This professional service agreement made by and between the
City of Lubbock hereinafter referred to as the Owner, and
Culligan Water Conditioning hereinafter referred to as the
Supplier.
WITNESS THAT:

initial installation of each unit supplied. The Owner agrees
to pay a per unit maximum monthly service fee amount of
$90.00 based on service provided as required in Exhibit A and
which shall include labor, equipment, travel, parts,
accessories, etc., as necessary to produce high quality
drinking water from ground water in the area identified above
which meets all requirements of the Safe Drinking Water Act
of 1986 as amended.

Initially, Culligan Water Conditioning shall provide one unit
and the required service for each. If the Owner requires
additional units during the term of this agreement, such
units and required monthly service shall be provided for the
same compensation per unit as previously described.

WATER UTILITIES MINIMUM
SPECIFICATIONS FOR
A POINT OF USE
WATER TREATMENT SYSTEM
The intent of these specifications is to describe a point -
of -use water treatment system. This system shall provide a
supply of high quality drinking (potable) water, and shall
be installed, serviced, and maintained by the supplier at
various locations as identified by the City of Lubbock.
GENERAL
The system shall be furnished and installed with all
necessary hardware and accessories to allow the unit(s) to
operate after installation as specified. No additional
purchases shall be required to make the unit(s) operational
as described.
Any exception to any' specification or part of a
specification shall be cited in the quotation. otherwise,
it is understood all requirements will be met exactly as
specified. Any equipment installed which does not meet
specifications shall be immediately replaced with a unit
capable of meeting specifications at no additional cost to
City of Lubbock.
The water system unit shall produce water which is
consistently below any and all maximum allowable constituent
levels specified in Appendix I. The unit shall be capable
of producing high quality drinking water from source water
potentially possessing some or all of the following quality
characteristics (actual quality of source water may vary
from parameters shown. Bidder shall satisfy himself as to
the quality of the source water prior to submitting his
bid.):

The water system shall have the following specifications:
1. System capacity of 10 plus or minus 3 gallons
per day.
2. Average percent of water recovery shall be
25 plus or minus 5%.
3. If needed, the unit shall boost feed water.

5. Electrical requirement of 115 VAC.
6. Pressure tank capacity, if needed, to
3 plus or minus 0.5 gallons.
CHEMICAL ANALYSES
Immediately upon installation of each system and every
ninety (90) days thereafter, a sample of the customer's
source water and a sample of the system's product water
shall be collected and analyzed for the following
constituants:

Nitrate (as N)
Total Phosphate
Chloride (as Cl)
Sulfate (as SO44)
Total.Dissolved Solids
Hardness
Each analysis shall be performed by the Texas Department -of
Health laboratory in Austin, Texas or a laboratory
acceptable to the Texas Department of Health and the City of
Lubbock. The results shall be provided in writing to the
City of Lubbock immediately upon receipt by the vendor. The
City reserves the right to add to or delete from this list
as necessary to determine water quality compliance.
Compensation for additional constituants shall be negotiated
with the vendor prior to addition to the list.
CURRENCY OF MODELS

discontinued are not acceptable. All equipment shall be
tested, assembled, and installed by the vendor.

1. Compliance with all water quality requirements as
detailed in Appendix I.
2. Satisfactory equipment performance.
3. Compliance with treated water volume output and
water recovery requirements.
4. Inspection and correction for any obvious
malfunction of equipment, leaks included.
5. Clean and replace all filters as necessary.
6. Replace all membranes as necessary..
7. Perform all other activities necessary to ensure
each unit performs as specified.

MINIMUM REQUIREMENTS EXCEPTIONS
1. The Point -of -Use Water System (system) shall conform
to the following minimum specifications.
(_) A. The system shall produce water which meets all
maximum allowable constituent levels as specified
in Appendix I (attached) from source water
possessing the general water quality characteristi
presented in the GENERAL section of these
specifications.
(�) B. The vendor shall supply the City with initial and
quarterly chemical analyses as listed in the
CHEMICAL ANALYSES section of these specifications.
(!) C. The system shall be supplied, installed, and
maintained at the residence of each customer by the
vendor.
(�) D. The system shall have the capability of being
installed under the customers sink.
(^) E. The vendor shall supply each customer with new,
current model equipment.
(^) F. The vendor shall perform all necessary preventative
maintenance and corrective maintenance on each
unit as described in the SERVICE section of these
specifications.
(_) G. The vendor shall maintain a record of cleaning,
maintenance, and other applicable servicing for
each unit. Copies of said records shall be
provided to the City upon request.
(_) H. The vendor shall initially supply each customer
with literature describing the system, all
associated equipment, and the product water.
(_) I. Customer complaints concerning the system water
and/or associated equipment shall be
expeditiously resolved by the vendor at vendor's
expense.
GENERAL EXCEPTION:
Water system specification section #3
If unit is needed to boost feed water pressure
in order to operate properly there.would be an
additional charge added to the monthly lease
figure on each unit changed to the above type.
J. A single invoice itemizing the charges for all
customers receiving the described water system
services shall be submitted to the City of Lubbock
on a monthly basis for payment.
(r) K. Delivery costs, mileage charges, and installation
charges shall remain in effect for not less than
one (1) year.
