W rt Fu ingim, Assis t City A to ney 2 crass AGREEMENT FOR ENGINEERING S E RV 2 C E S 1B4atwEB� EB�ri C OM P UTRAN S Y S T EM S C OR P O RAT = ON AND =HE CI 35- OF L UB SOCK =7KA S CITY OF LUBBOCK AGREEMENT FOR ENGINEERING SERVICES Between COMPUTRAN SYSTEMS CORPORATION THE CITY OF LUBBOCK, TEXAS THIS AGREEMENT, made and entered into this 26th day of April f 1990, by and between the City of Lubbock, Texas, hereinafter referred to as the CITY, and COMPUTRAN SYSTEMS CORPORATION, a corporation organized and existing user and by virtue of the laws of the State of New Jersey and using offices at 100 First Street, Hackensack, New Jersey 07601, hereinafter referred to as the CONSULTANT or COMPUTRAN. WITNESSETH, THAT WEREAS the CITY deems it essential to proceed with the project know as Signal System Expansion in the City of Lubbock; and WHEREAS, the CITY desires to employ COMPUTRAN SYSTEMS CORPORATION to perform the professional services required to design and implement the aforementioned Signal System Expansion Improvement; NOW, THEREFORE, in consideration of the services to be performed and the compensation to be paid for such services, the parties hereto agree to be bound by the terms, conditions, and regulations as set forth hereinafter. At the request of the CITY, COMPUTRAN SYSTEMS CORPORATION agrees to perform the the services described below in order to aid the CITY to expand the enhancements required in the software design to expand the existing Traffic Control System. COMPUTRAN will be responsible to the CITY the conduct of the work described in this Agreement, and COMPUTRAN agrees to perform the required engineering services as detailed in the SCOPE OF WORK March, 1990 COMPUTRAN SYSTEMS CORPORATION Page 1 CITY OF LUBBOCK II. SCOPE OF WORK The scope of work proposed for the Lubbock project is defined herein. In all, there are nine major task areas, each of which is subdivided as appropriate into subtasks. TASK A. UPDATE AND ENHANCE MTCS COMPUTRAN staff will will upgrade the Lubbock MTCS software to the current base line version, incorporating the existing Lubbock feature set and the enhanced features described herein. Subtask i. UDarade to the Latest Version of MTCS COMPUTRAN staff will upgrade the Lubbock MTCS software to encompass all of the relevant features of the current revision of the base line system. COMPUTRAN will ensure that all features of Lubbock's existing MTCS will be carried forward to the new version, including but not limited to the FORCAST downloading capabilities. Subtask ii Provide Access to the Dial -Up Controller System COMPUTRAN will add to the MTCS software the ability to access the Dial -Up Controller System (DUOS) software package. The user will be able to access the Dial -Up Controller System facilities by making a menu selection from an MTCS terminal. The terminal will return to MTCS control when use of the Dial -Up Controller System is terminated. TASK B. CREATE DIAL -UP CONTROLLER SYSTEM (DUCS) PACKAGE COMPUTRAN will create a Dial -Up Controller System (DUCS) software package to perform the following functions: upload and download controller parameters, monitor controller operation and perform daily synchronization of controller clocks. Subtask i. Dial -Up Communications Supervisor Software will be provided to establish communications with the dial -up controllers via dial -up modems. This task will incorporate creation of a database consisting of controller cabinet phone numbers and cabinet location identifiers. DUCS Communications Driver DUCS Communications' Driver software will be provided to transmit and receive data from the dial -up controllers. The DUCS Communications Driver software will identify the message type of received data and pass it to the Downloader/Uploader or Controller Monitor software for further processing. The DUCS Communications Driver will use the communications protocol known as Protocol-90 (see also TASK C, Subtask i). Subtask iii. Downloader/Uploader Software COMPUTRAN will provide the software necessary to download and upload dial -up controllers connected via the DUCS software on schedule or operator command. Downloading will transfer the controller parameters from the central computer to the local controller. Uploading will transfer the local controller parameters from the field to the central computer. The download and upload operations will be accommodated as an on-line operation concurrent with the MTCS traffic control system. Separate images of the download and upload databases will be retained in the central computer, and comparison of these two database images will be possible in order to identify deviations, changes and inconsistencies. Subtask iv. Downloader/Uploader Software Database Management In order to support the dial -up controller download/upload and comparison facilities, COMPUTRAN will provide software necessary to examine, modify, and copy the local controller database. The database management facilities will be available to the operator as an MTCS background function. Subtask v. Time Synchronization Software will be provided to transmit a time and date message to the dial -up controllers for the purpose of synchronizing Time -Based Coordinator operation. This will be done automatically, once per day, and upon operator request. Subtask vi. Controller Monitor Program A Controller Monitor Program will be created to allow an March, 1990 COMPUTRAN SYSTEMS CORPORATION Page 3 CITY OF LUBBOCK operator to examine controller status, phase timing and communications status for dial -up controllers.. The program will operate in real-time, displaying current data once per second. Subtask vii FORCAST Interface The FORCAST signal timing optimization software will be enhanced to permit downloading of timing plans generated by FORCAST to the DUCS database. The enhancement will support two dial -up controller models: the Model 170 controller, described in TASK C, and one make and model of NEMA-standard controller, as specified by the City of Lubbock. TASK C. ADAPT MODEL 170 CONTROLLER SOFTWARE FOR LUBBOCK The currently available Model 170 controller software must be modified for use in Lubbock as a dial -up controller. Subtask i. Adapt Model 170 for use with Protocol-90 Communications Protocol and Dial -Up The Model 170 software will be modified to operate using the communications protocol, known as Protocol-90, which will permit database uploading and downloading. Additional modifications will be performed to allow the controller to establish communications via a dial -up modem. Subtask ii. Adapt Model 170 for use with Downloader/Uploader The Model 170 software will be modified to include download and upload features compatible with the communications protocol described in TASK C, Subtask i. Subtask iii. Obtain License for Model 170 Software The Model 170 software which will be used by COMPUTRAN is a product of the 170 software consultant. Licensing to this software for use in Lubbock will be obtained from the software supplier. TASK D. CHANGE OS/32 TO CURRENT VERSION COMPUTRAN staff will generate the current version of the OS/32 operating system to reflect the Lubbock hardware configuration, with additional drivers and software needed to support new hardware, including but not limited to the folowing: March, 1990 COMPUTRAN SYSTEMS CORPORATION Page 4 CITY OF LUBBOCK Two eight -line communications multiplexers ("muxes"), each containing eight serial ports. One mux will be used to increase the number of system terminals. The other mux will support the dial -up modems used to communicate with the dial -up controllers. A disk drive (or drives) of a type to be specified by the City. Additional memory, of an amount to be specified by the City. The City will purchase the new hardware supported by the updated operating system under a separate contract. TASK E. SET UP AND TEST MTCS AND DUCS UNDER THE CURRENT REVISION OF OS/32 COMPUTRAN will set up the new version of the Lubbock MTCS software to operate on a Model 3210 computer under the current revision of Concurrent Computer Corporation's OS/32 Operating System. Subtask i. Generate MTCS COMPUTRAN will generate the MTCS system to conform to the requirements and characteristics inherent in the current Lubbock MTCS. The sizing, protocol and facilities used for the Lubbock system will match the existing system plus any agreed -upon modifications to accommodate desired enhancements. Subtask ii. Test and Debug in Hackensack COMPUTRAN will test the OS/32 Operating software with the Lubbock MTCS and DUCS software on a Model 3210 computer in Hackensack, New Jersey to identify and correct bugs and peculiarities. Subtask iii. Transfer Data Base The existing Lubbock MTCS traffic system database will be transferred to the new MTCS software system. COMPUTRAN will make all necessary changes to the existing database to render it compatible with the updated MTCS software. March, 1990 COMPUTRAN SYSTEMS CORPORATION Page 5 CITY OF LUBBOCK Subtask iv. Test and Debug in Lubbock COMPUTRAN will install the OS/32 operating system and the MTCS and DUCS software on the Model 3210 computer in Lubbock for testing and debugging. COMPUTRAN will check the existing computer and field equipment to establish that the revised MTCS software and the OS/32 operating system function properly and in accordance with present conditions. During testing, the existing OS/32 and MTCS software will remain available on tape for immediate reloading, if necessary in order to maintain operational control of the traffic system. Subtask v. Integrate Two Dial -Up Controllers at the Control Center COMPUTRAN will set up DUCS to support two dial -up controllers (one Model 170, one NEMA) at the control - center in Lubboc;, and will debug the operation of this equipment. The City will provide the controllers and associated cabinets for this purpose. Interconnection of the controllers to the DUCS software will be performed by the City and COMPUTRAN staff working together. City staff will be responsible for wiring, cabling, etc. COMPUTRAN staff will be responsible for database parameter setup, etc. Subtask vi. Assist City with Field Integration Once the dial -up controllers have been rendered operational in the control center (see Subtask v) the City will replicate these two units in the field. COMPUTRAN will assist the city in setup and operation of field located dial -up controllers under the DUCS software. TASK F. CONDUCT TRAINING PROGRAM AND SUPPLY MANUALS COMPUTRAN will provide training and manuals to the City in both Dial -Up Controller System and in the enhanced MTCS software. The 170 software subconsultant will assist COMPUTRAN in this work. Subtask i. Model 170 Software COMPUTRAN and the 170 software supplier will train the City staff in the use, setup and operation of the Model 170 software provided as part of this project for use in Lubbock_. March, 1990 COMPUTRAN SYSTEMS CORPORATION Page 6 CITY OF LUBBOCK Subtask ii. Enhanced MTCS and DUCS Software COMPUTRAN will train the City staff in the use of the enhanced MTCS software and the DUCS software. MTCS software training will consist of a review of existing system features, with more detailed concentration on enhancements provided under this project. DUCS software -training will provide a complete training course covering all features of the DUCS system. Subtask iii. Provide Manuals New and/or additional manuals will be provided to complete the documentation required for the new or revised operation of the MTCS, DUCS and OS/32 software. TASK G. PROVIDE SUPPORT SERVICES COMPUTRAN will provide ongoing support services to assist the City through its Signal System Expansion project. Subtask i Technical Questions COMPUTRAN staff will provide verbal and written responses to technical questions which arise during the competitive bidding, installation and integration of controllers in the field. Subtask ii. Investigate and Debug During the controller installation and integration period following Testing and Debugging in Lubbock (TASK E, Subtask iv), COMPUTRAN staff will investigate and debug malfunctions and problems which arise in the installation work and are identified as software or design problems by the City. TASK H. PROVIDE ASSISTANCE TO CITY DURING CONSTRUCTION COMPUTRAN will provide assistance to the City during the construction effort. Subtask i. Prepare Plan Sheets COMPUTRAN staff will prepare appropriate typical plan sheets for the facilities to be implemented in this project. Prepare Specifications for the Model 170 COMPUTRAN will prepare a set of biddable Contract Specifications Co acquire Model 170 and NEMA type controllers with dial -up and cabinets suitable for use in the Lubbock application. Subtask iii. Prepare Specifications for Computer Hardware COMPUTRAN will prepare a set of biddable Contract Specifications to acquire the new computer hardware required by this project (see TASK D). Such hardware will include but not be limited to: - eight -line communications multiplexer(s). - disk drive(s) - memory board(s) - ANSI -standard CRT terminal(s) Subtask iv. Integrate Contract Documents for Bid COMPUTRAN staff will incorporate the contract documents prepared specifically for this project with the standard documents previously used by the City for similar projects. City -standard controller specifications will be integrated into this package. TASK I. PROVIDE PROJECT MANAGEMENT SERVICES COMPUTRAN staff will provide the following management services to assist the City in the conduct of the Signal System Expansion project. Subtask i. Meetings with City Staff COMPUTRAN will attend monthly management meetings with the staff of the City specifically for the purpose of coordinating and management of the project through the various phases of design and implementation. These meetings will continue until the project is determined to be completed by the City and signified by the final payment of the contract. Subtask ii. Preparation of Progress Reports COMPUTRAN will prepare up to 3 progress reports throughout the life of the project for presentation to management and the City Council, upon request from City staff. Coordination with Others COMPUTRAN staff will provide coordination and support to the City in dealing with utilities, manufacturers and potential bidders. TASK J. This includes $156,312 $11,500 of direct expenses. In order to accomplish the desired design work, COMPUTRAN SYSTEMS CORPORATION will separate the work into two phases. The first phase involves all of the software work necessary to set up the new traffic control software in the control center and to render it operational. This process will require nine (9) months. Concurrent with its central software operation the City will be required to let a construction contract and acquire Model 170 controllers. Since this activity is currently projected to be a single construction contract, then it is anticipated approximately four months will be required to develop the necessary PS&E appropriate for bidding and an additional eight (8) months will be required for bid letting and construction. Accordingly, COMPUTRAN's work on the Model 170 integration process will be completed within fifteen months or no later than 150 days after delivery of Model 170 local controller. March, 1990 COMPUTRAN SYSTEMS CORPORATION Page 9 CITY OF LUBBOCK If the project is separated into two or more parts (i.e., the procurement of the 170 controllers and construction of the cable plant) then the schedule will be adjusted accordingly to reflect the City's determination of implementation options. From the time a contract is signed and Notice to Proceed is received, COMPUTRAN shall have 15 days to start work. Thereafter, the schedule shall be extended for delays due to others than COMPUTRAN. In the event that COMPUTRAN delays completion of the work, the City shall be due $100 for liquidated damages for each day of delay attributed solely to COMPUTRAN. V. EXTRA WORK OR FEE ADJUSTMENT The CITY may desire to have COMPUTRAN perform work or render services in connection with this project other than provided for expressly by this Agreement. Such work shall be considered as "Extra Work", subject to Supplemental Agreement to this Agreement, setting forth the character and scope thereof and the compensation and time adjustments therefore. Work under such change order shall not proceed until written authorization is given by the CITY. Should the CITY find it desirable to have previously satisfactorily completed work efforts or parts thereof revised, COMPUTRAN shall make such revision as directed, in writing, by the CITY. This work shall be considered as "Extra Work" and shall be paid as such. "Extra Work" shall be paid for by the CITY on the basis of COMPUTRAN's then current hourly rates plus direct expenses. VI. DISPUTES Except as otherwise provided in this Agreement, any dispute concerning the amount of payment due to COMPUTRAN or any dispute concerning any question of fact of any act to be performed under this Agreement which is not disposed of by agreement between the CITY and COMPUTRAN, shall be submitted to the City Manager of the City of Lubbock, Texas for review. The decisions of the City Manager as to the determination of such dispute shall be final and conclusive unless determined by a court of competent jurisdiction to have been fraudulent, capricious, arbitrary, or so grossly erroneous as necessarily to imply bad faith. Pending a final decision of a dispute hereunder, COMPUTRAN shall proceed diligently with the performance of the Agreement with the directions of the CITY. It is agreed that either party may terminate this Contract all or in part at any time by written notice by certified mail, with the understanding that work hereunder shall cease within 30 days of the date stipulated in the written notice of termination. Such termination may be effected by either party when it is in the best interest of said party. B. On the part of the CITY, termination action under this clause may also be initiated in the event funds are withdrawn or otherwise made unavailable by the funding sources. C. Any termination notice will specify to what extent performance of work has been terminated and the effective date of termination. D. COMPUTRAN shall be compensated for work completed through the date of termination, including work necessitated by the early termination, as provided for in this Agreement. E. In case of disputes arising from early termination, the Director of Planning, City of Lubbock; Director of Traffic Engineering, City of Lubbock and H. Nathan Yagoda, COMPUTRAN SYSTEMS CORPORATION and other persons may be appointed by these listed shall form a committee and resolve such disputes in writing to the satisfaction of all parties. VIII. WARRANTS A. Solicitation COMPUTRAN SYSTEMS CORPORATION warrants that he has neither retained nor employed any company or person, other than a bona fide employee working solely for COMPUTRAN, to solicit or secure this Agreement and that has neither paid not agreed to pay any company or person, other than a bona fide employee working solely for COMPUTRAN SYSTEMS CORPORATION, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, the CITY shall have the right to annul this contract without liability or, in its discretion, to deduct from the contract price on consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee. Security Clause COMPUTRAN certifies that he shall not at any time release or divulge any information concerning the services covered by this Agreement to any person or any public or private organization except the CITY without prior approval of the CITY. C. Ability COMPUTRAN certifies that he has or will have acquired sufficient personnel, material, and equipment to prosecute these services within the time limits as shown in this Agreement prior to the issuance of the Notice to Proceed, and further certifies that the present work load of this firm will not interfere with the completions of the services as outlined in this Agreement. D. Access to Records COMPUTRAN and his sub -consultants shall maintain all books, documents, papers, accounting records, and other evidence pertaining to cost incurred and make such materials available at their respective offices at all reasonable times during the contract period and for three years from the date of final payment under the contract for inspection by the CITY and copies thereof shall be furnished at the current billing rate, if requested. E. Non -Discrimination The CONSULTANT in the performance of this agreement agrees to comply with Title VI of the Civil Rights Act of 1964. IX. VENUE Venue and ,urisdiction of any suit, right or cause of un action arising der or in connection with the Contract shall lie exclusively in Lubbock County, Texas. UNDERSTANDING It is expressly understood by the CITY and COMPUTRAN that the Time of Performance and the Compensation and Method of Payment as stated herein are based upon the fact that neither the Texas State Department of Highways and Public Transportation not the Federal Highway Administration are involved in this project in any official capacity. It is expressly agreed that COMPUTRAN will be granted a reasonable time extension and additional compensation both of which will be negotiated at the time, in the event that either of these agencies becomes involved in the project. XI. PERSONNEL H. N. Yagoda, will serve as COMPUTRAN'S Project Director. XII. BILLINGS AND PAYMENTS COMPUTRAN will bill the City on a percent complete basis by item and using the form shown in Figure 2. Work on the project shall be billable on a monthly schedule: Monthly progress payments shall be made by the City whenever a valid invoice of at least $1,000.00 has been submitted by COMPUTRAN. Progress reports will accompany each billing so as to permit the City to assess and evaluate the performance of COMPUTRAN on the work or which payment is requested. Payments will be due and payable within 30 days of presentation of bill provided the billing shall be valid and consistent with reported accomplishments. A 5% retainage shall be withheld from each amount earned until the work has been completed.
