HomeMy WebLinkAboutResolution - 1173 - Approve Sublease - Delta To TIA Inc - Operations Space, LRA - 08_12_1982/A G � �07_ 0 RESOLUTION. 1173 - 8/12/82 JMS/mck RESOLUTION WHEREAS, Texas International Airlines, Inc., is a Lessee of the City of Lubbock under a Certificated Passenger Airline Lease, and WHEREAS, Texas International Airlines, Inc., has entered into an agreement to sublease to Delta Air Lines, Inc., certain premises held under the Certifi- cated Passenger Airline Lease; and WHEREAS, Texas International Airlines, Inc., now seeks the approval and consent of the City of Lubbock for its agreement to sublease; and WHEREAS, the City Council of the City of Lubbock finds that the public good will be served by giving such consent and approval; NOW THEREFORE: BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock a document consent- ing to and approving of the sublease to Delta Airlines, Inc., by Texas Inter- national Airlines, Inc., of certain leased premises located at the Lubbock International Airport, which document, attached herewith, shall be spread upon the minutes of the Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. Hartsfield Atlanta International Airport Atlanta, Georgia 30320 Attention: Mr. Bill Walling Manager of Properties Gentlemen: This letter, when executed by the parties hereto and approved by the City of Lubbock, Texas, shall constitute an agreement whereby Texas International Airlines, Inc., subleases to Delta Air Lines, Inc. upon the following terms and conditions, certain premises located at the Lubbock Regional Airport which are leased to Texas International under a Base Lease dated February 20, 1976 from the City of Lubbock, which lease is incorporated into this agreement by reference insofar as it is applicable. 1. The premises hereby subleased are: a. Ticket counter space 460 square feet b. Office space 531.5 " It c. Baggage & cargo space 2251.13 It" d. Operations space 150 " " e. Storage space 49 it " Total subleased space 3441.63 square feet All space referenced herein is located in the airport terminal building. 2. This sublease shall be subject to, and said use and occupancy shall be in compliance with all the covenants, conditions and obligations imposed by the Base Lease aforementioned and all rules and regulations promulgated pursuant thereto by any party to the Base Lease, it being agreed that wherever applicable to the subleased premises or use thereof, Texas International may exercise the rights and privileges as the Lessor under the Base Lease. Said use and occupancy shall also include right of pedestrian access to the premises, if required, through adjoining public or common space, in common with others, and to the extent that Texas International has said rights under Base Lease. 4. The term of this agreement shall commence on June 3, 1982 and thereafter shall be on a month -to -month basis, and may be cancelled by either party upon 30 days written notice. 5. Rental for said premises shall be as follows: a. For 3441.63 square feet, a rental rate of $8.25 per square foot per annum plus an administrative charge calculated at the rate of fifteen percent (15%) of the base rent shall be $32,652.46 annually payable in equal monthly amounts of $2721.04. b. The above base rental rate is subject to change under the Base Lease and any such change shall be applicable under this Agreement. 6. Delta agrees to indemnify and hold Texas International, its officers, employees and agents harmless from any and all claims, demands, actions and liability that may arise due to Delta's acts or omissions (or the acts and omissions of its officers, employees, agents, suppliers and visitees) or Delta's negligent use of the premises. Texas Inter- national will use its best effort to give Delta notice of any such claims as promptly as possible. 7. Anything in the Base Lease to the contrary notwithstanding, Delta shall not assign or sublet the premises, or permit same to be used by others. 8. Delta agrees during the term of the sublease to carry liability insurance of the following types and minimum amounts: Public Liability Bodily Injury $ 250,000 per person 1,000,000 per occurrence Property Damage 5,000,000 per occurrence Delta Air Lines, Inc. June 3, 1982 Page 3 9. Delta agrees to take the premises in "as is" condition and that no alterations or improvements are to be made by Texas International. Any improvements to the premises desired by Delta shall be first submitted for Texas International review or approval. On termination of the sublease, the premises shall be returned in the same condition as when delivered, normal wear and tear excepted. If the foregoing is acceptable to Delta, please return two (2) copies of this sublease duly executed by an authorized officer to indicate acceptance.
