RESOLUTION
WHEREAS, pursuant to Article IV, Section 5 of the Amended and Restated Bylaws of the
Market Lubbock Economic Development Corporation (the "Corporation"), the City Council
of the City of Lubbock (the "City Council"), as the Corporation's authorizing unit, has the
authority to approve all programs and expenditures of the Corporation; and
WHEREAS, the City Council finds that it is in the best interest of the public to approve the
program or expenditure, as proposed to the City Council by the Corporation, as set forth in
Exhibit "A" attached hereto and incorporated herein by reference; NOW THEREFORE:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Downtown Fagade Grant program or expenditure of the Corporation, in the
amount set forth in Exhibit "A" attached hereto and incorporated herein by reference, to be
provided to Flips LBK, Inc., is hereby approved pursuant to Section 5 of the Amended and
Restated Bylaws of the Corporation.

FLIP'S LBK, INC.
AT 1406 AVENUE Q - DOWNTOWN FACADE GRANT
THE STATE OF TEXAS
COUNTY OF LUBBOCK
At a regular meeting of the Board of Directors of MARKET LUBBOCK ECONOMIC DEVELOPMENT
CORPORATION, INC., a Texas nonprofit corporation (MLI), on Wednesday, September 28, 2022, held in conformity with the
bylaws, after due notice as therein provided, a quorum being present and acting, the following resolution was unanimously
adopted:
WHEREAS, MLI presented to members of the Board the proposal of a possible Economic Development Grant and Contract
to Flip's LBK, Inc. at 1406 Avenue Q, and is making improvements to the exterior of their property, which is located in the
Downtown TIF. Zach Beauchamp, Michael Tweed, and Jason Berryman, are owners of the downtown entities Flippers Tavern
for the past 6 years, Inkfluence for 27 years and the Electric Lofts for 3 years.
The scope of work includes removing dead foliage and installing Xeriscape, installing new planters, brick repair, security
cameras and bike rack and installing new lighting and signage totaling $32,059.
The terms and conditions of such Economic Development Grant and Contract, other than the normal terms and conditions
applicable to all such Economic Development Grant and Contracts by the Corporation, are described generally as follows, to wit:
Grant Flips LBK, Inc. a Downtown Facade Grant for $16,030 at 1406 Avenue Q, which is in the Downtown TIF, once
proof of payment has been submitted.
WHEREAS, The Board of Directors of MLI finds that an Economic Development Grant and Contract offering the
incentive for providing assistance for renovations to their property, meet and comply with the qualifications and purposes of the
Corporation for the granting of such Economic Development Grants and Contracts.
Upon Motion by Director, Mr. Barry Orr, and Seconded by Director, Mr. Sonny Garza.
IT WAS RESOLVED that MLI offer and, if accepted by Recipient, enter into an Economic Grant and Contract with
Flips, LBK, Inc., for improvements to the property at 1406 Avenue Q, Lubbock, Texas. This Economic Development Grant and
Contract will be on the normal terms and conditions of such Downtown Grant Program and Contract offered by MLI to existing
businesses and business prospects and authorize the CEO to enter into and execute all documents related to the Economic Grant
and Contract.

LIGHTING AND SIGNAGE PROPOSAL
1. REFURBISH EXISTING SIGNAGE $2500.00
Refurbish the existing signage on the building by removing
neon tubing, repainting blackout paint, reprint "bumper"
graphic on aluminum composite panel, reroute existing wiring
as necessary, reinstall all refurbished pieces.
2. PARKING LOT LIGHTING $3500.00
Furnish materials, fabricate, and install a new parking lot light
in the North lot. On Flippers property, existing electrical in
location. Install a 4" pole in specified, reinforced concrete, 20'
maximum height. Fabricate a custom lamp holder, similar to
the graphic furnished. Holder will support 3 LED commercial
lamp fixtures, and echo the existing visual identity of the
business. Permits and inspections as necessary included.
3. NEW SIGNAGE $6000.00
Furnish materials, fabricate, and install a CoLubbock
approved and permitted sign. North facade of building, as
specified from a client furnished and approved design,
complimentary to the existing visual identity on the business.
Signage will meet requirements of the City of Lubbock. The
existing signage was originally fabricated and installed by
this same company.

It is agreed by and between Hildebrandt Tree Tech and the authorizing party (customer and/or customer's agent) that the following provisions arc made as part of this
contract:
Insurance by Contractor. Hildebrandt Tree Tech warrants that it is insured for liability resulting from injury to person(s) or property and that all employees arc
covered by Workers' Compensatton as required bylaw Certificates of coverage are available upon request.
Cancellation Fec: Hildebrandt Trec Tech kindly requests that the am horizing party provide at Icast 24 hours advance notice of any full or partial work canccllat ton
If a crew has been dispatched to the job site, the customer will be assessed a mobilization fee of SI25.00 for incurred expenses.
Completion of Contract Hildebrandt Tree Tech agrees to do its best to meet any agreed upon performance dates, but shall not be liable in damages or othcrwtw for
delays because of inclement weather, labor, or any other cause beyond its control; nor shall the customer be relieved of completion for delays.
Tree Ownership' The authorizing party warrants that all trees listed are located on the customer's property, and if not, that the authorizing party has received full
permission from the owner to allow Hildebrandt Tree Tech to perform the specified work Should any tree be mistakenly identified as to ownership, the customer
agrees to indemnify Hildebrandt Tree Tech for any damages or costs incurred from the result thereof.
Safety: Hildebrandt Tree Tech warrants that all arboricultural operations will follow the latest version of the ANSI Z133.1 industry safety standards. The authorizing
party agrees to not enter the work area during arboricultural operations unless authorized by the crew leader on -silt.
ANSI A300 Tree Care Standard Definitions: The following definitions apply to specifications detailed in this proposal.
removal: complete removal of tree to ground (not including stump grinding) or otherwise stated height.
clean: Selective pruning to remove one or more of the following parts: dead. diseased crossing, and/or broken branches. Unless noted otherwise on this proposal, all
cleaning will be of branches I inch diameter or greater throughout the entire crown.
crown: The leaves and branches of a tree measured from the lowed branch on the trunk to the top of the tree.
leader: A dominant or co -dominant, upright stem.
raise/elevate: Selective pruning to provide vertical clearance.
reduce: Selective pruning to decrease height and/or spread by removing specified branches.
restore: Selective pruning to improve the structure, form, and appearance of trees that have been severely headed vandalized or damaged
thin: Selective pruning to reduce density of live branches, usually by minovingenare branch".
vista pruning: Selective priming to allowa specific view, usually by creating view -windows' through the tree's crown.
IPM (Integrated Pest Management): method for managing pests that combines cultural, biological, and chemical control tactics into a single management strategy
Sump Removal: Unless specified in the proposal, stump removal is not included in the price quoted Camdings from stump removal arc not hauled unless specified in
this proposal. Surface and submwface roots beyond the stump are not removed unless specified in this proposal.
Diagnoses, Plant Health Care and Recommendations: Hildebrandt Tree Tech makes a reasonable effort to ensure that their duignoses arc correct and recommended
treatment options arc appropriate and applied according to accepted industry guidchncs. However, there arc no expressed or implied warranties of
merchantability and fitness for a particular purpose on our treatments. Trees arc living organisms and Hildebrandt Tree Tech cannot guarantee life
Concealed Contingencies: Any additional work or equipment required to complete the work, caused by the authorizing party's fadure to make known or caused by
previously unknown foreign material in the trunk, the branches, underground or any other condition not apparent in estimating the work specified shall be paid for by
the customer on a time and material basis. Hildebrandt Tree Tech is not responsible for damages to underground sprinklers, drain lines, invisible fences or underground
cables unless the system(s) are adequately and accurately mapped by the authorizing party and a copy is presented before or at the time the work is performed
Clean-up: Clean-up shall include removing wood brush, and clippings, and raking of the entire area affected by the specified work, unleas noted otherwise on this
proposal.
Lawn Rcpair: Hildebrandt Tree Tech will attempt to minimize all disturbances to the customer's lawn. Lawn repairs arc not included in the contract price, unless
noted otherwise on this proposal.
Terms of Payment: Unless otherwise noted in this proposal, the customer agrees to pay the account in full upon work completion Failure to remit full payment will
result in a finance charge of 1.5"o per month, after the first 30 days past dux
Returned Check Fee: There will be a 535.00 fee charged for all checks returned to our office for non -sufficient funds.

NOTES and DISCLAIMER:
1. Nash and Associates offers a 3o day warranty on all plants and shrubs we install as
long as it has proper irrigation. proper irrigation needs to be approved by Nash and
Associates prior to start date. Approved irrigation includes proper irrigation
installed by a reputable company "this still needs to be approved". Irrigation
reworked or installed by Nash and Associates.
2. Nash and Associates will not warranty any plants, shrubs trees or sod installed by an
outsourced irrigation company or handy man if we feel the irrigation is sub par.
3• Bid includes running drip irrigation from existing beds. It does not include adding
any zones.
4. Nash and Associates does not warranty any plants, shrub, trees or sod without
approved irrigation.
5. Nash and Associates offers an extended warranty on all plants and shrubs planted
between November ri' and February 281h. All plants and shrubs planted during this
time period will have the 3o day warranty start May i" to ensure all plants make it
through winter. It is our decision to plant in winter or not depending on the weather
and type of winter we are having. We hold the right to hold on all planting until early
spring if we feel the winter is too harsh. This warranty does not apply to any sod.
Nash and Associates does not warranty any sod planted in winter. It is client's
decision and responsibility for hiring us to plant sod during winter months, I advise
against it.
6. Crape Myrtle Clause: Herein our area of west Texas and Eastern New Mexico
sometimes our winters are a bit tricky. These tricky winters can have an impact on
all crape myrtles in our area. Though the winters may kill off the nice grown tops
and trunks of crape myrtles on occasion the crapes always bounce back and start re -
growing from the root ball. Due to this Nash and Associates will not warranty the
tops or trunks of crapes through winter months.
7. Nash and Associates warrantees all construction, concrete, and masonry for i year as
long as concrete has rebar reinforcement in large flatwork areas. Warranty is voided
if client refuses rebar reinforcement in referred areas.
S. Nash and Associates warrantees all Led lighting for i year.
9. Nash and Associates warrantees all Artificial Turf for 1 Year.
10. Any unexpected electrical or plumbing/irrigation repair is not included in bid and
will be billed separately.
11. This bid does not include electrical outlet to ponds or pergolas if desired.
12. This bid does not include live water plumbing to ponds or fountains.
13. Once in contract client may not try to find cheaper material from an outside source.
We set our prices and confirm bid approval weeks and or months before projects
start. Our projects are bid with our material in mind. Changes to this can result in
forfeiture of contract or a restocking fee of z0% on the material changed.
14. Client has up until 4 weeks before the installation starts to make changes on plants,
other material or location of plants, shrubs and trees. The changes may result in
price changing for the new material. If changes are made within the z week — Start
Date period there will be a zo% restocking fee on unused material. Please try to
ensure all changes for project are made before the 4 week - Start Date to avoid any
unnecessary restocking fees.
15. If client wishes to move, transplant or relocate any plant, shrub or tree after it has
been planted the warranty for that plant, shrub or tree is voided.
16. Any additions or changes to the original design and or bid need to be done through
the office. My crew is there with a plan, design and material sheet They are very

17• Design fee is not included in this bid. Design fee has a separate invoice discussed
between client and designer for $75 -$135/ hour. A design quote is always given
during my initial visit. Some projects do not need a design and for those projects
there is no fee for an itemized bid.
18. Nash and Associates does not provide weekly or seasonal maintenance services to
clients. We do not run a maintenance division. Once the project is complete it is
client's responsibility for all maintenance of the landscape. This includes weeding,
mowing, chemical, fertilizer, etc... We do offer a seasonal clean up of landscaping at
$95/ hour to remove winter kill, dead leaves and such.
19. Prices on Outdoor Kitchens, pergolas, bars and all general construction may change
depending on client preferences.
zo. Prices are good on all material and labor for 90 days.
21. Nash And Associates requires 50% down payment y- 6 weeks ahead of installation
day in order to get material in. The second 30% invoice will due around the halfway
point on the project. The final 20% invoice is due on completion.
