For Migration Of Utility Billing And Payment System - 02/09/2010Resolution No. 2010-R0080 February 9, 2010 Item No. 6.3 RESOLUTION WHEREAS, the City of Lubbock has a Software License and Services Agreement (the "Agreement") with Ventyx Inc., successor to Indus International, Inc., that was originally executed on August 12, 1999; and WHEREAS, pursuant to the terms of this Agreement, Ventyx Inc. provides technical development and maintenance of a customer information system known as "Banner" which processes and stores utility billing and payment information for the City of Lubbock utilities; and WHEREAS, it has become necessary to upgrade the current version of "Banner" to improve customer service by executing a Statement of Work pursuant to the Agreement with Ventyx Inc.; and WHEREAS, the Electric Utility Board, on behalf of the City's municipally owned public power utility, Lubbock Power & Light, has already considered and approved this Statement of Work and recommends approval of it by the City Council; NOW THEREFORE: BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the City of Lubbock, in order to upgrade the City's utilities customer information system, hereby approves the Statement of Work with Ventyx, Inc., as previously approved by the Electric Utility Board and as attached hereto and incorporated herein as though set forth fully herein in detail. Introduction This Statement of Work ("SOW") is made as of February 9, 2010 ("SOW Effective Date") by and between Ventyx Inc., successor in interest to Indus International, Inc. ("Ventyx") and the City of Lubbock, TX ("Client") pursuant to the terms and conditions of the Software License and Services Agreement dated August 12, 1999 ("Agreement"). To the extent there is any conflict between the terms of the Agreement and the provisions of this SOW, the provisions of the SOW will be controlling. The fees payable to Ventyx under this SOW are in addition to, and not in lieu of, all other amounts that Client is obligated to pay Ventyx under the Agreement. This SOW documents the services that Ventyx will provide to Client. The applicable assumptions, definitions, scope, and Deliverables applicable to the services to be provided are contained within this SOW. 2. Assumptions (a) Client will provide functional and technical resources as needed throughout the life of the project that will serve as core team members, subject matter experts and project execution resources. (b) Ventyx will utilize a train the trainer approach for this project. The goal is to train the local trainers on the Baseline Component System and allow them to train the utility's end users. Client training staff will be a part of the core team and as such are expected to participate in the Functional Differences and Technical Differences Training (as described further in the SOW) provided by Ventyx. Following the completion of the Functional Differences and Technical Differences Training sessions, Client's Training Staff will be responsible for the development, delivery and execution of any and all end-user training materials, training classes or other end-user related training activities required by Client. Should Client wish to engage Ventyx to assist with or conduct end-user training, Client will develop and execute a separate, additional Statement of Work for any additional training services that Client may require. (c) Functional Differences and Technical Differences Training will be conducted with an optimal class size of 12 attendees and a moderate level of interaction. If there are additional attendees, an additional trainer will be allocated and utilized, pursuant to the Change Request provisions otherwise specified in this SOW. (d) Ventyx will assume responsibility for the installation and configuration of the fust instance of the Target Release of the Baseline Component System; the initially installed Target Release of the Baseline Component System will be designated for use in subsequent Functional and Technical Differences Training. During this initial installation of the Target Release of the Baseline Component System, Ventyx will provide guidance and training to Client technical and Data Base Administrator (DBA) personnel on the process and work steps involved in installing and configuring the Target Release of the Baseline Component System. Following installation and initial configuration of the Target Release of the Baseline Component System, Ventyx will conduct an initial verification test of the installed Target Release of the Baseline Component System to determine and demonstrate that the software is installed and operating properly. Following the completion of this task, Client technical and DBA personnel will be responsible for conducting and completing all subsequent Customer Suite software installations (e.g. Test, Development, Production, etc.) (e) Client will be responsible for the development and execution of Acceptance Testing test plans, test cases and other testing artifacts. No Ventyx support for Acceptance Testing has been included in this SOW. Should Client wish to engage Ventyx to assist with the development of Acceptance Testing test cases, test plans or other testing artifacts, or request additional Acceptance test support services, Client Vi will develop and execute a separate, additional Statement of Work for any additional Acceptance Testing services that Client may require. (f) Customizations indicated in Attachment B (Scope of Migrated Customizations) are considered a part of the project scope. The migration or testing of additional Customizations will be addressed pursuant to the Change Request provisions otherwise specified in this SOW. (g) Ventyx will provide defect corrections as needed for all Severity 1 defects as well as any Severity 2 defects that preclude releasing the custom software for the next phase of the project by joint agreement of the Ventyx and Client Project Managers. (h) Project Management and Technical and Functional Support estimates are based on a user acceptance test period lasting no more than 2 calendar months. Any extension or delay of the User Acceptance Test phase may require Client to develop and execute a separate, additional Statement of Work for additional Project Management as well as Technical and Functional Support hours. (i) Client will assume leadership and manage all mock go -live event tasks. No Ventyx support for mock go -live activities has been included in this SOW. Should Client wish to engage Ventyx to assist with the mock go -live activities, Client will develop and execute a separate, additional Statement of Work for any mock go -live activities that Client may require. (j) Client will assume the lead and manage the go -live activities (k) Client will provide all data processing equipment and peripherals necessary to enable Ventyx and it's subcontractors to communicate with the applications remotely in order to provide off-site support. (1) Client is responsible for having all Oracle application software installed and verified prior to Ventyx application installation. (m) Client is responsible for the upgrade and configuration of all Oracle software to the version required to support the Target Release. (n) Ventyx will provide the technical product documentation to support the Target Release. These are outlined in the Guide to Documentation included in Attachment B of this SOW. 3. Definitions All capitalized terms used and not defined herein shall have the same meanings given them in the Agreement. (a) "Baseline Component System" has the meaning ascribed to such term in the Software License Agreement between the parties, and further, for purposes of this SOW, refers specifically to the Ventyx Customer Suite Customer Information System Component System (CIS). (b) "Change Request" means any request for a change to this SOW as specified in Section 5 of this SOW. (c) "Severity 1 Error" means: (a) an error that causes an application to be unusable or inoperable; (b) an error that causes an application to completely fail causing total loss of function or program or destruction or loss of data creating a critical impact on Client's business and/or Client end users, and (c) no workaround exists and testing or production processing cannot continue until the correction or avoidance procedure is in place.. (d) "Severity 2 Error" means: (a) an error that causes a function or application to be materially restricted; or (b) an error that causes an application to demonstrate a failure preventing the normal use of certain material function(s) within a module (for example, a contractor -provided Customer Suite 3 form or batch program, known as a process). A Severity 2 Error will not exist if there is an available valid workaround. (e) "Severity 3 Error" means; (a) an error that is a limitation or defect in a function or application that is not a Severity 1 Error or a Severity 2 Error; and (b) a practical workaround is available for an indefinite period of time. (f) "Customizations" mean those modifications and/or interfaces made to the Baseline Component System. Also referred to as "Customization." (g) "Cut -over" means the period of time beginning with final migration and working towards production processing. (h) "Deliverable" means the Services, documents and /or materials identified in Section 7 of this SOW. (i) "Target Release" means the version of the Baseline Component System to which Client is migrating. (j) "Work Effort" means the Services rendered by the team of Client and Ventyx as specified in this SOW. 4. Scope The Work Effort has been divided into major activities as described below (see Sections 4.1 — 4.14 for descriptions). 4.1 Project Initiation Ventyx will prepare project documentation, work with the Client Project Manager to finalize the staffing plan, setup project accounting and reporting procedures, and conduct an onsite project kickoff review meeting with Client management and core team. The purpose of the review meeting is to communicate the project schedule, the migration strategy, and the roles and responsibilities of the participants for completing the Work Effort as defined in this SOW. The review meeting will also help to establish the project parameters and enables the parties to address concerns early in the project. The Ventyx Project Manager and the Client Project Manager will coordinate the review meeting. This phase of the project will culminant with the Project Kickoff meeting led by the Client PM with participation from the Ventyx project team. 4.2 Target Release Baseline Component System Install Ventyx will install the Target Release version of the Baseline Component System and will provide installers and an "as required" database analyst to perform off-site and on-site installation and verification activities. After installation, Ventyx will verify the installation as operational for training, testing and functionality review. 4.3 Target Release Base System Technical Differences Training Ventyx will administer one (1) 5 -day period of hands-on technical training on the technical aspects of the Target Release to a class size not to exceed twelve (12) attendees. This level of technical training is designed for individuals who will be technically responsible for all instances of the Customer Suite application during and after the migration period. Requests for additional training will be addressed pursuant to the Change Request provisions otherwise specified in this SOW. 4 4.4 Target Release Base System Functional Differences Training Ventyx will administer one (1) hands-on Functional Training class lasting twenty (20) business days (to be administered within a forty (40) consecutive business day period) to Client's core team with a class size not to exceed twelve (12) attendees. This training phase will focus on new functions and features provided by the baseline version of the Target Release. Requests for additional training will be addressed pursuant to the Change Request provisions otherwise specified in this SOW. 4.5 Migration Customization Analysis Workshop Ventyx will conduct a Customization Workshop with Client to analyze custom functionality, interfaces and database changes to be migrated to the Target Release. At the conclusion of the workshop, Ventyx personnel will create and deliver for review the Migration Assessment Document. The workshop will consist of the following activities: • Functional analysis of Customizations and Interfaces to determine Customizations to be eliminated via new functionality or business process change; • Analysis of custom database fields and decisions regarding promotion of this data; • Technical analysis by Ventyx of custom objects and source code deemed necessary in the new production environment. • Development of the Migration Assessment Document 4.6 Product Configuration Analysis Workshop Ventyx will conduct a configuration analysis workshop to gather and document the configuration differences (edits, additions or deletions) from Client legacy Customer Suite to align with the Target Release Customer Suite system capabilities based on Client's business processes 4.7 Product Configuration Consulting Ventyx will provide up to 120 Hours of functional consulting to assist Client in applying the specific configuration parameters to the Client's environment derived from the business decisions made during Product Configuration Analysis. This consulting will consist of answering questions and providing advice as Client personnel apply rule and validation table changes and configuration parameters. Requests for additional consulting will be addressed pursuant to the Change Request provisions otherwise specified in this SOW. 4.8 Data Migration and Data Migration Training Ventyx personnel will deliver to Client a base set of database migration scripts. Ventyx personnel, with Client's assistance, will then modify (as necessary) and execute the (now custom) database migration scripts to migrate the database structure and Client data to the Target Release version in a test migration environment; thereby creating the Migration Plan (MP). Ventyx personnel will demonstrate the correct database migration procedures by guiding the Client resource through the execution of the database migration procedures in the test migration environment. Client personnel will maintain source control and management of database migration scripts to be used in processing all data migrations outlined below. After this initial test migration, Client, and not Ventyx, is responsible for all subsequent database migrations. 4.9 Custom Software Migration Ventyx will migrate the Customizations identified in Attachment B (Scope of Migrated Customizations) to the Development Environment. Ventyx will perform coding and develop test scripts to conduct unit testing, ensuring the conformity of the Customizations to the corresponding original design documents. Upon successful test completion, the Customizations will be deployed for verification testing by Ventyx personnel. 4.10 Verification Ventyx will perform Factory Qualification Test (FQT) testing on the Development Environment to confirm compatibility and completeness with regard to the migrated in scope customizations, modifications and interfaces and ensure the migrated Customizations are ready for Site Integration and Testing. Ventyx personnel will create contrived test data, test each Customization alone and in concert with associated functionality and Customizations, and correct issues that preclude releasing the Customization(s) and software modifications for Client -instance installation and testing. 4.11 Site Integration and Testing Ventyx, with Client's cooperation, will install the migrated Customizations and Interfaces and execute test cases. The test cases shall verify, to Client's satisfaction, that the Customizations have been installed and integrated in Client's designated environment and are ready for site acceptance testing. Specific tasks Ventyx will execute include: • Executing test cases in Client's designated testing environment; • Confirming that the modification works as desired per the test cases; • Correcting issues with the Ventyx deliverables that preclude executing the site acceptance test; • Documenting unresolved issues remaining from the integration testing and review the issues with Client prior to site acceptance testing. • Communicating with Client on necessary interfaces in order to prepare FQT test cases. 4.12 Production Preparation and Cut -over Ventyx will provide on-site functional and technical support to assist Client with its execution of the migration Cut -over plan. The Cut -over plan will be jointly developed by Ventyx and Client with Client assuming primary responsibility. The Cut -over plan details the tasks required to begin using the solutions in a production environment, including the sequence of events, the development of the schedule, the roles and responsibilities, and the development of contingency plans. 4.13 Staffing and Support Ventyx will provide functional and technical staff experienced in the 4.x release of Customer Suite for Services to Client according to Section 4c of the Agreement. Client may request the removal and replacement of any Ventyx personal providing Services at Client's premises upon receipt of written notice to Ventyx, if, in the reasonable opinion of Client, such Ventyx personnel do not posses the skills and experience necessary to render the Services for which Ventyx has provided such personnel. In the event of such removal, Ventyx shall have fifteen (15) business days to replace such personnel. Ventyx shall notify Client of any subcontractor contracted to provide Services under this SOW. 5. Changes to this Statement of Services Request for changes to this SOW that will change the Work Effort must be reviewed and considered as a change, which will be managed as outlined in this section. The investigation and implementation of 0 changes can result in modification to the estimated cost to Client or other conditions specified in this SOW. The Ventyx Change Request procedure to be utilized is as follows: A Change Request is a formal statement of the change(s) being suggested to this SOW to document timeline, cost, and scope issues as well as any other related project issues, which may or may not be a change to the Work Effort (an example of a Change Request is provided in Attachment B). Either Ventyx or Client may initiate a change by submittal of a Change Request to the other party. The cost of investigating a Change Request submitted by Client may be billable at the time and material rates listed in Section 9 only upon mutual agreement of Ventyx and Client. The receiving party will have five (5) business days to agree to or reject a Change Request. If both parties agree to a Change Request, the change will be documented, signed by both parties, and will become an attachment to this SOW. If agreement does not occur in five (5) business days, the Change Request will be deemed to have been rejected. Any approved Change Request must include an agreement as to any additional charges to Client for the implementation of the Change Request (i.e. any charges not already specified in this SOW or which are different than those in this SOW will be denoted in the Change Request). Any additional Services performed by Ventyx as a result of a Change Request will be billed on a time and materials basis per the applicable rates as set forth in Section 9 of this SOW. In the event that a Change Request is rejected, neither Client nor Ventyx will be obligated to perform the changes identified therein. Both parties agree to negotiate any Change Requests in good faith and not to unreasonably withhold, delay or condition consent to any Change Requests. 6. Client's Responsibilities Client will perform the following general responsibilities: 1) Provide a Project Manager for escalating contract issues and managing Client resources. This will include: ➢ Assuming responsibility for Client's obligations regarding the overall project management and achievement of the business objectives guiding this project, of which the Ventyx Services specified in this SOW are a part; ➢ Having the authority and responsibility to commit Client resources, to negotiate contract changes to support the project, to act on behalf of Client for all matters pertaining to the management of Client's effort required for support of the project, and to work jointly with the Ventyx Project Manager throughout the project implementation; Providing day-to-day direction to all members of Client's project team; Rendering written decisions within five (5) business days of receipt of a written request (other than a Change Request) from Ventyx; ➢ Administering project Change Requests in accordance with the Ventyx Change Request procedures; ➢ Reviewing Change Requests with Ventyx to help determine the impact of the request. Sign all appropriately approved Change Requests. 2) Participating in management meetings/conference calls for review, status, and issue management and coordination. 3) Ensuring that appropriate Client personnel are available to review the Ventyx deliverables in a timely manner. 4) Providing adequate and reasonable facilities containing dedicated workspace with multiple analog phone lines for Ventyx personnel working on-site. 5) Providing remote and on-site access to the baseline, development, and training instances as required by Ventyx. For remote access this will require the setup and maintenance of multiple concurrent sessions with a flexible security access plan mutually agreed upon by Client and Ventyx. 6) Install Test, Production and other 4.2 instances as needed once Client technical and DBA resources have been trained by Ventyx personnel. . 7) Perform and execute data migrations 2 through `N' as needed once Client technical and DBA resources have been trained by Ventyx personnel 8) Prepare and execute Acceptance Test Plans and Test Cases. 9) Prepare functional and technical end-user training materials and deliver end-user training. 10) Lead and manage mock go -live events 11) Lead and manage the go -live weekend It is understood by the parties that nothing contained in this section limits or otherwise excuses any specific obligation of Ventyx as outlined in the Agreement or this SOW, other than as amended in this SOW. 0 7. Independent Contractor Nothing contained herein shall be construed as creating the relationship of employer and employee between the Client and Ventyx. Ventyx shall be deemed at all times to be an independent contractor for all purposes, including taxes and shall be at all times solely responsible for the actions of its officers, managers, employees, agents, and subcontractors. Furthermore, this SOW is not intended to constitute an agreement of hiring under provisions of any Workers' Compensations or unemployment compensation law, and old age benefit law, or any similar law, and it shall not be so construed. Ventyx agrees to accept full and exclusive liability for the payment of contributions or taxes imposed under such laws by the Federal and/or State Government. 8. Deliverables All deliverables under this SOW will be provided in accordance with a Project Plan that will be governed by Ventyx's standard methodologies and practices (i.e. task objectives/activities, deliverable document template formats, coding standards, and general practices/procedures). In the event of a conflict between Ventyx's standard methodologies and practices and the terms of this SOW, the terms of this SOW shall control and be binding. For the purpose of this SOW, electronic media will be MS Word for text and MS Project for Project Plans. The deliverables are discussed in detail in the tables that follow. Deliverable Number 1. Deliverable Name Detailed Project Plan Purpose To provide the detailed information in support of the delivery of the elements in the SOW. Contents A detailed task list including schedules, and resource assignments. Deliverable Name Monthly Activity Status Reports Purpose To provide clear on-going communications to any and all interested parties concerning the status of the project. The reports will contain sufficiently detailed information to enable the Client to determine the status of the Project and any variance from the Project Plan. Deliverable Name Final Site Integration Test Report Review Purpose To verify that the migrated Customizations are functioning in conformity with their Content respective specifications. Content The final test report is a list of all open problems by severity level and their current Participants/Roles status (e.g., Open, in test), verifying that the Baseline Component System with Deliverable Format Customizations is operating in an integrated fashion. This report will be delivered and reviewed with Client at the end of the Site Integration Test as described in Section 4.11 of this SOW. Content A document confirming; 1) the user acceptance testing has been successfully completed, 2) the Client is in production and has processed 2 days of billing cycles for delivery to its customers using the Target Release System, and 3) that no Severity 1 or Severity 2 error exists caused by Ventyx (a Severity 2 Error shall not exist if there is a workaround available as described in the definition). The Go -Live Declaration Letter is inclusive of the production operation of the Archive Purge functionality. The document will be signed -off by the Ventyx and Client Project Managers Responsibility Ventyx Participants/Roles Ventyx Project Manager, Client Project Manager Completion Criteria Delivery of the letter will occur at the completion of the Production Processing Cutover period as described in Section 4.12 of this SOW. In the event that the Client does not utilize the Target Release system in normal production for reasons other than Ventyx's failure to perform the Services hereunder, then the Client shall, in such event, treat this Deliverable as completed by Ventyx. 13 9. Pricing Information Ventyx is providing the Services on a time -and -materials basis. The estimates set forth in the "Project/Cost Summary" table below were determined based upon the hourly rates set forth in the "Resource/Hourly Rate" table included below. Actual fees will vary, based upon the number of hours of effort expended by Ventyx, and the rate applicable to the Services being rendered. Monthly invoices will only include hours actually worked. Hourly rates are exclusive of normal travel and related expenses. The maximum, not -to -exceed compensation for Services provided under this SOW is $740,392.00. Notwithstanding the foregoing, Ventyx will have no obligation to perform any Services beyond the not -to - exceed compensation here unless Client authorizes additional funding. Actual travel and related expenses are additional, are not included in the fees set forth in this section, and will be billed as incurred and subject to the payment terms below. Ventyx personnel shall make reasonable efforts to combine rental car transportation services when possible. Ventyx will invoice Client for services and travel expenses on a monthly basis. Invoices are due upon receipt and are payable within thirty (30) calendar days after the date of each invoice.
