RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for and
on behalf of the City of Lubbock, Professional Services Contract No. 13814 for Cellular
Phone Services and Devices as per RFP 17-13534-SS, by and between the City of Lubbock
and AT&T Mobility, LLC, and related documents. Said Contract is attached hereto and
incorporated in this resolution as if fully set forth herein and shall be included in the minutes
of the City Council.

Service Agreement
Contract 13814
This Service Agreement (this "Agreement") is entered into as of the 7th day of December, 2017
("Effective Date") by and between AT&T Mobility, LLC (the Contractor), and the City of Lubbock (the
"City").
RECITALS
WHEREAS, the City has issued a Request for Proposal 17-13534-SS Cellular Phone Services and
Devices.
WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which best
meets the needs of the City for this service; and
WHEREAS, Contractor desires to perform as an independent Contractor to provide Cellular Phone
Services and Devices, upon terms and conditions maintained in this Agreement; and
NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City
and Contractor agree as follows:
City and Contractor acknowledge the Agreement consists of the following exhibits which are
attached hereto and incorporated herein by reference, listed in their order of priority in the event of
inconsistent or contradictory provisions:

Scope of Work
Contractor shall provide the services that are specified in Exhibit A. The Contractor shall comply with all
the applicable requirements set forth in Exhibit A and B attached hereto.
Article 1 Services
1.1 The contract shall be for a term of one (1) year, with the option of three (3) one (1) year
extensions; said date of term beginning upon formal approval. All stated annual quantities
are approximations of usage during the time period to be covered by pricing established by
this proposal. Actual usage may be more or less. Order quantities will be determined by
actual need. The City of Lubbock does not guarantee any specific amount of compensation,
volume, minimum, or maximum amount of services under this bid and resulting contract.
1.2 This contract shall remain in effect until the first of the following occurs: (1) the expiration
date, (2) performance of services ordered, or (3) termination of by either party with a 30 day
written notice. The City of Lubbock reserves the right to award the canceled contract to the
next lowest and best bidder as it deems to be in the best interest of the city.
1.3 The Contractor shall not assign any interest in this Agreement and shall not transfer any
interest in the Agreement, whatsoever, without prior consent of the City.
1.4 All funds for payment by the City under this Agreement are subject to the availability of an
annual appropriation for this purpose by the City. In the event of non -appropriation of funds
by the City Council of the City of Lubbock for the goods or services provided under the
Agreement, the City will terminate the Agreement, without termination charge or other
liability, on the last day of the then -current fiscal year or when the appropriation made for
the then -current year for the goods or services covered by this Agreement is spent,
whichever event occurs first. If at any time funds are not appropriated for the continuance
of this Agreement, cancellation shall be accepted by the Contractor on 30 days prior written
notice, but failure to give such notice shall be of no effect and the City shall not be
obligated under this Agreement beyond the date of termination.
Article 2 Miscellaneous.
2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in
accordance with the laws of said State, without reference to choice of law provisions. This
Agreement is performable in, and venue of any action related or pertaining to this
Agreement shall lie in, Lubbock, Texas.
2.2 This Agreement and its Exhibits contains the entire agreement between the City and
Contractor and supersedes any and all previous agreements, written or oral, between the
parties relating to the subject matter hereof. No amendment or modification of the terms of
this Agreement shall be binding upon the parties unless reduced to writing and signed by
both parties.
2.3 This Agreement may be executed in counterparts, each of which shall be deemed an
original.
2.4 In the event any provision of this Agreement is held illegal or invalid, the remaining
provisions of this Agreement shall not be affected thereby.
2.5 The waiver of a breach of any provision of this Agreement by any parties or the failure of
any parties otherwise to insist upon strict performance of any provision hereof shall not
constitute a waiver of any subsequent breach or of any subsequent failure to perform.
2.6 This Agreement shall be binding upon and inure to the benefit of the parties and their
respective heirs, representatives and successors and may be assigned by Contractor or the
City to any successor only on the written approval of the other party.
2.7 All claims, disputes, and other matters in question between the Parties arising out of or
relating to this Agreement or the breach thereof, shall be formally discussed and negotiated
between the Parties for resolution. In the event that the Parties are unable to resolve the
claims, disputes, or other matters in question within 30 days of written notification from the
aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies
available at law or in equity.
2.8 At any time during the term of the contract, or thereafter, the City, or a duly authorized audit
representative of the City or the State of Texas, at its expense and at reasonable times,
reserves the right to audit Contractor's records and books relevant to all services provided to
the City under this Contract. In the event such an audit by the City reveals any errors or
overpayments by the City, Contractor shall refund the City the full amount of such
overpayments within 30 days of such audit findings, or the City, at its option, reserves the
right to deduct such amounts owing the City from any payments due Contractor.
2.9 The Contractor warrants that it complies with Chapter 2270, Subtitle F, Title 10 of the Texas
Government Code by verifying that:
(1) The Contractor does not boycott Israel; and
(2) The Contractor will not boycott Israel during the term of the Agreement.
2.10 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or
otherwise, including without limitation, the right to seek any and all forms of relief in a
court of competent jurisdiction. Further, the City shall not be subject to any arbitration
process prior to exercising its unrestricted right to seek judicial remedy. The remedies set
forth herein are cumulative and not exclusive, and may be exercised concurrently. To the
extent of any conflict between this provision and another provision in, or related to, this do.
2.11 The Contractor shall not assign or sublet the contract, or any portion of the contract, without
written consent from the Director of Purchasing and Contract Management. Should
consent be given, the Contractor shall insure the Subcontractor or shall provide proof of
insurance from the Subcontractor that complies with all contract Insurance requirements
document, this provision shall control.

II. GENERAL REQUIREMENTS
1 INTENT
a) The City of Lubbock (hereinafter called "City") is seeking proposals from
interested firms and individuals, (hereinafter called "Proposer") to provide
Cellular Phone Services and Devices.
b) Offerors are invited to submit demonstrated competence and qualifications of
their firm for providing these services.
c) The information contained within this document is intended to provide
interested firms with the requirements and criteria that will be used to make the
selection.

2 CURRENT ENVIRONMENT
The City of Lubbock has approximately 230 Smart phones, 30 non -smart and 20
rugged wireless phones in service. Based on the results of the RFP and need, the
number of cellular/2-way phones needed may change.

3 SCOPE
These specifications encompass the requirements for Proposer response via sealed
proposals for cellular/2-way phone services. The responder to this Request for
Proposals shall be solely responsible to ensure that the services offered shall meet
the City of Lubbock's requirements.

4 PROPOSER RESPONSIBILITIES
The Proposer shall bear the following responsibilities:

4.1 Demonstrate, by local references, prior to acceptance of proposal that the
cellular/2 way services being proposed to the City of Lubbock will perform as
represented in the proposal. (Cellular/2-way phones should be available for a
trial period during the RFP process to confirm service availability)

4.2 Provide complete, turnkey, swap -out of cellular/2-way phones and accessories
(car & wall chargers, and cases or belt clips) for the City of Lubbock without any
interruption in service.
AT&T Response:
AT&T defines 'turnkey' to mean that AT&T will provide only the items of equipment and
services specifically listed in this bid response. AT&T will provide any additional
equipment or services requested by the customer at additional cost to the customer.
The pricing provided is predicated on the requirements as set forth by these documents.
Use of the word "turnkey" or similar terms does not require AT&T to provide equipment
or services beyond those specifically quoted.
With wireless services, AT&T provides an extensive selection of mobile phones.

Windows Phone devices.

4.3 Provide training and appropriate documented instructions to the City of Lubbock
for the use of its proposed cellular/2-way services.
AT&T Response:
For AT&T's wireless services, we provide users with various types of training —from self -
paced, online tutorials to leader -led, on -site courses.
You can learn about your wireless service and equipment from
• Detailed user guides
• Training assistance at our retail locations
• Online user tutorials
• Toll -free customer care lines
We provide training on new wireless models upon request and according to mutually
agreeable terms and conditions. This may include training end -users in local areas on
individual wireless services and equipment. In addition, we offer standard training and
technical seminars for essential telecommunications managers and procurement
managers at your locations.
In some cases, using a train the trainer model, we can arrange to have wireless device
manufacturer representatives conduct training for your telecommunications managers,
administrators, IT managers, and trainers so they can, in turn, train other employees on
specific wireless devices.
So, you have all the resources you need to help ensure a smooth transition to new
wireless technologies.
4.4 Provide fixed price services for one (1) year, with the option of three (3) one (1)
year extensions.

4.5 Provide local Customer Care Center or service facility for all phone repairs and
replacements; and for phone accessory repair and replacements for the entire
length of the contract.
AT&T Response:
At AT&T's wireless services device support centers (DSCs), we provide assistance with
exchanging and operating your wireless equipment.
Open seven days a week, the DSCs can
• Troubleshoot and resolve equipment issues
• Exchange equipment (according to your warranty coverage); you must have your
affected device with you, and you must have been present when we attempted
to repair it
• Show you how to operate your device's features and functions
• Process your device order electronically to expedite delivery of devices that are
unavailable at the DSC
The DSC staff members specialize only in resolving device service issues.
Because our DSCs deal solely with service issues, we can make it our primary objective
to ensure that you leave with a working wireless device.
4.6 Furnish a map, indicating the location of cellular tower sites that will be used to
provide the cellular service included in this proposal and their coverage area. If
the coverage area increases in size for other customers of the Proposer. Areas
where roaming charges apply shall be clearly indicated.
AT&T Response:
We use several factors to define an AT&T Wireless Network coverage area.
We derive coverage —area data from a complex algorithm rather than drive testing. The
algorithm takes into account many different variables. The main variables are
frequency, tower height, the number and position of antennas, transmission power,

terrain, morphology (density of the environment through which the radio frequency
[RF] signal must travel —trees, buildings, and so forth), and distance from the cell site.
Like other carriers, we use this data and predictive analysis tools to create the coverage
maps we use to design the network and the maps we share with our customers.
Generally, we measure signal strength in geographic areas by comparing a signal's
decibel —to —power ratio (dBm), in which milliwatts is the power unit. When signal
attenuation meets —75 to —98 dBm in a region, it qualifies as a coverage area.

When you choose AT&T wireless services, you get well—defined coverage areas.
4.7 If a government agency in the State of Texas is given a lower rate during the life
of this proposal, the lower rate will apply to this proposal.

4.8 Legal venue for this proposal will be Lubbock County and Choice of Law for this
proposal will be Texas.

terms and conditions contained in the Proposed Contract Documents and this Response.

The City of Lubbock reserves the right to award these services on the basis of
responses to this RFP or with the State of Texas Contract, for cellular/2-way services,
whichever is deemed solely by the City to be in its best interests. The City of Lubbock
reserves the right to negotiate any and all parts of the proposals received, reject any
and all proposals, or to accept selected components of any proposal. The City of
Lubbock reserves the right to award these services for all existing number of phones,
some of the phones or none of the phones, whichever is deemed solely by the City
to be in its best interests. If a responding Proposer or their parent company has an
agreement or proposal in effect with the State of Texas, indicate what the
contract/proposal is and how it compares to your proposal to the City.

6 SELECTION CRITERIA
20% Quality of references received from business users of the Proposer's
cellular/2-way services.
30% Ease of access to customer care center or service facility and coverage
areas.
10% Adequacy of reporting (invoicing) to enable City to allocate charges by
employee, i.e. electronic billing. (Including allowing showing the incoming
phone numbers on the bill)
30% Net monthly cost to the City for cellular/2-way services.
10% Disaster plan for Cellular/2-way services.

7 DETAIL SPECIFICATIONS
Proposer shall indicate to what extent the cellular services being proposed meet,
exceed or falls short of the stated requirements. This discussion is to follow each

7.1 Features:

B. Service:
1. Indicate the location of your service facility and ability to provide parts

you to immediately suspend service if your device is lost or stolen.

device or we resolve the issue.

3. Discuss who will provide service to the City and what the response time
will be for delivery of new or replacement phones or additional
accessories.
AT&T Response:
Support Group
For AT&T wireless services, we provide several dedicated support groups to help you
order products and services or troubleshoot issues.
These groups include
Business Mobility Solutions Center (BMSC)—supports end users and Authorized
Order places (AOPs) for small businesses, medium to large corporations, and
government customers.
• National Solutions Center (NSC)—processes and fulfills orders and provisioning
requests
• National Business Services (NBS)—provides dedicated post -sales support to
Authorized Order Placers (customer key contacts, program administrators, and
telecom managers) for large Corporate/Enterprise Responsibility customers
• Enterprise Technical Support (ETS)—assists Telecom Managers and Enterprise
Help Desk personnel in troubleshooting enterprise voice and data services.
• International Support— addresses voice and data concerns for customers while
they are roaming internationally or if they have specific international roaming
questions.
The members of these groups receive extensive, regular training on technologies,
devices, and service offerings.

support groups including contact numbers, business hours, and support functions.

• Mobility Deployment Solutions (MDS)—manages and oversees large mobility
solution implementation
Delivery Timeframes
The timeframes that apply when you order wireless services online from AT&T depend
on your request.
You can submit wireless service orders online via Premier. Once you complete an order
in the portal, we direct it to the appropriate group for action.
Depending on the action you request, you can expect us to complete your order in these
timeframes:
• Equipment/Service Order Processing —We process new service orders (up to five
per transaction) that you place by 4:00 pm Central Time on the same day. You
can expect shipping delivery in three to five days (to allow for any delays on the
backend). Bulk orders (more than five orders) you'll require the assistance of
your account team
• Local Number Portability (LNP) Order Processing —Wireless port request can
complete within three hours of submission with correct information, but can
take up to 10 days, depending on the completeness of information in the
request. We often process associated equipment orders before the port order
completes. You can expect shipping delivery in three to five days (to allow for
any delays on the backend).
• Subscriber Changes —We process single -subscriber change requests within
seconds, but may take up to two business days if further system processing or
manual review is required. Multi -line requests require the assistance of your
customer care or account team..
• Service Suspension and Restoration —We process requests to suspend or re-
instate service within seconds, but, if the request requires further system
processing or manual review, the order completion may take up to one business
day.
4. In the event of a major problem, provide an escalation list of personnel
that can be contacted. List name, title, location and contact phone
number.

AT&T Response:
AT&T shall employ and make available at reasonable times an adequate number of
appropriately qualified and trained personnel, familiar with the City's operations and
use of telecommunications services, to provide and support City's use of the Services in
accordance with the terms of AT&T's Response to this RFP The identities and titles of
specific persons and their availability to provide and support City's needs will be
separately established by authorized representatives of AT&T upon award of the RFP to
AT&T.
You can escalate service —related issues to an AT&T Service Executive.
The role of the Service Executive is to support you with any service —related issues. AT&T
makes commercially reasonable efforts to resolve service problems within five business
days.
This means that you have a single point of contact for service issue escalation.
Because the assignment(s) for specific tasks are not made until the contract is awarded,
specific name(s) and biographical information for specific tasks cannot be supplied at
this time. The required documentation will be furnished if AT&T is your vendor of
choice.
AT&T is uniquely qualified to provide proficient technical service for the system
proposed herein. Only manufacturer trained Technicians and Service Consultants
perform installation, maintenance and training on the system. If required after contract
award, AT&T will supply documentation to authenticate technical expertise, within the
parameters of confidentiality limits.
5. Explain the process when a phone model is being utilized by the City of
Lubbock gets discontinued by the proposer especially how it relates to
accessories for the phone, parts for the phone and replacement phones
AT&T Response:
We notify you as far in advance as possible before new AT&T wireless services,
technologies, or devices become available.
We're unable to commit to a specific advance notice interval. However, we'll provide
you with as much advance notice as possible regarding new services, devices, features,

and pricing. However, we may require that you sign a non -disclosure agreement before
we provide advance notices.
In addition, we provide news releases and advertising whenever we launch a new
wireless device or technology in a region or metropolitan area. You can view the latest
information about our mobile devices and technologies anytime by visiting the AT&T
business website for enterprises at

So, you can stay abreast of changes to our wireless offers.
We don't anticipate any major AT&T Mobility Network upgrades that would make
current generation phones obsolete and/or unusable.
However, AT&T is constantly upgrading our network. For example, in 2015, we spent
more than $20 billion to improve our networks. In fact, in the past 6 years (2011-2015),
we invested more in the U.S. than any other public company. The AT&T overall voice
and data network now covers more than 99% of all Americans and our 4G LTE network
covers nearly 390 million people and businesses in the U.S. and Mexico.
We offer many compatible devices, and add more all the time. While these devices
enable you to take advantage of LTE, they also work with our legacy 3G and HSPA+
networks, so you won't lose service when you move between network coverage areas.
Older devices, incompatible with LTE, continue to work with our existing 3G and HSPA+
(4G) network technology.
Some emerging network capabilities and features such as HD Voice, will require newer
devices or Service Identification Module (SIM) cards to operate. Should you need those
services, we offer one of the nation's best lineups of compatible mobile devices.
C. Emergency Situation or Weather Issues:
1. In the event of an emergency incident, such as a weather related
disaster, how would you ensure cellular/2-way phone service for our
Emergency Management Team and Public Safety Group?
2. What would be your response time in activating this plan?
Do you have access to mobile towers to be delivered to an area of the
City in need of coverage in this situation?

Recovery Equipment
In the event of a network disaster, AT&T can deploy all of the recovery equipment
needed to restore the communications of a destroyed central office (CO).
In specially designed technology trailers, we transport to a recovery site all of the
communications equipment our Network Disaster Recovery (NDR) team requires to
recover a destroyed CO. Each trailer has self-contained or dedicated power and
environmental capabilities and each houses a component of the network technology

that would normally be part of a permanent office. Once on site, we connect the
individual components to match the unique configuration of a heavily damaged or
destroyed CO.
We maintain our recovery equipment in warehouses across the United States and in
Europe —positioned strategically so the equipment can reach AT&T's network offices
quickly. Rather than letting the equipment sit idle between deployments, we keep it
powered -up and on -network so we can install updates and test it, both on -site and
remotely. Our warehouse teams are responsible for the health and welfare of the
equipment inside the trailers and for the running gear that lets the equipment travel.
We have 90 recovery technology trailers in our fleet. NDR's total inventory includes over
320 pieces of equipment, including large power and support trailers, emergency
communications vehicles, hazmat trailers, and escort vehicles. These include nine
trailers dedicated to the restoration of our IP network, as well as high-speed fiber-optic "
transport" trailers.
Our NDR mobile recovery equipment includes
• Emergency Communications Vehicles (ECVs)—NDR establishes broadband and
wireless voice and data connectivity from disaster sites using one or more EVCs,
which use a satellite link to provide NDR with command communications during
the initial phase of a recovery effort. The ECVs have also been used to provide
command and humanitarian relief communications capability to other
emergency responders.
• Satellite Mobile Cell Sites —We use Cells on Wheels (COWs) and Cells on Light
Trucks (COLTS), self-contained mobile cell sites, to provide extra cellular capacity
to restore communications after a disaster. We use the mobile sites to replace
the service of a failed permanent cell site and they can be used to supplement
the cellular capacity of an area that has increased demand. The NDR team uses
Satellite COWs and COLTs to establish first -in communications when terrestrial
connections to the AT&T Network are not immediately available
• IP Recovery Trailers —We use IP recovery trailers to support our Common
Backbone Network (CBB) with traffic traversing at data rates as high as 100
gigabits. When fully -equipped, the IP trailers can scale up to a capacity of over 15
terabits per second.
SESS Switch Recovery —We provide switch recovery through a single 5ESS trailer
or a three -trailer set.

• Access Trailers —Access trailers provide points where access vendors can
connect their equipment to our network.
• AT&T Global Network (AGN)—We provide AGN element recovery with fly -in
disaster recovery containers staged in Europe and in the United States. We have
an AGN presence in more than 130 cities worldwide. With the fly -in recovery
containers, we can support the recovery of in -country AGN architecture.
Consequently, whether the network disaster is in the United States or another location,
we have the team, the equipment, and the tested recovery plan to restore
communications.
Corporate Emergency Activation
The Corporate Emergency Activation (CEA) program for wireless services from AT&T is
an option that enables you to reserve contingency lines of mobile service for use in
disaster recovery.
CEA gives you the option to retain to up to 50 contingency subscriber identification
modules (SIMs), or lines of service. The lines remain in a suspended state until you need
them. We can activate CEA lines when necessary in as little as two to four hours and
provide emergency mobile device fulfillment.
The following guidelines apply:
• You can keep lines suspended for up to 999 days. After a line has been in
suspension for 999 days, we must re -approve and then re -suspend it.
• We re -approve lines every two years regardless of use.
• We bill a $0.01 monthly service charge per line.
• You may set up each line with or without a physical device.
• You may purchase a maximum of 10 devices (per market/state) with no -
commitment pricing from AT&T company -owned retail locations.
This means that you have an affordable option to promptly activate additional mobile
lines in the event of an emergency.

With AT&T's wireless services, we measure and bill your voice service usage in minutes
and your data service usage in kilobytes.
For voice, we measure in full minute increments. We bill each call for a minimum of one
minute, and we round a fraction of a minute to the next minute.
For data, we measure in full kilobytes increments. We round a fraction of a kilobyte to
the next kilobytes, and when we calculate your bill, we round a fraction of a cent to the
next cent.
For AT&T Mobility Services customers, night and weekend minutes start at 9 p.m.
Night minutes are in effect from 9 p.m. to 5:59 a.m. Monday through Thursday in the
time zone from which you place the call. Weekend minutes are in effect from 9 p.m.
Friday through 5:59 a.m. Monday. Also, you can add early night and weekend features
for an additional charge on qualified plans. Some calling plans may define nights and
weekends differently as detailed in your contract or customer service summary.
This means that you can adjust your call times to suit your needs.

11 ACCEPTANCE TESTING
The successful respondent shall demonstrate a complete capability to maintain
compliance with this proposal specification.
AT&T Response:
In the event AT&T is selected as your provider of choice, AT&T will work cooperatively
with the Customer to reach mutually acceptable provisions for testing and confirming
system compliance with mutually agreed specifications. AT&T will follow manufacturer
recommended acceptance tests. On successful completion of manufacturer
recommended testing, acceptance occurs. Acceptance shall not exceed 30 days
following Implementation.
